The Public Registry has under its jurisdiction and upon request of an interested party, the registration and the issuance of certifications regarding commercial and civil companies, civil associations, and powers of attorney of natural persons, employing for this purpose microfilm techniques, and any other modern technology.

For the purposes of these Regulations, the following shall be understood as:

• a)Ministry: Ministry of Justice.
• b)Board: Administrative Board of the National Registry.
• c)General Directorate: General Directorate of the National Registry.
• d)Registry or Institution: Public Registry.
• e)Directorates: Directorate of Legal Entities.
• f)Directorate: Directorate of Legal Entities.
• g)Registration Number (Matrícula): Number with which the registered property is identified.

The Registry shall be composed of:

• a)(Repealed by Article 44 of the Organization Regulations of the Real Estate Registry; approved by Executive Decree N° 35509 of September 30, 2009) b) The Directorate of Legal Entities, which shall have under its jurisdiction everything related to Commercial, Civil Persons, Associations, Foundations matters, and the Registry of Mass Media and Advertising Agencies.

The Director is the Hierarchical Superior of each Directorate and must ensure that all employees strictly fulfill their functions and obligations, in accordance with the current legislation that governs them.

Distribution, Duties, and Powers of the Units of the Real Property Directorate

The following corresponds to the Heads of Registrars:

• a)To ensure the proper functioning of the groups under their charge in technical and administrative matters.
• b)To attend to and resolve verbal and written queries presented by their superiors, subordinates, professionals, and the general public, and at the same time provide advice in matters of their specialty.
• c)To Supervise and Audit that the officials under their charge process documents in accordance with current legislation and provisions.
• d)To resolve in the first instance of qualification the conflicts of criteria arising between users and officials under their charge. They may revoke the defect and order the processing of the document, which shall be done under their responsibility; in the event of confirming the defect, the case shall be substantiated and elevated to the Directorate for its qualification.

The qualification and registration of documents submitted for their study corresponds to the Registrars, which they shall perform by the means available to them in coordination with the Directorate, with the obligation to provide efficient service.

Distribution, Duties, and Powers of the Units of the Directorate of Legal Entities

In addition to the powers that these Regulations and other laws assign to it, the Directorate of Legal Entities is responsible for ensuring the proper functioning of the Departments under its charge, as established in Article 4 of these Regulations. The Director of Legal Entities may have the advisors deemed necessary, in order to achieve their objectives.

In addition to the powers that these Regulations and other laws assign to it, the following corresponds to this Sub-Directorate:

• a)To order or deny the registration of documents subject to registration, to resolve filings (ocursos) and administrative procedures, in accordance with the law.
• b)To execute the provisions agreed upon by the Directorate for the proper service of the Registry.
• c)To attend to and resolve verbal and written queries presented by their superiors, subordinates, and the general public, and provide advice in the matters of their specialty.
• d)To supervise and control that the documents prepared and processed in their office under their responsibility are elaborated accurately.
• e)Others delegated or assigned by the Director of this Registry.
• f)To substitute the Director in their absence.

• a)To coordinate and periodically review with the Heads of Registrars the functioning of the Departments under their charge.
• b)To assist the Director in the preparation of plans and projects of a registry nature.
• c)To control the function of Document Registration carried out by the officials of the Registry.
• d)To attend to and resolve verbal and written queries presented by their superiors, subordinates, and the general public, and provide advice in the matters of their specialty.
• e)To authorize the joint registration of documents when requested in accordance with the law and under their criteria and responsibility. Or others assigned.

The Commercial and Civil Persons Department is constituted by a Head, the Registrars, and Certifiers dedicated to the registration and certification of everything related to the Commercial, Civil Persons, and Associations Registry, for which they must comply with the provisions of Articles 8, 9, and 14 of these Regulations.

This Department is constituted by a Head and the Registrars dedicated to the registration of everything related to the Associations Registry, for which they must comply with the provisions of Articles 8 and 9 of the Regulations.

Of the Different Registries

In the Real Property Registry, everything related to the title of ownership, to encumbrances and burdens (gravámenes y afectaciones), and any other right real or personal that affect the real estate inscribed therein shall be registered.

In the Mortgage Registry, the creation, modification, and cancellation of the mortgage right shall be registered. The entry of definitive registration of the mortgage shall contain the most important information of the act or contract contained in the document requested to register. The assignment of the mortgage shall be made by providing the citation of the mortgage registration made in favor of the assignor.

In the Civil Persons Registry, everything indicated in Article 466 of the Civil Code and any other act or contract that by law or regulation is indicated shall be registered. The entry where the registration is made must contain the requirements indicated in Article 467 of said Code.

In the Commercial Registry, everything indicated in Article 235 of the Commercial Code and any other act or contract that by law or regulation is indicated shall be registered. In the entry where the registration is made, the most important information of the act or contract being registered shall be indicated, for the purposes of publicity.

In the Associations Registry, associations with artistic, scientific, charitable, recreational purposes, and any other lawful purposes that do not have as their sole and exclusive objective profit or gain shall be registered. In the entry where it is registered, a summary of the data most important to its registration shall be recorded.

The administrative control and oversight of associations shall be the competence of the Directorate of Legal Entities of the Public Registry, in accordance with the provisions of Title IV Chapter I of the Regulations to the Associations Law, which is Executive Decree No 18670-J of December 20, 1988.

In the Registry of Concessions of the Right of Use of the Maritime Terrestrial Zone, everything related to the concession of rights of the Maritime Terrestrial Zone and the Gulf of Papagayo and those assigned by laws or decrees shall be registered.

Of the Qualification and Registration of documents subject to Registration

Legality Control. The Qualifying function consists of performing a prior examination and verification of the titles presented for their registration, with the object that only valid and perfect titles are registered, because the entries must be exact and concordant with the legal reality that derives from them. The qualification of titles consists of the examination, review, or verification of the legality of the titles presented that the Registrar must perform before proceeding to registration, with the power to suspend or deny those that do not conform to the provisions of our legal system. At the time of qualifying, the official assigned for that purpose shall adhere only to what results from the title and in general to all the information contained in the Registry, and their resolutions shall not impede or prejudge the validity of the title, or of the obligation it contains.

Once the documents are received by the Registrars, they shall proceed to their examination and verify if the legal requirements, general or special, are met and if these requirements coincide with the information contained in the Registry, beginning with those of their presentation and notation (anotación) and if they contain the necessary data for making their respective registration, if no substantial defect is found that prevents it.

At the latest within eight days following their receipt and maintaining strict order of presentation, the Registrars shall proceed to qualify the documents that have been delivered to them. Said timeframe shall not run for documents that are given the character of complex.

Of the documents submitted for examination, the Registrar shall suspend the registration of those that record acts or contracts that are absolutely null or that lack any of the extrinsic formalities that the laws require, or any of the requirements that its registration must contain. The Registrar shall order the registration of those documents submitted for examination that did not present defects.

In the event that the interested party does not agree with the defects noted by the Registrar, or at the moment the Registrar deems it convenient, the document shall be passed to their Head so that they may give their assessment regarding the defects noted. The Head may revoke the defect and order the registration of the document, under their responsibility; in the event of confirming the defect, they shall issue a reasoned resolution and elevate the qualification to the Directorate or to the Sub-Directorate. In any case, the request for qualification must be substantiated.

Once the document is qualified by the Head and they have confirmed the defect, it shall be submitted for qualification by the Directorate or Sub-Directorate; the pronouncement thereof is of mandatory compliance for the Registrar, and its non-observance shall be considered a serious fault.

The Director or the Sub-Director, under their own responsibility, may revoke the order to suspend the registration of a document ordered by the Registrar; in such case, they shall order in writing that the registration be authorized by the Registrar, thus complying with the stipulations of the preceding article.

If a document suffers from a remediable defect and is corrected by means of a new one presented to the Registry, both shall be delivered to the respective Registrar for their registration. If a document is presented as an addendum to another and does not fulfill its objective because it contains new acts or contracts, the Registrar shall process what is related to the correction of the principal document, but shall partially cancel the presentation of the additional document with regard to the new act or contract.

If the interested party, instead of remedying the defect or requesting denial, withdraws the document without registering it, the notations (anotaciones) it may have originated shall be canceled.

Both the Registrar, the Head, the Director, or the Sub-Director, as the case may be, shall adhere for qualification only to what results from the title, from the entries of the Registry, and in general from the registry information. Their resolutions shall not impede or prejudge the judgment on the validity of the title or the judicial action that may be filed.

The Directorate or Sub-Directorate shall communicate by means of a circular order those qualifications, resolutions of filings (ocursos), administrative proceedings, or others that they consider of importance for the application of similar cases that may arise in the future. The content of said circular order shall be of mandatory compliance for the Registrars in analogous cases, in order to guarantee a principle of unity of criteria in registry qualification.

When qualifying a document, the Registrar shall disregard expired notations (anotaciones caducas) and prescribed registrations and shall cancel them at the time of its registration.

If the qualified document presents no defect whatsoever, its proper registration shall proceed, by the technical means that the Directorate considers most agile, efficient, and secure, employing for this purpose computer, microfilming, digitization techniques, and any other technology.

Once the registration is complete, the Registrar shall authorize it by means of the technical or manual mechanisms established by the Directorate, thereby immediately updating the information in the database, and this may be consulted by users at the same time. Once the registration is concluded, the registration note shall be printed on the document through the technical mechanism that is in force, and signed by the corresponding Registrar.

The registration in the Real Property Registry shall not be necessary for the public property of railways, canals, highways, parks, and public streets. However, the certified copy of the deed where they are constituted must be presented to the Registry to make the references and reduction of areas in the properties, indicating the cadastral map.

Of Registrable Documents

In the Public Registry, the following shall be registered:

• a)Titles of ownership over real estate.
• b)Those documents on real estate in which rights of usufruct, use, habitation, easement (servidumbre), mortgages, and any other real rights are created, transferred, declared, modified, or extinguished.
• c)Those that order attachments (embargos), restrictions, and other precautionary measures.
• d)Those titles in which the lease of real estate is recorded.
• e)Those relating to condominium (propiedad horizontal).
• f)The incorporation of civil and commercial companies, their modifications, dissolution, merger, and any other acts that in any way modify their organization.
• g)Those relating to the civil persons registry.
• h)The incorporation of Civil Associations, their modifications, dissolution, merger, and any other acts that in any way modify their structure.
• i)Everything related to the concessions of the maritime terrestrial zone and Gulf of Papagayo.
• j)Any other document indicated by law.

Once accepted by the Journal Office, the document may be identified as follows:

• a)By numerical order; b) By chronological order; c) By a combination of the preceding points. The Directorate shall define the method considered most secure.

Documents in which judicial intervention, creditors' meeting (concurso de acreedores), bankruptcy (quiebra) are declared, and the insolvency or incapacity of natural persons is declared, once received by the Registrar, shall be noted (anotados) on the properties expressly indicated by the corresponding judicial authority.

The priority between two or more documents subject to registration shall be established by the order of presentation to the Journal Office, in accordance with the provisions of Article 25 of these Regulations. If they are mutually exclusive, the document presented first in time shall have priority, without prejudice to the provisions of Article 455 of the Civil Code.

Registration with the Public Registry does not validate registered acts or contracts that are null or voidable according to the law, without prejudice to the provisions of article 456 of the Civil Code.

No document shall be registered where a person other than the one appearing in the preceding registration is listed as the holder of the right. A perfect sequence of the owner of the domain and of the registered rights, as well as a correlation between the registrations and their modifications, cancellations, or extinguishments, must result from the existing entries in the Registry.

Prior registration or annotation shall not be necessary, for purposes of the continuity of the Principle of Chain of Title (Principio del Tracto Sucesivo), with respect to the document granted in the following cases:

• a)When the document is granted or issued by:
• 1)judges, 2) declared heirs, or 3) their representatives, in fulfillment of contracts or obligations that the owner did not execute before a notary public.
• b)When the declared heirs or their successors transfer registered hereditary assets in the name of the deceased.
• c)When dealing with instruments granted simultaneously and they refer to juridical transactions concerning the same property, even if different officials have intervened in the authorizations.
• d)When the documents by which the ownership of the transferred right was acquired and its acquisition are registered simultaneously, or in the scenario of article 455 of the Civil Code.

In all these cases, the document must state the relationship of its antecedents or of the rights that motivated the transfer or adjudication, starting from the one that is registered or pending registration in the Registry, a fact that will be recorded in the registration.

Each Directorate of the National Registry shall have its own jurisdiction and no document may be registered in another Directorate that operates with a different functional specialty.

The Registry shall not register or process any document ex officio. The formal presentation of the document to the Registry shall signify the request to process the document. No type of document may be processed by postal or technological means, except those expressly indicated by Law.

No document may be registered when another opposing document has been registered or annotated, except as provided in article 55 above.

If the property is divided, as many new registrations and registration numbers (matrículas) shall be created as properties result, noting the registration numbers of the resulting properties on the original registration. When properties are consolidated, a new, unique registration number shall be created.

Under the registration number of each right, the following shall also be registered:

• a)The last transfer of ownership. The historical chain of title (tracto sucesivo histórico) will be recorded in the Database.
• b)Mortgages, other real rights, and other limitations related to the ownership.
• c)Leases.
• d)The corresponding cancellations or extinguishments.
• e)And the annotations of documents pending registration.

Registry Publicity, Certifications, Registry Reports, and Legal Entity Identification Cards (Cédulas Jurídicas)

The information of the Registry is public. It corresponds to the Directorate to determine the manner in which this information may be consulted, without risk of its adulteration, loss, or deterioration.

The registration of a property shall be carried out by assigning it a registration number (número de matrícula), under which all information regarding it will be indicated. Likewise, there shall be a unit of information for registrations that do not correspond to properties and that must be carried out in this Registry.

The registration entry shall be made by recording the information required in each case, using the technical means in use.

Registry publicity is constituted by the information contained in the volumes, electronic data processing systems, digitization, and microfilming. There must be a close relationship between these systems, both being reciprocal and complementary aids, in order to guarantee the unity, security, and consistency of the registry information.

The database constitutes a means of registration where the content of the registered legal status of each property, commercial or civil company, natural person, association, concession, and any other registration carried out in this Registry is transcribed, by means of a unit element, legajo, or file, in which the principle of registry specificity is satisfied.

Electronic data processing is the technical means of registration, by which the registry information contained in the unit of information is introduced, processed, updated, and archived in devices proper to a computer.

The Registry shall issue an identification card (cédula) that will identify each legal entity with a number, corporate name, and other data, which will be the official document for its identification, in accordance with what is indicated in Executive Decree No. 18504-J of September 29, 1988.

On Mortgage Certificates (Hipotecas de Cédulas)

The constitution of mortgage certificates (hipotecas de cédulas) shall be carried out in a public deed. Once the testimony is constituted and registered, the certificates (cédulas) shall be issued, which must be signed by the Registrar of Mortgage Certificates (Registrador de cédulas hipotecarias) and the owner of the mortgaged property or their legitimate representative.

The constitution deed must contain the same requirements as mortgage deeds and also state:

• a)That a mortgage of certificates (hipoteca de cédulas) is constituted.
• b)That there are no registrations on the property regarding the constitution of a mortgage or resolutory conditions of the right of the constituent. If the property encumbered with the mortgage of certificates was acquired "without prejudice to a third party" and the third party's action has not yet prescribed or expired, such circumstance shall be stated in the deed and on the certificate (cédula) issued.
• c)The provision in subsection 4) of article 430 of the Civil Code.

The documents in which mortgage certificates (cédulas hipotecarias) are constituted must observe the requirements established in articles 48 and 49(*) of this Regulation.

Once the document is registered, the Registrar of Mortgage Certificates (Registrador de Cédulas Hipotecarias) shall deliver the certificate (cédula) to the interested party, on which their signature and that of the owner of the mortgaged property or their legitimate representative shall appear. Said act shall be recorded in writing in a certificate delivery book kept for that purpose, and the receipt shall be signed by the official and the interested party, or their legal representative.

If, upon comparison of the form of the mortgage certificate (cédula hipotecaria) with its respective entry, inconsistencies or differences result, the Registrar of Mortgage Certificates (Registrador de cédulas hipotecarias) shall deny the issuance until the errors or omissions are corrected.

The substitution of a common mortgage with a certificate mortgage (de cédula) shall be done in the same deed in which the latter is constituted, in accordance with the provisions of article 428 of the Civil Code.

As long as the common mortgage has not been cancelled, a mortgage of certificates (hipoteca de cédulas) may not be constituted.

The cancellation of a certificate mortgage (hipoteca de cédula) must be carried out:

• a)By means of a public deed. Partial cancellation with receipt of payment or concerning the guarantee is not admissible.
• b)By final judgment issued in an ordinary proceeding.
• c)By notarized judgment in a mortgage foreclosure, declared in the proceeding that served as the basis for the public sale, and the other existing lower-ranking mortgages.

In the case of subsections a) and c), together with the registrable cancellation document, the certificate (cédula) referred to in the deed, or the certificate (cédula) that served as the basis for the mortgage foreclosure and the lower-ranking ones, must be presented so that the Registrar may destroy them upon signing the cancellation.

The presentation of the certificate (cédula) or certificates (cédulas) referred to in this article shall be made to the Registrar of Mortgage Certificates (Registrador de cédulas hipotecarias) or to whomever the latter designates for their comparison. If the certificate (cédula) is found to be in accordance with the content of the document, the corresponding receipt shall be issued for the interested party to present it to the Daily Entry Registry (Diario).

On Registry Errors and Ways to Correct Them

On Registry Errors

Errors made in the Registry's registrations can be material or conceptual.

A material error is understood to have been committed when, unintentionally, some words are written instead of others, the expression of some formal circumstance of the registration is omitted, or proper names or quantities are mistaken when copied from the title, without thereby changing the general sense of the registration or entry in question, nor that of any of its concepts.

A conceptual error is understood to have been committed when the Registrar alters or varies the true meaning of the concepts contained in the title being registered, due to an erroneous qualification (calificación).

Way to Correct Registry Errors

Only the Registrar, under their responsibility, may correct the errors made in the registration of a document, whether material or conceptual, based on the set of registry information and that which the interested party may provide. In the event that the correction of the error causes any harm to third parties, the registrar must prepare a report, elevate it to the knowledge of the Directorate, and the latter may ex officio initiate an Administrative Procedure (Gestión Administrativa).

If in the case of article 85(*) above there is opposition from any interested party to the correction of the error, the Directorate or Subdirectorate, by means of a resolution, shall order a warning note to be placed on the registration, which will immobilize the registration until the matter is clarified through judicial means or the parties authorize it. The same procedure will be followed when the rectification of the error causes any harm.

The rectification of a material or conceptual error shall be made by means of a new registration, with a view of the authentic document if it is still in the Registry, or if provided by the interested party, or from the set of information on file in the Registry. If the error is attributable to the parties because the document contains vague, ambiguous, or inaccurate wording of the title that originated the registration, and it is so accepted or declared through judicial means, the rectification must be made by means of a new registration motivated by a new document.

The registration of the rectification shall take effect from the date on which it is carried out, without prejudice to the right that third parties may have to claim through judicial means against the falsehood or nullity of the title to which the registration that contained the error refers.

In the event that the corresponding Registrar is unable to rectify or authorize a registration, due to incapacity, illness, or other reasons, the Registrar who substitutes them shall do so. If the Registrar has no substitute, the rectification or authorization shall be carried out by whomever is designated by the Director or the Registry Coordinator. In both cases, a note shall be placed stating the reason for the correction or the signature.

On the Administrative Procedure (Gestión Administrativa)

General Provisions

When there is an anomaly in the information contained in the Registry, whether due to error or because it is tainted with nullity, or when there is an interest in modifying or canceling some information that cannot be carried out through existing procedures, a request can be filed for the purpose of rectifying the error or eliminating the defect of nullity, or canceling or modifying said information. This process shall be called Administrative Procedure (Gestión Administrativa).

The procedure (gestión) referred to in the previous article must contain the petition in a clear manner, duly reasoned, and with its legal basis. Furthermore, it must indicate a house or office within the city of San José for hearing notifications and the means by which they can be notified. Additionally, a set of copies of the request must be presented for each of the interested parties and the exact address where they can be notified.

The notification shall be carried out at the place and by the means that the parties indicated for that purpose.

The holders of rights registered in the Registry and any person who proves an interest in the matter, in accordance with the Registry entries, may promote the administrative procedure (gestión administrativa).

On the Proceeding

The initial brief of the administrative procedure (gestión administrativa) shall be filed before the Directorate. If it does not meet all the requirements, it shall be rejected ad-portas. If for some reason it is received and a requirement is missing in the brief, the party shall be warned to correct it within a period not exceeding 15 days. If the requirement is not fulfilled, the procedure (gestión) shall be rejected and the file archived.

The procedure (gestión) that meets all requirements shall be processed, and when so determined, a warning note shall be placed on the respective registration, solely for publicity purposes.

All interested parties in a registry proceeding shall be notified of the requested administrative procedure (gestión administrativa) so that they may appear in defense of their rights within a period not exceeding fifteen days, for which purpose the petitioner must supply the exact addresses of all the parties. The granted period runs from the day following the notification. In the event that edicts must be published, the costs thereof shall be borne by the petitioner.

Once the granted hearing periods have expired, the Directorate or Subdirectorate shall resolve within the following month, in a duly reasoned resolution. This resolution shall be notified to the petitioner, as well as to the other interested parties who have appeared. For the others, it shall be deemed final 24 hours after it is issued.

An appeal may be filed against the final resolution issued by the Directorate or by the Subdirectorate, which must be filed before either of these offices within the following five business days, counted from the day following the notification of the resolution. Once the appeal is filed on time, the Directorate or Subdirectorate shall forward the file, without further proceedings, to the Third Section of the Superior Contentious-Administrative Tribunal for it to proceed in accordance with Law No. 7274 of February 25, 1992.

Once what is appropriate has been resolved by the Superior Contentious-Administrative Tribunal and the file returned, the Directorate or Subdirectorate shall execute the final decision.

On Security Systems

On the Security Slip (Boleta de Seguridad)

Every notary public must request from the Treasury of the National Registry a booklet of Security Slips (Boletas de Seguridad), which shall be indispensable for the presentation of their documents to the Reception and Delivery Department.

The Registrar to whom the document was assigned must corroborate that the slip (boleta) accompanying the document corresponds to those assigned to the authorizing notary public. The Registrar shall cancel the presentation of any document that does not carry the Security Slip (Boleta de Seguridad), or is not authorized by the Head of the Department or the Director or Subdirector of the Public Registry.

Every Notary Public must immediately report the loss of Security Slips (Boletas de Seguridad) to the Treasury of the National Registry, as they are responsible. The Registry must inform the Full Court of the omission of this obligation, in accordance with the provisions of article 22 of the Law of Notaries.

In the event that a document has been executed before two or more notaries public, it must be presented with a security slip (boleta de seguridad) from those assigned to the notary public who is the holder of the protocol where the deed was executed; in the event that it is presented with a slip (boleta) from any of the other co-notaries, the presentation shall not be cancelled and the corresponding defect must be indicated.

Several documents authorized by different notaries public may be presented with a single Security Slip (Boleta de Seguridad) and under a single presentation.

On the Access Code to the Database

The access code or password to the Database is a code used to enter the Database and thus be able to introduce new information or vary the existing information.

The access code may be used solely and exclusively by the official to whom it is assigned, and they shall be responsible for its irregular use.

El Registro Público, tiene bajo su competencia y a solicitud de parte, la registración y la expedición de certificaciones acerca de sociedades mercantiles y civiles, asociaciones civiles y poderes de personas físicas, valiéndose para ello de las técnicas de microfilm, y cualquier otra tecnología moderna.

Para los fines del presente Reglamento se entenderá por:

• a)Ministerio: Ministerio de Justicia.
• b)Junta: Junta Administrativa del Registro Nacional.
• c)Dirección General: Dirección General del Registro Nacional.
• d)Registro o Institución: Registro Público.
• e)Direcciones: Dirección de Personas Jurídicas.
• f)Dirección: Dirección de Personas Jurídicas.
• g)Matrícula: Número con el que se identifica el inmueble registrado.

El Registro estará conformado por:

El Director es el Superior Jerárquico de cada Dirección y debe velar porque todos los empleados cumplan estrictamente sus funciones y obligaciones, de conformidad con la legislación vigente que les rige.

Distribución, Deberes y Atribuciones de las Unidades de la Dirección de Propiedad Inmueble

Corresponde a los Jefes de Registradores:

• a)Velar por el buen funcionamiento de los grupos a su cargo en lo técnico y administrativo.
• b)Atender y resolver consultas verbales y escritas que le presentan sus superiores, subalternos, profesionales y público en general, y a la vez brindar asesoría en materia de su especialidad.
• c)Supervisar y Fiscalizar que los funcionarios a su cargo tramiten los documentos de acuerdo a la legislación y disposiciones vigentes.
• d)Resolver en primera instancia de calificación los conflictos de criterio surgidos entre los usuarios y funcionarios a su cargo. Podrá revocar el defecto y ordenar la tramitación del documento, lo cual se hará bajo su responsabilidad, en caso de confirmar el defecto se fundamentará y elevará para su calificación el caso a la Dirección.

Corresponde a los Registradores la calificación e inscripción de los documentos sometidos a su estudio, lo cual harán por los medios de que dispongan en coordinación con la Dirección, con la obligación de brindar un eficiente servicio.

Distribución, Deberes y Atribuciones de las Unidades de la Dirección de Personas Jurídicas

Además de las atribuciones que este Reglamento y otras leyes le asignen, corresponde a la Dirección de Personas Jurídicas, velar por el buen funcionamiento de los Departamentos a su cargo, conforme lo establece el artículo 4 de este Reglamento. El Director de Personas Jurídicas podrá contar con los asesores que considere necesarios, a efecto de lograr sus objetivos.

Además de las atribuciones que este Reglamento y otras leyes le asignen, corresponde a esta Subdirección:

a).Ordenar o denegar la inscripción de los documentos sujetos a registro, resolver los ocursos y gestiones administrativas, de acuerdo con la ley.

• b)Ejecutar las disposiciones que acuerde la Dirección para el buen servicio del Registro.
• c)Atender y resolver consultas verbales y escritas que le presenten sus superiores, subalternos y público en general, y brindar asesoría en la materia de su especialidad.
• d)Supervisar y controlar que los documentos que se confeccionan y tramitan en su dependencia bajo su responsabilidad, sean elaborados de manera exacta.
• e)Demás que le delegue o asigne el Director de este Registro.
• f)Sustituir al Director en su ausencia.

• a)Coordinar y revisar periódicamente con los Jefes de Registradores el funcionamiento de los Departamentos a su cargo.

En el Registro de la Propiedad Inmueble se inscribirá todo lo relativo al título del dominio, a los gravámenes y afectaciones, y cualquier otro derecho real o personal que afecten los bienes inmuebles allí inscritos.

En el Registro de Hipotecas se inscribirán la constitución, modificación y cancelación del derecho de hipotecas. El asiento de inscripción definitiva de la hipoteca contendrá la información más importante, del acto o contrato contenido en el documento que se solicita registrar. La cesión de la hipoteca se hará dando la cita de la inscripción hipotecaria practicada a favor del cedente.

En el Registro de Personas se inscribirá todo lo indicado en el artículo 466 del Código Civil y cualquier otro acto o contrato que por ley o por reglamento se indicare. El asiento donde se realice la inscripción deberá contener los requisitos indicados en el artículo 467 de dicho Código.

En el Registro Mercantil se inscribirá todo lo indicado en el artículo 235 del Código de Comercio y. cualquier otro acto o contrato que por ley o reglamento se indicare. En el asiento donde se practique la inscripción se indicará la información más importante, del acto o contrato que se registra, para los efectos de la publicidad.

En el Registro de Asociaciones se inscribirán las asociaciones con fines artísticos, científicos, benéficos, de recreo y cualesquiera otros lícitos que no tengan por único y exclusivo objeto el lucro o ganancia. En el asiento donde se registre constará un resumen de los datos más importantes de su. inscripción.

El control administrativo y la fiscalización de las asociaciones, será competencia de la Dirección de Personas Jurídicas del Registro Público, de conformidad con lo dispuesto en el Título IV Capítulo I del Reglamento a la Ley de Asociaciones, que es Decreto Ejecutivo No 18670-J de 20 de diciembre de 1988.

De la Calificación e Inscripción de los documentos sujetos a Registro

Control de Legalidad. La función Calificadora consiste en realizar un examen previo y la verificación de los títulos que se presentan para su registración, con el objeto de que se registren únicamente los títulos válidos y perfectos, porque los asientos deben ser exactos y concordantes con la realidad jurídica que de ellos se desprende. La calificación de los títulos consiste en el examen, censura, o comprobación que de la legalidad de los títulos presentados debe hacer el Registrador antes de proceder a la inscripción, con la facultad de suspender o denegar los que no se ajustan a las disposiciones de nuestro ordenamiento jurídico. Al momento de calificar, el funcionario asignado al efecto se atendrá tan solo a lo que resulte del título y en general a toda la información que conste en el Registro y sus resoluciones no impedirán ni prejuzgarán sobre la validez de éste, o de la obligación que contenga.

Recibidos los documentos por los Registradores, procederán a su examen y comprobarán si se cumplen los requisitos legales, generales o especiales requeridos y si estos requisitos coinciden con la información que consta en el Registro, comenzando con el de su presentación y anotación y si contienen los datos necesarios para la práctica de su inscripción respectiva, si no se encontrare ningún defecto sustancial que la impida.

A más tardar dentro de los ocho días siguientes a su recibo y guardando estricto orden de presentación, procederán los Registradores a calificar los documentos que les hubiere sido entregados. Dicho plazo no correrá para los documentos a los que se les de el carácter de complejos.

De los documentos sometidos a examen, el Registrador suspenderá la inscripción de aquellos que registren actos o contratos absolutamente nulos o que carezcan de alguna de las formalidades extrínsecas que las leyes exigen, o de alguno de los requisitos que debe contener su inscripción. El Registrador ordenará la inscripción de aquellos documentos sometidos a su examen que no presentaron defectos.

En caso de que el interesado no estuviere de acuerdo con los defectos anotados por el Registrador, o en el momento que el Registrador lo estime conveniente, el documento se pasará a su Jefe para que le de su apreciación con respecto a los defectos anotados. El Jefe podrá revocar el defecto y ordenar la inscripción del documento, bajo su responsabilidad; en caso de confirmar el defecto dictará una resolución razonada y elevará la calificación a la Dirección o a la Subdirección. En cualquiera de los casos deberá fundamentarse la solicitud de calificación.

Una vez calificado el documento por el Jefe y habiendo éste confirmado el defecto, se someterá el mismo a calificación por parte de la Dirección o Subdirección; el pronunciamiento de ésta es de obligatorio acatamiento para el Registrador y su inobservancia se considerará falta grave.

El Director o el Subdirector bajo su propia responsabilidad pueden revocar la orden de suspensión de inscripción de un documento ordenada por el Registrador, en tal caso ordenará por escrito que la inscripción sea autorizada por el Registrador, cumpliendo así lo estipulado en el artículo anterior.

Si un documento se presenta como adicional de otro y no cumple su objetivo por contener nuevos actos o contratos, el Registrador tramitará lo relacionado a la corrección del documento principal, pero cancelará parcialmente la presentación del documento adicional en cuanto al nuevo acto o contrato.

Si el interesado en vez de subsanar el defecto o pedir denegación, retira el documento sin inscribir, se cancelarán las anotaciones que haya originado.

Tanto el Registrador, el Jefe, el Director o el Subdirector, en su caso, se atendrán para la calificación, sólo a lo que resulte del título, de los asientos del Registro y en general de la información registral. Sus resoluciones no impedirán ni prejuzgarán el juicio sobre la validez del título o de la acción judicial que llegare a entablarse.

La Dirección o Subdirección comunicarán mediante una orden circular, aquellas calificaciones, resoluciones de ocursos, de diligencias administrativas u otros que consideren de importancia para la aplicación de casos similares que se presenten en el futuro. El contenido de dicha orden circular será de obligatorio acatamiento para los Registradores en casos análogos, a fin de garantizar un principio de unidad de criterio en la calificación registral.

Al calificar un documento el Registrador hará caso omiso de las anotaciones caducas y de las inscripciones prescritas y las cancelará al momento de su inscripción.

Si el documento calificado no presenta defecto alguno, se procederá a su debida inscripción, por los medios técnicos que la Dirección considere más ágiles, eficientes y seguros, valiéndose para ello de las técnicas de computación, microfilmación, digitalización y cualquier otra tecnología.

Una vez realizada la inscripción, el Registrador la autorizará mediante los medios técnicos o manuales que fije la Dirección, con lo cual actualizará inmediatamente la información de la base de datos y ésta podrá ser consultada por los usuarios en el mismo momento. Una vez concluida la inscripción, la razón de inscripción será impresa en el documento mediante el mecanismo técnico que esté vigente, y firmada por el Registrador correspondiente.

No será necesaria la inscripción en el Registro de la Propiedad Inmueble la propiedad pública de vías de ferrocarril, canales, carreteras, parques y calles públicas. Sin embargo el testimonio de la escritura en donde se constituyen, deberá presentarse al Registro para hacer las referencias y disminución de cabidas en las fincas, con indicación del plano catastrado.

De los Documentos Registrables

En el Registro Público se inscribirán:

• a)Los títulos de dominio sobre inmuebles.
• b)Aquellos documentos sobre inmuebles en que se constituyan, trasmitan, declaren, modifiquen o extingan derechos de usufructo, uso, habitación, servidumbre, hipotecas y cualesquiera otros derechos reales.
• c)Los que dispongan embargos, restricciones y demás providencias cautelares.
• d)Aquellos títulos en que se consigne el arrendamiento de inmuebles.
• e)Los relativos a propiedad horizontal.
• f)La constitución de las sociedades civiles y mercantiles, sus modificaciones, disolución, fusión y cualesquiera otros actos que de algún modo modifiquen su organización.
• g)Los relativos al registro de personas.
• h)La constitución de las Asociaciones Civiles, sus modificaciones, disolución, fusión y cualesquiera otros actos que de algún modo modifiquen su estructura.
• i)Todo lo relativo a las concesiones de la zona marítimo terrestre y Golfo de Papagayo.
• j)Cualquier otro documento que indique la ley.

Una vez aceptado por la Oficina del Diario, el documento podrá ser identificado así:

• a)Por orden numérico; b) Por orden cronológico; c) Por una combinación de los puntos anteriores. La Dirección definirá el método que se considere más seguro.

Los documentos en que se declare intervención judicial, concurso de acreedores, quiebra y se declare la insolvencia o incapacidad de personas físicas, una vez recibidos por el Registrador, se anotarán en los bienes que expresamente indique la autoridad judicial correspondiente.

La prioridad entre dos o más documentos sujetos a inscripción, se establecerá por el orden de presentación a la Oficina del Diario, de acuerdo con lo dispuesto en el artículo 25 de este Reglamento. Si son excluyentes, tendrá prioridad el documento presentado primero en tiempo, sin perjuicio de lo dispuesto en el artículo 455 del Código Civil.

La inscripción en el Registro Público no convalida los actos o contratos inscritos que sean nulos o anulables conforme a la ley, sin perjuicio de lo establecido en el artículo 456 del Código Civil.

No se inscribirá documento en el que aparezca como titular del derecho una persona distinta de la que figura en la inscripción precedente. De los asientos existentes en el Registro, deberá resultar una perfecta secuencia del titular del dominio y de los derechos registrados, así como la correlación entre las inscripciones y sus modificaciones, cancelaciones o extinciones.

No será necesaria la previa inscripción o anotación, a los efectos de la continuidad del Principio de Tracto Sucesivo, con respecto al documento que se otorgue en los siguientes casos:

• a)Cuando el documento sea otorgado o expedido por:
• 1)los jueces, 2) herederos declarados o 3) sus representantes, en cumplimiento de contratos u obligaciones que el propietario no otorgó ante un notario.
• b)Cuando los herederos declarados o sus sucesores cedieren bienes hereditarios inscritos a nombre del causante.
• c)Cuando se trate de instrumentos otorgados en forma simultánea y se refieran a negocios jurídicos que versen sobre el mismo inmueble, aunque en las autorizaciones hayan intervenido distintos funcionarios.
• d)Cuando se inscriban simultáneamente los documentos por los cuales se adquirió la titularidad del derecho transmitido y su adquisición, o en el supuesto del artículo 455 del Código Civil.

En todos estos casos, el documento deberá motivaron la transmisión o adjudicación, a partir del que esté inscrito o pendiente de inscripción en el Registro, hecho que se consignará en la inscripción.

Cada Dirección del Registro Nacional tendrá competencia propia y no se podrá registrar ningún documento en otra Dirección que opere con otra especialidad funcional.

El Registro no inscribirá ni tramitará ningún documento de oficio. La presentación formal del documento al Registro, significará la solicitud de tramitación del documento. No se podrá tramitar ningún tipo de documento por medios postales o tecnológicos, excepto los que se indiquen expresamente por Ley.

No podrá registrarse ningún documento cuando haya sido inscrito o anotado otro que se le oponga, excepto lo dispuesto por el artículo 55 anterior.

Si el inmueble se dividiera, se confeccionarán tantas nuevas inscripciones y matrículas como fincas resultaren, anotándose en la inscripción primitiva, los números de matrículas de las fincas resultantes. Cuando se reúnan inmuebles, se hará una nueva y única matrícula.

Bajo el número de registro de cada derecho, se registrará también lo siguiente:

• a)La última transmisión del dominio. El tracto sucesivo histórico constará en la Base de Datos.
• b)Las hipotecas, otros derechos reales y demás limitaciones que se relacionen con el dominio.
• c)Los arrendamientos.
• d)Las cancelaciones o extinciones que correspondan.
• e)Y las anotaciones de los documentos pendientes de inscripción.

Publicidad Registral, Certificaciones, Informes Regístrala y Cédulas Jurídicas

La información del Registro es pública. A la Dirección le corresponde determinar el modo en que esta información puede ser consultada, sin riesgo de adulteración, pérdida o deterioro de la misma.

La inscripción de un inmueble se efectuará consignándole a éste un número de matrícula, bajo el cual se indicará toda la información referente a este. Igualmente existirá una unidad de información para las inscripciones que no correspondan a inmuebles y que deben realizarse en este Registro.

El asiento de inscripción se confeccionará registrando la información requerida en cada caso. utilizando los medios técnicos en uso.

La publicidad registral está constituida por la información contenida en los tomos, sistemas de procesamiento electrónico de datos, digitalización y la microfilmación. Debe existir entre esos sistemas una estrecha relación. siendo ambos auxiliares recíprocos y complementarios, a fin de garantizar la unidad, seguridad y congruencia de la información registral.

La base de datos constituye un medio de registración en donde se transcribe el contenido del estado jurídico registral de cada inmueble, sociedad mercantil o civil, persona física, asociación, concesión y cualquier otra inscripción que se lleve a cabo en este Registro, mediante un elemento de unidad, legajo o ficha, en el cual queda satisfecho el principio de especialidad registral.

El procesamiento electrónico de datos es el medio técnico de la registración, por el cual se introduce, procesa, actualiza y archiva la información registral contenida en la unidad de información, en dispositivos propios de un ordenador o computador.

El Registro extenderá una cédula que identificará con un número, la razón social y otros datos a cada persona jurídica, que será el documento oficial para su identificación, de conformidad con lo que señala el Decreto Ejecutivo No. 18504-J de 29 de setiembre de 1988.

De las Hipotecas de Cédulas

La constitución de .las hipotecas de cédulas se efectuará en escritura pública. Una vez constituido e inscrito el testimonio, se emitirán las cédulas que deberán firmar el Registrador de cédulas hipotecarias y el dueño del inmueble hipotecado o su legítimo representante.

La escritura de constitución deberá contener los mismos requisitos que las escrituras hipotecarias y expresar además:

• a)Que se constituye una hipoteca de cédulas.
• b)Que no existen sobre la finca inscripciones relativas a constitución de hipoteca o a condiciones resolutorias del derecho del constituyente. Si la finca que se grava con la hipoteca de cédulas se hubiere adquirido "sin perjuicio de tercero" y aún no estuviera prescrita o caduca la acción del tercero, se hará constar tal circunstancia en la escritura y en la cédula que se emita.
• c)Lo dispuesto en el inciso 4) del artículo 430 del Código Civil.

Los documentos en donde se constituyen cédulas hipotecarias, deberán observar los requisitos establecidos en los artículos 48 y 49(*) de este Reglamento.

Inscrito el documento, el Registrador de Cédulas Hipotecarias entregará al interesado la cédula, en la cual constará su firma y la del dueño del mueble hipotecado o su legitimo representante. Dicho acto se hará constar por escrito en un libro de entrega de cédulas que se llevará al efecto y el recibo será firmado por el funcionario y el interesado, o su apoderado.

Si del cotejo de la fórmula de la cédula hipotecaria con su respectivo asiento resultaren incongruencias o diferencias, el Registrador de cédulas hipotecarias denegará la emisión, hasta tanto no se subsanen los errores u omisiones.

La sustitución de una hipoteca común por una de cédula se hará en la misma escritura en que ésta se constituye, de conformidad con lo dispuesto por el artículo 428 del Código Civil.

.Mientras no se hubiere cancelado la hipoteca común, no podrá constituirse una hipoteca de cédulas.

La cancelación de una hipoteca de cédula deberá hacerse:

• a)Por medio de escritura pública. No procede la cancelación parcial con recibo de suma o en cuanto a la garantía.
• b)Por sentencia ejecutoria librada en juicio ordinario.

c)Por sentencia protocolizada en ejecución hipotecaria, declarada en el juicio que sirvió de base del remate y las otras hipotecas que existieren de grado inferior.

En el caso de los incisos a) y c), junto con el documento inscribible de cancelación deberá presentarse la cédula a que se refiere la escritura, o la cédula que sirvió de base a la ejecución hipotecaria y las de grado inferior para que el Registrador las destruya, al firmar la cancelación.

La presentación de la cédula o las cédulas a que se refiere este artículo, se hará al Registrador de cédulas hipotecarias o a quien éste designe para su cotejo. Si la cédula se encontrare de conformidad con el contenido del documento, se extenderá el recibo correspondiente para que el interesado la presente al Diario.

De los Errores Regístrales y modos de subsanarlos

De los errores regístrales

Los errores cometidos en las inscripciones del Registro pueden ser materiales o conceptuales.

Se entenderá que se comete error material cuando sin intención, se escriban unas palabras por otras, se omita la expresión de alguna circunstancia formal de la inscripción o se equivoquen los nombres propios o las cantidades al copiarlas del título, sin cambiar por ello el sentido general de la inscripción o asiento de que se trate, ni el de ninguno de sus conceptos.

Se entenderá que se comete error conceptual cuando el Registrador altere o varíe el verdadero sentido de los conceptos contenidos en el título que se registra, debido a una errónea calificación.

Modo de subsanar los errores regístrales

Solo el Registrador bajo su responsabilidad, podrá corregir los errores cometidos en la inscripción de un documento, sean materiales o conceptuales, con fundamento en el conjunto de la información registral y la que le pueda aportar la parte interesada. En caso de que la corrección del error cause algún perjuicio a terceros, el registrador deberá elaborar un informe, lo elevará a conocimiento de la Dirección, y ésta de oficio podrá iniciar una Gestión Administrativa.

Si en el caso del artículo 85(*) anterior existiera oposición de algún interesado en la corrección del error, la Dirección o la Subdirección, mediante resolución, ordenará poner una nota de advertencia en la inscripción, que inmovilizará la inscripción hasta tanto no se aclare el asunto en vía judicial o las partes no lo autoricen. De igual forma se procederá cuando la rectificación del error cause algún perjuicio.

La rectificación de un error material o de conceptual se hará por medio de una nueva inscripción, con vista del documento auténtico si aún se encuentra en el Registro, o si lo aporta la parte interesada, o del conjunto de la información que consta en el Registro. Si el error es atribuible a las partes porque el documento contiene una redacción vaga, ambigua o inexacta del título que originó la inscripción, y así lo aceptaran o se declarare en vía judicial, la rectificación deberá hacerse mediante una nueva inscripción motivada por un nuevo documento.

La inscripción de la rectificación surtirá efecto a partir de la fecha en que se realice, sin perjuicio del derecho que puedan tener los terceros para reclamar en vía judicial contra la falsedad o nulidad del título a que se refiere la inscripción que contenía el error.

En él caso que el Registrador correspondiente no pudiere rectificar o autorizar una inscripción, por incapacidad, enfermedad u otras razones, lo hará el Registrador que lo sustituya. Si el Registrador no tuviera sustituto, la rectificación o la autorización la practicará quien designe el Director o el Coordinador Registral. En ambos casos se pondrá una razón expresando el motivo de la corrección o de la firma.

De la Gestión Administrativa

La gestión que se relaciona en el artículo anterior deberá contener la petición de manera clara, debidamente razonada y con su fundamento legal. Además tendrá que indicarse casa u oficina dentro de la ciudad de San José en donde oír notificaciones y los medios por lo que pueden ser notificados. Además deberá presentarse un juego de copias de la solicitud, para cada uno de los interesados y la dirección exacta en que pueden ser notificados.

La notificación se realizará en el lugar y por los medios que las partes señalaron para tal efecto.

Pueden promover la gestión administrativa los titulares de los derechos inscritos en el Registro y toda aquella persona que pruebe tener interés en el asunto, de acuerdo con los asientos del Registro.

Del Procedimiento

El escrito inicial de la gestión administrativa se presentará ante la Dirección. Si éste no cumpliere todos los requisitos, se rechazará ad-portas. Si por alguna circunstancia se recibiere y faltare algún requisito en el escrito, se le prevendrá a la parte para que lo subsane en un plazo no mayor de 15 días. Si no cumpliere lo exigido se rechazará la gestión y se archivará el expediente.

Se dará curso a la gestión que cumpla todos los requisitos, y se pondrá cuando así se determine, una nota de advertencia en la inscripción respectiva, para efectos de publicidad únicamente.

A todos los interesados en un trámite registral se les notificará la solicitud de gestión administrativa planteada para que se presenten en defensa de sus derechos por un plazo que no exceda de quince días, para lo cual el gestionante deberá suministrar las direcciones exactas de todas las partes. El plazo concedido corre a partir del día siguiente de la notificación. En caso de que se tengan que publicar edictos, los gastos de éstos correrán por cuenta del gestionante.

Una vez vencidas las audiencias conferidas, la Dirección o la Subdirección resolverá dentro del mes siguiente, en resolución debidamente razonada. Esta resolución se notificará al gestionante, así como a los demás interesados que se hubieren apersonado. Para los demás se tendrá por firme 24 horas después de dictada.

Contra la resolución final dictada por la Dirección o por la Subdirección procederá el recurso de apelación, que debe interponerse ante cualquiera de éstas oficinas dentro de los cinco días hábiles siguientes, contados a partir del día siguiente de la notificación de la resolución. Presentada en tiempo la apelación, la Dirección o la Subdirección remitirá sin más trámite el expediente a la Sección Tercera del Tribunal Superior Contencioso Administrativo para que proceda de conformidad con la ley número 7274 del 25 de febrero de 1992.

De los Sistemas de Seguridad

De la Boleta de Seguridad

Todo notario debe solicitar a la Tesorería del Registro Nacional un talonario de Boletas de Seguridad, que serán indispensables para la presentación de sus documentos al Departamento de Recepción y Entrega.

El Registrador a quien se le asignó el documento deberá corroborar que la boleta que acompaña el documento corresponda a las asignadas al notario autorizante. El Registrador cancelará la presentación de todo documento que no porte la Boleta de Seguridad, o no esté autorizado por el Jefe del Departamento o el Director o Subdirector del Registro Público.

Todo Notario deberá reportar de manera inmediata el extravío de Boletas de Seguridad ante la Tesorería del Registro Nacional por ser el responsable. El Registro deberá de informar a la Corte Plena la omisión de esta obligación, de conformidad con lo dispuesto en el artículo 22 de la Ley de Notariado.

En caso de que un documento se haya otorgado ante dos o más notarios, deberá presentarse con una boleta de seguridad de las asignadas al notario dueño del protocolo donde se otorgó la escritura; en caso de que se presente con una boleta de cualquiera de los otros conotarios, no se le cancelara la presentación y deberá indicarse el defecto correspondiente.

Podrán ser presentados con una sola Boleta de Seguridad y bajo una misma presentación, varios documentos autorizados por diferentes notarios.

De la clave de acceso a la Base de Datos

La clave de acceso o palabra de paso a la Base de Datos es un código que sirve para entrar a la Base de Datos y así poder introducir nueva información o variar la existente.

La clave de acceso podrá ser usada única y exclusivamente por el funcionario a quien se le asigna, y será el responsable por su utilización irregular.

De las Oficinas Regionales

En cualquier tiempo el funcionario podrá cambiar su clave de acceso, como medida de seguridad. Bajo la autorización y supervisión superior, podrán ser cambiadas las claves de acceso, como medida de seguridad.

Con el fin de dar la mayor seguridad posible a la información que consta en el Registro y al procedimiento de registración, se podrán crear los sistemas de seguridad que la Dirección considere convenientes.

Modifiqúese el artículo primero del Decreto Ejecutivo No 19932-J del 4 de octubre de 1990, el cual en adelante deberá leerse así:

"Artículo 1°-Se centraliza en el Registro de Asociaciones de la Dirección General del Registro Nacional, el trámite de autorización e inscripción de Asociaciones que se constituyan al amparo de la Ley de Asociaciones No 218 de 8 de agosto de 1939 y sus reformas".
