Project Execution Section 3.01. The Borrower declares its commitment to the objectives of the Project and, to that end, shall carry out through FONAFIFO Parts A, B.1 and B.3 of the Project; and through SINAC Part B.2 of the Project, with due diligence and efficiency and in conformity and compliance with appropriate administrative, financial, and environmental practices. It shall also promptly provide such funds, facilities, and services as well as other resources as may be required for the Project.
- a)make provisions in its annual budget, and make available as necessary to SINAC as required for the administration of Part B.2 of the Project, the sum of $1,380,000 or more from the Budget allocated to SINAC by the Borrower for each Fiscal Year throughout Project implementation; b) provide in its annual budget and make promptly available to FONAFIFO as it may require for the administration of Parts A, B.1 and B.3 of the Project for each Fiscal Year throughout Project implementation, the equivalent of 5% of the amount of PSA Contract Payments to be financed during that Fiscal Year; and c) furnish to the Bank:
(i) a copy of the annual budget approved by the Borrower for each Fiscal Year throughout Project implementation within a period not exceeding thirty days after the date for such approval by the National Assembly of the Borrower; and (ii) evidence of the transfer of the counterpart funds mentioned in paragraphs (a) and (b) above to SINAC and FONAFIFO by no later than December 31 of each Fiscal Year throughout Project implementation.
(a) maintain policies and procedures adequate to enable the monitoring and evaluation on a continuous basis, in accordance with the indicators set forth in the Complementary Letter, of the carrying out of the Project and the achievement of the objectives stipulated herein; (b) prepare, under terms of reference satisfactory to the Bank, and furnish to the Bank on or about September 30, commencing September 28, 2001, an annual report integrating the results of the monitoring and evaluation activities carried out in accordance with paragraph (a) of this Section, on the progress achieved in carrying out the Project during the period preceding the date of said report and setting forth the measures recommended to ensure the efficient execution of the Project and the achievement of the objectives thereof during the period following said date; (c) review with the Bank, no later than sixty days after receipt of the requested report referred to in paragraph (b) of this Section, or such later date as the Bank may request, the report referred to in paragraph (b) of this Section, and, thereafter, take all necessary measures to ensure the efficient completion of the Project and the achievement of the objectives thereof, based on the conclusions and recommendations of said report and the Bank's views on the matter; and (d) review jointly with the Bank by September 30, 2003, or any later date as the Bank may request (the mid-term review), the reports referred to in paragraph (b) of this Section, and, thereafter, take all necessary measures to ensure the efficient completion of the Project and the achievement of the objectives thereof, based on the conclusions and recommendations of said reports and the Bank's views on the matter.
(a) prepare, on the basis of guidelines acceptable to the Bank, and furnish to the Bank no later than six (6) months after the Closing Date or such later date as may be agreed for this purpose by the Borrower and the Bank, a plan for the future operation of the Project, and (b) provide the Bank with a reasonable opportunity to exchange views with the Borrower on said plan.
(a) MINAE and FONAFIFO enter into a memorandum of understanding, under terms and conditions satisfactory to the Bank relating to the implementation of Parts A, B.1 and B.3 of the Project (FONAFIFO - MINAE MoU); and shall ensure that MINAE and SINAC enter into a memorandum of understanding under terms and conditions satisfactory to the Bank for the implementation of Part B.2 of this Project (the SINAC - MINAE MoU).
(b) FONAFIFO, SINAC and MINAE enter into a Subsidiary Agreement (The FONAFIFO - SINAC - MINAE Subsidiary Agreement), under terms and conditions satisfactory to the Bank and which shall provide, among other things:
(i) the undertaking and obligation of SINAC to carry out Part B.2 of the Project in accordance with the GEF Grant Agreement and this Agreement; (ii) the terms of transfer from FONAFIFO to SINAC of part of the GEF Grant funds, necessary to carry out Part B.2 of the Project; (iii) a division of responsibilities among the three entities and a commitment to collaborate and coordinate their respective activities in Project implementation, and (iv) the establishment of a coordinating committee composed of representatives of FONAFIFO and SINAC; and, (c) FONAFIFO, SINAC and MINAE to comply with the provisions and procedures referred to in paragraphs (a) and (b) above, in such manner as to fulfill the purposes of the Project, and except as the Bank may otherwise agree, none of the parties shall assign, amend, abrogate or waive said Agreements or any of their provisions.
Section 3.06. The Borrower shall ensure through MINAE that FONAFIFO maintains sufficient qualified personnel, including a financial systems analyst, a procurement specialist and a natural resource management specialist, with functions and responsibilities satisfactory to the Bank, so as to effectively strengthen the executing team within FONAFIFO that is in charge of the implementation of Parts A, B.1 and B.3 of the Project. The Borrower shall ensure that FONAFIFO appoints its Executive Director to act as Project coordinator with functions and responsibilities satisfactory to the Bank.
(a) The Borrower shall through MINAE, carry out or cause to be carried out the Project in accordance with an operational manual, satisfactory to the Bank, said manual shall provide the key instruments for the coordination and execution of the Project, including procurement and administrative and financial procedures, a Project Implementation Plan and an Indigenous Plan.
(b) The Borrower through MINAE shall carry out or cause to be carried out, the Indigenous Plan, to the satisfaction of the Bank and in accordance with its terms and the key indicators set forth in the Complementary Letter.
(c) The Borrower through MINAE shall submit to the Bank for its approval the model PSA contract for Part A.2 of the Project and shall thereafter, ensure that the PSA Contracts financed under Part A.2 of the Project, are in accordance with the substance of such model forms as may be approved by the Bank.
Section 3.08. No later than January 30 of each year of Project implementation, the Borrower through MINAE shall issue and carry out through FONAFIFO and SINAC, an Annual Work Program satisfactory to the Bank.
Section 3.09. For the purposes of assisting in the implementation of Part B.3 of the Project, the Borrower through MINAE shall select the NGOs in accordance with the provisions of the Operations Manual and in consultation with the Bank. The selected NGOs shall assist the Borrower in Project execution.
