FACTUAL BACKGROUND:
1. The plaintiff, Inversiones C.O.V. [Nombre1] Sociedad Anónima, filed this ordinary proceeding, valued at ten million, and requests that the judgment declare the following: “... 1. That this ordinary complaint be granted in all respects. 2. That the defendant be declared to have breached clauses two (2), seven (7), eleven (11), and fifteen (15) of the lease agreement (contrato de arriendo) executed in public deed number one hundred sixty-one, volume fourteen, dated 24 de abril de 2013, concerning a property registered with the Public Property Registry under registration number CED6- . 3. That the defendant also be declared to have breached clauses two (2), five (5), six (6), and nine (9) of the extension and amendment to the lease agreement made pursuant to the settlement record (acta de conciliación) dated 15 de junio de 2016, which was duly notarized in public deed number forty-nine forty by notary Jorge Zúñiga Calderón on 16 de junio de 2016. 4.
As a result of the defendant’s breach, that the agreement contained in public deed number one hundred sixty-one, volume fourteen, dated 24 de abril de 2013, and extended and amended pursuant to the settlement record dated 15 de junio de 2016, which was duly notarized in public deed number forty-nine–forty, be terminated. 5. As a consequence of the breach, that relief be granted in accordance with the penalty clause (cláusula penal) set forth in clause seventeen. 6. The opposing party shall be required to pay compensation for damages and lost profits (daños y perjuicios) arising from the termination of this agreement, with interest duly adjusted for inflation. Emotional Distress: I have been emotionally affected by the defendant’s conduct. His breach of the agreement that we signed has affected my emotional state. I have been unable to sleep because of this situation; I am extremely stressed, sad, distressed, and depressed, thinking that I may lose my property because of the defendant’s bad-faith conduct.
The fact that the opposing party is my brother has caused me even greater indignation, since a family conflict has arisen, causing me terrible depression over this matter. I have had to attend medical appointments with a neurologist because of the insomnia and severe headaches I have suffered as a result of this entire problem. I estimate this damage at five million colones. Property Damage: The property has been completely abandoned and overgrown, and the [Nombre4] is behind schedule. The defendant has used the land to lease pasture for cattle, even though we agreed that it would be used solely for African [Nombre4]. He cut down and burned approximately fifty trees that were on the land and that we had agreed would be preserved. These trees included the species amarillón, zapatero, chilamate, cedros, among others. In addition, I have had to pay utility charges as a result of the defendant’s breach.
I estimate this damage at fifteen million colones, without prejudice to the evidence establishing a higher amount. Lost Profits: The delay in the lease payments that the defendant is required to pay me has caused me a substantial economic loss by preventing me from undertaking other activities, such as developing and maintaining certain lots that I own and in which I had planned to invest for a future sale. I estimate the lost profits at nine million colones. 7. That I be placed in full possession of the property and that the defendant’s eviction (desalojo) be ordered. 8. That the defendant be ordered to pay the procedural costs and attorneys’ fees arising from this complaint...” (see complaint at pages 42 through 48 of the physical case file).
2. The defendant was duly served with the complaint and filed an answer denying it, without raising defenses (see pages 56 through 64 of the physical case file).
3. By order issued at fourteen hours and thirty-three minutes on diecinueve de marzo de dos mil dieciocho, the Agrarian Court of the Second Judicial Circuit of the Southern Zone, Corredores, ordered the plaintiff to join [Nombre4] Tica Sociedad Anónima as a party to the litigation, against which it asserted the following claims: “...1.- That this complaint be granted in all respects. 2.- That the disbursement of two million colones made on 21 de julio de 2016 without my consent, contrary to the agreement reached with the defendant, be deducted from the debt in my name with [Nombre4] Tica. 3.- I request that Compañía [Nombre4] be ordered henceforth to provide me, whenever I request it, with account-status information concerning the line of credit in my name and other information concerning the property I provided as collateral...” (See Virtual Desktop of the Agrarian Court of the Second Judicial Circuit of the Southern Zone, Corredores, [Dirección1], file dated 06/04/2018 at 07:42:33).
4. Although that complaint was duly served, the defendant company did not answer it and was declared in default (rebeldía) by an order issued at eight hours and twenty minutes on doce de junio de dos mil dieciocho (See Virtual Desktop of the Agrarian Court of Corredores, Associated Documents, file dated 12/06/2018 at 08:20:23).
5. Judge [Nombre2] Rojas Rojas of the Agrarian Court of Corredores ruled as follows in judgment Nº 176-2018, issued at fifteen hours and twenty-nine minutes on veintiocho de setiembre del año dos mil dieciocho: “In accordance with the foregoing and with the cited laws, legal scholarship, and case law, this complaint brought by Inversiones C.O.V [Nombre1] S.A against [Nombre4] Tica S.A, represented by Mr. Mr. (sic) [Nombre5], is DENIED in all respects, without an award of costs (sic), since there are no grounds therefor. The complaint filed by Inversiones C.O.V [Nombre1] S.A against [Nombre3] is PARTIALLY GRANTED as set forth below, with any relief not expressly granted deemed denied; consequently, it is declared that: 1. The complaint is partially granted. 2. Defendant [Nombre3] is declared to have breached clauses two (2), seven (7), eleven (11), and fifteen (15) of the lease agreement executed in public deed number one hundred sixty-one, volume fourteen, dated 24 de abril de 2013, concerning a property registered with the Public Property Registry under registration number [Placa1], as described in cadastral survey plan (plano catastro) P 0833920-1989. 3.
The defendant breached clauses two (2), five (5), six (6), and nine (9) of the extension and amendment to the lease agreement made pursuant to the settlement record dated 15 de junio de 2016, which was duly notarized in public deed number forty-nine-forty by notary Jorge Zúñiga Calderón on 16 de junio de 2016. 4. The agreement contained in public deed number one hundred sixty-one, volume fourteen, dated 24 de abril de 2013, and extended and amended pursuant to the settlement record dated 15 de junio de 2016, which was duly notarized in public deed number forty-nine-forty by notary Jorge Zúñiga Calderón on 16 de junio de 2016, entered into by Inversiones C.O.V [Nombre1] S.A, corporate identification number CED7- , represented by Mr. [Nombre2] in his capacity as president of the company with the powers of a general attorney-in-fact without limitation as to amount, and Mr. [Nombre3], is declared terminated due to the contractual breach by Mr. [Nombre3] () . 5.
The plaintiff’s fifth claim is denied in light of the ruling on the preceding claim. 6. [Nombre3] is ordered to pay damages and lost profits to the plaintiff, Inversiones C.O.V [Nombre1] S.A, in an amount to be determined during enforcement of the judgment (ejecución de sentencia), for the following claimed items: DAMAGES: The cutting of and damage to the timber trees located on the leased property owned by the plaintiff. LOST PROFITS: Compensation is awarded for the economic loss caused to the plaintiff by the delay in lease payments it did not receive. 7. The plaintiff company, through its representative, Mr. [Nombre2], shall be placed in full possession of the property registered in its name with the Public Property Registry under registration number CED8, as described in cadastral survey plan P-0833920-1989, and the immediate eviction of Mr. [Nombre3] from that property is hereby ordered. 8- Co-defendant [Nombre3] is ordered to pay both categories of costs incurred in the action because judgment was entered against him...” (Virtual Desktop of the Agrarian Court of Corredores, Associated Documents, file dated 28/09/2018 at 15:29:58).
6. The plaintiff filed an appeal (recurso de apelación), expressly stating the grounds relied upon to challenge the trial court’s position (See Virtual Desktop of the Agrarian Court of the Second Judicial Circuit of Corredores, Filings Tray, file dated 29/11/2018 at 04:03:31).
7. The legal requirements have not been observed in the conduct of the proceeding, and it contains no errors or omissions capable of rendering the judgment void.
Drafted by Judge Díaz Bolaños; and, LEGAL ANALYSIS:
I.Together with the appellate brief (pliego recursivo), the defendant submits the documentary evidence appearing in images 163 to 167. At this stage, the opposing party was given an opportunity to respond (image 5 of this Court’s virtual case file in PDF format), and submitted as rebuttal evidence (contraprueba) the documents appearing in images 12 to 24 of said case file. The First Chamber of the Supreme Court of Justice, in voto 728 at 10:05 a.m. on October 4, 2007, stated the following on this subject: “Regarding evidence to aid adjudication (prueba para mejor resolver)... This Chamber has repeatedly held that evidence proposed in that capacity is, by its nature, discretionary for the adjudicator, who decides whether it is appropriate and necessary. It is a power that allows the adjudicator, during the concluding phase, to incorporate relevant evidentiary elements for the proper resolution of the dispute.
However, if such evidence is ordered, due process must be observed. In this regard, see this body’s judgment no. 203 at 2:35 p.m. on November 15, 1991. Regarding the parameters governing its application, resolution no. 268 at 4:10 p.m. on April 3, 2002, may be consulted. From this perspective, although it is permissible to incorporate entirely new evidence to aid adjudication, as well as evidence declared incapable of being taken, void, rejected as untimely or inadmissible, or related to facts deemed established due to the defendant’s default—even when ruling on appeals—(articles 331 and 575 of the civil procedural rules), the decision to obtain it is certainly strictly discretionary for the judge; therefore, it is subject to the adjudicator’s discretionary assessment, and the adjudicator may dispense with it without the need for an express ruling.” It follows from the foregoing that admitting such evidence is discretionary, provided that it is not used to create procedural imbalances.
In this matter, it is apparent that the evidence submitted by the appellant defendant supplements the evidence already included in the record. Moreover, to preserve the aforementioned procedural balance, the rebuttal evidence offered by the plaintiff may be admitted; taken as a whole, it consists of evidence already included in the case file through the ordinary process, but which was illegible and is essential to rule on the grounds of appeal. Pursuant to canon 60 of the Ley de Jurisdicción Agraria, in conjunction with provisions 593 and 594 of Código de Trabajo 9343, the indicated evidence must be admitted.
II.The findings of fact are adopted in their entirety because they are well supported by the record. The following findings of that kind are added at this stage: 14. On February 11, 2016, [Nombre2] paid the Acueducto de Agua Buena de Sierpe de Osa the sum of thirty-seven thousand colones for water service from January through February 2015, January and February 2016, and reconnection (document at folio 37 of the physical case file). 15. On November 22, 2018, the Administración Tributaria de la Municipalidad de Osa issued an administrative collection notice to the plaintiff company, reporting nonpayment from April 1, 2017, through November 22, 2018, in the amount of two hundred sixty-eight thousand five hundred nineteen colones and thirty-one céntimos (document at image 17 of the Court’s virtual case file). 16. Municipal taxes for the 2013 and 2014 period were paid on January 21, 2014; those for the 2015 period were partially paid on April 24, 2015; the balance for the 2015 and 2016 period was paid on May 10, 2016 (documentary evidence at folios 37 verso to 39 verso; fully legible on the Tribunal Agrario’s virtual desktop at images 12 to 15 in PDF format). 17.
As of June 5, 2017, the municipal taxes on the leased property had been paid (certification at image 166 of the virtual case file of the court of origin). 18. On various occasions, the dates of which were not specified, cattle, horses, and pigs were present on the property covered by the contract (document at folio 41; testimony of [Nombre6], [Nombre7], [Nombre8], [Nombre9], [Nombre10], and [Nombre11] at folios 47, 52, 54, 55, 57, and 58 of the physical case file, respectively; and judicial inspection records (actas de reconocimiento judicial) for [Dirección2]). 19. As of January 26, 2016, sections of the fences had been cut and broken, and there were signs that cattle had entered through a gate, as well as excrement throughout the property (inspection record at folio 84).
III.The list of unproven events is adopted because no evidence supporting the matters stated therein was entered into the record. The following finding of that nature is added at this stage: 4. That the defendant subleased the property. There is no evidence on this point.
IV.The judgment issued at 3:29 p.m. on September 28, 2018, appearing in images 127 to 154 of the virtual case file of the Juzgado Agrario de Corredores, is appealed. That decision partially granted the complaint; as to Palmatica Sociedad Anónima, it was dismissed without an award of legal costs (costas). As to co-defendant [Nombre3], the court found that he had breached the second, seventh, eleventh, and fifteenth clauses of the April 24, 2013 lease agreement concerning property number CED9 in the Puntarenas registry district, as well as the second, fifth, sixth, and ninth clauses of the June 16, 2016 extension and amendment of the lease agreement. It also declared those agreements terminated and ordered him to pay damages (daños y perjuicios). Regarding actual damages, it established the obligation to compensate for the cutting of and damage to timber trees; regarding lost profits, it granted compensation for the economic loss caused by the delay in receiving rental payments.
It ordered that the plaintiff be placed in possession of the property and ordered the defendant to pay all legal costs of the action. The appeal was filed by co-defendant [Nombre12] on the following grounds. He alleges a failure to assess the evidence. He cites finding of fact two and states that the court failed to assess an essential element of the lease agreement that had been submitted for consideration: the 10% increase over the agreed price. He argues that the increase is merely indicated as applying from the date the agreement was signed, but explains that the agreement is silent as to its frequency, which left him unable to defend himself. The plaintiff unilaterally imposed an annual increase on him, although the agreement admitted into evidence does not provide for one. He states that the field inspection reports prepared by [Nombre4] Tica personnel concerning the condition of the plantation, which were submitted with the complaint, were not assessed.
He asserts that those documents show that the plantation did not consist of brushland (charrales), and that the pruning, clearing around [Nombre4], and maintenance of drainage channels do not constitute grounds for breach of contract. He argues that it is contradictory to state that the drainage channels are not clean when it can be seen that, despite this, water is flowing through them without overflowing and causing the land to flood or become waterlogged. He asserts that the testimony of [Nombre6] was given “excessive” weight; although [Nombre6] was not an accredited expert witness (perito) in the proceeding, the court below took his testimony into account but disregarded the technical reports from [Nombre4] Tica. He argues that those reports are relevant to the agreement entered into with the creditor. He states that [Nombre8]’s testimony was not assessed and quotes an excerpt from it.
He cites [Nombre10], who, in his view, clearly stated in his testimony that the cattle strayed onto the property leased by the appellant. He explains that these two testimonies show that the livestock strayed onto the leased property, which is entirely different from his having exercised his contractual rights abusively. He again asserts that improper weight was given to the documentary evidence from [Nombre4] Tica concerning disbursements for payment for [Nombre4] oil-palm fruit and the check issued to the company represented by the plaintiff. He further asserts that trees were cut on the leased property, but that the judgment contains no evidence that he cut them and nevertheless treats this as a proven fact, even though the plaintiff stated that he entered the property and did not notice it. Through bad-faith conduct, as his brother [Nombre2] stated, the plaintiff has deceitfully and maliciously sought to attribute the cutting of the trees to him in order to benefit himself; he asks: Did the plaintiff prove when he saw him or how he did it?
He asserts that it was [Nombre2] who applied to MINAE for authorization to cut and harvest trees on the leased property, according to the attached document. Regarding public utilities, the plaintiff did not prove that he had paid for those services, and therefore the appellant submits the document evidencing payment of the municipal taxes. He requests that the appeal be granted and the judgment vacated for violation of due process due to the improper assessment of the testimonial and documentary evidence offered by that party; he further argues that the lease agreement did not establish the frequency of the 10% increase, and therefore the plaintiff has no right to modify it unilaterally because it is an essential element whose frequency was not provided for and should have been established by mutual consent (images 159 to 162).
V.In view of the matters appealed prior to resolving the case, it is appropriate to provide a brief account of what occurred according to the record. On 24 de abril de 2013, Inversiones C.O.V. [Nombre1] Sociedad Anónima, hereinafter referred to as [Nombre1], and [Nombre3] entered into a lease agreement (contrato de arrendamiento) concerning property number CED10 in the province of Puntarenas, which shall be called the principal agreement (folios 3 to 6 of the physical case file). This agreement was supplemented by a document entitled “conciliation record” (acta de conciliación), signed on 15 de junio de 2016 and included at folios 15 to 17 and 76 to 78 of the physical case file, and images 89 to 91 of the electronic case file of the court of origin. This supplement shall be identified as the extension of the agreement. The property was leased for the planting of oil-producing [Nombre4]. Furthermore, the defendant became a debtor of the commercial company Compañía [Nombre4] Tica Sociedad Anónima, hereinafter referred to as [Nombre4], granting a first- and second-degree mortgage (hipoteca en primer y segundo grado) over the leased property, with [Nombre1]’s consent (document at folios 7 to 13, images 108 to 112).
The complaint seeks termination of the agreement for breach (resolución del contrato por incumplimiento) (folios 44 verso to 45 verso), specifically of the clauses set forth below. Clause two of the principal agreement states: “The first party leases to the second party the property described in clause one, which shall be used exclusively for planting oil-producing [Nombre4]. Its use may not be changed without the lessor’s prior consent, which must be given in writing. The second party is aware of the condition of the property and undertakes to maintain it in the same or better condition than that in which it is received.” Clause seven concerns payment for services and was agreed as follows: “The lessee shall pay for electricity, water, telephone, and any other service that the Lessee wishes to install, including municipal taxes and any tax burden arising from the operation of the property.” Clause eleven established the lessee’s obligations as follows: “a- notify the owner of any damage suffered by the property, b- Use the property exclusively for the agreed purpose, c- Maintain the property in good condition, c- return the property to the lessor at the end of the agreement.” Lastly, clause fifteen was alleged to have been breached; it provides: “PROHIBITION ON ASSIGNMENT OR SUBLEASING: The lessee is prohibited from assigning the lease to third parties, unless otherwise agreed; the lessee is also prohibited from harvesting any species of timber trees existing on the property; in the event of sale of the real property, the lessor undertakes to notify the Lessee at least three months in advance….” (emphasis in the original).
The following provisions of the document referred to as the extension of the agreement are alleged to have been breached: “TWO. The company represented by Mr. [Nombre2] expressly authorizes [Nombre3] to make the lease payment corresponding to the period [Telf1], no later than primero de agosto del año dos mil dieciséis, together with the applicable interest. Once this date has passed, the lessor shall be free to proceed with termination of the agreement and invoke the clause established in CLAUSE SEVENTEEN….FIVE. Mr. [Nombre3] undertakes to clear a ring around all oil-producing [Nombre4] plants planted at [Dirección3] - within a maximum period of veintidós (sic) calendar days from the signing of this document, and subsequently to apply fertilizer to all the plants; [Nombre3] undertakes to notify Mr. [Nombre13] and Mr. [Nombre2] when the rings have been cleared so that this may be verified and fertilization may proceed.
SIX. As of today, an available balance of once mil doscientos sesenta y seis dólares ($11.266,00) remains under the First-Degree mortgage loan held by [Nombre3] with Compañía [Nombre4] Tica S.A.; accordingly, such funds may be used solely for fertilizer, in accordance with the creditor’s technical judgment and provided that Mr. [Nombre2] is informed… NINE. The parties undertake jointly to count all [Nombre4] plants planted at [Dirección3] - within a period of quince calendar days, with each party bearing the cost of its own laborer” (emphasis in the original). A legally certain date (fecha cierta) of 16 de junio de 2016 was affixed to this extension of the agreement (page 14 of the physical case file). The judgment under appeal found that all the cited clauses had been breached and consequently declared the agreement terminated and ordered payment of damages.
VI.The first claim concerns the finding of fact that the 10% increase in the agreement price was annual. The principal agreement contained a price-adjustment provision (reajuste de precio). The ninth provision was so entitled and states: “Under this agreement, the Lessee shall pay an increase of diez por ciento over the agreed price, effective as of primero de mayo de dos mil trece” (folio 4). The appellant argues that because the agreement does not specify the “frequency,” [Nombre1] is unilaterally setting the price. First, it must be clarified that agreements must be interpreted; to guide that interpretation, it is appropriate to cite judgment number 69 of the First Chamber of the Supreme Court of Justice, issued at 15 horas on 17 de agosto de 1994. Insofar as relevant to this case, it explained: “V.- When interpreting agreements, the judge must give precedence to their content over the designation given to them by the parties.
The rights and obligations agreed upon and governed by the agreement, followed by the principles governing performance through which those rights and obligations are implemented, must guide the interpreter in determining the proper legal characterization (calificación jurídica). In this regard, this Chamber stated in decision Nº 92, issued at quince horas quince minutos on diez de junio de mil novecientos noventa y dos: ‘V.- Contractual interpretation is appropriate when the parties’ intent is unclear, insufficient, or inconsistent with reality. In such cases, reference must be made not to the designation employed by the parties, but to the nature, characteristics, and content of what was agreed, in accordance with their common intent.’” In addition, it must be borne in mind that if the agreement is clear, interpretation is unnecessary. This basis is embodied in the principle in claris nos fit interpretatio, meaning that if the wording of the agreement is clear and leaves no doubt regarding the parties’ intent, its literal meaning must govern (on this point, reference may be made to the above-mentioned judgment of the Chamber of Cassation, number 005, issued at 14 horas 15 minutos on 24 de enero de 1997).
Moreover, the contractual agreement must be interpreted as a whole, not merely grammatically. This is done to ascertain the parties’ true intent, in addition to considering what is set forth in a document when the agreement is in writing. Recourse must be had to the acts performed by the parties, their conduct during the performance stage, and the circumstances and interrelationship among the clauses. In this case, the appellant seeks to have the principal agreement interpreted according to its grammatical meaning. However, he submitted no evidence that the price adjustment had not been applied during the years in which he had been performing the agreement, or showing how it was applied; on this point, he bears the burden of proof (carga de la prueba) pursuant to article 477 of ley 9373. For further support, and in accordance with the explanation given by the Chamber of Cassation above, the provision at issue must be read together with clauses three, four, five, six, seven, eight, and nine.
All of these concern the price and its payment. An annual payment of ¢6.000.000 was agreed, payable in advance during the first days of the month in which the property was delivered. The agreement governs circumstances in which payment is made by means other than cash, through instruments or another form of settlement. It also governs interest and the penalty applicable to late payment, as well as the place of payment. It was further agreed that, in addition to paying rent, the lessee would be required to pay municipal taxes and public utilities, among other items. The term of the lease was set at 10 years, subject to tacit renewal, and a clause subsequently entitled “price adjustment” was agreed upon. As can be seen from a comprehensive reading, the agreement is of long duration, demonstrating the parties’ intent to make adjustments to that price throughout its performance. The provision at issue mentioned a 10% adjustment to the agreed price beginning on 01 de mayo de 2013.
What it fails to specify is whether this is an annual increase; however, omission of that information does not deprive the clause of contractual force, because the intent that the price be adjusted is evident. Regarding the parameter that the appellant claims was interpreted in the judgment, it should be noted that this information is not included in the second finding of fact, which merely states: “…with an increase of 10% over the agreed price….” In the reasoning portion of the judgment, the court found that the parties had agreed to a price adjustment of 10%, without stating how often it was to be applied. It then explained that the harm consisted of receiving no rent whatsoever and therefore awarded compensation for the economic loss consisting of overdue rent that had not been received. Its quantification was deferred to the judgment-enforcement stage (etapa de ejecución de sentencia), as reflected in the operative portion (parte dispositiva).
Nevertheless, this Chamber considers it relevant, given the omission in the principal agreement, to provide the proper interpretation. An agricultural lease agreement (contrato de arrendamiento agrario) is a long-term agreement because it concerns productive assets used to establish or operate an agricultural enterprise (empresa agraria). In this matter, payment is annual; accordingly, it is deemed proportionate and reasonable for the increase to be annual, beginning with the 2013 payment. In conjunction with the foregoing reasoning, article 12 of the Civil Code provides that rules may be applied by analogy (aplicación analógica) when they do not address a specific situation but govern a similar one in which the same rationale is present, unless a rule prohibits such application. The provisions of the Civil Code governing the type of agreement under review—sections 1124 to 1195—contain no rules concerning price adjustments.
To fill the omission left by the contracting parties and apply the law in the absence of a rule, analogy is used. It is a method of legal gap-filling (integración del derecho). From the perspective of logic, it is understood “as a process of singular induction from one case to another, through which the validity of a proposition applicable to a particular situation is sought to be extended to another situation that is generically similar” (as explained by the First Chamber of the Supreme Court of Justice in judgment number 01, issued at 15 horas on 05 de enero de 1994). The other body of law governing agreements for the lease of property is the General Law on Urban and Suburban Leases (Ley general de arrendamientos urbanos y suburbanos). Specifically, section 67 states: “In residential leases, the agreed price shall be updated at the end of each year of the agreement….” As can be seen, the frequency is annual for residential leases; accordingly, under an analogous application of the rule, the increase may be annual.
Furthermore, such a period is proportionate and reasonable, considering that this is a long-term agreement and that payment of the price is likewise annual. To ensure legal certainty (seguridad jurídica) during enforcement, the clarification shall be made in the operative portion, given the omission alleged in the agreement.
VII.The second ground of appeal (agravio) concerns the condition of the plantation. Specifically, it challenges the weight given to [Nombre6]’s testimony as compared with the documentary evidence (prueba documental) issued by [Nombre4] Tica. As indicated in recital V, the leased property is intended for the cultivation of [Nombre4] oil palm. The documents at folios 65 to 72 of the physical case file include the contract and its annexes, in which the parties agree with [Nombre4] Tica to sell all [Nombre4] oil palm production from the farm covered by the contract. This entails monitoring the quality of the fruit. The documentary evidence cited in the appeal consists of forms issued by [Nombre4] Tica entitled “technical-assistance form for independent producers.” Several such forms appear in the record and will be analyzed chronologically, specifically with respect to information concerning the plantation’s current condition.
The first, number 3101, is dated 30 de diciembre de 2015; it indicated that pruning, area clearing, and clearing of the tree rings (rodajas) were 100% outstanding; the coloration of the [Nombre4] and the drainage were reported as good (folio 41 of the physical case file). On 08 de julio de 2016, form number 2905 reported that pruning was outstanding and that clearing of the area and tree rings was in progress; the coloration of the [Nombre4] was fair, and drainage was reported to be present. Plantings affected “by fruit rot and delay (sic)” were observed. Clearing the drains was recommended so that the water could flow, in order to eliminate the pooling because too much water could affect the plantation (page 40). Form number 3315 was issued on 02 de setiembre de 2016 and appears at folio 39 of the physical case file; it reports both the area and the tree rings as 100% overgrown. The coloration of the [Nombre4] was described as normal and the drainage as good.
Regarding fertilization, 100 sacks from the first cycle were observed in the storage building without having been applied; it states: “they have not been fertilized because the tree rings are completely overgrown.” Form number 3395, dated 07 de diciembre de 2016, was added at folio 75 of the physical case file; it reports that pruning and clearing of the area and tree rings were 80% complete and in progress; the coloration of the [Nombre4] was normal, and the drains had been constructed. It indicated that the producer cleared the area manually with a brush cutter and that fertilizer application was complete as of December. Form number 3177, dated 29 de diciembre de 2016, described pruning as 80% “not don (sic),” area clearing as 95% acceptable, and tree-ring clearing as good; the coloration of the [Nombre4] was normal, and the drains had been constructed. The recommendations stated: “the producer does not apply agrochemicals… the producer applied 75 sacks in 3 days 27/28/29.” The foregoing documentary evidence shows that the defendant did not continuously tend the plantation.
The evidence must be weighed as a whole in accordance with the rules of section 54 of the Agrarian Procedural Law. It should be noted that adequate care of the plantation was observed on few occasions, since it was severely neglected for certain periods, which affects the growth of the plants and the crop. This situation was reported during the judicial inspections (reconocimientos judiciales) conducted in the course of the proceedings. The first, conducted in advance to decide the interim relief (medida cautelar), took place on 26 de enero de 2017. In relevant part, it stated: “…In general, the plantation appears to be in good condition, except for some plants that appear dry and others whose leaves show black spots but are otherwise in good condition. Several drainage channels can be seen, but four of them are dirty and obstructed (sic), and standing water can be seen in part of the plantation…” (folio 84 of the physical case file).
On 09 de junio de 2017, it was reported to be in the same conditions described above. It added: “…[Nombre4] plants with black spots on their leaves can be seen, but at first glance the plantation appears to be in good condition. The land does appear somewhat more overgrown and brush-covered than on the previous occasion, and the drains remain in the same condition, without maintenance; nevertheless, the water is still flowing without overflowing and causing flooding or waterlogging of the land…” (folio 117 of the physical case file). In addition, the reports in that documentary evidence and the judicial inspections are consistent with the statements of the witness whose testimony is challenged on appeal. The witness [Nombre6] appears in image 47 of the virtual case file of the court of origin. He stated that he is an agricultural engineer and that approximately 25 years ago he was a [Nombre4] oil palm producer; he visited the plantation because the plaintiff asked him to do so as a favor.
He said that he did not recall the date of that visit and stated that he reached the following conclusions: “…I pointed out to him the condition of the drains and the development of the plants; for example, considering their size and when they had been planted, they were underdeveloped. In addition, some pruning of old leaves was needed, and because the development was very limited, the fruit would obviously be smaller and weigh less. Considerable clearing was needed; the most important thing is the tree ring, which must be kept clear, and in the case of the farm both the channels and the area needed clearing. I walked through the entire farm and and (sic) the whole area was considered, and the same conditions were observed throughout… For the drainage to work properly, it must be free of weeds, and in this case there were quite a few; the water has to flow, and during the visit I was able to determine that water was pooling.
The plants must have a clear tree ring, which is an area extending two meters around each one, and when fertilizing, if it is not clear, the fertilizer is not properly absorbed; in this particular case, the tree ring was not fully cleared. I did not see anyone working that day. I thought I heard a tractor (sic) working, but I did not see anyone. I saw an area where brush clearing (chapea) had been done with a tractor (sic), but I did not see it (sic) or anyone else. That is not recommended; logically, it should be done manually. Some plants did show signs of having been cut, and there was already fruit….” Although he did not specify the date, the problems with the drains and the condition of the tree rings are apparent. As stated, this testimony is consistent with the documentary evidence issued by [Nombre4] Tica and the judicial inspections, and it may reasonably be concluded that the plantation was not receiving the necessary care.
First, that witness emphasized the drains. The commercial company [Nombre4] even warned of the danger that the amount of water could affect the plantation (folio 40), which is sufficient to demonstrate a lack of care in this regard during performance of the contract. Added to this is the clearing of the property and the tree rings. As the witness under consideration explained, the tree ring is an area around the circumference of the [Nombre4] oil palm that must be kept free of weeds. It should be noted that the form dated 02 de setiembre 2016 recommended clearing that area before applying fertilizer because it was “completely overgrown.” It is important to emphasize that the contracting parties must comply with their obligations throughout the performance of the agreement. The agrarian lease agreement (contrato de arrendamiento agrario): “…has been defined in legal scholarship and case law as an agreement establishing, or for the establishment of, an agricultural enterprise.
It is therefore not merely the rental of property, as in civil matters, because it carries with it other obligations and elements inherent to that enterprise. The common characteristic of such agreements is that the party granting the lease and the party receiving it share common interests, because both the lessor and the lessee have an interest in the development of the agricultural enterprise and, therefore, in the care and improvement of the components of the agricultural holding being transferred. This particular purpose of agrarian agreements, insofar as they are instrumental to the agricultural enterprise, means that they are governed by their own principles, such as the principle of effectiveness, under which the agreement is explained not only by the contents of the document but also by the actual performance of the agricultural acts establishing or operating the agricultural enterprise, which shape that agreement in practice.
There is also the principle of duration, because agricultural activities, being determined by a technical fact—namely, the cultivation of plants or the raising of animals—are subject to the time periods and characteristics inherent in the cycles of nature (see, to that effect, judgments N° 73 of the First Chamber of the Supreme Court of Justice, issued at 14:30 hours on 30 de junio de 1993, and N° 75, issued at 14:15 hours on 2 de julio de 1993)” (Agrarian Court of the Second Judicial Circuit of San José, judgment number 726-f-03, issued at 16 horas 18 minutos on 31 de octubre de 2003). The particular nature of this type of agreement may be inferred from the foregoing quotation. It goes beyond the mere delivery of the property and contains, as in the present case, a series of relationships and even agreements interconnected with the lease. In the case at bar, proper care of the plantation is vitally important because inspections resulting in negative reports could lead to acceleration of the mortgage term, to which [Nombre1] and [Nombre4] Tica agreed (see the first clause at folio 9 of the physical case file).
The fruit-purchase agreement entered into by the parties could also be affected because, under that agreement, the price payable depended, first, on the quality of the fruit and, second, on satisfaction of specific conditions for its purchase, such as the time of cutting before delivery to [Nombre4], the type of fruit stalk, the fruit being clean and undamaged, its freedom from contaminants or diseases, and compliance with the specifications communicated in writing by the purchaser to the seller. This was agreed in the second clause, subsection e), appearing at folio 66 of the physical case file, which corresponds to the fruit-purchase agreement. It is understood that the repeatedly cited forms recording technical visits to the plantation constitute communications from [Nombre4] Tica to the defendant identifying technical deficiencies in the care of the [Nombre4] oil palm. Accordingly, this Chamber finds that the evidence entered into the record supports the conclusion that the property did not continuously receive proper care.
To reiterate, it is impermissible to assess the evidence only in part and note that the plantation was being tended at a particular time; what matters is the conduct displayed throughout performance of the contract. This must be so because a plantation of the kind at issue here has cumulative effects, in the sense that if it receives proper care at a given time, the impact will be seen, for example, in the quality and quantity of the oil-bearing fruit; conversely, neglect may weaken the plant and leave it vulnerable to pests or diseases that it cannot withstand. As for the drains, it was consistently stated that they had not been fully maintained and, as the [Nombre4] Tica inspector indicated, the plants and fruit could rot. This situation alone is sufficiently serious to order termination of the contract, although, as has been established, the defendant’s breach of the duty of care extends beyond this issue.
VIII.The finding concerning breach through a change in the designated use is appealed because the presence of livestock on the property was deemed proven. On this point, it is argued that no weight was given to the testimony of [Nombre8] and [Nombre10]. Those witnesses stated that the livestock present on the property on various occasions belonged to them. Regarding the former, [Nombre8] stated at image 54 of the electronic case file: “…My livestock has strayed onto [Nombre12]’s property (sic), and when they have told me that the livestock is there, I go and remove it; [Nombre12]… (sic) has not complained to me about any damage caused by the livestock to the palms; approximately fifteen head of livestock have entered the property.” For his part, [Nombre10] (frame 57 of the originating court’s virtual case file) asserted that the last time he had been on the premises was the week before giving testimony, because one of his animals was inside the property.
The foregoing establishes that the condition of the fences was not adequate to contain the animals. There is a widespread practice in the country regarding boundary systems where plantations must be protected from animals, primarily cattle. This concerns the type of fencing required and the number of strands of barbed wire needed to prevent the livestock from breaking through them easily. In addition, the posts must be spaced closer together and be sufficiently strong to prevent their destruction. In this case, the only reason animals entered the premises, absent a sublease (subarriendo), was neglect in maintaining the fences. The sublease has not been proven; what is certain is the presence of animals. As stated, this could only have resulted from the defendant’s lack of diligence and care, entailing a foreseeable risk. The presence of animals on the plantation was not limited to those two occasions; rather, it can be established that it occurred regularly.
To illustrate the foregoing, reference should be made to the technical-assistance form issued by [Nombre4] Tica on 30 de diciembre de 2015, which reported the presence of livestock (page 41 of the physical case file). The witness [Nombre14] (frame 52 of the court’s virtual case file) stated that she saw livestock during a visit; she said the property was full of livestock, although she did not know to whom they belonged. The witness [Nombre9] (image 55 of the court’s virtual case file) stated that she had seen livestock inside when they went to inspect the property. Moreover, the previously cited witness [Nombre6], at image 47 of the court’s virtual case file, stated that when he was on the premises, as mentioned in the preceding recital (considerando), he did not see livestock but did see several pigs. This situation was ongoing, since the judicial inspection (reconocimiento judicial) recorded at image 84 documented the condition of the fences, which were damaged on the southern side and appeared to have been cut.
It reported: “…On the eastern side, a gate can be seen that is easily accessible, since it opens to a width of approximately two meters, and it appeared that livestock had been entering the land through that area and moving throughout the property, since there is evidence of dung, some of it very recent, across the entire property…” It further states that a pig and a horse were observed. It notes that the adjoining land on the eastern side is pastureland where livestock were grazing (page 84 of the physical case file). The situation had not changed at the judicial inspection conducted on 09 de junio de 2017 (page 117 of the physical case file). A compact disc containing photographs was submitted with the complaint, documenting several dates and showing images of livestock. However, although the opposing party did not challenge them, they are not linked to the premises or to any objective element that would establish with certainty that they depict the property in dispute and that the livestock were within its boundaries.
Nevertheless, that circumstance does not detract from the collective weight of the remaining evidence, since the presence of animals on the plantation is undeniable and constitutes conduct contrary to the duty of care required under the contract. In this regard, Article 1140 of the Código Civil provides that when a lessee uses the property for a purpose different from its designated use, fails to use it as a prudent head of household (buen padre de familia), or causes harm to the lessor through abusive enjoyment in either respect, the lessor may request that the property be restored to its normal condition and, where the breach is serious, that the contract be terminated, with compensation for damages. In the case at bar, it is evident that the premises were not used as a prudent head of household, because the necessary precautions were not taken to prevent the presence of animals that could damage the plantation, impair its growth, eat its fruit, among other things.
This indeterminate legal concept (concepto jurídico indeterminado) must be given substantive content in each case under consideration. In matters of agrarian law, it must go beyond the traditional concept of Roman law, insofar as it requires ideal conduct that is normal and generally accepted for the care and management of entrusted property. This must be understood in the context of an agricultural enterprise (empresa agraria), specifically with regard to the skills of the agricultural entrepreneur (persona empresaria agraria). Those who manage an enterprise of this nature must possess skills and qualities beyond general knowledge. They must demonstrate knowledge of the technical aspects particular to the activity conducted. At the same time, they must be capable of dealing with the risks inherent in production cycles, such as biological risks, as well as those inherent in management and associated with risks generated by the economy and by social and political processes.
The foregoing demonstrates that the Roman-law concept of the prudent head of household has been surpassed because today, with new crop-management techniques, qualities beyond those possessed by the general population are required. This case involves an entrepreneur engaged in cultivating oil-bearing [Nombre4] fruit, which, under the contract of sale (contrato de compraventa) with [Nombre4], requires specific standards for care, pruning, land clearing, drainage management, pest control, and the application of fertilizer and various agrochemicals, as has already been stated throughout this judgment. This also applies to the previously explained boundary-division technique. In another type of agricultural activity, cleared strips may suffice to establish boundaries; however, where fences must also be capable of preventing animals such as cattle from entering, in order to minimize the risk of damage to the plantation—which could affect the quality and quantity of production—the necessary precautions must be taken to make them sturdy and to maintain them continuously, particularly where an adjoining property contains pastureland with grazing animals.
It should be noted that Article 1139 of the Código Civil governs the possibility of relieving the lessee of any liability for deterioration of the property by demonstrating that it arose from a cause beyond the lessee’s control or that the lessee exercised all required care. In this matter, as explained, the evidence concerning the condition of the fences, the findings during the judicial inspections regarding the presence of livestock tracks, together with what was detected during the [Nombre4] Tica inspection and the witness testimony, indisputably establish that the care required to prevent livestock from entering was not exercised, an essential aspect of conducting the activity undertaken pursuant to the contract. The appellant’s position is untenable in light of what has been explained and proven, and the ground of appeal (agravio) must therefore be rejected.
IX.The appellant asserts in general terms that the documentary evidence concerning disbursements for payment of the fruit and the check issued to the plaintiff company was not evaluated. The first and third paragraphs of Article 590 of the new Código de Trabajo, ley 9343, state: “The filing through which the appeal is lodged must contain, on pain of being declared inadmissible, clear and precise reasons warranting reversal of the decision, including any related claims of nullity considered relevant… In no case shall it be necessary to cite the legal provisions alleged to have been violated, but the claim must clearly state the reasons why the party considers itself adversely affected. Errors made when citing provisions shall not constitute grounds for declaring the appeal inadmissible…”. This provision applies by reference under Article 60 of the Ley de Jurisdicción Agraria and pursuant to transitory provision I of ley 9373. This rule is closely related to the Tribunal’s functional jurisdiction (competencia funcional); although the appeal is not subject to formal requirements, it is imperative that the appellant state clearly and precisely the reasons why the appealed decision should be modified. Accordingly, because the party failed to explain the reasons for disagreeing with this point, it is improper for this Tribunal to issue a ruling on that matter.
X.With regard to the trees cut down, the claimant’s bad faith (mala fe) is alleged because the company had applied for a timber-extraction permit. At this stage, the documentary evidence (probanza documental) concerning [Nombre1]’s application to extract timber from the leased property was admitted. Image 163 of the virtual case file of the court of origin contains an application from [Nombre1] addressed to the Ministry of Environment and Energy, requesting authorization to extract 34 trees in order to “inject capital into the property’s productive activities.” Also included was certificate number 088446G issued by [Nombre15], a forestry engineer, stating that [Nombre1]’s property is not forest, but rather pastureland planted with oil-producing [Nombre4] (frames 164 and 165). After the opposing party was given an opportunity to respond, administrative decision ACOSA-RFGD-011-2013-PE was submitted, ruling on [Nombre1]’s application for forest harvesting (aprovechamiento forestal).
As relevant here, the application was denied because engineer [Nombre15]’s forest inventory did not comply with Article 27 of the Ley Forestal (frame 32 of this Chamber’s virtual case file). A certificate from that professional was also submitted, stating that the harvesting plan was never implemented because the Ministry had not issued the permit (image 33 of the Court’s virtual case file). What was proven in the litigation is the damage to trees located on the property. Regarding that situation, the following was established: “…In the northeastern part of the property, near that boundary, several fallen trees can be seen, others dry and dead (4), and still others progressing toward the same condition, drying out and gradually dying because openings apparently made with a chainsaw blade are visible at their bases and, according to the claimant, herbicide was poured into them to dry them out and damage them.
There are 11 trees in this condition, including species of Zapatero, Lagartillo and aguacatillo, as well as one large and expansive Chilamate. The stumps of seven trees that were cut down can also be seen” (folio 84). As shown by the documentary evidence examined, the defendant’s argument that the felling resulted from forest harvesting by the claimant has been disproven. In addition to being false, that argument is tainted by both contractual and procedural bad faith. From the information obtained during the judicial inspection (reconocimiento judicial), it may be concluded that a significant number of trees were cut down, without the temporary possessor proving any grounds for relieving it of responsibility. Reference was made supra to Article 1139 of the Civil Code, under which it could be exempted from liability for the deterioration, loss, and damage to the cited forest resources if it proved that this resulted from an external cause or that it had employed means to ensure their care.
It is reasonable to conclude from the remains of stumps and the marks made by a sharp object at the trees’ bases that the destruction and felling of that number of trees were carried out gradually. Furthermore, on a property requiring constant care, it is unacceptable for the defendant not to know who caused the damage or to have no knowledge of that situation. Responsibility for caring for the forest resources rested with it as the indirect possessor (poseedor mediato) under the lease agreement, which implicitly entails the duty to care for the property, as explained in the preceding sections. Moreover, there is no evidence of any action aimed at stopping the damage to the trees, filing complaints, or initiating judicial or administrative proceedings to identify those responsible. Nor is there evidence of measures taken to save the species, if technically possible. In addition, clause 11 of the principal agreement established the tenant’s obligations to notify the owner of any damage sustained by the property.
It was also agreed that no forest resources would be extracted. However, compliance with that obligation was not proven either, thereby adding another ground for terminating the agreement. There is no evidence relieving it of liability and, as a result, it must pay for that damage, as ordered in the judgment under appeal.
XI.Lastly, it challenges the judgment’s ruling concerning the payment of municipal taxes. Clause 7 of the principal agreement established that the tenant would be responsible for paying for services, including basic utilities such as electricity, water, and telephone, as well as municipal taxes and any tax burden resulting from the operation of the property. In the case under review (subexámine), it was proven that [Nombre2], the legal representative of [Nombre1], paid the Acueducto de Agua Buena de Sierpe de Osa on 11 de febrero de 2016 the sum of thirty-seven thousand colones for water service for January and February 2015, January and February 2016, and reconnection, as shown by the document at folio 37 of the physical case file. On 22 de noviembre de 2018, the Tax Administration of the Municipalidad de Osa issued an administrative collection notice (aviso de cobro administrativo) to the claimant company, indicating nonpayment from primero de abril de 2017 through 22 de noviembre de 2018, in the amount of two hundred sixty-eight thousand five hundred nineteen colones and thirty-one céntimos, according to the evidence at image 17 of the Court’s virtual case file.
The municipal taxes for the 2013 and 2014 periods were paid on 21 de enero de 2014; those for the 2015 period were partially paid on 24 de abril de 2015; and the remainder for the 2015 and 2016 periods was paid on 10 de mayo de 2016, according to the documentary evidence at folios 37 verso through 39 verso, which is fully legible in the Agrarian Court’s virtual desktop at images 12 through 15 in PDF format. As of cinco de junio de 2017, the municipal taxes on the leased property had been paid, as shown by the certificate at image 166 of the virtual case file of the court of origin. As can be seen, the appellant is partly correct in asserting that the taxes were current. Nevertheless, there is no factual basis for establishing that it was the party that paid them. It is evident that the assumed obligation was not performed on time because, as the foregoing account shows, an administrative collection proceeding was initiated.
It bore the burden of proof (carga de la prueba) to establish that it was the party that paid as agreed, but it is concluded that it failed to do so. Another important point, already mentioned in the preceding considerations, is that compliance with the agreement must be maintained throughout its performance. It is not enough for the disputed situation to be remedied by the time the matter is decided, since that would be contrary to contractual good faith. The conduct maintained during performance of the agreement must benefit the interests of the contracting parties, who must act in the most appropriate and honest manner in view of the agreement’s actual circumstances. Payment of municipal taxes was not merely a matter of tax liability; it also affected the credit agreement because that omission provided grounds for acceleration (decaimiento del plazo), which was fundamentally harmful to the property owner, who consented to the encumbrance and thereby to the potential impairment of its assets in the event of a public auction. Accordingly, the judgment must be affirmed as to the matters appealed, on the grounds and for the reasons stated at this stage.
POR TANTO:
The documentary evidence offered by the parties to assist in reaching a decision is admitted. As to the matters appealed, the judgment rendered at fifteen hours and twenty-nine minutes on veintiocho de setiembre de dos mil dieciocho is affirmed. Point 9 is added as follows: For purposes of setting the amount of the unpaid rent referred to in point six—damages—the price shall be understood to increase by ten percent annually based on the agreed price.

VOTO N° 000229-F-2019 TRIBUNAL AGRARIO. SEGUNDO CIRCUITO JUDICIAL DE SAN JOSÉ.- A las dieciséis horas y cincuenta y ocho minutos del cuatro de abril de dos mil diecinueve.
PROCESO ORDINARIO establecido por INVERSIONES C.O.V [Nombre1] SOCIEDAD ANÓNIMA, cédula jurídica número CED1 - - , representado por su presidente con facultades de apoderado generalísimo sin límite de suma [Nombre2] , mayor, soltero, comerciante, vecino de Pérez Zeledón, cédula de identidad número CED2 - - ; contra [Nombre3] , mayor, casado, comerciante, vecino de Pérez Zeledón, cédula de identidad número CED3 - - ; y COMPAÑÍA [Nombre4] TICA SOCIEDAD ANÓNIMA, cédula jurídica CED4 - - , representado por su presidente con facultades de apoderado generalísimo sin límite de suma [Nombre5] , cédula de identidad número CED5 - - . Actúa como defensora pública de la parte actora la licenciada Laura Beita Benavente; como abogado director de la parte demandada el letrado Mario Villegas García, colegiado mil setecientos treinta y dos. Tramitado ante el Juzgado Agrario del Segundo Circuito Judicial de la Zona Sur, con sede en Corredores.
RESULTANDO:
1. La parte actora Inversiones C.O.V. [Nombre1] Sociedad Anónima formuló el presente proceso ordinario estimado en la suma de diez millones y solicita en sentencia se declare lo siguiente: "... 1. Se declare con lugar la presente demanda ordinaria en todos sus extremos. 2. Se declare que el accionado ha incumplido con las cláusulas segunda (2), sétima (7), décima primera (11) y décima quinta (15), del contrato de arriendo suscrito en la escritura pública número ciento sesenta y uno tomo catorce, de fecha de 24 de abril de 2013, esto sobre una finca inscrita ante el Registro Público de la Propiedad, bajo matrícula número CED6- . 3. Que también existe incumplimiento por parte del demandado de las cláusulas segunda (2), quinta (5), sexta (6) y novena (9) de la ampliación y modificación al contrato de arriendo realizada según acta de conciliación de fecha 15 de junio de 2016, la cual fue debidamente protocolizada en la escritura pública número cuarenta y nueve cuarenta del notario Jorge Zúñiga Calderón, en fecha 16 de junio de 2016. 4.
A raíz del incumplimiento dado por el accionado, se proceda a declarar la resolución del contrato hecho en la escritura pública número ciento sesenta y uno, tomo catorce, de fecha 24 de abril de 2013 y ampliado y modificado según acta de conciliación de fecha 15 de junio de 2016, la cual fue debidamente protocolizada en la escritura pública número cuarenta y nueve – cuarenta. 5. Como consecuencia del incumplimiento, se proceda conforme lo establece la cláusula penal señalada en la cláusula décima sétima. 6. Deberá el resistente indemnizar al pago de daños y perjuicios, con ocasión a la resolución del presente contrato, con los intereses debidamente indexados. Daño Moral: El suscrito me he visto afectado emocionalmente por el actuar del demandado. Su incumplimiento al contrato que suscribimos ha hecho que mi estado de ánimo se vea afectado. No he podido dormir a causa de ésta situación, me encuentro muy estresado, triste, angustiado, deprimido, pensando en que puedo perder mi finca por el actuar de mala fe del demandado.
Incluso al ser el resistente hermano mío más indignación me ha hecho pasar cuanto se ha creado un conflicto familiar, generando una terrible depresión por este asunto. He tenido que acudir a citas médicas con un neurólogo a causa del insomnio y los fuertes dolores de cabeza que he tenido por todo éste problema. Estimo este daño en la suma de cinco millones de colones. Daño Material: La finca ha estado en completo abandono, encharralada, la [Nombre4] se encuentra en estado de retraso. El demandado ha utilizado el terreno para arriendo de ganado, aspecto que acordamos únicamente iba a ser destinada a [Nombre4] africana. Cortó y quemó alrededor de unos cincuenta árboles que existían en el terreno y que acordamos se iban a mantener. Éstos árboles eran de la especie amarillón, zapatero, chilamate, cedros, entre otros. Además he tenido que realizar los pagos de servicios básicos producto del incumplimiento del accionado.
Este daño lo estimo en la suma de quince millones de colones, sin perjuicio de que la prueba indique un monto mayor. Perjuicios: El atraso de los arriendos que debe de cancelarme el accionado, ha hecho que tenga una gran pérdida económica para desarrollar otras actividades, tales como: desarrollo y mantenimiento de unos lotes que tengo y que tenía planeado invertir para una futura venta. El perjuicio lo estimo en la suma de nueve millones de colones. 7. Que se proceda a ponerme en perfecta posesión del fundo y a su vez se ordene el desalojo del accionado. 8. Se condene al accionado al pago de las costas procesales y personales, con ocasión a esta demanda..." (ver demanda a folios 42 al 48 expediente físico).
2. La parte demandada fue debidamente notificada de la demanda, contestando negativamente la misma, sin oponer excepciones (ver folios 56 al 64 expediente físico).
3. El Juzgado Agrario del Segundo Circuito Judicial de la Zona Sur, Corredores, mediante resolución de las catorce horas y treinta y tres minutos del diecinueve de marzo de dos mil dieciocho, ordenó a la demandante que integre a la litis a [Nombre4] Tica Sociedad Anónima, contra quien realiza las siguientes pretensiones: “…1.- Se declare con lugar la presente demanda en todos sus extremos. 2.- Se rebaje de la deuda a mi nombre en [Nombre4] Tica el desembolso por la suma de dos millones de colones efectuados el día 21 de julio de 2016, el cual se hizo sin mi consentimiento conforme el acuerdo pactado con la demandada. 3.- Solicito se le ordene a la Compañía [Nombre4] , que en adelante se me brinde información de estado de cuenta de la línea de crédito a mi nombre, y que demás información sobre la finca que tengo como garantía, en el momento que lo requiera…” (Ver Escritorio Virtual del Juzgado Agrario del Segundo Circuito Judicial de la Zona Sur, Corredores, [Dirección1] , archivo del 06/04/2018 de las 07:42:33).
4. Dicha demanda a pesar de estar debidamente notificada, no fue contestada por la Compañía accionada y se le declaró rebelde mediante resolución ocho horas y veinte minutos del doce de junio de dos mil dieciocho (Ver Escritorio Virtual del Juzgado Agrario de Corredores, Documentos Asociados, archivo del 12/06/2018 de las 08:20:23).
5. El Juez [Nombre2] Rojas Rojas, del Juzgado Agrario de Corredores, mediante la sentencia Nº 176-2018 de las quince horas veintinueve minutos del veintiocho de setiembre del año dos mil dieciocho, resolvió: “De conformidad con lo expuesto, normativa, doctrina y jurisprudencia de cita, se declara SIN LUGAR en todos sus extremos la presente demanda establecida por la demanda de Inversiones C.O.V [Nombre1] S.A contra [Nombre4] Tica S.A, representada por el señor el señor (sic) [Nombre5] , sin condenatoria costas (sic) toda vez que no existe merito para ello. Se ACOGE PARCIALMENTE la demanda planteada por Inversiones C.O.V [Nombre1] S.A contra [Nombre3] , en la forma que se dirá, entendiéndose por denegado lo que no se conceda expresamente, consecuentemente se declara: 1. Se Acoge parcialmente la demanda. 2. Se declara que el accionado [Nombre3] ha incumplido con las cláusulas segunda (2), sétima (7), décima primera (11) y décima quinta (15), del contrato de arriendo suscrito en la escritura pública número ciento sesenta y uno tomo catorce, de fecha de 24 de abril de 2013, esto sobre una finca inscrita ante el Registro Público de la Propiedad, bajo matrícula número [Placa1], descrita en el plano catastro P 0833920-1989. 3.
Que el accionado incumplió las cláusulas segunda (2), quinta (5), sexta (6) y novena (9) de la ampliación y modificación al contrato de arriendo realizada según acta de conciliación de fecha 15 de junio de 2016, la cual fue debidamente protocolizada en la escritura pública número cuarenta y nueve-cuarenta del notario Jorge Zúñiga Calderón, en fecha 16 de junio de 2016. 4. Se declara la resolución del contrato realizado en la escritura pública número ciento sesenta y uno, tomo catorce, de fecha 24 de abril de 2013 y ampliado y modificado según acta de conciliación de fecha 15 de junio de 2016, la cual fue debidamente protocolizada en la escritura pública número cuarenta y nueve - cuarenta del notario Jorge Zúñiga Calderón, en fecha 16 de junio de 2016, suscrito por Inversiones C.O.V [Nombre1] S.A, cédula jurídica CED7- representada por el señor [Nombre2] en su condición de presidente con facultades de Apoderado Generalísimo sin límite de suma de la Sociedad y el señor [Nombre3] , por incumplimiento contractual declarado por parte del señor [Nombre3] () . 5.
Se rechaza la pretensión quinta realizada por la accionante dado lo resuelto en la anterior pretensión. 6. Se condena a [Nombre3] al pago de los daños y perjuicios a favor de la parte actora Inversiones C.O.V [Nombre1] S.A, suma que deberán ser determinadas en ejecución de sentencia, sobre los siguientes extremos pretendidos por concepto de DAÑOS: La corta y daños de los árboles maderables existentes en la finca arrendada propiedad de la accionante. PERJUICIOS: Se acoge el pago de indemnización por pérdida económica causados a la accionante por el atraso de los arriendos dejados de percibir. 7. Procedase a poner en perfecta posesión a la Sociedad accionante por medio de su representante el señor [Nombre2] la finca inscrita ante el Registro Público de la Propiedad, bajo matrícula número CED8, descrita en el plano catastro P-0833920-1989 inscrita a su nombre, y a su vez se ordena el desalojo inmediato del señor [Nombre3] , de dicha finca. 8- Se condena al codemandado [Nombre3] al pago de ambas costas de la demanda por resultar vencido…" (Escritorio Virtual del Juzgado Agrario de Corredores, Documentos Asociados, archivo del 28/09/2018 de las 15:29:58).
6. El actor, interpuso recurso de apelación con indicación expresa de las razones en que se apoyaron para refutar la tesis del juzgado de instancia, (Ver Escritorio Virtual del Juzgado Agrario del Segundo Circuito Judicial de Corredores, Bandeja de Escritos, archivo del 29/11/2018 de las 04:03:31).
7. En la substanciación del proceso no se han observado las prescripciones legales, y carece de errores u omisiones capaces de producir la nulidad del fallo.
Redacta la jueza Díaz Bolaños; y,
CONSIDERANDO:
I.La parte demandada junto con el pliego recursivo aporta la documental visible en imágenes 163 a 167. En esta instancia se concedió audiencia a la contraria (imagen 5 del expediente virtual de este Tribunal en modo PDF), quien aportó como contraprueba los documentos visibles 12 a 24 del citado expediente. La Sala Primera de la Corte Suprema de Justicia en voto 728 de las 10 horas 5 minutos del 4 de octubre de 2007, señaló sobre este tema lo siguiente: "Sobre la prueba para mejor resolver... Esta Sala ha reiterado que la prueba propuesta en esa condición, por su naturaleza, es discrecional para el juzgador, quien decide su conveniencia y necesidad. Se trata de una facultad que le permite incorporar, en la fase conclusiva, elementos demostrativos relevantes para la correcta decisión del conflicto. Pero si la ordena, debe respetarse el debido proceso. En relación, de este órgano, véase sentencia no. 203 de las 14 horas 35 minutos del 15 de noviembre de 1991.
Sobre los parámetros que determinan su aplicación, puede consultarse la resolución no. 268 de las 16 horas 10 minutos del 3 de abril del 2002. Desde esta perspectiva, si bien se permite incorporar para mejor resolver probanzas totalmente nuevas, así como aquellas que fueron declaradas inevacuables, nulas, rechazadas por extemporáneas o inadmisibles, o bien relacionadas a hechos que se tuvieron por ciertos ante la rebeldía del accionado -incluso al resolver apelaciones- (artículos 331 y 575 de la normativa procesal civil), ciertamente, la decisión de recabarla es estrictamente facultativa para el juez, ergo, corresponde a una valoración discrecional del juzgador, quien puede prescindir de ella sin necesidad de resolución expresa". De lo anterior se comprende la admisión de tal probanza es facultativa; siendo menester no se emplee para crear situaciones de desequilibrio procesal. En este asunto, se denota las probanzas aportadas por la demandada apelante son complementarias de las ya agregadas en autos.
Por otra parte, en aras de mantener el equilibrio procesal ya citado, es dable admitir la contraprueba ofrecida por la actora; en conjunto aporta probanzas ya incluidas en el expediente de manera ordinaria, pero que no eran legibles y resultan esenciales para resolver agravios del recurso. De conformidad con el canon 60 de la Ley de Jurisdicción Agraria, relacionado con los ordinales 593 y 594 ambos del Código de Trabajo 9343 se deberán admitir las probanzas indicadas.
II.Se comparte el conjunto de hechos probados por tener buen sustento en los autos. De tal linaje se incluyen en esta instancia: 14. [Nombre2] pagó al Acueducto de Agua Buena de Sierpe de Osa el 11 de febrero de 2016 la suma de treinta y siete mil colones por servicio de agua de enero a febrero del 2015; enero y febrero del 2016 y reinstalación (documento de folio 37 expediente físico). 15. El 22 de noviembre de 2018 se emitió un aviso de cobro administrativo a la empresa actora por parte de la Administración Tributaria de la Municipalidad de Osa, donde se da cuenta a la ausencia de pago del primero de abril de 2017 hasta el 22 de noviembre de 2018, por la suma doscientos sesenta y ocho mil quinientos diecinueve colones con treinta y un céntimos (documento de imagen 17 del expediente virtual del Tribunal). 16. Los impuestos municipales del periodo 2013 y 2014 fueron cancelados el 21 de enero de 2014; los de la fase 2015 fueron pagados parcialmente el 24 de abril de 2015; el resto del lapso 2015 y 2016 fueron honrados el 10 de mayo de 2016 (documental en fojas 37 vuelto a 39 vuelto; legible en su totalidad en escritorio virtual del Tribunal Agrario en imágenes 12 a 15 en modo PDF). 17.
Para el cinco de junio de 2017 los impuestos municipales sobre la finca arrendada se encontraban pagados (certificación de imagen 166 del expediente virtual del juzgado de origen). 18. En el bien objeto de contrato en diversas oportunidades sin precisar fecha, se encuentra ganado vacuno, caballos, cerdos (documento de folio 41, declaración de [Nombre6] , [Nombre7] , [Nombre8] , [Nombre9] ; [Nombre10] , [Nombre11] en folios 47, 52, 54, 55, 57, 58 del expediente físico respectivamente; y actas de reconocimiento judicial de [Dirección2] ). 19. Para el 26 de enero de 2016 las cercas estaban en sectores cortadas y rotos, y había rastros por un portillo de ingreso de ganado así como excretas por todo la finca (acta de reconocimiento de folio 84).
III.El sílabo de eventos indemostrados se prohíjan por cuanto no se arribaron a los autos probanzas de lo ahí indicado. De tal naturaleza se agrega en esta instancia: 4. Que el demandado subarrendara la finca. No hay probanzas sobre tal extremo.
IV.Se apela la sentencia de las 15 horas 29 minutos del 28 de setiembre de 2018 visible en imágenes 127 a 154 del expediente virtual del Juzgado Agrario de Corredores. En tal decisión se acogió parcialmente la demanda; respecto a Palmatica Sociedad Anónima fue declarada sin lugar y sin condenatoria en costas. Respecto al codemandado [Nombre3] lo declaró incumpliente de las cláusulas segunda, sétima, décima primera, décima quinta del contrato de arriendo del 24 de abril de 2013 sobre la finca del partido de Puntarenas número CED9; así como las segunda, quinta, sexta y novena de la ampliación y modificación del contrato de arriendo del 16 de junio de 2016. Además, declaró la resolución de tales; lo condenó al pago de daños y perjuicios. Sobre el primer extremo se fijó la obligación de indemnizar la corta y daños de los árboles maderables; respecto a los perjuicios acogió la indemnización por la pérdida económica causados por el retraso de los arriendos dejados de percibir.
Ordenó poner al actor en posesión de la finca y condenó al pago de ambas costas de la demanda. El recurso es interpuesto por el codemandado [Nombre12] por los siguientes motivos. Acusa la omisión en la valoración de la prueba. Cita el hecho probado dos, indica el incremento del 10% sobre el precio pactado, omitió valorar ese elemento esencial en el contrato de arrendamiento que fue sometido a ponderación. Ese incremento aduce, es solo indicativo a partir de la fecha de suscripción del convenio, pero explica es omiso en su periodicidad, lo cual lo dejó en indefensión. Se le pone un incremento anual en forma unilateral por el accionado lo cual no está contemplado en el convenio como prueba. Indica no se valoró los informes de inspección de campo de los funcionarios de [Nombre4] Tica sobre el estado de la plantación, los cuales se aportaron en la demanda. En tales documentos, afirma se verá que la plantación no eran charrales y la poda, rodaja de [Nombre4] y mantenimiento de drenajes no son causas de incumplimiento del contrato.
Esa situación es contradictoria al indicar que los drenajes no están limpios, pero se observa a pesar de esto el agua está corriendo sin salirse y provocar inundación o anegación del terreno. Manifiesta, se “hiper” valoró el testimonio de [Nombre6] , sin ser perito acreditado en ese proceso, el a quo tomó en cuenta su testimonio y no así los informes técnicos de [Nombre4] Tica. Aduce, estos son relevantes en el contrato suscrito con la acreedora. Indica, no se valoró la declaración de [Nombre8] y extracta un segmento. Cita a [Nombre10] el cual a su entender fue claro en su declaración que el ganado se pasaba a la finca arrendada por el apelante. Con esos dos testimonios explica, los semovientes se pasaban a la finca arrendada, que es totalmente diferente a que él hiciera un ejercicio abusivo del contrato. Nuevamente señala hay una indebida ponderación de la documental de [Nombre4] Tica que corresponde al pago de los desembolsos por pago de fruta de [Nombre4] aceitera y el cheque girado a la sociedad representada por la actora.
Por otra parte, afirma, que existen árboles cortados en la finca arrendada, pero la sentencia no tiene prueba, que él lo hacía y se toma como un hecho probado aunque el actor indicó que él ingresaba a la finca y de eso no se daba cuenta. El accionante, con su actuar de mala fe, tal como lo mencionó su hermano [Nombre2] , mediante engaño y en forma maliciosa ha querido atribuirle para sacar provecho a su favor que ha cortado los árboles; se cuestiona: acaso demostró cuando lo vio, cómo lo hizo. Afirma fue el citado [Nombre2] quien gestionó ante el MINAE la corta y aprovechamiento de árboles en la finca arrendada, según documento adjunto. Respecto a los servicios públicos no demostró el actor que haya cancelado tales servicios, por lo cual aporta el documento de pago de los tributos municipales. Pide se acoja el recurso, se anule la sentencia por violación al debido proceso por indebida apreciación de la prueba testimonial, documental ofrecida por esa parte, y el contrato de arrendamiento el incremento del 10% no determinó el plazo que el accionado por lo que carece de derecho de modificarlo en forma unilateral porque es un elemento esencial el cual no se contempló su periodicidad, debió establecerse de manera consensual (imágenes 159 a 162).
V.Debido a lo apelado previo a la resolución del asunto, es oportuno hacer una breve reseña de lo acontecido según los autos. Entre la sociedad Inversiones C.O.V. [Nombre1] Sociedad Anónima, en lo sucesivo denominado [Nombre1] y [Nombre3] se suscribió un contrato de arrendamiento sobre la finca del partido de Puntarenas número CED10 el 24 de abril de 2013 el cual se llamará convenio principal (folios 3 a 6 del expediente físico). Este acuerdo fue adicionado en un documento denominado “acta de conciliación” rubricado el 15 de junio de 2016 agregado en folios 15 a 17; 76 a 78 del expediente físico; e imágenes 89 a 91 del expediente electrónico del juzgado de origen. Se identificará esta adición como ampliación del contrato. El arrendamiento del predio era para destinarla a la siembra de [Nombre4] aceitera. Por otra parte, el demandado se constituyó en deudor de la mercantil Compañía [Nombre4] Tica Sociedad Anónima, llamada sucesivamente como [Nombre4] , concediendo en hipoteca en primer y segundo grado el inmueble arrendado, con el consentimiento de [Nombre1] (documento de folio 7 a 13, imágenes 108 a 112).
En la demanda se pide la resolución del contrato por incumplimiento (fojas 44 vuelto a 45 vuelto), específicamente de las cláusulas que de seguido se indican. Del convenio principal la segunda: “Que el primero arrienda al segundo la finca descrita en la cláusula primera, y que se destinará exclusivamente a la siembra de [Nombre4] aceitera. No podrá ser cambiado su destino sin el consentimiento previo del arrendante, consentimiento el cual deberá ser otorgado por escrito. Que el segundo es conocedor del estado de la finca y se compromete a conservarla en las misma o mejores condiciones que como la recibe”. La sétima concierne al pago de servicios y fue pactada así: “El arrendatario pagará los servicios de electricidad, agua, teléfono, y cualquier otro servicio que el Arrendatario desee instalar, incluidos los impuestos municipales y cualquier carga tributaria como consecuencia de la explotación de la finca”.
En el punto once se pactaron las obligaciones del arrendatario de la siguiente manera: “a- avisar al propietario de cualquier daño que sufre la finca, b- Servirse de la cosa exclusivamente para el destino pactado, c- Conservar la finca en buen estado, c- restituir la finca al arrendador al final del contrato”. Por último, fue invocada como incumplida la quinceava, la cual indica: “PROHIBICION DE CEDER O SUBARRENDAR: El arrendatario tiene prohibición de ceder el arriendo a terceras personas, salvo pacto en contrario, también queda prohibido para el arrendatario, la explotación de cualquier especie de árboles maderables que existan en la finca, en caso de venta del inmueble, la parte arrendante se obliga a avisar al Arrendatario con un mínimo de tres meses de anticipación….” (lo destacado es del texto original). Del denominado ampliación del contrato se reclaman incumplidos los siguientes acápites: “DOS.
La sociedad representada por el señor [Nombre2] autoriza expresamente a [Nombre3], para que realice el pago del arrendamiento, correspondiente al periodo [Telf1], a más tardar el día primero de agosto del año dos mil dieciséis, con sus respectivos intereses. Vencida esta fecha el arrendador queda en libertad de proceder a la resolución del contrato y activar la cláusula que se establece en la CLAUSULA DECIMA SETIMA….CINCO. El señor [Nombre3] se compromete a realizar la rodaja de todas las matas de [Nombre4] aceitera, sembradas en la [Dirección3] - , en un plazo máximo de veintidós (sic) naturales a partir de la firma de este documento; para posteriormente aplicar el fertilizante en todas las matas, [Nombre3] se compromete a informar al Sr. [Nombre13] y a don [Nombre2], cuando haya realizado las rodajas, para verificarlo y proceder con la fertilización. SEIS. Al día de hoy, existe un saldo disponible de once mil doscientos sesenta y seis dólares ($11.266,00) en el crédito hipotecario de Primer Grado que posee [Nombre3] con Compañía [Nombre4] Tica S.A.; razón por la cual, podrá hacer uso de dicho dinero únicamente para fertilizante, de acuerdo al criterio técnico de la acreedora y siempre y cuando se le informe a don [Nombre2]…
NUEVE. Las partes se comprometen a realizar en conjunto, en un plazo de quince días naturales un conteo de todas las matas de [Nombre4] sembradas en la [Dirección3] - , para lo cual cada parte asumirá el costo de su peón” (lo destacado es del texto original). A esta ampliación del contrato se le puso fecha cierta el 16 de junio de 2016 (página 14 del expediente físico). En la sentencia apelada, se tienen por incumplidas todas las cláusulas citadas, con lo cual declaró resuelto y el pago de los daños y perjuicios.
VI.El primer reclamo se vincula con lo tenido por demostrado que el incremento del 10% sobre el precio del contrato era anual. En el convenio principal se convino sobre el reajuste de precio. De esa manera se tituló el acápite noveno e indica: “Por el presente contrato, el Arrendatario pagará un aumento de un diez por ciento sobre el precio pactado y que regirá a partir del día primero de mayo de dos mil trece” (foja 4). Agravia el recurrente al no indicar “periodicidad” en lo acordado, [Nombre1] está unilateralmente fijando el precio. En primer orden se debe aclarar los contratos deben ser interpretados, para orientar la manera de hacerlo es preciso citar la sentencia número 69 de la Sala Primera de la Corte Suprema de Justicia de las 15 horas del 17 de agosto de 1994. En lo de interés para el asunto se explicó: “V.- En la interpretación de los contratos, el juez debe conferir preeminencia a su contenido sobre la denominación dada a este por las partes.
Los derechos y obligaciones acordados y regulados en el convenio, y posteriormente los principios de ejecución en los cuales aquéllos se encausan, deben orientar al intérprete en la obtención de su adecuada calificación jurídica. Al respecto, esta Sala, en resolución Nº 92 de las quince horas quince minutos del diez de junio de mil novecientos noventa y dos, dijo: "V.- La interpretación contractual cabe cuando la voluntad de las partes es oscura, insuficiente o no se adecua a la realidad. En tales casos, es necesario remitirse no a la denominación empleada por las partes sino a la naturaleza, características y al contenido de lo pactado conforme a la intención común de las mismas". Sumado a lo anterior se debe tener presente, si el contrato es claro no es necesaria su interpretación. Tal base se recoge en el principio in claris nos fit interpretatio, lo cual expresa, si la letra contractual es clara y no deja duda sobre la intención de los contratantes, ha de estarse a su sentido literal (en este punto se puede consultar la sentencia de la Sala de Casación arriba mencionada, número 005 de las 14 horas 15 minutos del 24 de enero de 1997).
Sumado a lo anterior, el acuerdo contractual se debe interpretar de manera global, no solo de manera gramatical. Lo anterior en aras de desentrañar el verdadero sentido de las partes, además de observar lo plasmado en un documento cuando sean escritos. Se debe recurrir a los actos desplegados por las partes, su conducta en la etapa de ejecución, observando las circunstancias e interconexión del clausulado. En este caso quien recurre, pretende se interprete el convenio principal en su sentido gramatical. Empero, no aportó probanzas, que durante los años que llevaba ejecutando el contrato no se aplicara el reajuste del precio, o bien de qué manera se empleó, en este punto tiene la carga de la prueba de conformidad al artículo 477 de la ley 9373. A mayor abundamiento de razones, y atendiendo a lo explicado por la Sala de Casación en líneas anteriores, el acápite en mención se debe integrar con las cláusulas tercera, cuarta, quinta, sexta, sétima, octava y novena.
Todas éstas conciernen al precio y su pago. Se acordó el pago de ¢6.000.000 anuales, por adelantado los primeros días del mes en que se entrega la heredad. Se regula los supuestos al pago diferente al metálico, mediante títulos u otra forma de cancelación. En el caso de cancelación en fecha posterior los intereses y la sanción; así como el lugar. También se pactó, además del pago del alquiler la obligación del honrar los impuestos municipales, servicios públicos, entre otros. El plazo del arrendamiento se fijó en 10 años prorrogables de forma tácita, y posteriormente se pactó una cláusula que se tituló: “reajuste de precios”. Como se observa de la lectura integral lo convenido es de larga duración, por lo que hay voluntad de las partes de realizar a lo extenso de la ejecución del convenio ajustes a ese precio. En el acápite en discusión se mencionó un 10% sobre el precio pactado y a partir del 01 de mayo de 2013.
En lo que resulta omiso, es si se trata de un incremento anual, porque el hecho que se prescindiera ese dato, no permite quitarla la fuerza contractual a la cláusula, dado es evidente la voluntad el precio se reajuste. Sobre el parámetro que dice el apelante es interpretado en la sentencia, debe de mencionarse que esa información no se incluye en el hecho segundo pues únicamente se indica: “…con un aumento del 10% sobre el precio pactado…”. En el aparte de la sentencia considerativa, se razonó existe pacto del reajuste del precio del 10% sin señalar cada cuánto se debía aplicar. De seguido explica se constituye el perjuicio por no recibir renta alguna, por lo que acogió la indemnización por la pérdida económica consistente en los atrasos de los arriendos dejados de percibir. Dejó para etapa de ejecución de sentencia su determinación, y así se refleja en la parte dispositiva. Empero, estima esta Cámara es relevante, dada la omisión en el convenio principal, hacer la interpretación adecuada.
El contrato de arrendamiento agrario es un acuerdo de larga duración, pues resulta objeto de contrato bienes productivos para la constitución o el ejercicio de la empresa agraria. En este asunto el pago es anual, razón por la cual se estima es proporcional y razonable que el incremento sea anual, a partir del pago de 2013. En conjunto de lo razonado, el artículo 12 del Código Civil, estatuye que procederá la aplicación analógica de las normas cuando éstas no contemplen un supuesto específico, pero regulen otro semejante en el que se aprecie identidad de razón, salvo cuando alguna norma prohíba esa aplicación. En la especie contractual analizada, en las regulaciones del Código Civil -ordinales 1124 a 1195- no se encuentran normas concernientes al ajuste del precio. Para llenar la omisión de las personas contratantes, y aplicar el Derecho, ante la inexistencia de norma se emplea la analogía.
Esta consiste en un procedimiento de integración del derecho. La cual es entendida desde la perspectiva de la lógica, “como un procedimiento de inducción singular de un caso a otro, por medio del cual se busca extender la validez de una proposición de una determinada situación a otra genéricamente similar” (explicado por la Sala Primera de la Corte Suprema de Justicia, sentencia número 01 de las 15 horas del 05 de enero de 1994). El otro cuerpo normativo que regula el contrato de arrendamiento de bienes es la Ley general de arrendamientos urbanos y suburbanos. Específicamente el numeral 67 señala: “En los arrendamientos para vivienda, el precio convenido se actualizará al final de cada año del contrato…”. Como se observa la periodicidad es anual en arrendamientos habitacionales, razón por la cual se estima, aplicada analógicamente la norma, es dable el incremento sea anual; sumado a que es proporcional y razonable sea en ese tiempo considerando es un contrato de larga duración y el pago del precio también es anual. En aras de crear seguridad jurídica al momento de la ejecución, procederá hacer la aclaración en la parte dispositiva, dado el vacío reclamado en el contrato.
VII.El segundo agravio concierne al estado de la plantación. Específicamente se recrimina el valor dado a la declaración de [Nombre6] frente a la documental expedida por [Nombre4] Tica. Como se indicó en considerando V el bien objeto de arrendamiento es para el cultivo de [Nombre4] aceitera. De la documental en folio 65 a 72 del expediente físico consta el contrato y sus anexos, donde las partes convienen con [Nombre4] Tica la venta de toda la producción de [Nombre4] aceitera proveniente de la finca objeto del contrato. Lo cual conlleva la fiscalización de la calidad de los frutos. La documental en referencia en el recurso consiste en boletas expedidas por [Nombre4] Tica denominadas “boleta de asistencia técnica a productor particular”. En autos obran varias las cuales serán analizadas cronológicamente, y específicamente en aquellos datos atinentes al estado actual de la plantación. La primera es del 30 de diciembre de 2015 número 3101, se indicó faltaba poda, limpieza de área y de rodaja en un 100%; la coloración de la [Nombre4] y del drenaje se reportó bien (foja 41 del expediente físico).
Para el 08 de julio de 2016 número 2905, se reportó que faltaba poda, la limpieza del área y de la rodaja en proceso; la coloración de la [Nombre4] regular, y se reportan con drenaje. Se observó plantaciones afectadas “con pudrición de fruta y retrazo (sic)”. Se recomendó la limpieza de los drenajes para que el agua fluya, en aras de quitar el estanque porque mucha agua puede afectar la plantación (página 40). La número 3315 fue expedida el 02 de setiembre de 2016 en folio 39 del expediente físico, reporta un 100% sucio tanto la limpieza del área como de la rodaja. Sobre la coloración de la [Nombre4] se describió como normal y el drenaje bien. Respecto a la fertilización se observó la existencia de 100 sacos sin aplicación del primer ciclo, ubicados en la bodega; señala: “no se han fertilizado debido a que la rodaja se encuentra totalmente sucia”. En folio 75 del expediente físico se agregó la boleta número 3395 del 07 de diciembre de 2016 donde se da cuenta que la poda, la limpieza del área y de la rodaja esta en un 80% y en proceso; la coloración de la [Nombre4] normal, y los drenajes hechos.
Se indicó el productor hace la limpieza del área manual con guaraña y que hay aplicación de fertilizante completa a diciembre. El 29 de diciembre de 2016 número 3177, reseñó la poda en un 80 % “sin acer (sic)”, la limpieza del área 95% aceptable, la limpieza de la rodaja reportada como buena; la coloración de la [Nombre4] normal; y los drenajes hechos. En las recomendaciones se indicó: “el productor no aplica agroquímicos… el productor aplicó 75 sacos en 3 días 27/28/29”. De la documental anterior, se denota la plantación no estuvo permanentemente atendida por parte del demandado. La prueba debe ser ponderada en conjunto según las reglas del canon 54 de la ley procesal agraria. Nótese en pocas ocasiones se observó una atención adecuada de la plantación, pues por periodos estuvo sumamente desatendida, lo cual implica que afecta el crecimiento de la planta y de la cosecha. Esta situación fue reportada en los reconocimientos judiciales verificados en la tramitación del proceso.
El primero, anticipado para resolver la medida cautelar, fue realizado el 26 de enero de 2017. En lo de interés se relató: “…En general, la plantación se observa en buen estado con excepción de algunas matas que se observan secas, otras se aprecian en sus hojas unas pintas negras pero en buen estado. Se pueden observar varios canales de desague (sic) pero hay cuatro de ellos sucios y obstruídos (sic) y se aprecia en una parte de la plantación agua empozada…” (folio 84 del expediente físico). Para el 09 de junio de 2017 se reportó se encontraba en las mismas condiciones descritas anteriormente. Se agregó: “…Se aprecian matas de [Nombre4] con pintas negras, en sus hojas pero a simple vista se aprecia la plantación en buen estado. El terreno si se aprecia un poco más sucio y encharralado que en la anterior ocasión y los drenajes se encuentran en igual condición, sin mantenimiento, pese a ello el agua se encuentra aún corriendo sin salirse y provocar inundación o anegación del terreno…” (foja 117 del expediente físico).
Adicionado a lo anterior, el reporte de esa documental y de los reconocimientos judiciales es coincidente con lo expresado con el testigo reprochado en la apelación. El declarante [Nombre6] en imagen 47 del expediente virtual del juzgado de origen. Expresó ser ingeniero agrónomo, fue como hace 25 años productor de [Nombre4] aceitera; visitó la plantación porque se lo pidió el actor como un favor. Relató no recordar la fecha de esa gestión, expresó que arribó a las siguientes conclusiones: “…le hice ver el estado de los drenajes, el desarrollo de las plantas como por ejemplo el tamaño para la época en que se habían sembrado les faltaba desarrollo, además la parte de poda de hojas viejas que le faltaba un poquito siendo el desarrollo muy poco obviamente el tamaño de las frutas iba a ser de menos peso. En cuanto a la limpieza debe ser considerada, lo más importante es la rodaja que se debe tener limpia y en el caso de la finca le faltaba limpieza tanto en canales como en el área.
Yo recorrí toda la finca y y (sic) se consideró toda el área y se observó en las mismas condiciones… En cuanto a los drenajes para que trabaje bien es que no tenga maleza y en este caso había bastante y el agua tiene que correr y en la visita pude determinar el estancamiento de agua. Las plantas debe (sic) tener la rodaja limpia, es un área de dos metros alrededor de ella y a la hora de fertliizar (sic) si no está limpia, el fertilizante no se aprovecha bien y en este caso en particular no estaba completa la rodaja. No observé personas trabajando ese día, me pareció escuchar un chapulin (sic) trabajando pero no observé a nadie. Yo vi una parte de chapea echa con chapulin (sic) pero no lo ví (sic) ni observé a nadie. No se aconseja lo lógico es hacerlo manual. Algunas plantas si tenía indicios de corta ya había fruta…”. Si bien no precisa la fecha, se denota la problemática con los drenajes y el estado de las rodajas.
Como se indicó, esta declaración se armoniza con la documental emitida por [Nombre4] Tica y los reconocimientos judiciales, y es dable concluir la plantación no tenía los cuidados necesarios. En primer orden el referido declarante hace énfasis a los drenajes. La comercial [Nombre4] , incluso advirtió el peligro de la cantidad de agua podría afectar la plantación (folio 40), razón suficiente para demostrar durante la ejecución del contrato se mostró falta de cuidado en este punto. Se suma a lo indicado, la limpieza del predio y de la rodaja. Como expresó el declarante en análisis, la rodaja es una zona que debe tener limpia de maleza en su circunferencia la [Nombre4] aceitera. Nótese en la boleta del 02 de setiembre 2016, se recomendó que se limpiara esa zona para colocar el fertilizante, porque estaba “totalmente sucia”. Es importante recalcar que el cumplimiento de las obligaciones de los contratantes debe mantenerse a todo lo largo de la ejecución del convenio.
En el caso del contrato de arrendamiento agrario: “…ha sido definido en la doctrina y jurisprudencia como un contrato de constitución o para la constitución de una empresa agraria. No se trata entonces de un mero alquiler de un bien, como en materia civil, pues con él van otras obligaciones y elementos propios de esa empresa. La característica común de esos contratos es que hay una comunidad de intereses entre quien da y quien recibe el arrendamiento, pues tanto al arrendador como al arrendatario les interesa que se desarrolle la empresa agraria, y por tanto se cuiden y mejoren los elementos de la hacienda agraria que se traspasa. Este objeto particular de los contratos agrarios, en cuanto son instrumentales a la empresa agraria, hace que estén revestidos de principios propios: como el de efectividad, según el cual, el contrato se explica no solo por el contenido del documento, sino por el despliegue efectivo de los actos agrarios de constitución o ejercicio de la empresa agraria, que configuran en la realidad ese contrato.
También el principio de duración, pues al tratarse de actividades agrarias determinadas por un hecho técnico, a saber, el cultivo de plantas o la cría de animales, está sujeto a plazos y características propias de los ciclos de la naturaleza (pueden consultarse en ese sentido las resoluciones de la Sala Primera de la Corte Suprema de Justicia N° 73 de las 14:30 horas del 30 de junio de 1993 y N° 75 de las 14:15 horas del 2 de julio de 1993)” (Tribunal Agrario del Segundo Circuito Judicial de San José, sentencia número 726-f-03 de las 16 horas 18 minutos del 31 de octubre de 2003). De la anterior cita se extrae la naturaleza particular de este tipo de contrato. Rebasa la simple entrega de la cosa, contiene como en el presente caso, una serie de relaciones e incluso contratos interconectados con el arrendamiento. En el subjúdice es de vital importancia el debido cuido de la plantación, porque de las supervisiones con reportes negativos podría implicar la decadencia del plazo de la hipoteca, consentida por [Nombre1] con [Nombre4] Tica (ver cláusula primera en folio 9 de expediente físico).
También podría afectarse el contrato de compra de fruta suscrito por las partes, pues en tal convención por un lado, el precio a pagar dependía de la calidad del fruto, y en segundo orden exigían para la adquisición de condiciones específicas, tales como tiempo de corta previo a la entrega a [Nombre4] , el tipo de pinzote, la condición de la fruta limpia y sin golpear; no estar afecta a sustancias contaminantes o enfermedades; amen de cumplir con las especificaciones que la compradora le comunique por escrito al vendedor. Así se acordó en la cláusula segunda e) visible en folio 66 del expediente físico que corresponde al contrato de compraventa de fruta. Se comprende que las boletas de reiterada cita, donde constan las visitas técnicas a la plantación cumple con las comunicaciones de [Nombre4] Tica al demandado, donde le señala los defectos técnicos en la atención de la [Nombre4] aceitera.
De ahí considera esta Cámara, los elementos probatorios vertidos en autos, llevan a la conclusión el inmueble no estaba permanentemente con el cuidado debido. Se reitera, es inadmisible valorar parcialmente las probanzas para observar que en un momento determinado la plantación estaba asistida, sino es la conducta desplegada a lo largo de la ejecución del contrato. Esto debe de ser así, porque una plantación de la naturaleza de este asunto tiene efectos acumulativos, en el sentido que, si en un momento hay una debida atención, la repercusión se verá por ejemplo en la calidad y cantidad de la fruta oleaginosa; o bien en el debilitamiento de la planta que puede afectarse con plagas o enfermedades que no pueda combatir. En cuanto a los drenajes, siempre se mencionó que no estaban atendidos cabalmente, y como lo indicó el inspector de [Nombre4] Tica las plantas y frutos se pueden pudrir. Esta situación por sí es lo suficiente grave para decretar la resolución del contrato, aunque como se tiene por demostrado, la falta del deber de cuidado del demandado trasciende a este aspecto.
VIII.Se apela lo concerniente al incumplimiento del cambio de destino porque se tuvo por demostrada la presencia de ganado en la heredad. En este punto se cuestiona no se le concedió valor a la declaración de [Nombre8] y [Nombre10] . Tales declarantes expresan el ganado que había en la heredad en diversas oportunidades eran de su propiedad. En cuanto al primero, [Nombre8] en imagen 54 expediente electrónico afirmó: “…Mi ganado se me ha pasado a la finca de [Nombre12] (sic) y cuando me han dicho que esta ahí el ganado yo voy y lo saco, [Nombre12]… (sic) no me ha hecho reclamos pro algun (sic) daño hecho por el ganado a la palma, el ganado que se ha metido a la propiedad es aproximadamente de quince”. Por su parte [Nombre10] (cuadro 57 expediente virtual juzgado de origen) adujó la última vez que estuvo en el predio, fue la semana anterior a rendir declaración, porque uno de sus animales estaba dentro de la propiedad.
Lo anterior permite comprobar que el estado de las cercas no era idóneo para retener a los animales. Existe una práctica generalizada en el país en cuanto al sistema de delimitado cuando hay plantaciones que deban ser protegidas de animales, principalmente de ganado vacuno. La cual radica en el tipo de cercas que deben tener, y la cantidad de alambres de púas para evitar que los semovientes las rompan con facilidad. En conjunto los postes deben de tener una distancia menor y ser lo suficientemente fuertes para evitar la destrucción. En la especie, la única razón por la cual ingresan animales al predio sin que sea por un subarriendo, es por la desidia en el cuido de las cercas. No está comprobado el subarriendo, de lo que hay certeza es de la presencia de animales. Como se indicó solo puede ser por la falta de diligencia y cuidado del demandado, implicando un riesgo que es previsible. La presencia de animales en la plantación no se limita solo a esas dos ocasiones, sino se puede constar se daba de manera regular.
Para ilustrar lo anterior, debe observarse la boleta de asistencia técnica de [Nombre4] Tica expedida el 30 de diciembre de 2015 donde se reportó la presencia de ganado (foja 41 expediente físico). La declarante [Nombre14] (cuadro 52 expediente virtual del juzgado) expresó ver ganado en una visita, dijo la vio llena de ganado, aunque no le consta de quien era. La manifestante [Nombre9] (imagen 55 expediente virtual del juzgado) expuso ha visto el ganado adentro cuando fueron a realizar una visita a la heredad. Por otra parte, el ya citado testigo [Nombre6] en imagen 47 expediente virtual del juzgado, señaló cuando estuvo en el predio ya citado en el considerando anterior, expresó no haber visto ganado, pero si varios cerdos. Esa situación era constante, pues en el reconocimiento judicial de imagen 84, se da cuenta del estado de las cercas dañadas por el lado sur dando apariencia de ser cortada.
Se reportó: “…Por el sector este se aprecia un portillo el cual es de fácil acceso pues se abre como a una distancia de dos metros y se parecía que ha estado ingresando ganado al terreno por ese sector y que ha estado transitando por toda la propiedad ya que hay evidencia de boñigas algunas muy recientes en todo el terreno…” Agrega se observó un cerdo y un caballo. Reseña, en el terreno colindante por el sector este es potrero donde hay ganado pastando (foja 84 expediente físico). La situación no varió en el reconocimiento judicial llevado a cabo el 09 de junio de 2017 (página 117 expediente físico). Se aportaron junto con la demanda, un disco compacto con fotografías, donde se da cuenta de varias fechas, e imágenes con ganado. Sin embargo, aunque no fueron protestadas por la parte contraria, las mismas no están relacionadas con el predio o bien con algún elemento objetivo que permite tener la certeza se trata de la heredad en conflicto, y el ganado este dentro de los límites de tal.
Empero, esa situación no resta valor a las demás probanzas en conjunto, en cuanto es innegable la presencia de animales en la plantación, lo cual constituye una conducta contraria al deber de cuidado requerido en el contrato. Al respecto el artículo 1140 del Código Civil indica cuando el arrendatario emplea la cosa en uso diferente de aquel de su destino, o no la usa como buen padre de familia, o por un goce abusivo en uno u otro respecto, causa perjuicio al arrendador, éste puede pedir el restablecimiento de la cosa a su estado normal, y siendo grave la contravención, que se resuelva el contrato, con indemnización de daños y perjuicios. En el súblite es evidente no se ha usado el predio como buen padre de familia, porque no se han tomado las previsiones necesarias para evitar la presencia de animales que puedan dañar la plantación, afectar el crecimiento, comerse frutos entre otros. Este concepto jurídico indeterminado, debe suplirse de contenido en cada caso objeto de estudio.
En el evento de la materia agraria, el mismo debe de superar el concepto tradicional del Derecho Romano, en cuanto exige un comportamiento ideal, que es normal y generalizado para el cuidado y administración de la cosa encargada. Esta debe entenderse en el contexto de la empres agraria, y específicamente en cuanto a las destrezas de la persona empresaria agraria. Quienes dirigen una empresa de esta naturaleza, deben de tener destrezas y cualidades más allá del conocimiento generalizado. Debe comprobar conocer los aspectos técnicos propios de la actividad desarrollada. Al mismo tiempo, tener la capacidad de poder bregar con los riesgos inherentes a los ciclos productivos, como el biológico, aquellos propios de la administración vinculados con los riesgos generados por la economía, procesos sociales y políticos. Con lo anterior se deja en evidencia, el concepto romano del buen padre de familia es rebasado, porque en la actualidad, con las nuevas técnicas para los manejos de los cultivos, se requiere de cualidades superiores a las de la generalidad.
En la especie se trata de un empresario vinculado con el cultivo de fruta de [Nombre4] oleaginosa, la cual requiere, de acuerdo con el contrato de compraventa con [Nombre4] , determinados requerimientos en el cuido, poda, limpieza del terreno, manejo de drenajes, control de plagas, aplicación de fertilizante y agroquímicos varios, como ya se ha expresado a lo largo de esta sentencia. Esto se lleva a la técnica, también explicada, de las divisorias. Pues en otro tipo de actividad agraria, bastará con carriles para establecer los límites; empero tratándose de cercas, que además tengan la posibilidad de contener el ingreso de animales, como el ganado vacuno, en aras de minimizar el riesgo de dañar la plantación, lo cual podría redundar en la calidad y cantidad de la producción, deben de tomarse las previsiones necesarias para hacerlas resistentes, dar mantenimiento continuo, máxime si en un predio vecino hay potrero con animales pastando.
Debe observarse el numeral 1139 del Código Civil regula la posibilidad de eximir al arrendatario de la responsabilidad que pudiera tener debido al deterioro de la cosa, demostrando proviene de causa que le es extraña o ha empleado todos los cuidados a los cuales está obligado. En este asunto, como se explicó las pruebas sobre la condición de las cercas, los hallazgos en los reconocimientos judiciales de la presencia de pisadas de ganado; abonado a lo detectado en la inspección de [Nombre4] Tica y las declaraciones, es indiscutible no se emplearon los cuidados para prevenir el ingreso del ganado, aspecto que es esencial en el ejercicio de la actividad desplegada a raíz del contrato. La tesis del apelante es insostenible a la luz de lo explicado y probado, y por esa razón ha de rechazarse el agravio.
IX.De manera genérica expone no se valoró la documental sobre los desembolsos por pago de la fruta y el cheque girado a la sociedad actora. El primer y tercer párrafo del numeral 590 del nuevo Código de Trabajo, ley 9343, señala: “El escrito en que se interponga el recurso de apelación deberá contener, bajo pena de ser declarado inadmisible, las razones claras y precisas que ameritan la revocatoria del pronunciamiento, incluidas las alegaciones de nulidad concomitante que se estimen de interés… En ningún caso será necesario citar las normas jurídicas que se consideran violadas, pero la reclamación debe ser clara en razones por las cuales la parte se considera afectada. Los errores que se puedan cometer en la mención de normas no serán motivos para decretar la inadmisibilidad del recurso…”. Esta norma es de aplicación por remisión del ordinal 60 de la Ley de Jurisdicción Agraria, y empleo por el transitorio I de la ley 9373. Esta regulación guarda íntima relación con la competencia funcional del Tribunal; aunque se trata de un recurso ausente de formalidades, es imperante quien impugna exprese de manera clara y precisa las razones por las cuales estima se debe modificar la pieza apelada. Debido a lo anterior, al no explicar la parte los motivos por los cuales se muestra disconforme con este punto es improcedente esta Sede emita pronunciamiento sobre ese aspecto.
X.Concerniente a los árboles cortado acusa mala fe del actor porque la sociedad había gestionado un permiso de extracción de madera. Se admitió en esta instancia la probanza documental atinente a la solicitud de [Nombre1] de extracción de madera del predio arrendado. En imagen 163 del expediente virtual del juzgado de origen, se agregó una solicitud de [Nombre1] dirigida al Ministerio de Ambiente y Energía donde se pide la extracción de 34 árboles para “inyectar capital a las actividades productivas de la finca”. En conjunto se agregó una constancia número 088446G de [Nombre15] , ingeniero forestal, dando cuenta la finca de [Nombre1] no es bosque, sino en potrero con cultivo de [Nombre4] aceitera (cuadros 164 y 165). Concedida la audiencia a la contraria, se aportó la resolución administrativa ACOSA-RFGD-011-2013-PE, donde se resuelve la solicitud de [Nombre1] para el aprovechamiento forestal.
En lo relevante se dispuso denegar la solicitud debido a que el inventario forestal del ingeniero [Nombre15] no cumple con lo establecido en el artículo 27 de la Ley Forestal (cuadro 32 expediente virtual de esta Cámara). También se aportó una constancia del referido profesional donde se da cuenta el plan de aprovechamiento nunca fue ejecutado por la ausencia del permiso del Ministerio (imagen 33 expediente virtual del Tribunal). Lo comprobado en el litigio, radica en el daño a árboles ubicado en el terreno. Sobre esa situación se constata lo siguiente: “…En la parte noreste del terreno cerca de ese lindero se aprecian varios árboles caídos, otros secos y muertos (4) y otros que van por ese mismo estado secándose y con muerte progresiva debido a que en su base se observa se les ha hecho huecos al parecer con hoja de motosierra y que según dice el actor le han echado herbicida para secarlos y dañarlos.
Estos árboles en esa condición se cuentan 11 dentro de los cuales hay especies de Zapatero, Lagartillo y aguacatillo y un Chilamate de gran tamaño y extensión. También se aprecian los tocones de siete árboles que fueron cortados” (folio 84). Como se denota de la documental analizada, se ha desvirtuado el argumento de la demandada en cuanto a la tala es producto de un aprovechamiento forestal del actor. Argumento, además de falaz está teñido de mala fe tanto contractual como procesal. De los datos arrojados en el reconocimiento judicial se puede concluir la existencia de una corta de árboles en cantidad importante, sin comprobar el poseedor momentáneo motivo alguno para restar su responsabilidad. Supra se hizo mención al artículo 1139 del Código Civil, en cuanto se podría eximir del deterioro, pérdida y daño del conjunto forestal citado, si demuestra proviene de causa ajena o si ha empleado los medios para procurar el cuido.
Es razonable considerar el daño a esa cantidad de árboles, por los restos de tocones y marcas de objeto filoso en la base, se procuró de manera gradual su destrucción y tala; por otra parte en una finca donde requiere un cuido permanente resulta inadmisible no tenga conocimiento el demandado quien hizo el daño, o tener noticias de esa situación. El cuido del patrimonio forestal esta bajo su responsabilidad al ser el poseedor mediato debido al contrato de arrendamiento, el cual lleva implícito el deber de cuidar la cosa conforme se explicó en acápites anteriores. Por otra parte, se extraña diligencia alguna tendiente a detener el daño de los árboles, poner denuncias o gestiones judiciales o administrativas para procurar ubicar a los responsables. Así como comprobar las medidas para rescatar las especies en el evento que técnicamente fuera posible. Sumado a lo anterior en la cláusula 11 del convenio principal se pactaron las obligaciones del arrendatario de avisar al propietario de cualquier daño que sufra la finca.
También se pactó no se haría extracción del recurso forestal. Empero, esa situación tampoco se comprobó, sumando a otra causal para dar por finalizado el contrato. Pero no hay elementos de prueba para eximirle de la responsabilidad, y producto de lo anterior, tal y como lo decreta la sentencia apelada deberá cancelar ese daño.
XI.Por último combate lo indicado en la sentencia sobre el pago de impuestos municipales. En la cláusula 7 del convenio principal se pactó lo atinente al pago de servicios a cargo del arrendatario tanto de servicios básicos como electricidad, agua, teléfono, incluyendo el pago de impuestos municipales y cualquier carga tributaria como consecuencia de la explotación de la finca. En el subexámine se tiene probado, [Nombre2] , quien es el representante legal de [Nombre1] pagó al Acueducto de Agua Buena de Sierpe de Osa el 11 de febrero de 2016 la suma de treinta y siete mil colones por servicio de agua de enero a febrero del 2015; enero y febrero del 2016 y reinstalación según consta en el documento de folio 37 expediente físico. El 22 de noviembre de 2018 se emitió un aviso de cobro administrativo a la empresa actora por parte de la Administración Tributaria de la Municipalidad de Osa, donde se da cuenta de la ausencia de pago del primero de abril de 2017 hasta el 22 de noviembre de 2018, por la suma de doscientos sesenta y ocho mil quinientos diecinueve colones con treinta y un céntimos, de acuerdo con la probanza de imagen 17 del expediente virtual del Tribunal.
Los impuestos municipales de la fase 2013 y 2014 fueron cancelados el 21 de enero de 2014; los del periodo 2015 fueron honrados parcialmente el 24 de abril de 2015; el resto del ciclo 2015 y 2016 fueron cancelados el 10 de mayo de 2016, al tenor de la documental en fojas 37 vuelto a 39 vuelto; legible en su totalidad en escritorio virtual del Tribunal Agrario en imágenes 12 a 15 en modo PDF. Para el cinco de junio de 2017 los impuestos municipales sobre la finca arrendada se encontraban pagados, lo cual se deriva de la certificación de imagen 166 del expediente virtual del juzgado de origen. Como se denota, lleva parcialmente razón el apelante, en cuanto se encuentran los tributos al día. No obstante, carece de fundamento fáctico para comprobar fue él quien los pagó. Queda en evidencia no se cumplió en tiempo la obligación asumida, pues se generó, según se muestra del recuento anterior, un cobro administrativo.
Tenía la carga de la prueba en demostrar que fue esa parte la que pagó conforme a lo pactado, pero se concluye no cumplió. Otro aspecto importante, ya mencionado en consideraciones precedentes, es que el cumplimiento del contrato debe de mantenerse a lo largo de la ejecución de tal. No basta con que al momento de resolver el asunto la situación conflictiva se subsane, pues eso sería contrario a la buena fe contractual. Es menester, la conducta sostenida en la ejecución del contrato debe de beneficiar los intereses de las partes contratantes, actuando de la manera más adecuada y proba atendiendo los aspectos reales de la convención. El pago de los impuestos municipales no se limita a un tema de responsabilidad fiscal, sino que tenía efectos sobre el contrato de crédito, pues tal omisión daba pie al decaimiento del plazo, lo cual es pernicioso fundamentalmente para el propietario del bien, quien consintió el gravamen y con ello el menoscabo de su patrimonio en el evento de una subasta pública. Producto de lo anterior, deberá confirmarse la sentencia en lo apelado, por la fundamentación y razones dadas en esta instancia.
POR TANTO:
Se admite la documental ofrecida por las partes para mejor resolver. En lo apelado, se confirma la sentencia de las quince horas veintinueve minutos del veintiocho de setiembre de dos mil dieciocho. Se agrega el punto 9 así: Para fijar el precio de los arriendos dejados de percibir mencionados en el punto seis-perjuicios, se interpreta que se incrementa el precio en un diez por ciento anual sobre la base del precio pactado.
