I.The Tribunal does not endorse part of fact deemed proven a), because it considers that it should be reformulated as follows: Defendant [Nombre3] is the registered owner (titular registral) of the properties (fincas) of the Partido de Puntarenas, registry numbers (matrículas) [Placa1] and [Placa2], located at [Dirección5] , , described respectively in registered cadastral plans (planos catastrados) P-0180924-1994 and P-0180923-1994, which are not currently subject to restrictions under the Ley de Tierras y Colonización and are free of mortgage liens (gravámenes hipotecarios). (Registry searches at folios 501 and 502 of the case file (expediente)). Fact b) is not adopted, and the following is found in its place: By Decreto Ejecutivo N° 8494-A del 28 de abril de 1978, the Reserva Forestal Golfo Dulce was created, subject to an exception for properties already registered within that area; subsequently, Decreto Ejecutivo No. 10088-G-H del 2 de mayo de 1979 was issued, through which the properties of the Partido de Puntarenas, registry numbers [Placa7], [Placa8] and [Placa9], were expropriated.
Those properties were stated to form part of a single agricultural-forestry unit, and that decree also authorized the Procuraduría General de la República to transfer those properties to the then Instituto de Tierras y Colonización so that it could use them for the purposes of ley 2825, thereby giving rise to the Asentamiento Osa. (See expropriation decree at folios 365 to 370). Fact c) is not approved as drafted because it combines matters that warrant separate treatment, and it is restated as follows: By public deed (escritura pública) No. 43, executed before Notary Carlos Villanueva Maydana at las quince horas del veinticuatro de mayo de mil novecientos noventa y cuatro, defendant [Nombre3] sold to the plaintiff company the land delineated in registered cadastral plan P-0180924-1994 for the sum of ten million nine hundred thirty-four thousand five hundred seventy-nine colones; and by public deed No. 844, executed at las quince horas y treinta minutos del veinticuatro de mayo de mil novecientos noventa y cuatro before the same notary, the aforementioned [Nombre3] sold to the same company the property described in registered cadastral plan P-0180923-1994 for the sum of seven hundred thousand nine hundred thirty-six colones.

Fact e) is not approved because several relevant aspects relating to it have already been included in the facts reformulated at this instance; the following must instead be found: The properties of the Partido de Puntarenas, registry numbers [Placa7], [Placa8] and [Placa9], were transferred by the State to the Instituto de Tierras y Colonización, which subsequently consolidated them into a single property, thereby creating property registry number [Placa10]. (Report of the Coordinador General Área Registral del Registro Nacional at folio 178; registry history (antecedentes registrales) of those properties at folios 371 to 414; answer to the complaint (contestación de la demanda) by the Procuraduría General de la República at folios 97 to 104; answer to the complaint by the Instituto de Desarrollo Rural at folios 74 to 82; and registry certifications (certificaciones registrales) at folios 1 to 4).
Fact f) is adopted. The following facts must also be added to the body of evidence (elenco probatorio): g) By Board of Directors Resolution (acuerdo de Junta Directiva) No. 72-95 del 15 de noviembre de 1995, the Instituto de Desarrollo Agrario, now the Instituto de Desarrollo Rural, awarded defendant [Nombre3] parcels [Dirección6] , belonging to property registry number CED11, with respective areas of fifteen hectares, seven thousand two hundred sixty-three square meters and twenty-four square decimeters, and two hundred thirty-four hectares, four thousand seven hundred thirty-six square meters and eighty-three square decimeters. The applicable restrictions began on 17 de noviembre de 1995 and expired on 17 de noviembre del 2010, thereby creating the properties at issue in this litigation, registry numbers CED12 and CED13. (Copies of the Board of Directors Resolution at folios 286 and 287 and certifications at folios 1 to 4). h) Since the plaintiff company acquired the properties from the defendant—that is, since 1994—it has exercised possession (posesión) over them by safeguarding them, maintaining boundary paths and signs, and arranging for Pago de Servicios Ambientales.
(Testimony (testimonial) of [Nombre5] at folios 348 and [Nombre6] at folio 353; judicial inspection (reconocimiento judicial) at folio 432; and environmental services contract (contrato de servicios ambientales) at folios 310 to 328).
II.As regards the unproven facts identified as a) and b), the Tribunal does not concur with them in light of what has been deemed established at this instance; as to c), no ruling is issued because it is not part of the matters appealed.
III.The representative of the plaintiff Compañía Hermanos Brenes S.A., [Nombre1], filed an appeal (recurso de apelación) based on the following grounds of error (agravios):
Thus, in the confessional evidence and party testimony (prueba confesional y declaración de parte) of [Nombre1] , he stated that when they purchased from [Nombre3] , [Nombre3] showed them documents indicating that he had previously purchased from [Nombre4] , and that, because there was a titling problem throughout that area, IDA would provide them with the means to survey and obtain title through IDA itself; they were aware that the property would be subject to restrictions, and therefore the defendant undertook to request transfer permits from IDA. Likewise, in the documentary evidence (prueba documental) of Mr. [Nombre9] , at folio 346, he stated that he met the defendant, who presented himself as knowledgeable about the area and as a timber seller, and that, because the plaintiff was engaged in forestry activities, he offered to sell it the properties, since otherwise he would sell them to other companies; he and his brothers were interested in selling the property, which was held by different possessors, including from before the creation of Reserva de Golfo Dulce.
This is also reflected in the documentary evidence of [Nombre5] , appearing at folio 348. Moreover, although the court below relies on the witness testimony (prueba testimonial) of [Nombre10] (at folio 349), it does not consider his testimony in its entirety. He stated that IDA granted [Nombre3] title to two parcels in the [Dirección7] sector, part of Asentamiento Osa 6, in 1995, as a result of an application procedure that the defendant had initiated years earlier; that IDA conducted visits and inspections before issuing title; and that, based on the Regulations then in force, it was determined that the defendant was the possessor of those lands. He further stated that Asentamiento Osa originated in the State’s expropriation of the company Osa Forestal because of a dispute between that company and the farmers; that, before obtaining their deeds, the persons receiving title were merely occupants; and that the Institute maintained census records.
IV.This Court deems it appropriate to address first the claim raised in the second ground of appeal (agravio), since it concerns whether the properties at issue form part of the Reserva Forestal Golfo Dulce. In this regard, it must be noted that although the court below (a quo) found it proven that the properties at issue in this litigation were located within the geographical area encompassed by that reserve (a finding that has been modified at this level of review), the fact remains that, when the judgment is analyzed as a whole, the actual reasons for dismissing the complaint were its conclusion that the sale of property belonging to another (cosa ajena), which belonged to the Instituto de Desarrollo Agrario—now the Instituto de Desarrollo Rural—had been agreed upon, and that article 67 of the Ley de Tierras y Colonización had been violated with respect to the land-allocation agreement (contrato de asignación de tierras).
Nevertheless, the Court considers it important to clarify this issue before analyzing the other grounds of appeal, which do challenge the true grounds or pillars on which the appealed judgment rests. The Procuraduría General de la República, in its capacity as representative of the State, which has been sued in these proceedings, has maintained both in its answer (folios 97 to 104) and in its closing arguments (folios 493 to 497) that, although the properties in dispute are located within what is geographically understood to be the Reserva Golfo Dulce, they formed part of the Asentamiento Osa, owned by the Instituto de Desarrollo Rural, which in turn consisted of registered properties belonging to the private domain (dominio privado) when the reserve was created. Accordingly, those properties were not incorporated into the public domain (dominio público) as part of that reserve; rather, although expropriated by the State, they were transferred to the IDA for different purposes specific to ley 2825.
This is evidenced by the fact that the State raises the defense of lack of standing as a defendant (excepción de falta de legitimación pasiva), considering that the dispute does not concern or seek recovery of property belonging to that reserve or to the public domain and that, therefore, no State interests are affected. For its part, INDER, in its answer (folios 74 to 82), contends that the parcels (fundos) formed part of the Asentamiento Osa and were awarded to defendant [Nombre3] through a land-allocation agreement, and it therefore counterclaims (contrademanda), alleging a violation of article 67 of the Ley de Tierras y Colonización because the property was conveyed while the agreement remained in force, which it considers renders the purchase and sale agreements (contratos de compraventa) between the parties null and void; it further alleges defects in those transactions because property that at the time belonged to that institution had been sold.
The counterclaim does not seek the annulment of defendant [Nombre3]’s title to the property. It is therefore clear that this is not a claim or counterclaim seeking a declaration that the properties form part of the public domain of the Reserva Forestal Golfo Dulce; rather, both the Procuraduría and INDER have alleged that the properties formed part of INDER’s assets, established for the land-parceling purposes (parcelamiento) of the Ley de Tierras y Colonización, and that they were subsequently awarded through the land-allocation agreement. In any event, and for the sake of completeness, this Chamber finds that the reserva Forestal Golfo Dulce was created by Decreto Ejecutivo N° 8494-A del 28 de abril de 1978, but Article 8 excluded properties within that area that had already been registered. Likewise, as shown by the documentary evidence submitted by the State’s own representative, Decreto Ejecutivo No. 10088-G-H del 2 de mayo de 1979 was subsequently issued, expropriating the properties registered in the Partido de Puntarenas under registry numbers [Placa7], [Placa8] and [Placa9], which at that time belonged to Osa Productos Forestales S.A / Agroindustrial Rincón S.A., and O.Sociedad Anónima.
The decree stated that these properties formed a single agricultural-forestry unit and also authorized the Procuraduría General de la República to transfer them to the then Instituto de Tierras y Colonización so that it could use them for the purposes of ley 2825, thereby giving rise to the Asentamiento Osa. (See expropriation decree at folios 365 to 370). Subsequently, as ordered by that decree, the Procuraduría General de la República transferred ownership of those properties to the Instituto de Tierras y Colonización, which later consolidated them into a single property, thereby creating property registry number [Placa10]. That consolidation has been established by the Report of the Coordinador General del Área Registral del Registro Nacional at folio 178, which has not been disputed by the parties, as well as by the registry history of those properties at folios 371 to 414, the answer filed by the Procuraduría General de la República at folios 97 to 104, and that filed by the Instituto de Desarrollo Rural at folios 74 to 82.
Similarly, the registry certifications at folios 1 to 4 establish that the properties at issue in this litigation originated from that consolidated property. Accordingly, the appellant is correct that the properties are not included within what is understood to form part of the public domain of the Reserva Golfo Dulce, and the judgment should not have stated otherwise. It is important to clarify, however, that although they are currently in the private domain, this does not mean that they are exempt from forestry restrictions (limitaciones forestales), because Article 8 itself stipulated that they would automatically be subject to the Régimen Forestal.
V.The remaining grounds for appeal shall be resolved jointly, given the nature of the matters debated, this adjudicative body finding that the appellant is partially correct. The record establishes that, through public deed No. 43, executed before Notary Carlos Villanueva Maydana at fifteen hundred hours on veinticuatro de mayo de mil novecientos noventa y cuatro, defendant [Nombre3] sold to the plaintiff corporation the physical parcel described in cadastral plan P-0180924-1994 for the sum of diez millones novecientos treinta y cuatro mil quinientos setenta y nueve colones; and through public deed No. 844, executed at fifteen hours and thirty minutes on veinticuatro de mayo de mil novecientos noventa y cuatro before the same notary, the aforementioned [Nombre3] sold to the same corporation the property described in cadastral plan P-0180923-1994 for the sum of setecientos mil novecientos treinta y seis colones (folios 40 to 48).
Both deeds show that the parties agreed that, because the seller was completing procedures before the Instituto de Desarrollo Agrario (now INDER) to obtain his title, and because the properties would therefore be subject to restrictions, he undertook to take the necessary steps so that those properties could be transferred to the buyer in due course. It is likewise established that, after those deeds were executed, by Board of Directors Resolution No. 72-95 of 15 de noviembre de 1995, the Instituto de Desarrollo Agrario, now Instituto de Desarrollo Rural, awarded defendant [Nombre3] parcels [Dirección10] of Asentamiento Osa, which at the time belonged to property registration CED11, based on the aforementioned plans. The restrictions on those parcels began on 17 de noviembre de 1995 and expired on 17 de noviembre del 2010, thereby creating the properties at issue in this litigation, registered under numbers CED12 and CED13.
(Copies of the Board of Directors Resolution at folios 286 and 287 and certifications at folios 1 to 4). The court below (a quo) held that the complaint should be dismissed because, when the parties transacted concerning the property, that physical parcel belonged to the IDA as the owner of the property encompassing Asentamiento Osa, entailing nullity due to the sale of another’s property; and also because, since the parcels were subject to the regime established by Article 67 of the Ley de Tierras y Colonización and the parties knew of those restrictions, the sales were also void because a prohibition against alienation was in effect. However, after carefully examining this particular case, this Court respects but does not share the legal assessment made by the trial judge. On the one hand, it has been proven that property 39334-000, from which the properties currently registered in the name of defendant [Nombre3] originate, belonged to the IDA when the parties entered into the purchase-and-sale agreements.
As explained above, that physical parcel formed part of the property expropriated through Decreto Ejecutivo No. 10088-G-H of 2 de mayo de 1979, because the properties of the Partido de Puntarenas registered under numbers [Placa7], [Placa8], and [Placa9], which are the registry predecessors of property 39334-000, were expropriated. Indeed, the registry certifications for the parcels in dispute, registered under numbers [Placa1] and [Placa2], show that they originated from IDA property 39334-000 and were registered in the name of defendant [Nombre3] on 11 de diciembre de 1995. Logically, that segregation (segregación) in favor of the defendant occurred because the Instituto was the registered owner of the property encompassing Asentamiento Osa, and there is no doubt that it held title when the parties entered into the contracts. Nevertheless, it must not be overlooked that, although seller [Nombre3] disposed of those properties without being their registered owner, he subsequently acquired that status.
Indeed, he currently holds registered title to them, free of encumbrances (gravámenes) and restrictions in favor of the Instituto (see updated searches at folios 501 and 502). On this understanding, although Article 1061 of the Código Civil sanctions the sale of another’s property with absolute nullity (nulidad absoluta), it cannot be applied in isolation, because that body of law provides for circumstances in which such a transaction may be validated (convalidación). Thus, Article 1063 provides that “the nullity of the sale of another’s property is cured if the true owner ratifies the alienation, or if the seller subsequently becomes the owner of the property sold” (emphasis not in the original). Because defendant [Nombre3] currently holds that title, the Instituto de Desarrollo Rural is incorrect in seeking through its counterclaim (reconvención) to annul the sale on that ground, and the request for nullity based on the sale of another’s property should not have been granted; accordingly, the ruling must be reversed in that respect.
In light of the foregoing, the question of whether the parties acted in good faith when contracting, despite knowing that the property was registered in the name of the IDA, is immaterial to the resolution of this matter and is not an argument or ground for dismissing the complaint, because the legal system itself permits the nullity to be cured if, as stated, the seller subsequently becomes the owner. [Nombre11] in this case, in which the parties agreed in that manner precisely because they expected to regularize title through an administrative proceeding (procedimiento administrativo), without overlooking the fact that the IDA’s ownership was specifically intended to facilitate the award of parcels to possessors. It remains to examine the alleged breach of the land-allocation contract (contrato de asignación de tierras), specifically Article 67, which provides, insofar as relevant: “The beneficiary may not transfer title to his parcel, encumber it, lease it, or subdivide it without authorization from the Instituto, unless fifteen years have elapsed since acquisition of the parcel and all obligations owed to that agency have been discharged.
( ) Nor may the beneficiary, without such authorization and during the same period, encumber the crops, seeds, animals, implements, tools, or equipment necessary for working the parcel, unless all obligations owed to the Instituto have been discharged. Authorization to encumber the real property requires four concurring votes of the Board of Directors. Any contract entered into without compliance with the foregoing provisions shall be absolutely void.” In the case at bar (subjúdice), it is clear that, when the parties carried out the purchase and sale, the seller was not yet subject to the land-allocation contract, because at that time he merely expected to obtain a registrable title (título inscribible). The provision states categorically that the beneficiary—meaning the allottee (adjudicatario)—may not transfer title to his parcel unless fifteen years have elapsed since its acquisition, which means that the restriction applies from the time the contract is executed.
The appellant argues that, when defendant [Nombre3] sold the property to it, he already held ownership rights through adverse possession (usucapion), having acquired them through a purchase from third party [Nombre4] as far back as 1979 (see private document bearing a certified date at folios 35y 36), and that, consequently, the legal framework governing penalties for breach of the restrictions cannot be applied to him as the trial court did. However, the complaint should not be granted on that basis because, if that was indeed the possessor’s legal situation, it should have been asserted before the award through a declaration of acquisitive prescription (prescripción positiva) in his favor, as provided in Articles 92 and 101 of the Ley de Tierras y Colonización, which governs the recognition of ten-year precarious possession (posesión en precario decenal) (special agrarian adverse possession (usucapion especial agraria)).
Under that procedure, with the Instituto’s participation, he could have obtained registrable title without restrictions, and that entity would have been required to charge him only the expenses incurred for surveying, awarding, and titling the property. Nevertheless, the aforementioned [Nombre3] agreed to regularize his situation and obtain registrable title through a different legal mechanism. Now, although the parties stated in the purchase-and-sale agreements at issue that, in due course, after obtaining title through the IDA, the seller was required to transfer registered title to the buyer, this does not mean that Article 67 was violated, and on this point the appellant is correct. The provision establishes a prohibition against alienation while the contract is in effect, and in this case, as stated above, the sales occurred before that contract came into legal existence. Therefore, because this is a punitive provision, it cannot be interpreted as having the scope or capacity to annul a prior act.
Given the particular circumstances of this case—as opposed to others in which a possessor subject to the effects of a land-allocation contract sells the parcel to a third party—the Court finds that, if the alienation had occurred during the term of the contract, absolute nullity could apply; but because it occurred beforehand, the Instituto never initiated revocation proceedings (procedimiento de revocatoria) based on the allottee’s failure to exercise possession or management of the property, and both parcels are now free of restrictions or encumbrances in favor of the Instituto, the plaintiff has standing (legitimada) to demand performance of the agreement, because this action concerns the specific performance (ejecución forzosa) of a contract falling within the terms negotiated by the parties pursuant to the principle of freedom of contract (principio de autonomía de la voluntad). The plaintiff is therefore entitled to claim registered title and bring the registry record into conformity with the physical reality.
The plaintiff is correct that, since purchasing the properties in 1994, it has exercised possession over them by safeguarding them, maintaining boundary paths and signs, and administering payments for environmental services. Thus, witness [Nombre5] stated that he has worked for the plaintiff company since 1994, that timber has never been extracted, that the boundary paths are cleared, and that the property is protected against entry by others seeking to cause damage (folios 348). Similarly, [Nombre6] stated that he has worked for the plaintiff since 1998, that signs were installed because the property was placed under forest protection, that the boundaries are periodically cleared and the signs inspected, and that the plaintiff has remained in possession (folio 353). Likewise, during the judicial inspection (reconocimiento judicial), the existence of a sign, the mountainous nature of the land, and four-meter-wide boundary paths delimiting the property were verified (folio 432), and the plaintiff has received incentives for environmental services, according to documents submitted into the record (folios 310 to 328).
On the other hand, testimonial evidence also indicates that defendant [Nombre3]—before selling to the plaintiff corporation—possessed the physical parcel, and there is even evidence that it had previously been possessed by his transferor [Nombre4]. In this regard, witness [Nombre5] stated that he had known the defendant since the defendant arrived in the area to live with his parents at the home of an uncle named [Nombre7], and that the property had previously belonged to [Nombre4] (folio 348). Witness [Nombre10], an INDER official, stated that, before the award to [Nombre3] was formalized, it had been verified that the property had been subjected to regeneration and that part of it had been reforested, and that the titling department had previously determined that [Nombre3] was the possessor (folio 349). This information is consistent with a private document bearing a certified date, executed on 9 de marzo de 1979, through which [Nombre4] transferred the property to [Nombre3] and which states that the previous occupant was [Nombre7].
In light of the foregoing, the appellant is correct that the judgment must be reversed because it was shown that he had acquired the property by purchase and sale (compraventa) and that the defendant had undertaken to formalize the conveyance (transmisión); the counterclaim (reconvención) filed by the Instituto de Desarrollo Rural must also be dismissed, because annulment (nulidad) of the purchase and sale carried out between the parties is unwarranted.
VI.In accordance with the foregoing, as to the matters appealed, the judgment must be partially reversed insofar as it dismissed in its entirety the action filed by COMPAÑÍA HERMANOS BRENES SOCIEDAD ANÓNIMA against [Nombre3] and INSTITUTO DE DESARROLLO RURAL and sustained the defenses of lack of legal right and lack of standing to sue and be sued (excepciones de falta de derecho y falta de legitimación activa y pasiva) raised by them. Instead, those defenses raised by said defendants must be denied, because the plaintiff had standing and the right to seek specific performance (ejecución forzosa) of the agreement following defendant [Nombre3]’s breach of his obligation to transfer registered title (titularidad registral) to the property, and also because the sale of property belonging to another (venta de cosa ajena), which at one time belonged to the Institute, was subsequently validated (convalidación).
Likewise, it was established that the conveyance (enajenación) of the properties occurred before the land-allocation agreement (contrato de asignación de tierras) legally came into existence, and the properties are now free of restrictions and encumbrances (limitaciones y gravámenes) in favor of INDER. Accordingly, the action must be partially granted, specifically claims 4) and 5), declaring that the sales of the real properties conducted by the parties are title-transfer contracts (contratos traslativos de dominio) entered into before Instituto de Desarrollo Rural issued title; and that defendant [Nombre3] undertook to submit both contracts to the offices of Instituto de Desarrollo Rural in order to obtain approval thereof from the Board of Directors, or, once the restrictions expired, to carry out the corresponding transfer of the properties into the plaintiff’s name, which he has failed to do.
Claim 6) must likewise be granted, and it must be declared that the plaintiff company has exercised possession in good faith (posesión de buena fe), publicly, peacefully, and continuously, the property having been transferred to it by defendant [Nombre3], who in turn had acquired it from [Nombre4], who in turn had acquired it from [Nombre7]. Claim 9) must also be granted, declaring that the defendant shall appear before a Notary Public (Notaria Pública), previously authorized by the court, which shall grant the period stipulated in article 698 of Código Procesal Civil, to transfer title to the plaintiff company for the properties registered in the Partido de Puntarenas under registration numbers CED12 and [Placa2]; should he refuse, the trial judge shall execute the corresponding public deed (escritura pública), as stipulated in that same provision. Claim 10) is also granted, declaring Compañía Hermanos Brenes Sociedad Anónima the lawful owner of the real properties registered under numbers CED12 and CED13; consequently, the request that all rights inherent in ownership and the status of lawful possessor be restored is understood to be encompassed within the declaration of its ownership rights, given that neither dispossession from the property nor restoration of possession has been claimed, as it was established that the plaintiff has continued to exercise possession.
With respect to the remaining claims, this Court finds that their denial must be affirmed, although it must be understood that most are denied on grounds different from those relied upon by the court below (a quo). Claim 3) cannot be entertained because it is more a statement of fact than a claim and is overly general with respect to the demand for performance of obligations; in any event, by granting claims 5) and 9), the Court is ordering performance of what was actually sought in these proceedings. With respect to claim 12), its denial was proper because the properties formerly belonged to Instituto de Desarrollo Agrario and, before that, to the State when the aforementioned expropriation occurred. Claim 13) is likewise improper because granting claim 9) orders the specific performance sought in these proceedings, and granting claim 13) would be duplicative. The denial of claims 7), 8), and 14) was not appealed; consequently, this Court lacks appellate jurisdiction (competencia funcional) to rule on or modify that determination.
The dismissal of the action against the State is not modified because it was indeed proper, since the properties are not part of the public domain (dominio público) of Reserva Forestal Golfo Dulce, as the State itself argued when raising the defense of lack of standing to be sued. Likewise, with respect to the counterclaim (reconvención), the judgment must be reversed insofar as it granted in its entirety the counterclaim brought by EL INSTITUTO DE DESARROLLO RURAL against COMPAÑÍA HERMANOS BRENES SOCIEDAD ANÓNIMA and denied the defense of lack of legal right. Instead, that defense is granted because the Institute presently has no right to invoke the nullity of the sale of property belonging to another, given the subsequent validation that occurred, nor to allege breach of the restrictions under the land-allocation agreement, because the sales occurred before that agreement legally came into existence and the properties are currently free of restrictions and encumbrances in favor of said Institute.
Consequently, the counterclaim must be dismissed in its entirety. In view of the foregoing, given the manner in which this matter has been decided at this level, and pursuant to article 55 of Ley de Jurisdicción Agraria, the judgment must also be partially reversed with respect to the award of costs, as follows: Regarding the action, defendant [Nombre3] shall be ordered to pay the court costs and attorney fees (costas procesales y personales) incurred by the plaintiff, with no special award of costs as to codefendants Instituto de Desarrollo Rural and the State. This is because the Institute had grounds to litigate, since the properties had previously been subject to a mortgage lien and restrictions in its favor, and the scope of the nullity of a sale of property that had at one time belonged to that institution had to be adjudicated. As to the State, the matter is resolved in this manner because the plaintiff company had grounds to sue it, given that evidence was submitted indicating that the property was located within Reserva Golfo Dulce, and the scope and nature of the expropriation decrees had to be analyzed.
Lastly, as to the costs of the counterclaim brought by Instituto de Desarrollo Rural, although the lower court’s ruling was reversed at this level, the counterclaimant is likewise deemed to have had grounds to litigate because a land-allocation agreement existed and the Institute had previously held registered title to the properties.
POR TANTO
As to the matters appealed, regarding the action: The judgment is partially reversed insofar as it dismissed in its entirety the action filed by COMPAÑÍA HERMANOS BRENES SOCIEDAD ANÓNIMA against [Nombre3] and INSTITUTO DE DESARROLLO RURAL, all of the particulars stated above; sustained the defenses of lack of legal right and lack of standing to sue and be sued raised by them; and ordered the plaintiff to pay both categories of costs. Instead, the following is ordered: 1) The defenses of lack of legal right and lack of standing to sue and be sued raised by [Nombre3] and Instituto de Desarrollo Rural are denied. 2) Claims

Actúa como abogado director de la Sociedad actora el letrado Jorge Eduardo Brenes Brenes, colegiado quince mil ochocientos siete; como apoderada especial judicial del Instituto, la licenciada Marianela Quirós Mora, mayor, soltera, abogada, vecina de Pérez Zeledón, cédula de identidad número CED8 - - , además participó como abogada directora del demandado [Nombre3] , la licenciada Leda Carvajal Oviedo, carné once mil doscientos veintidós. El proceso se tramita ante el Juzgado Agrario del Segundo Circuito Judicial de la Zona Sur, con sede en Corredores.- R E S U L T A N D O:
Redacta la Jueza FISHER GONZÁLEZ y;
CONSIDERANDO
I.El Tribunal no avala parte del hecho tenido por demostrado a), dado que se considera debe reformularse de la siguiente manera: El demandado [Nombre3] es el titular registral de las fincas del Partido de Puntarenas, matrículas [Placa1] y [Placa2], sitas en el [Dirección5] , , descritas en su orden en los planos catastrados P-0180924-1994 y P-0180923-1994, las cuales actualmente no soportan limitaciones de la Ley de Tierras y Colonización y se encuentran libres de gravámenes hipotecarios. (consultas registrales a folios 501 y 502 del expediente). El hecho b) no se prohija y en su lugar se tiene el siguiente: Mediante Decreto Ejecutivo N° 8494-A del 28 de abril de 1978, se creó la reserva Forestal Golfo Dulce, pero se hizo la salvedad de la fincas ya inscritas incluidas dentro de esa área, siendo que posteriormente se dicta el Decreto Ejecutivo No. 10088-G-H del 2 de mayo de 1979, a través del cual se expropian las fincas del Partido de Puntarenas matrículas [Placa7], [Placa8] y [Placa9], las cuales se indicó formaban parte de una sola unidad agrícola-forestal, siendo que a su vez se autorizó en ese decreto, para que la Procuraduría General de la República traspasara esos inmuebles al en ese entonces Instituto de Tierras y Colonización para que los destinara a los fines de la ley 2825, lo que originó el Asentamiento Osa.
(ver decreto de expropiación a folios 365 a 370). El hecho c) no se aprueba en la forma como está redactado por mezclar situaciones que ameritan estructuración separada y se replantea de la siguiente manera: Mediante escritura pública No. 43, otorgada ante el Notario Carlos Villanueva Maydana, de las quince horas del veinticuatro de mayo de mil novecientos noventa y cuatro, el demandado [Nombre3] vendió a la sociedad actora, la materialidad descrita en el plano catastrado P-0180924-1994, por la suma de diez millones novecientos treinta y cuatro mil quinientos setenta y nueve colones; y mediante escritura pública No. 844 de las quince horas y treinta minutos del veinticuatro de mayo de mil novecientos noventa y cuatro, otorgada ante el mismo notario, el citado [Nombre3] vende a la misma sociedad la finca descrita en el plano catastrado P-0180923-1994, por la suma de setecientos mil novecientos treinta y seis colones.
(escrituras públicas a folios 40 a 48). Se avala el d). El e) no se aprueba en virtud de que varios aspectos relevantes en torno al mismo ya se incluyeron en los hechos reformulados en esta instancia, debiendo en su lugar tenerse el siguiente: Las fincas del Partido de Puntarenas matrículas [Placa7], [Placa8] y [Placa9], fueron traspasadas por el Estado al Instituto de Tierras y Colonización, siendo que posteriormente éste las reúne en una sola, naciendo la finca matrícula [Placa10]. (Informe del Coordinador General Área Registral del Registro Nacional a folio 178, antecedentes registrales de esos inmuebles a folios 371 a 414, contestación de la demanda de la Procuraduría General de la República a folios 97 a 104 y contestación de la demanda del Instituto de Desarrollo Rural a folios 74 a 82, certificaciones registrales a folios 1 al 4). Se prohija el hecho f). Asimismo deben de añadirse al elenco probatorio los siguientes hechos: g) Mediante acuerdo de Junta Directiva No. 72-95 del 15 de noviembre de 1995, el Instituto de Desarrollo Agrario, hoy Instituto de Desarrollo Rural, adjudicó al demandado [Nombre3] las parcelas [Dirección6] , pertenecientes a la finca matrícula CED11, con áreas respectivamente de quince hectáreas siete mil doscientos sesenta y tres metros con veinticuatro decímetros cuadrados y doscientas treinta y cuatro hectáreas con cuatro mil setecientos treinta y seis metros con ochenta y tres decímetros cuadrados, cuyas limitaciones iniciaron el 17 de noviembre de 1995 y vencieron el 17 de noviembre del 2010, naciendo así las fincas objeto de este litigio matrículas CED12 y CED13.
(copias de acuerdo de Junta Directiva a folios 286 y 287 y certificaciones a folios 1 al 4). h) Desde que la sociedad actora adquiere los fundos de parte del demandado, es decir desde el año 1994, ha ejercido posesión en los mismos, a través de cuido, mantenimiento de carriles y rótulos, y gestión del pago de servicios ambientales. (testimonial de [Nombre5] a folios 348 y [Nombre6] a folio 353, reconocimiento judicial a folio 432, contrato de servicios ambientales a folios 310 a 328).
II.Tocante a los hechos no probados identificados a) y b) los mismos no se comparten en virtud de lo que se ha tenido por acreditado en esta instancia, y en torno al c) no se emite pronunciamiento al no ser parte de lo apelado.
III.El representante de la demandante Compañía Hermanos Brenes S.A., [Nombre1] , interpuso su recurso de apelación con base en los siguientes agravios:
IV.Este Tribunal estima oportuno hacer referencia en primer término, a lo reclamado en el segundo agravio, ya que está referido a si las fincas en discusión forman parte o no de la Reserva Forestal Golfo Dulce. En este sentido debe de indicarse que aunque el a quo tuvo por probado que los bienes objeto de este litigio estaban inmersos dentro del área geográfica que abarca dicha reserva (aspecto que ha sido modificado en esta instancia), lo cierto es que analizada integralmente la sentencia, los verdaderos motivos por los cuales rechaza la demanda es por considerar que se había transado la venta de una cosa ajena que pertenecía al Instituto de Desarrollo Agrario -hoy día Instituto de Desarrollo Rural- y por haberse violentado el artículo 67 de la Ley de Tierras y Colonización en lo relacionado al contrato de asignación de tierras. Sin embargo, se considera importante aclarar este tema, para posteriormente analizar los otros agravios que sí combaten los verdaderos fundamentos o pilares en los que descansa el fallo recurrido.
La Procuraduría General de la República, en su carácter de representante del Estado, que ha sido demandado en este proceso, tanto en su escrito de contestación (folio 97 a 104) como en el alegato de conclusiones (folios 493 a 497), ha sostenido que aunque los bienes en litigio se ubican en lo que geográficamente se entiende como la Reserva Golfo Dulce, los mismos formaron parte del Asentamiento Osa, propiedad del Instituto de Desarrollo Rural, que a su vez correspondía a fincas inscritas, pertenecientes al dominio privado cuando se crea la reserva, de manera que esos inmuebles no fueron afectados al dominio público como parte de esa reserva, sino que aunque expropiados por el Estado, fueron transmitidos al IDA para fines distintos, propios de la ley 2825. Tan es así que el Estado opone la excepción de falta de legitimación pasiva al considerar que no se está debatiendo o reclamando un bien perteneciente a dicha reserva o al dominio público y que por lo tanto no se afectan intereses estatales.
Por su parte el INDER en su contestación (folios 74 a 82), aduce que los fundos formaron parte del Asentamiento Osa y que le fueron adjudicados al demandado [Nombre3] por medio de un contrato de asignación de tierras, y por ello contrademanda reclamando la violación del artículo 67 de la Ley de Tierras y Colonización, en virtud de que se enajenó el bien estando vigente el contrato, lo que estima lleva a la nulidad de los contratos de compraventa entre las partes, y además alega vicios de esas transacciones por haberse vendido bienes que pertenecían en ese momento a esa institución. No se pretende en la contrademanda la nulidad del título de propiedad del demandado [Nombre3] . De este modo resulta claro que no se trata de un reclamo o reconvención que pretenda la declaratoria de los bienes como parte del dominio público propio de la Reserva Forestal Golfo Dulce, sino que tanto la Procuraduría como el INDER han alegado que las fincas formaban parte de ese patrimonio del INDER, constituido para los fines de parcelamiento la Ley de Tierras y Colonización, y que luego es adjudicado por medio del contrato de asignación de tierras.
En todo caso, y a mayor abundamiento, esta Cámara constata que mediante Decreto Ejecutivo N° 8494-A del 28 de abril de 1978, se creó la reserva Forestal Golfo Dulce, pero en su artículo 8, se hizo la salvedad de la fincas ya inscritas incluidas dentro de esa área. Asimismo tal y como se deriva de la documental aportada por la propia representación del Estado, posteriormente se dicta el Decreto Ejecutivo No. 10088-G-H del 2 de mayo de 1979, a través del cual se expropian las fincas del Partido de Puntarenas matrículas [Placa7], [Placa8] y [Placa9], pertenecientes en aquel momento a Osa Productos Forestales S.A / Agroindustrial Rincón S.A., y O.Sociedad Anónima, las cuales se indicó en el decreto, formaban parte de una sola unidad agrícola-forestal, siendo que a su vez se autorizó en el mismo para que la Procuraduría General de la República traspasara esos inmuebles al en ese entonces Instituto de Tierras y Colonización para que los destinara a los fines de la ley 2825, lo que originó el Asentamiento Osa.
(ver decreto de expropiación a folios 365 a 370). Posteriormente, y conforme lo ordenara ese decreto, la Procuraduría General de la República transmite el dominio de esas fincas al Instituto de Tierras y Colonización, siendo que luego éste las reúne en una sola, naciendo la finca matrícula [Placa10]. Esa reunión se ha acreditado con el Informe del Coordinador General del Área Registral del Registro Nacional a folio 178, el cual no ha sido controvertido por la partes, así como los antecedentes registrales de esos inmuebles a folios 371 a 414, y la contestación de la demanda de la Procuraduría General de la República a folios 97 a 104 y del Instituto de Desarrollo Rural a folios 74 a 82. De igual manera, conforme a las certificaciones registrales de folios 1 al 4, se infiere que los inmuebles objeto de este litigio provienen de esa finca reunida. Así las cosas, lleva razón el apelante que los bienes no están comprendidos en lo que se entiende como parte del dominio público de la Reserva Golfo Dulce, y no debió de indicarse eso en el fallo.
Sin embargo resulta importante aclarar que pese a que hoy día se encuentran en el dominio privado, no implica que están exentos de las limitaciones forestales, porque el propio artículo 8 citado estipuló que quedaban automáticamente sometidas al Régimen Forestal.
V.Los agravios restantes se procederán a resolver en conjunto dada la naturaleza de lo debatido, considerando este órgano jurisdiccional que lleva razón en parte el recurrente. Se ha acreditado en autos que mediante escritura pública No. 43, otorgada ante el Notario Carlos Villanueva Maydana, de las quince horas del veinticuatro de mayo de mil novecientos noventa y cuatro, el demandado [Nombre3] vendió a la sociedad actora, la materialidad descrita en el plano catastrado P-0180924-1994, por la suma de diez millones novecientos treinta y cuatro mil quinientos setenta y nueve colones; y mediante escritura pública No. 844 de las quince horas y treinta minutos del veinticuatro de mayo de mil novecientos noventa y cuatro, otorgada ante el mismo notario, el citado [Nombre3] vende a la misma sociedad la finca descrita en el plano catastrado P-0180923-1994, por la suma de setecientos mil novecientos treinta y seis colones (folios 40 a 48).
Se deriva de ambas escrituras que las partes acordaron que dado que el vendedor estaba realizando trámites ante el Instituto de Desarrollo Agrario (hoy INDER) para obtener su título, y que por ello los inmuebles soportarían limitaciones, éste se comprometía a diligenciar lo necesario para que dichos inmuebles fuesen transmitidos en su oportunidad al comprador. Asimismo se tiene que con posterioridad al otorgamiento de esas escrituras, mediante acuerdo de Junta Directiva No. 72-95 del 15 de noviembre de 1995, el Instituto de Desarrollo Agrario, hoy Instituto de Desarrollo Rural, adjudicó al demandado [Nombre3] las parcelas [Dirección10] del Asentamiento Osa, pertenecientes en su momento a la finca matrícula CED11, con base en los planos anteriormente citados, cuyas limitaciones iniciaron el 17 de noviembre de 1995 y vencieron el 17 de noviembre del 2010, naciendo así las fincas objeto de este litigio matrículas CED12 y CED13.
(copias de acuerdo de Junta Directiva a folios 286 y 287 y certificaciones a folios 1 al 4). El a quo consideró que debía de rechazarse la demanda porque cuando las partes transan los bienes, esa materialidad era propiedad del IDA, como titular de la finca que comprendía el Asentamiento Osa, lo que implica una nulidad por venta de cosa ajena; y además porque estando las parcelas sometidas al régimen del artículo 67 de la Ley de Tierras y Colonización, y conociendo las partes esas limitaciones, también se produjo una nulidad de esas ventas porque existía prohibición de enajenación. Sin embargo, analizado detenidamente este caso particular, este Tribunal respeta pero no comparte la valoración jurídica efectuada por el juez de instancia. Por un lado, se ha probado que la finca 39334-000, de la cual provienen los inmuebles hoy día inscritos a nombre del demandado [Nombre3] , era propiedad del IDA cuando las partes realizan las compraventas.
Tal y como se expuso supra esa materialidad física forma parte del objeto expropiado mediante Decreto Ejecutivo No. 10088-G-H del 2 de mayo de 1979, pues se expropian las fincas del Partido de Puntarenas matrículas [Placa7], [Placa8] y [Placa9], que son los antecedentes registrales de la finca 39334-000. De hecho en la certificaciones registrales de las parcelas en litigio matrículas [Placa1] y [Placa2], se observa que provienen de esa finca del IDA 39334-000, y fueron inscritas a nombre del demandado [Nombre3] el 11 de diciembre de 1995. Lógicamente esa segregación que se hace a favor de dicho demandado, lo es en virtud de que el Instituto era el titular registral de esa finca que comprendía el Asentamiento Osa, y no cabe duda que cuando las partes realizan los contratos éste era su titular. Sin embargo, no debe de perderse de vista que aunque el vendedor [Nombre3] dispone de esos bienes sin ser su titular registral, posteriormente llega a tener esa condición.
Tan es así que actualmente ostenta esa titularidad registral, libre de gravámenes y limitaciones a favor del Instituto (ver consultas actualizadas a folios 501 y 502). Bajo esta inteligencia, aunque el artículo 1061 del Código Civil sanciona con nulidad absoluta la venta de cosa ajena, éste no puede aplicarse en forma aislada, pues ese cuerpo legal prevé supuestos de convalidación. Así el ordinal 1063 establece que "la nulidad de la venta de cosa ajena, queda salvada si el verdadero propietario ratifica la enajenación, o si el vendedor llega a ser ulteriormente propietario de la cosa vendida" (el énfasis no es del original). Al ostentar el demandado [Nombre3] actualmente esa titularidad, el Instituto de Desarrollo Rural no lleva razón en su reconvención de pretender anular la venta por ese motivo, y no debió de acogerse esa petición de nulidad de venta de cosa ajena, de ahí que proceda revocarse lo resuelto en ese sentido.
En virtud de lo anterior la discusión de si hubo o no buena fe en la contratación por conocer las partes que el bien estaba inscrito a nombre del IDA, carece de interés en la solución de este asunto, y no es un argumento o motivo para desestimar la demanda, ya que el mismo ordenamiento permite la subsanación de la nulidad, si como se indicó, el vendedor posteriormente llega a ser el titular. [Nombre11] en este caso, en que las parte pactan de esa manera, precisamente por la expectativa que tenían de regularizar el título a través de un procedimiento administrativo, sin dejar de lado que esa titularidad del IDA era precisamente para fines de adjudicar parcelas a poseedores. Queda así por examinar lo referente al incumplimiento del contrato de asignación de tierras, propiamente el artículo 67, que en lo que interesa establece lo siguiente: "El beneficiario no podrá traspasar el dominio de su predio ni gravarlo, arrendarlo o subdividirlo sin autorización del Instituto, excepto que hayan transcurrido quince años desde la adquisición de la parcela y de que todas las obligaciones con dicho organismo estuvieren canceladas.
( ) Tampoco podrá, sin esa autorización y durante el mismo término, gravar las cosechas, semillas, animales, enseres, útiles o equipos necesarios para la explotación de la parcela, a menos que todas sus obligaciones con el Instituto estuvieren canceladas. Para autorizar el gravamen del inmueble se requieren cuatro votos conformes de la Junta Directiva. Será absolutamente nulo cualquier contrato que se celebre sin que se cumplan las disposiciones anteriores." En el subjúdice, resulta claro que cuando las partes efectúan la compraventa, el vendedor todavía no estaba sujeto al contrato de asignación de tierras, pues lo que tenía en ese momento era una expectativa de obtener un título inscribible. La norma es categórica que el beneficiario -entiéndase adjudicatario - no podrá traspasar el dominio de su predio excepto hayan transcurrido quince años desde la adquisición de la parcela, lo que significa que esa limitación rige a partir de la suscripción del contrato.
El recurrente alega que cuando el demandado [Nombre3] le vende, ya ostentaba el derecho de propiedad, por medio de usucapion, que había adquirido incluso por compra al tercero [Nombre4] desde el año 1979 (ver documento privado con fecha cierta a folios 35y 36), y que por eso el marco legal de las sanciones por incumplimiento de las limitaciones, no le pueden ser aplicadas en la forma como lo hizo el juzgador de instancia. Sin embargo, no es por ese fundamento que deba acogerse la demanda, pues si esa era en realidad la situación jurídica del poseedor, debió de hacerse valer, previo a la adjudicación, a través de la declaratoria de la prescripción positiva a su favor, conforme lo prevén los artículos 92 y 101 de la Ley de Tierras y Colonización, que regula el reconocimiento de la posesión en precario decenal (usucapion especial agraria), y de la que se deriva que, con intervención del Instituto, podrá obtener su título inscribible, sin soportar limitaciones, debiendo esa entidad cobrarle únicamente los gastos que demanden la medida, adjudicación y titulación.
No obstante, el citado [Nombre3] acepta regularizar su situación y la obtención de un título inscribible a través de un mecanismo legal distinto. Ahora bien, aunque las partes hayan manifestado en las compraventas de marras, que en su oportunidad el vendedor debía de transmitir la titularidad registral al comprador, posterior a la obtención del título por medio del IDA, ello no implica que se haya dado una violación al artículo 67, y en esto sí lleva razón el apelante. La norma establece la prohibición de enajenar estando vigente el contrato, y en la especie conforme se indicó supra, las ventas acaecen antes de que ese contrato naciera a la vida jurídica, razón por la cual tratándose de materia sancionatoria, no pueda interpretarse que la norma tiene un alcance o potencialidad para anular un acto previo. Dada la particularidad de este caso - en contraposición a otros en los que estando un poseedor bajo los efectos del contrato de asignación de tierras vende la parcela a un tercero-, se estima que si la enajenación se hubiese hecho durante el contrato se podría aplicar la nulidad absoluta, pero si se hizo antes, y al no haber el Instituto nunca iniciado un procedimiento de revocatoria por incumplimiento del adjudicatario de ejercer la posesión o gestión del bien, y estando ya libres ambas parcelas de limitaciones o gravámenes a favor del Instituto, la parte actora está legitimada para alegar el cumplimiento de lo pactado, pues se está en presencia de la ejecución forzosa de un contrato que se enmarca dentro de lo negociado por las partes en virtud del principio de autonomía de la voluntad.
Así tiene el derecho el actor de reclamar el título registral, y hacer coincidir la realidad registral con la material. Lleva razón la parte demandante, que desde que compró los inmuebles en el año 1994, ha ejercido posesión en los mismos, a través de cuido, mantenimiento de carriles y rótulos, y gestión del pago de servicios ambientales. Así el testigo [Nombre5] expuso que labora para la empresa actora desde el año 1994, que nunca se ha extraído madera, se limpian los carriles y se cuida que otros no ingresen a la propiedad a hacer daños (folios 348). En el mismo sentido [Nombre6] manifestó laborar para la actora desde el año 1998, que se colocaron rótulos en virtud de que la finca se sometió a protección del bosque, que periódicamente se chapean los linderos y se inspeccionan rótulos, y que la actora es la que se ha mantenido en posesión (folio 353). De igual modo en el reconocimiento judicial, se constató la existencia de un rótulo,la naturaleza de montaña, y carriles de cuatro metros de ancho que delimitan el terreno (folio 432), siendo que la parte ha percibido incentivos por servicios ambientales según documentación aportada los autos ( folios 310 a 328).
Por otro lado, prueba testimonial también refiere que el demandado [Nombre3] -antes de vender a la sociedad actora- poseía la materialidad, e incluso hay datos que anteriormente fue poseída por su transmitente [Nombre4] . En este sentido el declarante [Nombre5] refirió conocer al demandado desde que llegó al lugar a vivir con sus padres donde un tío suyo de nombre [Nombre7] , y que antes esa propiedad había sido de [Nombre4] (folio 348), y el testigo [Nombre10] , funcionario del INDER, indicó que antes de que se formalizara la adjudicación a [Nombre3] , se había constatado que la finca había sido sometida a regeneración y una parte a reforestación y que el área de titulaciones determinó previamente que [Nombre3] era el poseedor (folio 349). Tales datos guardan relación con un documento privado con fecha cierta, suscrito el 9 de marzo de 1979, en que [Nombre4] le transmite a [Nombre3] , refiriendo ese documento que el anterior ocupante era [Nombre7] .
De acuerdo a lo expuesto, lleva razón el recurrente que la sentencia debe de ser revocada porque se demostró que había adquirido el bien por compraventa y que el demandado se había comprometido a formalizar la transmisión y proceda también declarar sin lugar la reconvención interpuesta por el Instituto de Desarrollo Rural, al ser improcedente la nulidad de la compraventa llevada a cabo entre las partes.
VI.De conformidad con lo anteriormente expuesto, en lo que ha sido objeto de apelación, procede revocar parcialmente el fallo en cuanto declaró sin lugar en todos sus extremos la demanda interpuesta por COMPAÑÍA HERMANOS BRENES SOCIEDAD ANÓNIMA en contra de [Nombre3] e INSTITUTO DE DESARROLLO RURAL y acogió las excepciones de falta de derecho y falta de legitimación activa y pasiva por éstos interpuesta; en su lugar procede rechazar las excepciones de falta de derecho y falta de legitimación activa y pasiva opuestas por dichos demandados , dado que a la parte actora la asistía la legitimación y el derecho de reclamar la ejecución forzosa de lo pactado ante el incumplimiento del demandado [Nombre3] de su obligación de transmitir la titularidad registral del bien, además porque operó una convalidación de la venta de cosa ajena que en algún momento perteneció al Instituto, de igual forma porque se demostrara que la enajenación de los bienes ocurrió antes del nacimiento jurídico del contrato de asignación de tierras, siendo que los bienes hoy día se encuentran libres de limitaciones y gravámenes a favor del INDER.
Así las cosas en cuanto a la demanda deberá acogerse parcialmente, propiamente las pretensiones 4) y 5), en el sentido que las compraventas de los inmuebles efectuadas por las partes tienen la naturaleza de ser contratos traslativos de dominio que fueron suscritos antes de que se realizara la titulación por parte del Instituto de Desarrollo Rural; y que el demandado [Nombre3] se comprometió a presentar ambos contratos antes las Oficinas del Instituto de Desarrollo Rural a fin de obtener la aprobación del mismo por parte de la Junta Directiva, o que una vez vencidas las limitaciones se comprometió a realizar el respectivo traspaso de las propiedades a nombre de la actora, situación que no ha cumplido. Asimismo debe de acogerse la 6) petitoria y proceda declarar que la sociedad actora, ha venido ejerciendo la posesión de buena fe, en forma pública, pacífica e ininterrumpida, siendo que el bien se lo había transmitido el demandado [Nombre3] , quien a su vez la había adquirido de [Nombre4] y éste a su vez de [Nombre7] .
De igual modo la 9) petitoria, en el tanto proceda declarar que el demandado deberá de comparecer ante persona Notaria Pública, previamente autorizada por el despacho que deberá conceder el plazo estipulado en el artículo 698 del Código Procesal Civil, para realizar el traspaso de dominio a la sociedad actora de las fincas del Partido de Puntarenas matrículas CED12 y [Placa2], y en caso de negativa procederá el juez o jueza de instancia a firmar la respectiva escritura pública, conforme lo estipula esa misma norma. También se acoge la 10) petitoria en el sentido que se declara a Compañía Hermanos Brenes Sociedad Anónima, como legítima propietaria de los bienes inmuebles matrículas CED12 y CED13, de manera que en cuanto a lo peticionado de que se ordene la restitución de todos los derechos que conlleva el dominio y la condición de legítimo poseedor se entiende que ya están inmersos en la declaratoria que se hace de su derecho de propiedad, habida cuenta que no se ha reclamado el despojo del bien, ni la restitución de la posesión, pues se demostró que la ha venido ejerciendo la parte actora.
Tocante a las restantes pretensiones, este Tribunal considera que debe de confirmarse su rechazo pero debe de entenderse que en su mayoría lo es por fundamentos distintos a los que motivaron al a quo. Así la pretensión 3) es inatendible por tratarse más de un hecho que una pretensión y ser muy genérica en cuanto al reclamo del compromiso de obligaciones, y en todo caso al acogerse las petitorias 5) y 9) se está ordenando el cumplimiento de lo verdaderamente reclamado en este proceso. Por otro lado con respecto a la petitoria 12) su denegatoria procedía pues en alguna oportunidad los inmuebles pertenecieron al Instituto de Desarrollo Agrario, y previamente al Estado cuando se hizo la expropiación supra aludida. De igual modo resulta improcedente la 13) pretensión pues al acogerse la 9) se está ordenando la ejecución puntualmente reclamada en este proceso y acogerla implicaría una reiteración.
En relación a las petitorias 7), 8) y 14) su rechazo no fue objeto de apelación de ahí que no proceda emitir pronunciamiento o variar lo resuelto, al carecer este Tribunal de competencia funcional para ello. No se modifica la declaratoria sin lugar de la demanda contra el Estado pues efectivamente ello procedía al no estar los inmuebles comprendidos dentro del dominio público de la Reserva Forestal Golfo Dulce, conforme lo argumentó el mismo Estado al interponer la excepción de falta de legitimación pasiva. Asimismo respecto a la reconvención: deberá revocarse el fallo en cuanto declaró con lugar en todos sus extremos la contrademanda establecida por EL INSTITUTO DE DESARROLLO RURAL en contra de COMPAÑÍA HERMANOS BRENES SOCIEDAD ANÓNIMA y rechazó la excepción de falta de derecho, y en su lugar se acoge esa excepción al no ostentar el Instituto derecho actual para invocar la nulidad de venta de cosa ajena, dada la convalidación ocurrida, ni para solicitar incumplimiento de limitaciones del contrato de asignación de tierras al haber ocurrido las compraventas con anterioridad al nacimiento de ese contrato y al estar los inmuebles actualmente libre de limitaciones y gravámenes a favor de dicho Instituto, y en consecuencia deberá de rechazarse la reconvención en todos sus extremos.
En virtud de lo anterior dada la forma como ha sido resuelto este asunto ante esta instancia, y al tenor del artículo 55 de la Ley de Jurisdicción Agraria, procede también revocar parcialmente el fallo en cuanto a la condenatoria en costas, de la siguiente manera: En cuanto a la demanda procederá condenar al demandado [Nombre3] a las costas procesales y personales en que incurriera la parte actora, y resolver sin especial condenatoria en cuanto los codemandados Instituto de Desarrollo Rural y el Estado. Lo anterior porque al Instituto lo asistieron motivos para litigar, al haber soportado los inmuebles en su oportunidad gravamen hipotecario y limitaciones a su favor y debía debatirse sobre los alcances de la nulidad de venta de cosa perteneciente en algún momento a esa institución. En cuanto al Estado se resuelve así porque a la sociedad actora la asistieron motivos para demandarlo, dado que se aportó prueba que indicaba que el bien se ubicaba dentro de la Reserva Golfo Dulce, y debía de analizarse los alcances y naturaleza de los decretos de expropiación.
Por último en cuanto a las costas de la contrademanda establecida por el Instituto de Desarrollo Rural, pese a que en esta instancia se revocó lo resuelto, de igual manera se estima que al reconventor lo asistieron motivos para litigar, al haber existido un contrato de asignación de tierras y haber ostentado el Instituto la titularidad registral de los inmuebles en su oportunidad.
POR TANTO
En lo que ha sido objeto de apelación, en cuanto a la demanda: Se revoca parcialmente el fallo en cuanto declaró sin lugar en todos sus extremos la demanda interpuesta por COMPAÑÍA HERMANOS BRENES SOCIEDAD ANÓNIMA en contra de [Nombre3] e INSTITUTO DE DESARROLLO RURAL, todos de calidades citadas, acogió las excepciones de falta de derecho y falta de legitimación activa y pasiva por éstos interpuesta y condenó a la parte actora al pago de ambas costas. En su lugar se resuelve: 1) Se rechazan las excepciones de falta de derecho y falta de legitimación activa y pasiva opuestas por [Nombre3] e Instituto de Desarrollo Rural. 2) Se acogen las pretensiones 4) y 5), y se declara que las compraventas de los inmuebles objeto de este litigio, efectuadas por la demandante y el codemandado [Nombre3] tienen la naturaleza de ser contratos traslativos de dominio que fueron suscritos antes de que se realizara la titulación por parte del Instituto de Desarrollo Rural; y que el demandado [Nombre3] se comprometió a presentar ambos contratos antes las Oficinas del Instituto de Desarrollo Rural a fin de obtener la aprobación del mismo por parte de la Junta Directiva, o que una vez vencidas las limitaciones se comprometió a realizar el respectivo traspaso de las propiedades a nombre de la actora, situación que no ha cumplido.
Asimismo se acoge la 6) petitoria y se declara que la sociedad actora, ha venido ejerciendo la posesión de buena fe, en forma pública, pacífica e ininterrumpida, siendo que el bien se lo había transmitido el demandado [Nombre3] , quien a su vez la había adquirido de [Nombre4] y éste a su vez de [Nombre7] . 3) Se acoge la 9) petitoria, y se declara que el demandado [Nombre3] deberá de comparecer ante persona Notaria Pública, previamente autorizada por el despacho, que deberá conceder el plazo estipulado en el artículo 698 del Código Procesal Civil, para realizar el traspaso de dominio a la sociedad actora de las fincas del Partido de Puntarenas matrículas [Placa1] y [Placa2], y en caso de negativa procederá el juez o jueza de instancia a firmar la respectiva escritura pública. 4) Se acoge la 10) petitoria en el sentido que se declara a Compañía Hermanos Brenes Sociedad Anónima, como legítima propietaria de los bienes inmuebles matrículas [Placa1] y [Placa2], de manera que en cuanto a lo peticionado de que se ordene la restitución de todos los derechos que conlleva el dominio y la condición de legítimo poseedor se entiende que ya están inmersos en la declaratoria que se hace de su derecho de propiedad, habida cuenta que no se ha reclamado el despojo del bien, ni la restitución de la posesión, pues se demostró que la ha venido ejerciendo la parte actora. 5) Se condena al demandado [Nombre3] al pago de las costas procesales y personales en que incurriera la parte actora, y se resuelve sin especial condenatoria en costas en cuanto a los codemandados Instituto de Desarrollo Rural y el Estado.
En cuanto a la contrademanda: Se revoca el fallo en cuanto declaró con lugar en todos sus extremos la contrademanda establecida por EL INSTITUTO DE DESARROLLO RURAL en contra de COMPAÑÍA HERMANOS BRENES SOCIEDAD ANÓNIMA y rechazó la excepción de falta de derecho, y en su lugar se acoge esa excepción interpuesta, se declara sin lugar en todos sus extremos la contrademanda y se resuelve sin especial condenatoria en costas. En lo demás se confirma el fallo.
