I.BACKGROUND
On February 20, 2025, official letter AL-CE23167-016-2025, dated February 20, 2025, was received by this administrative body via electronic mail, indicating that the Special Commission on State Modernization and Reform, pursuant to the motion approved in session 59, resolved to consult the Commission to Promote Competition (hereinafter, "COPROCOM") for its opinion on the bill Expediente N° 24.139 "LAW TO ORDER THE CLOSURE OF RECOPE AND PROHIBIT OIL AND GAS EXPLORATION AND EXPLOITATION," which was attached. In this regard, a period of eight business days was granted to address the consultation, for which, on February 7, 2025, an eight-day extension was requested via electronic mail, which was granted, extending the deadline to March 3 of the current year.
II.ON COPROCOM'S AUTHORITY TO ISSUE OPINIONS AND RECOMMENDATIONS
In accordance with the provisions of numeral 3, paragraph h), in relation to Article 21, both of the Law on Strengthening Competition Authorities of Costa Rica, N°9736, COPROCOM has the authority to issue opinions and recommendations in matters of competition and free market access (libre concurrencia), with respect to laws, regulations, agreements, circulars, and other administrative acts and resolutions, whether in force or in the process of adoption, and the opinion issued shall not have binding effects.
In this regard, the aforementioned Article 21 of Ley N°9736 provides, insofar as relevant to our purposes, the following:
"ARTICLE 21 – Issuance of Opinions and Recommendations The Governing Body of each competition authority may issue opinions and recommendations in matters of competition and free market access, ex officio or upon request of the Executive Branch, the Asamblea Legislativa, other public entities, or any interested party, concerning the enactment, amendment, or repeal of laws, regulations, agreements, circulars, and other administrative acts and resolutions, whether in force or in the process of adoption. It may likewise issue opinions on tender specifications or administrative procurement bidding documents whose elements may obstruct the principle of competition and free market access. The opinions issued by each competition authority shall not have binding effects.
Those public entities that depart from these opinions regarding the enactment, amendment, or repeal of regulations, agreements, circulars, and other administrative acts and resolutions, whether in force or in the process of adoption, shall be obligated to inform the corresponding competition authority of their reasons within a period of no more than thirty calendar days. Such report must be signed by the hierarchical superior of the public entity that issues it. (…)." (Emphasis ours.)
Such authority falls within the scope of competition advocacy (Promoción y Abogacía de la Competencia)¹, that is, advocating for competition through the issuance of opinions and guidelines, the conduct of market studies and advisory, training, and outreach activities, with the aim of fostering and driving improvements in the process of competition and free market access; eliminating and preventing distortions or barriers to entry, and increasing public knowledge and awareness of the benefits of competition.

It is worth noting that the non-binding effect described above in this area does not represent a particular feature of national legislation, but rather stems from a general application of competition law (Derecho de la Competencia)², as observed in various comparative international regulatory frameworks.
² "(…) Competition law (in English: Competition Law, known in the United States as Antitrust Law) is the branch of law responsible for regulating commerce by prohibiting illegal restrictions, price-fixing, and monopolies. It seeks to promote competition among companies operating in a market and to foster the quality of goods and services at the lowest possible price, guaranteeing an efficient market structure.
'Antitrust' has its origins in United States law. The name derives from the fact that this branch of law was created to combat trade trusts. Subsequently, other countries adopted antitrust principles into their legal systems using other terms such as 'competition laws,' 'free competition laws,' or 'anti-monopoly laws.' The objective of competition law is to promote 'fair competition' among companies. It has had a significant impact on business practices and the restructuring of the industrial sector in countries where it has been adopted. Based on the premise that free trade benefits consumers, businesses, and the economy in general, the law prohibits various types of trade restrictions and the abuse of monopolization. (…). Regulatory frameworks against anti-monopolistic practices date back to 1890, with the Sherman Act in the United States of America, which requires the federal government to investigate and prosecute any act or contract tending to generate monopolistic conduct. This constitutes the exercise of a discretionary authority, whereby COPROCOM decides whether or not to issue an opinion; that is, it is not obligated to render an opinion in all cases, only when it deems it appropriate and to the extent and depth it considers adequate, in accordance with its technical competencies and, evidently, from the standpoint and perspective of competition law that falls within its purview.
III.CONSIDERATIONS REGARDING PRIOR OPINIONS OR STUDIES BY COPROCOM
Regarding the issue of opening the hydrocarbon market and RECOPE's monopoly, reference may be made to the opinion issued by COPROCOM in Article 7 of the minutes of Regular Session N° 18-01, issued regarding bill N° 13.782 "Breaking RECOPE's Monopoly" in the activities of importation, refining, and wholesale distribution of crude oil and its derivatives, where the following is recorded:
"Regarding the hydrocarbon market, it can be said that distribution via the oil pipeline (oleoducto) could be considered a segment with the characteristics of a natural monopoly (monopolio natural). Likewise, storage generally constitutes, in the majority of countries, the most significant barrier to entry for new importers and distributors. This is due to the high investment required and, in some cases, the ownership of the best spaces at maritime terminals or the lack of space at deep-water ports. On the other hand, there are other segments of this market that could be considered competitive, such as distribution via tanker trucks and crude oil refining. Thus, as a general rule, whoever holds dominance over the oil pipeline and the infrastructure should, in principle, not participate in competitive markets, unless special regulations establish rules that guarantee equal treatment between operators using said infrastructure and the dominant operator." Furthermore, the text submitted for consultation references prior opinions of this Body, namely Opinion N° 08-2018, of May 2, issued following a study of the Social Postal Communication Service; and Opinion 02-2018 of February 13, 2018, issued following a study on the alcohol sector.
Regarding opinions 02-2018 and 02-2020 of this Body: in the first, 02-2018, an opinion was issued based on a market study on the monopoly on alcohol production in Costa Rica; of relevance, it was stated: "the existence of the alcohol monopoly in the country generates significant efficiency losses (pérdidas de eficiencia) in society (or social welfare losses (pérdidas de bienestar social)) according to the consultant's estimates, and it particularly affects participants in the market for the production and marketing of liquors, the industry that requires the product as an input (insumo), and consumers who see their options limited in terms of variety and price, due to the decisions adopted by FANAL." With respect to Opinion 02-2020, concerning the sale of FANAL, this Body stated, of relevance: "The exercise of monopoly power is one of the greatest problems for the efficient functioning of a market.
If a single company is the one offering a good or service for which no substitutes exist, and it is free to decide prices and the supply conditions of its product or service, then the logic of maximizing its own profits will almost certainly lead it to choose higher prices and smaller quantities than would be socially optimal." In the body of the text, reference is made to Opinion COPROCOM 09-18, concerning the gas station (gasolineras) sector, on which a Market Study was conducted. In this regard, the Opinion of this Body states:
"(...)
Agreement is reached with the consultant that the gas station market or retail fuel sales market in Costa Rica is over-regulated, with the existence of a public monopoly by RECOPE in the importation, refining, storage, and wholesale distribution of fuels, structured around a purchasing system settled through RECOPE. The gas station market is thus a regulated sector; however, it is not excluded from competition regulations, as it does not fall under any of the cases provided for in Article 9 of Ley No 7472.
(...)"
IV.ON THE MOTIVATION AND CONTENT OF THE BILL IN QUESTION
A. On the motivation for the bill The proposed Bill is based — in summary — on the following considerations and motivations:
The proposed Bill identifies the hydrocarbon monopoly as one of a questionable nature when taking into account the findings of the OECD Reports of 2014 and 2020 on the need to reassess public policy objectives that restrict competition.
It is further noted that, in light of the 2016 Accession Review, the country was recommended to identify and carry out a detailed analysis of the sectors and industries currently exempt from competition legislation, with the aim of eliminating those exemptions that lack justification, as well as to examine and implement systems that would allow for periodic evaluation of "legally authorized cartels" and assess the need for their continuation in order to achieve public policy objectives.
The bill notes that COPROCOM has previously indicated, in Opinions such as 08-2012 and Opinion 02-2018, the need to eliminate exceptions to competition law, such as the case of Refinadora Costarricense de Petróleo (hereinafter RECOPE). Likewise, reference is made to a COPROCOM Bulletin, which mentions relevant elements for the analysis of the hydrocarbon market, such as the existence of competitive and non-competitive markets, market characteristics for regulation, structural regulation, market entry, among others. Reference is also included to Article 10 of the minutes of Regular Session N° 18-01, held at 17:30 hours on May 29, 2001, in connection with the administration of the oil pipeline in the context of a bill proposing the privatization of RECOPE, and Opinion N° 09-18 from Expediente 064-17-EM, on the gas station market in Costa Rica, from which the legislator concludes that the gas station or retail fuel sales sector in Costa Rica is excessively regulated, characterized by a public monopoly exercised by RECOPE.
Among other motivations, it notes that RECOPE has been marked by "administrative inefficiency," which has contributed to price instability in the country's domestic market, when price comparisons are made with other countries such as Panama. Additionally, it highlights that the lack of competition in the market has meant the company has had no incentive to improve its operational efficiency.
Along these same lines, it is noted that the degree of RECOPE's inefficiency is reflected in a large payroll (planilla), whose workers benefit from a collective bargaining agreement (convención colectiva), which represented an expenditure of ₡184,000,000,000 in the period 2011–2024, which, the proponent states, are passed on to the gasoline sale price.
The following additional inefficiencies are then identified, such as those noted by audits of the Contraloría General de la República, including failures in RECOPE's internal procedures, deficiencies in procurement processes, and in project execution.
Likewise, the economic cost of administering RECOPE is noted, and the judicial proceedings against the entity and the monetary cost of claims accumulated in various lawsuits are cited as a negative factor. Similarly, mention is made of the security problems associated with protecting the national multi-product pipeline (poliducto) system, and the annual loss reported due to fuel theft.
Finally, the bill text identifies the need to align public policies with international decarbonization commitments for the economy, as well as to prohibit the exploration and exploitation of natural gas and oil in Costa Rica.
B. Content of Bill 24 139 A summary of the content of the bill in question is presented below, showing its various components and elements.

CHAPTER II – ARESEP POWERS IN HYDROCARBON MARKETS
Article 03 ARESEP Powers: Regulatory authority in hydrocarbons. Article 04 Head of Agency Functions.
Powers are established for ARESEP regarding fuel supply. Regulatory authority, including the development of regulatory and technical instruments, with COPROCOM appearing as an entity to be consulted, its opinion being non-binding. In this section, the obligation is assigned to COPROCOM to review all regulatory and normative instruments, as well as future amendments, issued in this hydrocarbon-derived fuel supply market. Among the most relevant instruments are principles and criteria for tariff and price regulation for the relevant markets (mercados relevantes). Regulation and criteria are established for determining the existence of economic operators (agentes económicos) in order to issue measures to prevent "exploitative" acts of substantial market power (poder sustancial de mercado). Likewise, whether or not operators are permitted to participate in more than one relevant market. It is established that the sector authority shall be the Minister of MINAE and sets forth functions such as coordinating sectoral policies aimed at achieving the country's carbon neutrality. Likewise: - overseeing compliance with sector policies. - representing the country in hydrocarbon matters. - granting, jointly with the President of the Republic, the concession of infrastructure procurement.
CHAPTER III – AMENDMENTS TO OTHER LAWS
Corresponds to Articles 05 through 19 of the bill; these include various amendments and repeals of different laws and agreements.
Involves the amendment of various laws, including those related to the environment and ARESEP, as well as the repeal of hydrocarbon laws and others related to RECOPE laws (contracts, savings funds, agreements). Of relevance, the following amendments and repeals are cited: Amends Article 57 of the Ley Orgánica del Ambiente, declaring Costa Rica a territory free of oil and natural gas exploration and exploitation, prohibiting these activities. Amendment to the Law of ARESEP to grant the authority to set prices and tariffs, as well as to oversee regulatory compliance in the hydrocarbon-derived fuel supply service. Repeal of: Ley de Hidrocarburos. Ley del Monopolio Estatal de Hidrocarburos. CHAPTER IV – TRANSITIONAL PROVISIONS
Corresponds to 18 transitional provisions (transitorios) affecting various elements of the implementation period, RECOPE's budget, quality standards issuance, regulatory standards, technical opinion on effective competition (competencia efectiva) and free market access, various infrastructure matters, concessions, various provisions concerning COPROCOM, and provisions on movable and immovable property.
The transitional provisions cover topics relating to the transition period, budget, quality standards, the corresponding technical opinion for determining the existence of effective competition and free market access, structural matters, regulatory rules on assignment, extension, lapsing, and termination of concessions and permits, imposition of fees (cánones), transfer of personnel and movable and immovable property, and settlement of labor benefits (prestaciones).
It can be seen that the bill raises four major topics of importance. The first concerns the closure of RECOPE. It then creates a framework of powers primarily for ARESEP in the market for hydrocarbon-derived fuels. In this area, the role assumed by COPROCOM is relevant with respect to providing technical support in structural, regulatory, and normative studies and evaluations, as well as market analyses. As a third point, the need to amend various laws is raised with the aim of aligning the bill with existing legislation; therefore, amendments and repeals are enumerated for various laws concerning agreements or commitments held by the Refinery that lose their purpose without the entity's existence.
Finally, it presents a series of transitional provisions that complement the regulatory framework in terms of the transition resulting from RECOPE's closure, covering matters such as personnel, distribution of assets, labor rights, among others. In this last section, COPROCOM is the recipient of several resources.
V.ON THE BILL FROM THE STANDPOINT OF COMPETITION LAW
Upon analyzing the submitted text, the following considerations arise with respect to the bill under evaluation. For greater ease of analysis and given the bill's length, it has been decided to separate the analysis by chapters, following the same structure as the legislative proposal:
A. Regarding CHAPTER 1: CLOSURE OF RECOPE

ARTICLE 1 – The objective of this law is to promote the opening of the supply of hydrocarbon-derived fuels in Costa Rica, for which purpose the closure of RECOPE is ordered.
In matters of competition law and free competition, less restrictive competitive options are preferable to monopolistic conditions. In light of the foregoing, the opening of the hydrocarbon-derived fuel market is viewed positively; however, the manner in which the opening of the sector is proposed involves eliminating the existing institution RECOPE, rather than maintaining it and opening the sector to competition. There is no study establishing the pros and cons of different approaches to opening the sector. Given the foregoing, it is considered that the initiative should contemplate a transition plan that fully complies with what is proposed, since any interruption of service may lead to negative consequences for consumers and for the functioning of the market.
ARTICLE 2 – The supply of hydrocarbon-derived fuels is declared a "service of general interest" (…) Consequently, it shall be the responsibility of ARESEP to ensure the provision of this service under optimal conditions, seeking to promote economic competition as a first regulatory instance and resorting to direct regulation mechanisms on a subsidiary basis and for those segments or activities that so require. (…)
While the service has been declared a "service of general interest," there is no clear definition of its implications or of the real possibility of guaranteeing the supply, competition, and access to hydrocarbons throughout the national territory.

ARTICLE 3 – Without prejudice to the attributions and powers granted to it by the Law of ARESEP, Ley N° 7593, of August 9, 1996, and its amendments, insofar as not contradicted by the provisions of this law, ARESEP shall have the following powers in relation to the supply of hydrocarbons: a) It shall issue the technical norms, regulations, and rules required to ensure adequate quality and service standards for the supply of hydrocarbon-derived fuels in accordance with technical standards. The corresponding regulations and their amendments shall be submitted for consultation to COPROCOM, which shall issue its opinion within a maximum period of one month. The opinion of COPROCOM shall not be binding, but ARESEP shall provide reasoned justification in writing, prior to the issuance of the decision, for the reasons it considered in departing, in whole or in part, therefrom. b) It shall issue the regulatory rules required to regulate access to and provision of the service, which shall at a minimum include the following: i. Identification of the various relevant markets that comprise the service delivery chain. ii. Establishment of the level of separation to be required between each of the relevant markets, understood as the possibility or otherwise for an economic operator to participate in more than one relevant market. iii. Issue the rules of access and operation for each of the relevant markets, always opting for the least restrictive regulatory alternative possible for market competition.
In this section, the obligation is assigned to COPROCOM to review all regulatory and normative instruments, as well as future amendments, issued in this hydrocarbon-derived fuel supply market. It should be noted that abruptly closing RECOPE could produce counterproductive effects, as the regulations do not contemplate a transition plan. While in general terms competition benefits from the absence of monopolies, it is equally true that the rules governing the transition toward that point must consider what may occur during the period of opening and closure of an institution as large as RECOPE. The foregoing is mentioned because, once RECOPE is closed, the time it may take ARESEP to develop all the regulatory instruments and COPROCOM to issue its opinions may not be sufficient given the dynamics of the hydrocarbon market and the entry of new operators. With respect to paragraphs a) and b), the need is reiterated to establish a transition plan so that both ARESEP can comply with the issuance of the regulations and COPROCOM with the review of the various instruments.
iv. Establish the principles and criteria to be followed to regulate tariffs and prices in each of the relevant markets and the methodology for applying them. For each of the relevant markets, the regulatory option that best promotes efficiency and competition in the market shall be sought, or that emulates it in the event this is not possible. v. Define the rules and mechanisms for declaring the existence of effective competition and free market access in one or more relevant markets, in which case prices shall not be subject to prior regulation. vi. Define the rules and mechanisms for determining the existence of economic operators with substantial market power in each of the relevant markets and, where applicable, issue the corresponding measures to prevent exploitative acts of such power. c) It shall declare, following prior consultation with COPROCOM and in application of the rules established by regulation, the existence of effective competition and free market access in one or more relevant markets, as well as the existence of economic operators with substantial market power in each of the relevant markets. COPROCOM shall issue its opinion within a maximum period of one calendar month. The opinion of COPROCOM shall not be binding, but ARESEP shall provide reasoned justification in writing prior to the final decision for the reasons it considered in departing, in whole or in part, therefrom. d) In those cases in which
Subparagraph iv of paragraph b) draws attention, as it establishes tariff and price regulation in a manner similar to how it is currently carried out, maintaining price regulation in the various relevant markets. Price regulation must be exceptional.
In broad terms, despite the fact that COPROCOM must review ARESEP's prospective regulatory instruments, no budget is allocated to allow COPROCOM to sustainably carry out its relevant functions in a fundamental market such as hydrocarbons and others.
Subsection c) establishes a consultation with COPROCOM regarding effective competition (competencia efectiva) and free market access (libre concurrencia) in the markets, as well as the existence of economic operators (agentes económicos) with substantial market power (poder sustancial).
COPROCOM's opinion is not binding. Aresep must provide reasoned written justification, prior to the final decision, for the grounds it considered when departing fully or partially from that opinion.

Assessment participation of a single economic operator in more than one relevant market (mercado relevante) will determine the degree of structural separation (separación estructural) that said economic operator must maintain in order to prevent the impediment of competition in any of the relevant markets.
e)It will issue procedural rules and render technical opinions to the lead minister of the sector for the granting, assignment, extension, lapse (caducidad), and termination of the concessions (concesiones) and permits required for the operation of the essential infrastructure (infraestructura esencial) necessary to operate in any of the relevant markets that is State property.
To that end, it shall apply best practices in the preparation of the bidding specifications (cartel) and development of the public tender (licitación) process where applicable. In all cases, it must guarantee at a minimum: security of supply, protection of users' rights, promotion of efficiency, innovation, continuous service, and the country's commitment with respect to the carbon-neutral goal established in the so-called Paris Agreement by 2050.
f)It will establish open-access (libre acceso) rules for essential infrastructure in a timely manner and under reasonable, transparent, and non-discriminatory conditions for market economic operators. COPROCOM must issue its opinion within a maximum period of one calendar month. COPROCOM's opinion will not be binding, but Aresep must provide reasoned written justification, prior to the final decision, for the grounds it considered when departing fully or partially from that opinion.
g)It will define, by means of a technical regulation, the regulatory fee (canon de regulación) for each regulated activity.
Subsection f) establishes a COPROCOM consultation regarding essential infrastructure.
COPROCOM's opinion is not binding. Aresep must justify its departure from the opinion.
It is deemed advisable, for the purpose of providing COPROCOM with resources to develop the powers conferred upon it by this bill, that it be a beneficiary of regulatory fees for the review of regulated activities.

As well as the pipeline network (poliducto), space at maritime terminals and storage facilities (tanks and gas spheres), a petroleum pier in Limón, the four storage and sales facilities connected to the pipeline network, the five pumping stations (Limón, Siquirres, Turrialba, El Alto, and La Garita), the four distribution facilities (Moín, El Alto, La Garita, and Barranca), the installations at the four international airports in the country (Juan Santamaría, Daniel Oduber, Tobías Bolaños, and Limón), and the pumping substations located in Siquirres and Turrialba.
In this regard, it is reiterated that it is necessary to provide COPROCOM with a budget and resources to fully carry out the proposed review and assessment activities. With current resources, it is not possible to fulfill the assigned functions.

For this reason, a transition plan is recommended for the transfer of movable and immovable property, with a fixed budgetary allocation for this body to ensure the proper custody, use, and enjoyment of the assets.
From the assessment of the proposed regulation set out above, the following findings can be drawn:
The proposal concerns the opening of the sector, through the elimination of the law establishing Recope and the closure of the institution. The fuel sector under a monopoly lacks justification and there is room for competition, so that the opening could bring benefits for consumers.
It is notable that the bill's recitals indicate that the opening would not lead to a significant reduction in gasoline prices, although that is not the objective — rather, the objective is to eliminate the historical abuses committed by that institution. Given the foregoing, it has not been identified that other options for opening the sector and the advisability of each of those options were previously assessed. In this regard, it could be interpreted that the closure of Recope would bring the existing hydrocarbon monopoly to an end, and would initiate the opening of the supply of hydrocarbon-derived fuels. However, an adequate transition plan is necessary with the objective of having the necessary regulation in place before the opening.
Furthermore, with respect to ARESEP, it is granted a series of powers with the aim of fulfilling a fundamental role in the regulation of the various goods and services involved. It is assigned a fundamental role in regulating the hydrocarbon fuel supply service, which appears set to remain under a price regulation (regulación de precios) framework; thus, at least in the short term, no sectors are identified as candidates for price competition. That said, it is relevant to identify which product segments may be more conducive to market opening (apertura) and price liberalization that could benefit consumers.
The role assigned to COPROCOM is fundamental, as the technical body (órgano técnico) for consulting on regulatory instruments, and for evaluating, identifying, and developing conditions of competition in the markets. COPROCOM takes on essential tasks from virtually the moment the eventual Law enters into force, principally with regard to its participation in review processes and its technical role in establishing conditions of competition in the markets and determining market structures; therefore, a reinforcement of its resources and organization must occur in order to meet the assigned tasks, which would be practically continuous from the time the eventual Law enters into force.
As a complementary measure, amendments and repeals (derogaciones) to various laws are proposed with the aim of harmonizing the proposal. In addition, the transitional provisions (transitorios) set out specific timeframes for regulation and market opening; however, it is not clear what the transition period will be between the current market condition with RECOPE and the new market condition once the Law formally closes the institution. In this regard, the current monopoly condition of the hydrocarbon activity, and the possibility of integrating it into a competitive framework, is relevant; however, equally relevant is the manner in which that development can occur.
It is considered that the proposal improves the current market condition in terms of competition and the possibility of entry by new operators. What is not clear is the subsequent competitive model that will prevail, which will depend on the applicable and developed institutional and regulatory framework. It is therefore essential to promote the best competitive conditions if benefits are to be obtained, given that the reform goes beyond opening the sector to competition, as it closes the only current operator without a clear substitution model and without a prior assessment, which could pose risks for the markets.
Finally, there is a need to provide COPROCOM with a budget and resources for the full development of the review and assessment activities proposed in the bill. With current resources, it is not possible to fulfill the assigned functions.
VI.CONCLUSIONS
From the foregoing, the following more specific conclusions are drawn:

A. With respect to the first article, the manner in which the sector opening is framed consists of closing the existing institution RECOPE, rather than maintaining it and opening the sector to competition.
There is no study establishing the pros and cons of different forms of sector opening. Given the foregoing, it is estimated that the initiative should include a transition plan that fully complies with what is proposed, since any interruption of the service may lead to negative consequences for consumers and for the functioning of the market.
B. With respect to the second article, the fuel supply is characterized as a "service of general interest" (servicio de interés general); however, there is no clear definition of its implications or of the real possibility of guaranteeing supply, competition, and access to hydrocarbons throughout the national territory.

A. Pursuant to Article 3, COPROCOM is assigned the obligation to review all regulatory and normative instruments (instrumentos reglamentarios y normativos), as well as future amendments, issued in this hydrocarbon-derived fuel supply market.
The foregoing is mentioned because, once RECOPE is closed, the time it may take ARESEP to produce all the normative instruments and COPROCOM to issue its opinions may be insufficient for the dynamics of the hydrocarbon market and the entry of new market participants.
B. Noteworthy is sub-subparagraph IV of subparagraph b, which establishes the regulation of rates and prices (regulación de tarifas y precios), similar to the manner in which it is currently carried out, maintaining price regulation in the various relevant markets (mercados relevantes). Price regulation must be exceptional. Subparagraph c) establishes consultation with COPROCOM with respect to effective competition (competencia efectiva) and free market access (libre concurrencia) in the markets, as well as the existence of agents with substantial market power (poder sustancial).
C. Regarding Article 4 of the draft law, it is recommended that the wording be reviewed, as one interpretation could lead to subparagraph d) being deemed a tacit repeal or exception to current public procurement (contratación pública) procedures, affecting the benefits of procurement in the sector.
D. It is assessed that abruptly closing RECOPE could generate counterproductive effects if a transition plan is not contemplated.
E. Once RECOPE is closed, the time it takes ARESEP and COPROCOM to assume the new functions may be insufficient for the dynamics of the market and the entry of new operators. Likewise, no budget is established for assuming the primary functions relating to the hydrocarbon market.
F. It is considered advisable, for the purpose of providing COPROCOM with resources for the development of the powers conferred in this bill, for it to be a beneficiary of regulatory fees (cánones) for the review of regulated activities.

Pursuant to Article Five, concerning the prohibition on petroleum and natural gas exploration and exploitation, it must be noted that COPROCOM ensures the proper functioning of markets; however, the prohibition or opening of an economic sector is a matter related to the public interest and is therefore outside the scope of this opinion.
B. Regarding Article 6, it can be seen that ARESEP will carry out price and rate setting (fijación de precios y tarifas); the liberalization of prices for petroleum derivatives (derivados de petróleo) such as naphthas (naftas) intended for the final consumer is not contemplated. In addition, the transport rates used for supply will be set.
C. Articles 8 and 17 are identical; a review is suggested.
D. Regarding Article 10 of the bill, which seeks to repeal subparagraph b of Article 9 of Ley 7472, it is noted that Article 9 does not contain a subparagraph b. A negative position is expressed regarding any total or partial repeal of this article, as it would completely remove the powers of the body. Given the foregoing, there is no clarity as to what is intended by this repeal.

A. With respect to Transitional Provision XI, the power referred to under Article 3, subparagraph g of the draft Law belongs to ARESEP, not to COPROCOM. A review of the wording is recommended to avoid duplication of functions.
B. With respect to Transitional Provisions XIII, XIV, and XV, no implications for competition arise therefrom; however, implications for COPROCOM do exist, insofar as the administrative and financial independence (independencia administrativa y financiera) of the body would be violated by having the Executive Branch impose RECOPE employees upon it, while also requiring that continuity be given to the collective bargaining agreements (convenciones colectivas) that the very bill criticizes in its recitals.
C. In addition to the foregoing, it is noted that, given the specific nature of the work of the competition authority (órgano de competencia), there would be professionals from fields of knowledge that are not compatible with the competency profile required for these duties.
D. Furthermore, the need for a budget to carry out the review work assigned to COPROCOM is reiterated, given that regulatory work is not a one-time undertaking, and neither are the reviews and comments that COPROCOM must carry out thereon.
E. It is concluded that it is necessary to review the wording of the transitional provisions, as there may be drafting defects (vicios en la redacción) that generate duplication of functions.

It is considered that the proposal improves the current market condition, insofar as it opens the sector to competition and the possibility of entry by new operators in segments or activities; what is not clear is the subsequent competitive model that will prevail, which will depend on the applicable and developed institutional and regulatory framework.
VII.RECOMMENDATION
For the foregoing reasons, a partially favorable opinion is issued with respect to Proyecto de Ley 24139 insofar as it seeks the closure of an institution that holds a monopoly in the hydrocarbon-derived fuel market, highlighting the following elements:
● The fuel sector under monopoly has no justification, and there is room for competition and the entry of new operators; therefore, market opening could bring benefits for consumers. However, it is estimated that the initiative should include a transition plan that fully complies with what is proposed, since any interruption of the service may lead to negative consequences for consumers and for the functioning of the market.
● With respect to the functions assigned to COPROCOM and its participation in the review and technical role in establishing conditions of competition in the markets and determining market structures, it must be noted that there is a need for a reinforcement of its resources and organization to meet the assigned tasks prior to the Law entering into force.
With current resources, it is not possible to fulfill the assigned tasks.
● It is relevant to be able to grant price freedom in the segments or products that could be provided under competition and that maintain market conditions for their development, without the need for the proposed price and rate regulation, with the aim of beginning to realize the benefits of market opening.
● Regarding the prohibition on petroleum and natural gas exploration and exploitation provided for in the bill, it must be noted that COPROCOM ensures the proper functioning of markets; however, the prohibition or opening of a sector or industrial branch on grounds of public interest such as the environment is not strictly a competition matter, and therefore no opinion is issued on this subject.
● The human resources proposal set out in the bill entails the eventual hiring of staff for COPROCOM, which could conflict with the administrative independence of COPROCOM, as well as potentially constituting a violation of the right to equality. In addition to the foregoing, it is noted that, given the specific nature of the work of the competition authority, there would be professionals from fields of knowledge that are not compatible with the competency profile required for these duties.
That said, and given the diversity of elements contained in the bill, it is recommended that the Asamblea Legislativa examine and address each of the assessments made throughout the opinion, principally those set out in Section V, entitled "V. SOBRE EL PROYECTO DE LEY DESDE LA ÓPTICA DEL DERECHO DE LA COMPETENCIA," which provides a comprehensive assessment of the components of the bill from a competition law perspective, and Section VI of the report, entitled "VI. CONCLUSIONES," which corresponds to the more specific conclusions or considerations to be taken into account in the bill, in order to resolve the difficulties and eventual practical situations that could be contrary to competition and to the management of this body.

Opinión 2 Opinión parcialmente favorable respecto al Proyecto de Ley 24139 "Ley para ordenar el cierre de RECOPE y prohibir la exploración y explotación del petróleo" Ir a la última versión Versión de la Norma: 1 de 1 COMISIÓN PARA PROMOVER LA COMPETENCIA OPINIÓN COPROCOM-02-2025 COMISIÓN PARA PROMOVER LA COMPETENCIA, A LAS TRECE HORAS CON CUARENTA Y TRES MINUTOS DEL TRECE DE MARZO DE DOS MIL VEINTICINCO.
I.ANTECEDENTES
El día 20 de febrero de 2025 se recibió en la presente instancia administrativa, por la vía de correo electrónico, el oficio AL-CE23167-016-2025, de fecha 20 de febrero de 2025, mediante el cual se indica que la Comisión Especial de Modernización y Reforma del Estado, en virtud de la moción aprobada en la sesión 59, dispuso consultar a la Comisión para Promover la Competencia (en adelante, “COPROCOM”) su criterio sobre el proyecto de Ley Expediente N° 24.139 “LEY PARA ORDENAR EL CIERRE DE RECOPE Y PROHIBIR LA EXPLORACIÓN Y EXPLOTACIÓN DEL PETRÓLEO”, el cual se adjuntó. Al respecto, se otorgó un plazo de ocho días hábiles para evacuar la consulta respectiva, sobre el cual se solicitó el día 07 de febrero de 2025, vía correo electrónico, una prórroga de ocho días, la cual fue concedida, extendiendo el plazo al 03 de marzo del año en curso.
II.SOBRE LA POTESTAD DE EMITIR OPINIONES Y RECOMENDACIONES DE LA COPROCOM
De conformidad con lo dispuesto en el numeral 3 inciso h), en relación con el cardinal 21, ambos de la Ley de Fortalecimiento de las Autoridades de Competencia de Costa Rica, N°9736, la COPROCOM tiene la potestad de emitir opiniones y recomendaciones en materia de competencia y libre concurrencia, respecto de las leyes, los reglamentos, los acuerdos, las circulares y los demás actos y resoluciones administrativas, vigentes o en proceso de adopción, siendo que el criterio emitido, no tendrá efectos vinculantes.
En este sentido, dispone el referido artículo 21 de la Ley N°9736, en lo que a nuestros efectos interesa, lo siguiente:
“ARTÍCULO 21- Emisión de opiniones y recomendaciones El Órgano Superior de cada autoridad de competencia podrá emitir opiniones y recomendaciones en materia de competencia y libre concurrencia, de oficio o solicitud del Poder Ejecutivo, de la Asamblea Legislativa, demás entidades públicas o de cualquier administrado, sobre la promulgación, modificación o derogación de leyes, reglamentos, acuerdos, circulares y demás actos y resoluciones administrativas, vigentes o en proceso de adopción. Asimismo, podrá emitir opiniones sobre pliegos de condiciones o carteles de contratación administrativa, cuyos elementos puedan obstruir el principio de competencia y libre concurrencia. Las opiniones que emita cada autoridad de competencia no tendrán efectos vinculantes.
Aquellas entidades públicas que separen de estas opiniones referentes a la promulgación, modificación o derogación de reglamentos, acuerdos, circulares y demás actos y resoluciones administrativas, vigentes o en proceso de adopción, quedarán obligadas a informar, a la autoridad de competencia correspondiente, sobre sus motivaciones, en un plazo no mayor a treinta días naturales. Tal informe deberá ser suscrito por el superior jerárquico de la entidad pública que lo emita. (…)”. (El resaltado es nuestro).
Tal potestad se enmarca dentro del ámbito de la Promoción y Abogacía de la Competencia1, esto es, el abogar por la competencia a través de la emisión de opiniones y guías, la realización de estudios de mercado y actividades de asesoramiento, capacitación y difusión, con el fin de fomentar e impulsar mejoras en el proceso de competencia y libre concurrencia en el mercado; eliminar y evitar las distorsiones o barreras de entrada, así como aumentar el conocimiento y la conciencia pública sobre los beneficios de la competencia.
1 Por abogacía de la competencia se entienden aquellas actividades llevadas a cabo por la autoridad de competencia, relativas a la promoción de un entorno competitivo para las actividades económicas, por medio de mecanismos distintos al de la aplicación de la ley, principalmente, a través de sus relaciones con otras entidades gubernamentales y aumentando la concientización del público sobre los beneficios de la competencia. Cabe destacar que el anterior efecto no vinculante en esta materia no resulta en una condición particular de la legislación nacional, sino que deviene en una aplicación general del Derecho de la Competencia2, lo cual se observa en la distinta normativa internacional comparada.
2 “(…) El Derecho de la competencia (en inglés Competition Law, conocido en Estados Unidos como Antitrust Law) es la rama del Derecho que se encarga de regular el comercio mediante la prohibición de restricciones ilegales, la fijación de precios y los monopolios. Busca promover la competencia entre las empresas existentes en un mercado y el fomento de la calidad de bienes y servicios al menor precio posible, garantizando una estructura de mercado eficiente.
El "Antitrust" tiene su origen en el Derecho de los Estados Unidos. El nombre se debe a que esta rama del Derecho fue creada para combatir los trust de comercio. Posteriormente, otros países adoptaron el Antitrust en su ordenamiento jurídico utilizando otros términos como "leyes de competencia", "de libre competencia" o "antimonopolios". El objetivo del Derecho de la competencia es promover la "competencia justa" entre las empresas. Ha tenido un efecto importante en las prácticas empresariales y la reestructuración del sector industrial en los países donde se ha adoptado. Basadas en la premisa que el comercio libre beneficia tanto a consumidores, empresas y la economía en general, la ley prohíbe distintos tipos de restricciones comerciales y el abuso de monopolización. (…). La regulación normativa en contra de las prácticas antimonopolísticas, data de 1890, con el acta Sherman en los Estados Unidos de América, donde se requiere al gobierno federal investigar y perseguir todo acto o contrato que tienda a generar conductas monopolísticas. (…)”. (Voto N° 070-2015, Tribunal Contencioso Administrativo, Sección Cuarta, San José, a las ocho horas del trece de julio de dos mil quince).
Se trata de esta manera del ejercicio de una potestad, en donde la COPROCOM decide si opta por emitir opinión o no; es decir, no está obligada a opinar en todos los casos, solo cuando ella lo estime pertinente y en la medida y profundidad que lo considere adecuado, de acuerdo con sus competencias técnicas, y evidentemente, desde la óptica y perspectiva del Derecho de la Competencia que le concierne.
III.CONSIDERACIONES RESPECTO A OPINIONES O ESTUDIOS PREVIOS DE LA COPROCOM
Respecto al tema de la apertura del mercado de hidrocarburos y el monopolio de RECOPE, puede citarse como antecedentes la opinión de la COPROCOM emitida en el artículo sétimo del acta de la Sesión Ordinaria N° 18-01, emitida sobre el proyecto de ley N° 13.782 "Rompimiento del Monopolio de RECOPE" en las actividades de importación, refinamiento y distribución al mayoreo de petróleo crudo y sus derivados, considerando donde se consigna lo siguiente:
"En relación con el mercado de los hidrocarburos, podemos decir que la distribución mediante el oleoducto podría considerarse como un segmento con características de monopolio natural. Asimismo, el almacenamiento por lo general constituye en la mayoría de los países, la barrera más importante para el ingreso de nuevos importadores y comercializadores. Lo anterior, dada la alta inversión requerida y en algunos casos la propiedad de los mejores espacios en las terminales marítimas o la falta de espacio en puertos de aguas profundas. Por otra parte, hay otros sectores de este mercado que podría considerarse competitivos como lo son la distribución mediante camiones cisterna y el refinamiento del crudo. De esta manera, como regla general quien tiene el dominio sobre el oleoducto y la infraestructura, en principio no debería participar de los mercados competitivos, salvo que mediante una regulación especial se establezcan normas que garanticen igualdad de trato entre los agentes que utilizan dicha infraestructura y el agente dominante." Por otra el texto sometido a consulta señala como referencia opiniones previas de este Órgano, la Opinión N° 08-2018, de 2 de mayo, emitida luego de un estudio del Servicio Social de Comunicación Postal; y la Opinión 02-2018 de 13 de febrero de 2018, emitida luego de un estudio sobre el sector del alcohol.
Respecto a la opinión 02-2018 de este órgano como la 02-2020. En la primera, 02-2018, se realizó opinión conforme a un estudio de mercado sobre el monopolio de la producción de alcohol en Costa Rica, de relevancia se indicó : “la existencia del monopolio de alcohol en el país genera pérdidas de eficiencia en la sociedad (o pérdidas de bienestar social) importantes de acuerdo con las estimaciones del consultor, y afecta particularmente a los participantes en el mercado de la elaboración y comercialización de licores, a la industria que requiere el producto como un insumo y a los consumidores que ven limitadas sus opciones en cuanto a variedad y precio, por las decisiones que adopta la FANAL” Con respecto a la 02-2020, referente a la venta de FANAL, de relevancia este órgano indicó: “El ejercicio del poder monopólico es uno de los mayores problemas para el funcionamiento eficiente de un mercado.
Si una única empresa, es la que ofrece un bien o servicio para el cual no existen sustitutos y ésta puede decidir libremente los precios y las condiciones de oferta de su producto o servicio, entonces la lógica de maximización de sus propios beneficios la llevará casi con seguridad a elegir precios más elevados y cantidades más pequeñas de las que serían socialmente óptimas. “ En el cuerpo del texto, se menciona la Opinión COPROCOM 09-18, referente al sector de gasolineras, sobre el cual se realizó un Estudio de Mercado. Al respecto, la Opinión de este Órgano indica
“(...)
Se coincide con el consultor en que el mercado de gasolineras o ventas al por menor de combustibles en Costa Rica está sobre regulado, con la existencia de un monopolio público de RECOPE en la importación, refinación, almacenamiento y distribución al mayoreo de combustibles, articulado a un sistema de compras con liquidación en RECOPE. El mercado de gasolineras es de esta forma un sector regulado, no obstante, no se encuentra excluido de la normativa de competencia dado que no corresponde a ninguno de los casos previstos en el artículo 9 de la Ley No 7472.
(...)”
IV.SOBRE LA MOTIVACIÓN Y CONTENIDO DEL PROYECTO DE LEY EN CUESTIÓN
A. De la motivación del proyecto El Proyecto de Ley que se propone, parte ---en síntesis--- de las siguientes consideraciones y motivaciones:
El Proyecto de Ley que se propone, señala el monopolio de hidrocarburos, como uno de carácter cuestionable si se toma en cuenta lo indicado por los Informes de la OCDE del año 2014 y 2020, sobre la necesidad de reevaluar los objetivos de política pública que restrinjan la competencia.
Se indica además, que a la luz de la Evaluación de adhesión de 2016, se recomendó al país identificar y llevar a cabo un análisis detallado de los sectores e industrias que actualmente están exentos de la legislación de competencia, con el objetivo de eliminar aquellas excepciones que carezcan de justificación, así como Examinar e implementar sistemas que permitan evaluar de manera periódica “los carteles legalmente autorizados”, y evaluar su necesidad de permanencia para lograr los objetivos de política pública.
El proyecto de ley señala como la COPROCOM ha indicado previamente, en Opiniones como la 08-2012 y la Opinión 02-2018, la necesidad de eliminar aquellas excepciones a la Ley de Competencia, tal como lo es el caso de la Refinadora Costarricense de Petróleo (en adelante RECOPE). De igual forma, se referencia un Boletín de la COPROCOM, el cual hace mención de elementos relevantes para el análisis del mercado de hidrocarburos, como la existencia de mercados competitivos y no competitivos, características del mercado a regular, regulación de estructura, entrada al mercado, entre otros. Asimismo, se incluye la referencia a el artículo décimo del acta de la Sesión Ordinaria N° 18-01, celebrada a las 17:30 horas del 29 de mayo del 2001, en relación con la administración del oleoducto ante un proyecto de ley que proponía la privatización de RECOPE, y la Opinión N° 09-18 del expediente 064-17-EM, sobre el mercado de gasolineras en Costa Rica, del cual el legislador extrae que el sector de gasolineras o venta minorista de combustibles en Costa Rica se encuentra excesivamente regulado, caracterizado por un monopolio público ejercido por RECOPE.
Entre otras motivaciones, señala como RECOPE ha estado marcado por una “ineficiencia administrativa”, lo cual ha contribuido a la inestabilidad precios en el mercado interno del país, si se realizan comparaciones de precios con otros países como Panamá. Aunado a esto, se resalta como la falta de competencia en el mercado ha generado que la empresa no vea incentivos en mejorar su eficiencia operativa.
Sobre esta misma línea, se indica que el grado de ineficiencia de RECOPE se ve traducido en una planilla grande, los cuales se encuentran beneficiados por una convención colectiva, la cual representó un gasto de ₡184.000.000.000 en el período 2011-2024, los cuales, indica el proponente, se trasladan al precio de venta de la gasolina.
De seguido se señalan otras ineficiencias, como aquellas indicadas por auditoría de la Contraloría General de la República, tales como fallos en los procedimientos internos de RECOPE, deficiencias en los procesos de contratación y en la ejecución de los proyectos.
Asimismo, se señala el costo económico de la administración de RECOPE, y se indica como punto negativo los procesos judiciales contra la entidad y el costo dinerario de las pretensiones acumuladas en las diversas demandas. De igual forma, se mencionan los problemas de seguridad que se presentan con el resguardo del sistema de poliducto nacional, y el monto de pérdida anual que se reporta por robo de combustible.
Por último, el texto del proyecto señala la necesidad de acercar las políticas públicas a los compromisos internacionales de descarbonización de la economía, así como de prohibir la exploración y explotación de gas natural y el petróleo en Costa Rica.
B. Contenido del proyecto de Ley 24 139 De manera resumida se presenta el contenido del proyecto en cuestión donde puede verse sus distintos componentes y elementos que lo integran.

Se establecen potestades a la Aresep para el suministro de combustibles. Potestad reglamentaria como lo es la realización de los instrumentos normativos, tanto reglamentarios como técnicos, en donde figura la COPROCOM como ente a consultar, su criterio no es vinculante.
CONTENIDO DEL CAPÍTULO En este apartado se asigna la obligación de COPROCOM de la revisión de todo instrumento reglamentario y normativo, así como las reformas futuras, emanadas en este mercado de suministro de combustibles derivados de hidrocarburos.
Dentro de los instrumentos de mayor relevancia se encuentran principios y criterios para regulación de tarifas y precios para los mercados relevantes.
Se establece regulación y criterios para determinación de existencia de agentes económicos para dictar medidas para evitar actos “explotativos” de poder sustancial de mercado.
Asimismo, si se permite o no, participación de agentes en más de un mercado relevante.
Se establece que el rector del sector será el ministro o ministra del Minae y establece funciones, tales como coordinar políticas sectoriales destinadas a alcanzar carbono neutral del país.
De igual forma:
-velar por el cumplimiento de las políticas del sector.
-representación del país en materia de hidrocarburos.
-otorgar, en conjunto con el presidente de la República, la concesión de licitación de infraestructura.
CONTENIDO DEL CAPÍTULO
Corresponde con los artículos 05 al 19 del proyecto, en estos se incluyen varias reformas y derogaciones a distintas leyes y convenios.
Involucra la reforma de distintas leyes entre las que involucran ambiente, Aresep. Así como derogatoria de leyes de hidrocarburos, otras relacionadas con leyes de Recope (contratos, fondos de ahorros, convenios). De relevancia se citan las siguientes reformas y derogatorias:
Reforman el artículo 57 de la Ley Orgánica del ambiente, declarando a Costa Rica como territorio libre de exploración y explotación de petróleo y gas natural, prohibiendo estas actividades.
Reforma a la Ley de la Autoridad Reguladora de los Servicios Públicos para dar la facultad de fijación de precios y tarifas, así como velar por el cumplimiento normativo del servicio de suministro de combustibles derivados de hidrocarburos.
Derogatoria de:
Ley de Hidrocarburos.
Ley del Monopolio Estatal de Hidrocarburos Ley que Regula a la Refinadora Costarricense de Petróleo (RECOPE), del inciso b) del artículo 9 de la “Ley de Promoción de la Competencia y Defensa Efectiva del Consumidor”, Del inciso n) del artículo 1 de la Ley de Impuesto sobre la Renta a Instituciones Públicas.
De los incisos d) del Artículo 5 y c) del artículo 22 de la Ley de la Autoridad Reguladora de los Servicios Públicos (Aresep), Deróguese la Ley N° 3261, denominada Contrato suscrito entre la Municipalidad del cantón Central de Limón y Refinadora Costarricense de Petróleo S.A., Deróguese la ley denominada Convenio celebrado por el Gobierno de Costa Rica, y por la Allied Chemical Corporation, compañía organizada de

Elimínese la referencia a “la Refinadora Costarricense de Petróleo Sociedad Anónima (Recope S.A.)” en los artículos 3 y 5 de la Ley N° 7447, Regulación del uso racional de la energía, Deróguese Ley N° 8847, ley que otorga personalidad jurídica al fondo de ahorro, préstamo, vivienda, recreación y garantía de los trabajadores de la Refinadora Costarricense de Petróleo, S. A. (Recope)
Corresponden con 18 transitorios que afectan distintos elementos del periodo de aplicación, presupuesto de RECOPE, emisión de normas de calidad, normas reglamentarias, criterio técnico sobre competencia efectiva y libre concurrencia. aspectos varios de infraestructura, concesiones, disposiciones varias sobre COPROCOM, disposiciones sobre bienes muebles e Los transitorios involucran temas sobre periodo de transición, presupuesto, normas de calidad, criterio técnico correspondiente para determinar la existencia de competencia efectiva y libre concurrencia, cuestiones estructurales, normas reglamentarias sobre cesión, prórroga, caducidad y extinción de las concesiones y permisos, imposición de cánones, traslado de personal y bienes muebles e inmuebles. liquidación de prestaciones.
El primero se refiere al cierre de la institución de RECOPE. Seguidamente crea el establecimiento de un marco de potestades principalmente a la ARESEP en el mercado de combustible de derivados de Hidrocarburos. En este tema es relevante el papel que asume la COPROCOM en lo que respecta apoyar en la parte técnica de los estudios y evaluación estructurales, normativos y reglamentarios, así como de mercado. Como punto tercero, se plantea la necesidad de reformar distintas leyes con el objetivo de adecuar el proyecto a la legislación vigente, por lo que se enumeran reformas y derogatorias a leyes distintas que versan sobre convenios o compromisos que ostentaba la Refinería que pierden sentido sin la existencia de la entidad.
Finalmente, presenta una serie de transitorios que vienen a complementar el marco normativo en el sentido de la transición debido al cierre de RECOPE, sobre temas como personal, repartición de patrimonio, derechos laborales, entre otras. En esta última parte, la COPROCOM es destinataria de varios recursos.
V.SOBRE EL PROYECTO DE LEY DESDE LA ÓPTICA DEL DERECHO DE LA COMPETENCIA
Analizando el texto remitido, se tienen las siguientes consideraciones con respecto al proyecto bajo evaluación, para mayor facilidad de análisis y longitud del proyecto, se ha optado por separar su análisis por capítulos, siguiendo la misma estructura de la propuesta legislativa:

En materia de derecho y libre competencia, es preferible opciones competitivas menos restrictivas que condiciones monopólicas. Dado lo anterior, se valora positivamente la apertura del mercado de combustibles derivados de hidrocarburos; sin embargo, la forma en que se plantea la apertura del sector es eliminando la institución existente RECOPE, en vez de mantenerla y abrir el sector a la competencia. No existe un estudio que establezca pros y contras de distintas formas de apertura del sector.
Dado lo anterior, se estima que la iniciativa debería contemplar un plan de transición, que cumpla Propuesta del Proyecto Comentarios cabalmente con lo propuesto ya que cualquier interrupción del servicio puede llevar a consecuencias negativas para los consumidores y para el funcionamiento del mercado.

En consecuencia, será responsabilidad de la Aresep asegurar la prestación de este servicio en condiciones óptimas, procurando la promoción de competencia económica como primera instancia regulatoria y acudiendo a mecanismos de regulación directa de forma subsidiaria y para aquellos segmentos o actividades que así lo requieran. El declarado el servicio como “servicio de interés general”, no obstante, no existe una definición clara de su implicación y de la posibilidad real de garantizar el suministro, competencia y acceso a hidrocarburos en todo el territorio nacional.

CAPÍTULO II: POTESTADES DE LA ARESEP EN LOS MERCADOS DE HIDROCARBUROS

Los reglamentos correspondientes y sus reformas deberán ser consultados a la Coprocom, la cual deberá emitir su criterio dentro de un plazo máximo de un mes.
El criterio de Coprocom no será vinculante, pero la Aresep deberá justificar razonadamente, mediante un informe escrito y previo a la emisión de la decisión, los motivos que consideró para apartarse total o parcialmente de este.

[endif]Emitir las reglas de acceso y operación para cada uno de los mercados relevantes, debiendo siempre optarse por la alternativa regulatoria En este apartado en donde se le asigna la obligación de COPROCOM de la revisión de todo instrumento reglamentario y normativo, así como las reformas futuras, emanadas en este mercado de suministro de combustibles derivados de hidrocarburos.
Debe indicarse que al cerrar de golpe la institución RECOPE podrían darse efectos contraproducentes ya que la normativa no contempla un plan de transición.
Si bien en líneas generales, la competencia se beneficia de la inexistencia de monopolios, también es cierto que las normas de transición hacia ese punto deben contemplar qué puede acontecer durante el período de apertura y cierre de una institución tan grande como RECOPE.
Se menciona lo anterior debido a que, una vez cerrado el RECOPE, los tiempos que puede tomar a ARESEP realizar todos los instrumentos normativos y a la COPROCOM de emitir sus criterios, puede no ser suficientes para la dinámica del mercado de hidrocarburos y la entrada de nuevos agentes.
El inciso a), b) se insiste en establecer un plan de transición a efectos de poder cumplir tanto ARESEP con la emisión de la regulación como COPROCOM con la revisión de los distintos instrumentos.

En líneas generales, pese a que la COPROCOM debe revisar los instrumentos eventuales de la ARESEP, no se destina presupuesto para que la COPROCOM pueda realizar sostenidamente sus funciones relevantes en un mercado fundamental como el de hidrocarburos y otros.
El inciso c) establece consulta COPROCOM, respecta a competencia efectiva y libre concurrencia en los mercados. Así como existencia de agentes con poder sustancial.
El criterio de la COPROCOM no es vinculante. Aresep deberá justificar razonadamente y por escrito previo a la decisión final, los motivos que consideró para apartarse total o parcialmente de este.

Valoración participación de un mismo agente económico en más de un mercado relevante, determinará el grado de separación estructural que deberá mantener dicho agente económico para evitar el impedimento de la competencia en alguno de los mercados relevantes.
[if !supportLists]e) [endif]Emitirá las reglas del procedimiento y rendirá los dictámenes técnicos al Ministro Rector, para el otorgamiento, la cesión, la prórroga, la caducidad y la extinción de las concesiones y los permisos que se requieran para la operación de la infraestructura esencial para operar en alguno de los mercados relevantes que sea propiedad del Estado.
Para ello, aplicará las mejores prácticas en la elaboración del cartel y desarrollo del proceso de licitación cuando corresponda. En todos los casos deberá garantizar como mínimo: la seguridad del suministro, la protección de los derechos de los usuarios, promoción de la eficiencia, la innovación, el servicio continuo, compromiso país respecto a la meta carbono neutral establecida en el denominado Acuerdo París a 2050.
[if !supportLists]f) [endif]Establecerá las normas de libre acceso a la infraestructura esencial en forma oportuna y en condiciones razonables, transparentes y no discriminatorias, a los agentes económicos del mercado. El desarrollo de nuevas alternativas como biocombustibles, plasma, entre otros.
Así como el poliducto, espacios en las terminales marítimas y almacenamiento (tanques y esferas para gas) un muelle petrolero Limón, los cuatro planteles de almacenamiento y de ventas conectados al sistema de poliductos, las cinco estaciones de bombeo (Limón, Siquirres, Turrialba, El Alto y La Garita), los cuatro planteles (Moín, El Alto, La Garita y Barranca), las instalaciones en los cuatro aeropuertos internacionales del país (Juan Santamaría, Daniel Oduber, Tobías Bolaños y Limón) y las subestaciones de bombeo, ubicadas en Siquirres y Turrialba.
En este sentido se reitera que es necesario dotar de presupuesto y de recursos a la COPROCOM para el pleno desarrollo de las actividades de revisión y valoración propuestas. Con los recursos actuales no es posible cumplir con las funciones asignadas.

Por ello, se recomienda un plan de transición para la transferencia de los bienes muebles e inmuebles con un canon fijo presupuestario para este órgano a fin de su mejor custodia, uso y goce de los bienes.
De la valoración de la regulación propuesta anteriormente es posible extraer los siguientes resultados:
La propuesta planteada se refiere a la apertura del sector, por medio de la eliminación de la ley de creación de Recope y cierre de la institución. El sector de combustibles bajo monopolio no tiene una justificación y existe espacio para la competencia, por lo que la apertura podría traer beneficios para los consumidores.
Llama la atención que en la justificación del proyecto se indique que la apertura no provocaría una gran reducción en el precio de las gasolinas, aunque ese no es el objetivo sino eliminar los abusos históricos que se han cometido esa institución. Dado lo anterior, no se identifica que previamente se valoraran otras opciones de apertura del sector y la conveniencia o de cada una de las opciones. En este sentido, podría interpretarse que con el cierre de Recope desaparecería el monopolio de hidrocarburos existente, y iniciaría la apertura del suministro de combustibles derivados de hidrocarburos. Sin embargo, es necesario un adecuado plan de transición con el objetivo de cumplir y tener la regulación necesaria antes de la apertura.
Por otra parte, en lo que respecta a la ARESEP se le da una serie de potestades con el objetivo de cumplir un rol fundamental en la regulación de los distintos bienes y servicios involucrados. Se le asigna un papel fundamental, en la regulación en el servicio de suministro de combustibles de hidrocarburos, los cuales parecen que van a seguir bajo un marco de regulación de precios, por lo que al menos en el corto plazo no se identifica que sectores puedan ser puestos bajo una competencia de precios. Dicho lo anterior, es relevante tener identificados los segmentos de productos pueden ser más proclives a una apertura y liberación de precios que pueda beneficiar a los consumidores.
Es fundamental el papel dado a la COPROCOM, como órgano técnico en la consulta de normativa, evaluación, identificación y desarrollo de las condiciones de competencia en los mercados. La COPROCOM, asume tareas esenciales desde prácticamente la propia vigencia de la eventual Ley, principalmente en lo que respecta a su participación en revisión y su papel técnico en el establecimiento de condiciones de competencia en los mercados y determinación de estructuras, por lo que debe existir un reforzamiento en sus recursos y organización para afrontar la tarea asignadas, las cuáles serían prácticamente continuas a partir de la entrada en vigor de la eventual Ley.
De manera complementaria se plantean modificaciones y derogaciones a distintas leyes con el objetivo de armonizar la propuesta, además los transitorias planean plazos concretos para la regulación y apertura, no obstante, no está claro el período de transición entre la condición actual del mercado con RECOPE y la nueva condición del mercado una vez que dicha Ley cierre formalmente la institución. En este sentido, la condición actual de monopolio de la actividad de hidrocarburos, y la posibilidad de integrarlo en el marco de competencia, es relevante, no obstante, relevante también es la forma en que se puede desarrollar.
Se considera que la propuesta mejora la condición actual del mercado, en materia de competencia y de posibilidad del ingreso de nuevos operadores, lo que no está claro es el modelo competitivo posterior que va prevalecer, el cuál dependerá del marco institucional y regulatorio aplicable y desarrollado, por lo que es esencial propiciar las mejores condiciones competitivas si se quiere obtener beneficios, dado que la reforma va más allá de abrir el sector a la competencia, ya que cierra el único operador actual sin un modelo claro de sustitución y sin una valoración previa, lo que podría tener riesgos para los mercados.
Finalmente, existe una necesidad de dotar de presupuesto y de recursos a la COPROCOM, para el pleno desarrollo de las actividades de revisión y valoración propuestas, en el proyecto. Con los recursos actuales no es posible cumplir con las funciones asignadas.
VI.CONCLUSIONES
De lo antes expuesto de manera más específica se concluye 1. Con respecto a Capítulo I:
A. Con respecto al artículo primero la forma en que se plantea la apertura del sector es cerrar la institución existente RECOPE, en vez de mantenerla y abrir el sector a la competencia.
No existe un estudio que establezca pros y contras de distintas formas de apertura del sector. Dado lo anterior, se estima que la iniciativa debería contemplar un plan de transición, que cumpla cabalmente con lo propuesto ya que cualquier interrupción del servicio puede llevar a consecuencias negativas para los consumidores y para el funcionamiento del mercado.
B. Con respecto al artículo segundo, “servicio de interés general”, no obstante, no existe una definición clara de su implicación y de la posibilidad real de garantizar el suministro, competencia y acceso a hidrocarburos en todo el territorio nacional.
2. Con respecto al Capítulo II:
A. Conforme al artículo 3, se le asigna la obligación de COPROCOM de la revisión de todo instrumento reglamentario y normativo, así como las reformas futuras, emanadas en este mercado de suministro de combustibles derivados de hidrocarburos.
Se menciona lo anterior debido a que, una vez cerrado el RECOPE, los tiempos que puede tomar a ARESEP realizar todos los instrumentos normativos y a la COPROCOM de emitir sus criterios, puede no ser suficientes para la dinámica del mercado de hidrocarburos y la entrada de nuevos agentes.
B. Llama la atención el subinciso IV del inciso b, que establece la regulación de tarifas y precios, similar a la forma en que se realiza actualmente, manteniendo la regulación de precios en los distintos mercados relevantes. La regulación de precios debe ser excepcional. El inciso c) establece consulta COPROCOM, respecta a competencia efectiva y libre concurrencia en los mercados. Así como existencia de agentes con poder sustancial.
C. Del artículo 4 del proyecto de ley se recomienda revisar la redacción, pues una interpretación podría llevar a que se determine el inciso d) como una derogación tácita u excepción a los procedimientos actuales de contratación pública; afectando los beneficios de la contratación en el sector.
D. Se valora que cerrar RECOPE de golpe, podría generar efectos contraproducentes si no se contempla un plan de transición.
E. Una vez cerrado RECOPE, puede que los tiempos que le tome a ARESEP y COPROCOM asumir las nuevas funciones, no sea suficiente para la dinámica del mercado, y la entrada de nuevos agentes. Asi mismo, no se establece presupuesto para asumir las funciones principales en relación con el mercado de hidrocarburos.
F. Se estima conveniente, a efectos de dotar a COPROCOM de recursos para el desarrollo de las facultades en este proyecto conferidas, el ser beneficiario de cánones para la revisión de las actividades reguladas.
3. Con respecto al Capítulo III:
A. Conforme al artículo quinto, referente a la prohibición de exploración y correcto funcionamiento de los mercados, sin embargo, la prohibición o la apertura de un sector económico, es un asunto relacionado a interés público, por lo tanto, se omite pronunciamiento.
B. Del artículo 6 se comenta que, puede verse que la Aresep realizará la fijación de precios y tarifas, no se contempla la liberación de precios de derivados de petróleo como naftas destinadas al consumidor final. Además, se fijarán las tarifas del transporte que se emplea para el abastecimiento.
C. Los artículos 8 y 17 son idénticos, se sugiere revisión.
D. Del artículo 10 del proyecto que pretende derogar el artículo 9 inciso b de la Ley 7472 se indica que el artículo 9 no posee inciso b. Se externa negativa de la derogación total o parcial de este artículo implicaría quitar completamente las competencias al órgano. Dado lo anterior, no hay claridad sobre lo pretendido con esta derogación.
4. Con respecto a los transitorios, se indica:
A. Con respecto a transitorio XI, la facultad según el artículo 3 inciso g del proyecto de Ley, es una facultad de la ARESEP, no de COPROCOM. Se recomienda revisar redacción para evitar duplicidad de funciones.
B. Con respecto a transitorios XIII, XIV y XV no se desprenden implicaciones para la competencia, pero sí para COPROCOM, toda vez que se violentaría la independencia administrativa y financiera al imponer por parte del Ejecutivo a los empleados de RECOPE y que además, se les deba dar continuidad con las convenciones colectivas que el mismo proyecto critica en su motivación.
C. Aunado a lo anterior, se indica que, por la especificidad de las labores del órgano de competencia, existirían profesionales de ramas del conocimiento que no son compatibles con el perfil competencial requerido para estas labores.
D. Además, se reitera la necesidad de presupuesto para la labor de revisión planteada para COPROCOM, siendo que la labor reglamentaria no es de utilización única, las revisiones y comentarios a realizar sobre estos de COPROCOM tampoco lo es.
E. Sí se concluye que es necesario revisar la redacción de los transitorios, por cuanto podría existir vicios en la redacción que generen duplicidad de funciones.
5. En líneas generales se puede concluir que es necesario hacer una revisión general del proyecto para prever una adecuada transición durante el cierre del monopolio. Se considera que la propuesta mejora la condición actual del mercado, en el tanto se abre el sector a la competencia y la posibilidad del ingreso de nuevos operadores en segmentos o actividades, lo que no está claro es el modelo competitivo posterior que va a prevalecer, el cuál dependerá del marco institucional y regulatorio aplicable y desarrollado.
VII.RECOMENDACIÓN
Por lo anterior, se emite opinión parcialmente favorable respecto al Proyecto de Ley 24139 en cuanto se pretende el cierre de una institución que goza de monopolio en el mercado de combustibles derivados de hidrocarburos, resaltando los siguientes elementos:
● El sector de combustibles bajo monopolio no tiene una justificación y existe espacio para la competencia y el ingreso de nuevos operadores, por lo que la apertura podría traer beneficios para los consumidores. No obstante, se estima que la iniciativa debería contemplar un plan de transición, que cumpla cabalmente con lo propuesto ya que cualquier interrupción del servicio puede llevar a consecuencias negativas para los consumidores y para el funcionamiento del mercado.
● En lo que respecta a las funciones asignadas a la COPROCOM y su participación en la revisión y papel técnico en el establecimiento de condiciones de competencia en los mercados y determinación de estructuras, debe indicarse la necesidad de contar con un reforzamiento en sus recursos y organización para afrontar la tarea asignadas de previo a entrar en vigencia de la Ley.
Con los recursos actuales no es posible cumplir con las tareas asignadas.
● Es relevante poder dar libertad de precios en los segmentos o productos que podrían prestarse en competencia, y que mantienen condiciones de mercado para su desarrollo, sin necesidad de la regulación de tarifas y precios propuesta, con el objetivo de iniciar con los beneficios de la apertura.
● Referente a la prohibición de exploración y explotación de petróleo y gas natural, planeada en el proyecto, se debe indicar que Coprocom vela por el correcto funcionamiento de los mercados, sin embargo, la prohibición o la apertura de un sector o rama industrial por temas de interés público como el ambiente, no es estrictamente materia de competencia, por lo que se omite pronunciamiento en este tema.
● La propuesta de recurso humano planteada en el proyecto implica una eventual contratación de personal para la COPROCOM, que podría estar en contra de la independencia administrativa de Coprocom, así como eventual violación del derecho de igualdad. Además de lo anterior, se indica que, por la especificidad de las labores del órgano de competencia, existirían profesionales de ramas del conocimiento que no son compatibles con el perfil competencial requerido para estas labores.
Dicho lo anterior, y dada la diversidad de elementos que contiene el proyecto, se recomienda a la Asamblea Legislativa, examinar y atender cada una de las valoraciones realizadas a lo largo de la opinión, principalmente lo enunciado en los puntos V. denominado “V. SOBRE EL PROYECTO DE LEY DESDE LA ÓPTICA DEL DERECHO DE LA COMPETENCIA” que realiza una valoración integral de los componentes del proyecto en materia de competencia, y el punto VI. del informe denominado “VI. CONCLUSIONES”, que corresponde a conclusiones o planteamientos más específicos a considerar en el proyecto, a fin de solventar las dificultades y eventuales situaciones prácticas que podrían ser contrarias a la competencia y a la gestión de este órgano.
