Res. 001482-F-S1-2024 SALA PRIMERA DE LA CORTE SUPREMA DE JUSTICIA. San José, at fifteen hours thirty minutes on the twenty-fourth of October, two thousand twenty-four.
Ordinary proceeding (proceso ordinario) heard by the Tribunal Colegiado de Primera Instancia Civil del Primer Circuito Judicial de la Zona Atlántica, brought by STUDIO DISEÑO INTEGRADO SOCIEDAD DE RESPONSABILIDAD LIMITADA, represented by Luis Enrique Castro Viales, against MARÍA YAMILETH ALFARO ALFARO. In addition, defendant Alfaro Alfaro filed a counterclaim (reconvención) against the plaintiff company. CONSIDERING
I.The parties’ arguments. In light of the facts deemed proven and according to the record, the plaintiff filed an ordinary action alleging that the defendant had breached the contract by failing to make payment and by omitting to submit the feasibility studies, which resulted in the denial of the requested loan and a lack of funds to continue the agreed construction work. It stated that it had entered into a turnkey contract (contrato bajo la modalidad de llave en mano) with the defendant to construct a four-story commercial building in the Guápiles area. It further stated that the defendant had failed to make the agreed payments, specifically the payment stipulated in the eighth clause of the contract, which amounted to 20% of the total cost of the building and was due at the commencement of construction. It also alleged various other breaches, such as the request that construction materials be supplied by a third party. It stated that one of the obstacles to the successful performance of the contract was the denial of the loan sought by the defendant, which resulted in a lack of funds to finance the construction, whose total cost was approximately 700 million colones. Based on the foregoing, it requested that the judgment declare: “1) That Ms. Yamileth Alfaro Alfaro be legally deemed the CIVIL DEFENDANT for all corresponding legal purposes.
II.The Tribunal Colegiado de Primera Instancia Civil del Primer Circuito Judicial de la Zona Atlántica, composed of Judge Kathya Rivera Hernández and Judges Andrés Arguedas Vargas (reporting judge) and Minor Delgado Sánchez, ruled as follows in judgment no. 86-2022 of 16 hours 55 minutes on 31 May 2022: “In accordance with the foregoing, the legal authorities cited, and the doctrine referenced, the defense of Lack of a Legal Right to Relief raised by the defendant and counterclaimant is granted, and the defense of Lack of Standing raised by that party is denied. The complaint filed by STUDIO DISEÑO INTEGRADO S.R.L., represented by Mr. LUIS ENRIQUE CASTRO VIALES, against Ms. MARÍA YAMILETH ALFARO ALFARO is dismissed in its entirety. The claim for damages and losses asserted by the plaintiff and counterclaim defendant is denied, and the defense of Lack of Standing raised by that party is denied.
The counterclaim filed by Ms. MARÍA YAMILETH ALFARO ALFARO against STUDIO DISEÑO INTEGRADO S.R.L., represented by Mr. LUIS ENRIQUE CASTRO VIALES, is dismissed in its entirety. The defendant’s claim for damages and losses is denied. The parties are relieved of the obligation to pay costs. -” The Tribunal reached the foregoing conclusion on the following grounds: It found reciprocal nonperformance (vencimiento recíproco) and determined that both parties had breached the contract. The plaintiff breached the contract with respect to the redesign and the excavation to a depth greater than that established by SETENA. Regarding the counterclaim, it determined that the counterclaimant breached the contract by failing to pay the agreed initial amount, which corresponded to 20% of the total cost of the construction. In addition, regarding the denial of the bank loan, it stated that she was responsible for submitting the feasibility and viability studies requested by the bank, the failure to do so being one of the two reasons why the loan was not approved.
Dissatisfied with the ruling, the defendant and counterclaimant filed an appeal in cassation, which was admitted by this Chamber through orders entered at 09 hours 54 minutes on 06 October 2022 and is analyzed below.
Grounds based on substantive issues
III.First ground. The appellant in cassation (casacionista) alleged a violation of Article 692 through improper application and of Article 1089 through failure to apply it, both provisions of the Civil Code. She contends that the judgment did not analyze which of the two parties first committed a serious breach of contract that prevented its performance. The appellant added that Article 1089 of the aforementioned substantive code authorizes the other party to withhold performance without liability when the other contracting party first commits a serious breach. She states that the judgment established that the plaintiff company performed the following actions:

IV.Analysis of the first ground of error (agravio). The appellant in cassation (casacionista) alleges a violation of Article 692 of the Civil Code through its improper application. She also alleges the failure to apply Article 1089 of the same substantive body of law. In essence, she argues that the judgment does not identify which party was the first to commit a material breach (incumplimiento grave). In this regard, the appellant states: “In the judgment under review, the adjudicators essentially absolve both parties of liability on the ground that, because both were in breach, neither is entitled to compensation for damages and losses (indemnización de daños y perjuicios). However, this determination harms my client because, although in the Challenged Judgment the Court correctly maintains that not every breach constitutes grounds for termination of the contract (resolución contractual) with compensation for damages and losses, it neither analyzed nor specifically applied this rule to determine which party was the first to commit a MATERIAL, SUBSTANTIAL, AND ATTRIBUTABLE breach that ultimately constituted the decisive cause preventing performance of the contract.” The defendant-appellant’s objection is confined to the analysis of Article 692 of the Civil Code.
Her principal contention is that the judgment does not identify which party was the first to materially breach its contractual obligations. For greater clarity, this Chamber considers it necessary to reproduce the aforementioned provision: Article 692: “A condition of termination for nonperformance is always implicit in bilateral contracts. In such a case, the party that has performed may demand performance of the agreement or request its termination with damages and losses.” In this regard, the judgment states: “Now, the aforementioned Article 692 provides that the party with standing to seek termination of the contract is the party that has performed its obligations […], that is, that the breach must be sufficient to prevent continuation of the bilateral obligation through dissolution of the synallagma (sinalagma), because not just any type of breach can result in dissolution of the contract, […]” (see image 84).
On this matter, the Chamber has issued the following holding: “In bilateral contracts, the party that has performed may demand performance of the agreement or request its termination with damages and losses (Article 692 of the Civil Code), which necessarily requires the requesting party to prove performance of its corresponding obligations in order to compel the breaching party either to specifically perform or to accept termination (voto 581-F-2022).” For further discussion of this issue, the following link may be consulted: https://nexuspj.poder-judicial.go.cr/document/sen-1-0004-1078662. Based on the foregoing, this Chamber reiterates that the authority conferred by Article 692 of the Civil Code under review is to compel or seek termination of the contract—given that specific performance was not at issue—and also requires proof that the requesting party was the party that performed the contract.
It is clear that the provision grants this authority to the performing party, which must decide whether to exercise that right. The judgment even analyzes clause fourteen, entitled “Regarding Breach,” appearing in section C.7.-, which is reproduced below: “If either party considers that the other party has breached or is breaching the contract, it shall give written notice to the other party informing it of that circumstance and of the reasons for its disagreement. From the time such notice is received, the parties shall have one calendar month to resolve any disagreement that may exist in that regard or to provide the corresponding clarifications. During this period, the contract shall continue to apply normally. Once that period has expired without an agreement concerning the reasons for the disagreement, the non-breaching party may terminate the contract immediately or on the date it specifies, without incurring any liability.
It may also elect not to terminate the contract and instead demand performance, entirely at its discretion” (see image 122 of the judgment). The Court reasoned: “Now, with respect to the written notice stipulated in the aforementioned clause, as stated in unproven fact number 2, it was not established that either party effectively complied with that provision; rather, it was determined that notices concerning the other party’s breach were provided through means not contemplated in the contract underlying these proceedings.” As can be seen, the appellant does not rebut this reasoning in the judgment, which derives from both the contractual provision and the statutory rule. This gives rise to the doctrine of futile cassation review (casación inútil), because neither party complied with the contractual requirement of notifying the other contracting party of its breach. Nor did she prove that she was the party fully performing her part of the agreement.
The appellant omitted these matters, contrary to the agreed clause, as the judgment indicates. As for Article 1089 of the Civil Code, it states: “The buyer may refuse to pay the price if the seller does not deliver the thing in accordance with the provisions of the preceding chapter.” This is a provision raised by the appellant for the first time at the cassation stage, and the ground of error is therefore new. It should be noted that, when responding to the complaint and filing the counterclaim (reconvención), the defendant-appellant specifically invoked only Articles 692, 693, and 701 of the Civil Code; indeed, the first two were addressed in the judgment. Consequently, introducing a statutory provision at this stage for the corresponding analysis is new, particularly because that provision appears within the regulations of Chapter III, entitled “Obligations of the Buyer,” governing a specific type of contract. For the foregoing reasons, the ground of error is rejected.
V.The appellant alleges that the essential issue is determining which breaches prevented performance of the object of the contract, specifically the construction of a building with particular characteristics and at a specified price. She contends that the plaintiff’s breaches alone made it impossible to continue the agreement. She begins by discussing the subject matter of the proceedings without clearly identifying the evidence or the error the Court made in assessing it. She endeavors to identify the “negligent acts” she believes the plaintiff company committed and the consequences they caused in her view. Regarding the event that made the object of the contract impossible, she argues: “It is from this point onward (revocation of environmental viability (viabilidad ambiental)) that the project becomes legally unfeasible, both under the terms previously agreed upon and under the new redesign.” She subsequently refers to the breaches attributed to her by the judgment and explains why she disagrees with the judgment’s reasoning.
Regarding the payments, she argues that the failure to pay did not prevent the construction company from continuing to perform the work. She then refers to the loan application submitted to the banking institution and the plaintiff’s representative’s knowledge that approval of the loan was necessary to carry out the project. Separately, she states that the testimony of Roberto Arroyo Montenegro was only partially assessed; the witness testified regarding the mitigation work (obras de mitigación) that, according to him, had to be performed on the property. The ground for cassation (motivo casacional) is rejected for failure to comply with formal requirements. The appellant does not clearly and specifically identify the evidence that the Court analyzed incorrectly. Instead, she presents an account of facts that, in her view, should have resulted in her claim being granted. Furthermore, because the improperly assessed evidence is not clearly identified, the appellant cannot connect it to the evidentiary assessment standard that was violated.
Merely invoking Article 41.5 of the Code of Civil Procedure is insufficient; she was required to state whether, in analyzing each item of evidence, the Court violated the rules of logic or, alternatively, the rules of sound human understanding, experience, or science. The appellant does not provide this argument. Nor does she explain how the errors in the evidentiary analysis affect the substantive law she cites (Articles 692 and 1089 of the Civil Code). The only specific evidence identified in the objection is Roberto Arroyo’s testimony. Nevertheless, the appellant merely states that it was not assessed, emphasizing the mitigation work, which occurred after the events that the parties allege caused one or the other to breach. For that reason, and because she does not identify the error in assessing that testimony, the Chamber cannot analyze what the alleged error consisted of. These omissions by the appellant mean that the ground of error is not properly substantiated as required by Article 69.4.3 of the Code of Civil Procedure, and it is therefore rejected.
VI.In conclusion, the appeal filed by the counterclaimant (reconventora) shall be denied, with the costs of the appeal assessed against her.

Proceso ordinario tramitado en el Tribunal Colegiado de Primera Instancia Civil del Primer Circuito Judicial de la Zona Atlántica, establecido por STUDIO DISEÑO INTEGRADO SOCIEDAD DE RESPONSABILIDAD LIMITADA, representada por Luis Enrique Castro Viales contra MARÍA YAMILETH ALFARO ALFARO. Además, la accionada Alfaro Alfaro formula reconvención en contra de la sociedad actora. Intervienen en condición de apoderados especiales judiciales las personas profesionales en derecho: Luis Paulo Castro Hernández y Edgardo Vinicio Araya Sibaja; el primero representando a la parte actora reconvenida y el segundo a la parte demandada -reconventora-. CONSIDERANDO
I.Alegato de las partes. A la luz de los hechos que se tuvieron por demostrados y según lo que consta en autos, la parte actora presentó acción ordinaria alegando incumplimiento contractual de la demandada por la falta de pago y la omisión de presentar los estudios de factibilidad que produjo el rechazo del crédito solicitado y la falta de recursos para continuar la obra pactada. Indicó, suscribió un contrato con la accionada bajo la modalidad de llave en mano para construir un edificio comercial de 4 pisos en la zona de Guápiles. Asimismo, manifestó, la accionada incumplió con los pagos convenidos, en concreto, el estipulado en la cláusula octava del contrato que correspondía al 20% del costo total de la edificación, que debía ser cancelado al inicio de la obra constructiva. Además, alegó diferentes tipos de incumplimientos como, la solicitud de proveer los materiales de construcción por parte de un tercero. Señaló, dentro de los inconvenientes para el éxito del contrato, se encontró el rechazo del crédito solicitado por la accionada, que implicó la falta de recursos para financiar la obra con un costo total aproximado a los 700 millones de colones. A partir de lo expuesto, solicitó se declarara en sentencia: “1) Que se considere legalmente a la señora Yamileth Alfaro Alfaro como DEMANDADA CIVIL para todos los efectos legales correspondientes.
II.El Tribunal Colegiado de Primera Instancia Civil del Primer Circuito Judicial de la Zona Atlántica, integrado por la Jueza Kathya Rivera Hernández y los Jueces Andrés Arguedas Vargas (ponente) y Minor Delgado Sánchez, mediante sentencia no. 86-2022 de las 16 horas 55 minutos del 31 de mayo de 2022, dispuso: “De conformidad con lo expuesto, citas legales y doctrina señalada, se acoge la excepción de Falta de Derecho presentada por la demandada -reconventora y se rechaza la excepción de falta de Legitimación Activa opuesta por dicha parte. Se declara sin lugar en todos sus extremos la demanda establecida por la sociedad STUDIO DISEÑO INTEGRADO S.R.L. representada por el señor LUIS ENRIQUE CASTRO VIALES contra la señora MARÍA YAMILETH ALFARO ALFARO. Se rechaza el cobro de los daños y perjuicios pretendidos por la sociedad actora- reconvenida y se rechaza la excepción de Falta de Legitimación Activa opuesta por dicha parte.
Se declara sin lugar en todos sus extremos la contrademanda establecida por la señora MARÍA YAMILETH ALFARO ALFARO contra la sociedad STUDIO DISEÑO INTEGRADO S.R.L. representada por el señor LUIS ENRIQUE CASTRO VIALES. Se rechaza el cobro de los daños y perjuicios pretendidos por la demandada. Se exime a las partes del pago de las costas. -”. El Tribunal arribó a la anterior conclusión con el siguiente argumento: Declaró el vencimiento recíproco y determinó el incumplimiento contractual de ambas partes. El actor incumplió el contrato en relación con el rediseño realizado y la excavación a mayor profundidad de la establecida por SETENA. En cuanto a la demanda de reconvención, determinó que la reconventora incumplió el contrato al no cancelar la suma inicial pactada que correspondía al 20% del costo total de la obra. Además, en cuanto al rechazo del crédito bancario, adujo que le correspondía a ella, el presentar los estudios de factibilidad y viabilidad solicitado por el ente bancario, siendo esta una de las dos razones por las cuales el crédito no fue aprobado.
Inconforme con lo resuelto, la demandada -reconventora- interpone recurso de casación admitido por esta Cámara mediante autos de las 09 horas 54 minutos del 06 de octubre del 2022, el cual se analiza de seguido.
Motivos por razones de fondo
III.Primer motivo. La casacionista alegó la violación del artículo 692 por aplicación indebida y el 1089 por falta de aplicación, ambos numerales del Código Civil. Considera, la sentencia no analizó cuál de las dos partes incumplió primero y de manera grave el contrato que impidiera su ejecución. Agregó la casacionista, el ordinal 1089 del cuerpo sustantivo ya citado autoriza a la contraparte a no cumplir sin responsabilidad, cuando el otro contratante incumple gravemente primero. Manifiesta, la sentencia acreditó las siguientes acciones realizadas por la sociedad actora:
Análisis de los agravios por razones de fondo
IV.Análisis del primer agravio. La casacionista alega la violación del artículo 692 del Código Civil, por aplicación indebida. Además, señala la falta de aplicación del numeral 1089 del mismo cuerpo sustantivo. En lo medular, reprocha que la sentencia no señala cuál de las partes incurre primero en el incumplimiento grave. Al respecto cita la recurrente: “En la sentencia que se analiza, básicamente las Personas Juzgadoras absuelven a ambas partes de responsabilidad, por considerar que al ser ambas incumplientes, no tienen derecho a indemnización de daños y perjuicios. Sin embargo, esta apreciación causa agravio a mi representada, pues aunque en la Sentencia Impugnada el Tribunal certeramente sostiene que no todo incumplimiento es causal de resolución contractual con indemnización de daños y perjuicios, no analizó ni aplicó en lo concreto esta norma para determinar cuál parte incumplió primero de manera GRAVE, NOTABLE E IMPUTABLE, que en definitiva fuera la causa determinante del impedimento de la ejecución contractual.” El reproche de la demandada -casacionista se constriñe al análisis del artículo 692 del Código Civil.
El punto medular que alega es que la sentencia no señala cuál de las partes incumple primero de forma grave sus deberes contractuales. Para una mayor claridad, considera esta Cámara la necesidad de transcribir el numeral aludido: Artículo 692: “En los contratos bilaterales va siempre implícita la condición resolutoria por falta de cumplimiento. En este caso la parte que ha cumplido puede exigir el cumplmiento del convenio o pedir se resuelva con daños y perjuicios.”. Al respecto la sentencia indica: “Ahora bien, el numeral 692 ya referido dispone que el legitimado para reclamar la resolución contractual es la parte que ha cumplido con sus prestaciones […], es decir, que sea en un grado suficiente para impedir la continuación de la obligación bilateral por disolución del sinalagma, ya que no puede ser cualquier tipo de incumplimiento el que genere la disolución contractual, […]” (ver imagen 84).
Sobre este particular la Sala ha emitido el siguiente criterio: “En los contratos bilaterales, la parte que ha cumplido puede exigir el cumplimiento del convenio o pedir que se resuelva con daños y perjuicios (artículo 692 Código Civil), lo que implica necesariamente para la parte requirente, acreditar el cumplimiento de las obligaciones que le corresponden, para así poder compeler a la incumpliente a la ejecución forzosa o la resolución (voto 581-F-2022).”, para mayor abundamiento sobre el punto se puede consultar el siguiente link: https://nexuspj.poder-judicial.go.cr/document/sen-1-0004-1078662. De lo anterior, reitera esta Cámara la facultad que concede el numeral 692 del Código Civil en análisis, es la compeler o exigir la resolución del contrato, esto en relación a que no fue objeto el supuesto de la ejecución forzosa), además, de demostrar ser la parte cumplidora del contrato. Es claro que la norma concede esta facultad a la parte cumpliente y debe ésta valorar si ejerce o no dicho derecho.
Inclusive, la sentencia analiza la cláusula décima catorce, denominada: Sobre el incumplimiento, visible en el acápite C.7.-, que se transcribe a continuación: “En caso que una de las partes considere que la contraparte ha incumplido o está incumpliendo el contrato, dará aviso escrito a la contraparte haciéndole saber tal circunstancia, así como los motivos de su disconformidad. Desde el momento en que se reciba tal comunicación, las partes tendrán un mes calendario de plazo para resolver cualquier divergencia que pudiese existir al efecto, o brindar las aclaraciones que correspondan. Durante este plazo, el contrato se aplicará normalmente. Una vez vencido dicho término sin que exista un acuerdo sobre los motivos de la inconformidad, la parte no incumplidora podrá dar por terminado el contrato de inmediato o en la fecha que lo indique sin ninguna responsabilidad de su parte. Asimismo, podrá optar por no dar por resuelto el contrato, sino exigir el cumplimiento, a su entera voluntad” (ver imagen 122 de la sentencia).
Razonó el Tribunal: “Ahora bien, con respecto al aviso escrito estipulado en la cláusula ya referida, tal como se indicó en el hecho no probado número 2, no se logró demostrar que alguna de las partes haya dado un cumplimiento efectivo a dicha disposición, sino que, por el contrario, se logró determinar que los avisos relacionados con el incumplimiento de la contraparte se hicieron por otros medios no contemplados en el contrato base de este proceso”. Como se puede apreciar, este argumento que sostiene la sentencia, mismo que deriva tanto de la norma convencional como la legal, la casacionista no los rebate, lo que configura el instituto de la casación inútil, al no cumplir ninguna de las partes con lo pactado contractualmente, como lo es, el compeler a la contraparte contratante del incumplimiento. Además, de demostrar que era quien estaba cumpliendo a cabalidad su parte del convenio. Aspectos que omitió la casacionista, lo que contraría la cláusula pactada como lo indica la sentencia.
En cuanto al Artículo 1089 del Código Civil, este cita: “El comprador puede rehusar el pago del precio si el vendedor no le entrega la cosa, conforme a lo establecido en el capítulo anterior.”. Esta es una norma que introduce en la fase de casación la recurrente, por lo que el agravio es novedoso. Nótese que la accionada -casacionista al momento de contestar la demanda y formular la reconvención, solo invoca de forma concreta los numerales 692, 693 y 701 del Código Civil, inclusive los dos primeros conforman el análisis de la sentencia. De ahí que, introducir normativa en esta fase para el respectivo análisis, es novedoso, máxime si se toma en cuenta que dicho numeral se encuentra dentro de las regulaciones del Capítulo III titulado “De las obligaciones del Comprador”, para un tipo de contrato en específico. Por lo anterior, se rechaza el agravio.
V.La recurrente alega que el punto medular es determinar cuáles incumplimientos impiden el desarrollar el objeto del contrato, concretamente la construcción de un edificio con unas determinadas características y en un determinado precio. Considera, que son los incumplimientos de la actora los que por sí solos provocaron la imposibilidad de continuación del convenio. Inicia con el desarrollo del objeto del proceso, sin claridad de cuales son los medios de prueba y el error que el Tribunal hizo recaer en ellos. Se esfuerza por señalar las “negligencias” que considera, incurrió la sociedad actora y las consecuencias que en su parecer provocaron. En cuanto al hecho que torna imposible el objeto del contarto esgrime: “Es a partir de este punto (revocatoria de la viabilidad ambiental) que la obra se vuelve inviable legalmente, ni en los términos previamente pactados, ni con el nuevo rediseño”. Posteriormente, alude a los incumplimientos que la sentencia le atribuye, expone razones por las que considera la recurrente no comparte la tesis del fallo.
En cuanto a los pagos, alude, que la falta de pago no impidió a la constructora seguir ejecutando las obras. Seguidamente, refiere a la solicitud del crédito en el ente bancario y el conocimiento del representate de la actora de la necesidad de la aprobación del préstamo para la realización de la obra. En otro orden de ideas, señala que la prueba testimonial de Roberto Arroyo Montenegro solo fue valorada en parte, la persona testigo declaró sobre las obras de mitigación que afirma, se debían realizar en la propiedad. El motivo casacional se rechaza por informal. La recurrente no indica de manera clara y concreta cuál es la prueba que analizó de forma errónea el Tribunal, por el contrario, lo que realiza es una exposición de hechos con los que considera se debió acoger su pretensión. Aunado a lo anterior, al no existir claridad de la prueba mal apreciada, no puede la recurrente enlazarla con el criterio de apreciación infringido.
No basta con invocar el artículo 41.5 del Código Procesal Civil, sino que se debe señalar si el Tribunal en el análisis de cada medio de prueba erró en las reglas de la lógica, o en su defecto, las del correcto entendimiento humano, la experiencia o la ciencia. Este desarrollo argumentativo no lo realiza la impugnante. Tampoco manifiesta, como los yerros en el análisis probatorio tienen efecto en el derecho sustantivo que cita (artículos 692 y 1089 del Código Civil). La única prueba concreta en el reproche, es la testimonial de Roberto Arroyo, no obstante, solo señala la recurrente que no fue valorada, haciendo énfasis en las labores de mitigación, obras que son posteriores a los hechos que se acusan las partes, como factores que llevaron al incumplimiento de una u otra, por tal razón, además que no se indica el error de apreciación en la misma, la Sala no puede entrar a analizar en que consiste el yerro. Las anteriores omisiones de la casacionista producen que el agravio no se encuentre motivado como lo exige el numeral 69.4.3 del Código Procesal Civil, por lo que se rechaza el agravio.
POR TANTO
