With the authorization of the Attorney General of the Republic, I am writing in response to your office letter number AL-25223-OFI-0847-2026, dated February 11, 2026, through which the opinion of this Attorney General's Office is requested regarding the bill processed under legislative file number twenty-five thousand two hundred twenty-three (25,223), entitled: "AUTHORIZATION TO THE REFINADORA COSTARRICENSE DE PETRÓLEO SOCIEDAD ANÓNIMA (RECOPE) TO DONATE TO THE MINISTRY OF ENVIRONMENT AND ENERGY TWO PROPERTIES LOCATED IN THE DISTRICT OF LIMÓN FOR THE CONSTRUCTION OF THE FACILITIES OF THE REGIONAL DIRECTORATE OF THE LA AMISTAD CARIBE CONSERVATION AREA AND IMPROVEMENT OF THE OFFICES OF THE LIMÓN-TALAMANCA SUBREGION."
The Attorney General's Office of the Republic is the technical-legal advisory body of the various agencies of the Public Administration, as provided in articles one, two, three, four, and five of its Organic Law.
Likewise, section three, subsection b), of that statute establishes, as one of its competencies, the issuance of legal opinions (dictámenes) to the State, decentralized entities, other public bodies, and state-owned enterprises.
The advisory function is carried out through the issuance of legal opinions and juridical opinions to the active administration, which has the authority and standing to request the criterion of this technical body prior to the adoption of an administrative decision.
Now, while the formation of laws — a constitutional function assigned to the Legislative Assembly — does not form part of the administrative function, the fact remains that this Attorney General's Office has been answering queries submitted by members of the Legislative Assembly regarding specific bills.
For this reason, this legal opinion does not have binding effects in the specific case and aims to contribute to the effective exercise of the high parliamentary functions that the legal order assigns to the members of the Legislative Assembly, through advice of a strictly legal nature. Precisely for this reason, the deadline established in article one hundred fifty-seven of the Rules of Procedure of the Legislative Assembly does not apply to the Attorney General's Office of the Republic.
In addition to the foregoing, the present legal opinion is issued in the shortest time possible, as permitted by the handling of the ordinary competencies assigned by law to this advisory body.
ON ARTICLE ONE Article one authorizes the Refinadora Costarricense de Petróleo Sociedad Anónima (RECOPE), legal identification number three-one hundred one-zero zero seven thousand seven hundred forty-nine (3-101-007749), to donate to the State-Ministry of Environment and Energy (MINAE), legal identification number two-one hundred-forty-two thousand fourteen (2-100-042014), two parcels registered in the Real Property Registry of the National Registry, under the Folio Real system, both located in the first district of Limón, first canton of Limón, in the province of Limón.
The first parcel corresponds to registration number seven-twenty thousand two hundred thirty-five (7-20235-000), with a nature of buildable land with a house, with an area of one thousand four hundred forty-two square meters and nineteen square decimeters (1,442.19 m²), according to cadastral plan (plano catastrado) number L-0339001-1979. The second parcel corresponds to registration number seven-sixteen thousand six hundred seventy-one (7-16671-000), with a nature of buildable land, lot nine, with an area of four thousand two hundred fifty square meters and eighty square decimeters (4,250.80 m²), according to cadastral plan number L-0339008-1979.
With respect to the registry status of both parcels, according to the literal certifications of the National Registry issued on May 13, 2026, RECOPE appears as the full-ownership (pleno dominio) proprietor of both properties, with no annotations (anotaciones), encumbrances (gravámenes), or designations recorded against either of them. Additionally, the cadastral certificates, issued on that same date, confirm that both parcels are located in a surveyed zone (zona catastrada), that the area according to the registry exactly matches the area according to the cadastral plan — one thousand four hundred forty-two square meters and nineteen square decimeters (1,442.19 m²) for parcel 7-20235, and four thousand two hundred fifty square meters and eighty square decimeters (4,250.80 m²) for parcel 7-16671 — and that neither of them presents inconsistencies, modifications, encumbrances, annotations, cadastral notices, nor is located in areas under a special regime (ABRE). All of the foregoing constitutes a favorable element for the legal viability of the proposed donation.
On RECOPE's inability to make donations without legal authorization and the necessity of the bill.
Article 6 of Law N.° 6588 of July 30, 1981, which governs the Refinadora Costarricense de Petróleo, expressly establishes the following:
"The objectives of the Refinadora Costarricense de Petróleo, S.A. are the following: to refine, transport, and market petroleum and its derivatives in bulk; to maintain and develop the necessary facilities for this purpose; and to carry out, as applicable, the energy sector development plans in accordance with the national development plan. The Refinadora may not grant loans, make donations, grant subsidies or subventions, or construct interoceanic oil pipelines, without prior legal authorization, except in the case of the Hospicio de Huérfanos de San José, to which donations of scrap metal may be made directly." (emphasis in the original).
The provision establishes an express prohibition against RECOPE making donations without prior legal authorization. This restriction is grounded in the speciality principle (principio de especialidad) that governs public enterprises, under which their activity is confined to the purposes for which they were created and to acts expressly permitted by their founding law.
In that regard, a donation is an act that is prohibited to the Administration insofar as it does not constitute an ordinary activity and entails the gratuitous disposition of public patrimony. As a matter of doctrine, a donation has been defined as "an act of liberality by which one person (natural or legal) transfers to another, gratuitously, the ownership of a thing by means of a contract that requires, for its perfection, the consent or acceptance of the counterpart (donee (donatario))" (OJ-096-2007 of September 26, 2007).
Under that understanding, in the public sphere a donation must be accompanied by a legal authorization enabling the disposition of patrimony, in compliance with the principle of legality enshrined in article 11 of the Political Constitution and article 11 of the General Law of Public Administration. This legislative authorization "has repercussions on the validity of the act because it becomes an indispensable requirement" and, within the notarial sphere, "it becomes a prior authorization in accordance with article 7, subsection d of the Notarial Code," which prohibits the notary from "authorizing acts or contracts that are contrary to law, ineffective, or that require prior authorization to be executed, until such authorization has been granted." Consequently, the present bill is indispensable for RECOPE to be able to validly dispose of its patrimony through donation. Nevertheless, it should be noted that legislative authorization, by virtue of its dispositive — rather than imperative — nature, "lacks effectiveness on its own, since its legal effect is confined to the removal of the legal obstacle imposed on public entities to transfer their resources to third parties.
This implies that, for such laws to be effective, they also require the authorization of the Board of Directors of the donating institution; an administrative act that must be issued on the basis of a judgment of administrative convenience or opportunity, complying with all legal procedures and formalities" (OJ-116-2017 of September 12, 2017).
Finally, as regards the beneficiary, since it is the State-Ministry of Environment and Energy that would receive the donation, its acceptance constitutes a discretionary act linked to the fulfillment of the public purposes entrusted to it, and it must be verified that the donation does not limit or hinder the fulfillment of its institutional functions.
ON ARTICLE TWO It should be noted that RECOPE, pursuant to the second paragraph of article 6 of Law N.° 6588, is only authorized to assign to the Ministry of Environment and Energy the financial, human, technical, and logistical resources required for the fulfillment of the obligations entrusted to that Ministry under the Ley de Hidrocarburos. This regulatory scenario is of limited scope and reflects an operational logic exclusively linked to the hydrocarbons sector, and therefore cannot be extended to cover a patrimonial disposition of real property for purposes of public-domain designation (afectación demanial) such as the one proposed here.
Article two of the bill applies a public-use designation (afectación) to the parcels described in the previous article, assigning them a new designation as land for the construction of the facilities of the Regional Directorate and Programs of the La Amistad Caribe Conservation Area, as well as other MINAE departments and for the remodeling of the infrastructure of the Limón and Talamanca Subregion.
The bill designates the parcels for the administrative use of MINAE. Regarding the concept of public-use designation, this advisory body, in opinion C-228-98 of November 3, 1998, stated:
"Public-use designation is a mechanism or technique (a decision of public power in the material sense) by virtue of which a property belonging to the State or the Administration is directly linked to or destined for a public purpose: use — direct or indirect — or public service. It determines the public-domain character of the property and its subjection to an exorbitant legal regime. This encompasses the exercise of a body of public powers conferred on the owning entity to carry out the function to which the asset is connected. The designation takes effect when its purpose is realized in a real, that is, effective and current, manner." Under that understanding, once the transfer of the properties is formalized, they will be subject to the statutory public-use designation regime pursuant to article 261 of the Civil Code, with the legal consequences this entails: including the obligation to preserve them and permanently devote them to the public purpose for which they were designated, namely the construction and operation of the facilities of the La Amistad Caribe Conservation Area and the MINAE Limón-Talamanca Subregion offices.
For this reason, article two of the bill is legally sound insofar as the public-use designation it establishes finds its enabling basis in the legislative authorization contained in article one.
ON ARTICLE THREE Article three charges the State Notary's Office (Notaría del Estado) with formalizing all the procedures of the donation, through the preparation of the corresponding notarial deed (escritura pública), and further authorizes it to update and correct the measurements, boundaries, and any error, discrepancy, or omission relating to the data of the properties to be donated, as well as any other registry or notarial data necessary for proper registration with the National Registry.
As regards the competency of the State Notary's Office, article 3, subsection c) of the Organic Law of the Attorney General's Office of the Republic establishes that it is responsible for carrying out the acts or contracts of the State that must be formalized in a notarial deed. In that regard, the article is consistent with the existing legal framework and warrants no observation.
ON THE STAMP DUTY EXEMPTION IN FAVOR OF RECOPE Unlike other bills of a similar nature, the substitute text under analysis does not include any express tax exemption. However, analysis of the applicable rules makes it possible to determine clearly which tax obligations subsist for each party.
Regarding the transfer tax (impuesto de traspaso), article 5, subsection d) of Law N.° 6999-A exempts the State in the portion corresponding to it as acquirer, and subsection f) of the same article exempts the donor in donations made to the State. Therefore, neither RECOPE nor MINAE would be obligated to pay that tax.
Regarding stamp duties (timbres), as far as the State is concerned, whether the acquisition of the property is onerous or gratuitous in favor of the State, the document is exempt from all taxes, based on article 5 of Law N.° 5790, article 20 of Law N.° 6575, and article 2, subsection 1 of Law N.° 7293. Consequently, the portion corresponding to MINAE as donee is fully covered with respect to all taxes.
The situation of RECOPE as donor is different. In its capacity as a public enterprise organized as a corporation (sociedad anónima), it is not the State in the strict sense and does not enjoy that coverage as a matter of right, and therefore must pay its proportional share of the following stamp duties: the Registry Fee (Arancel de Registro) (5 per thousand, Law N.° 4564), the Agricultural Stamp (Timbre Agrario) (₡1.50 per thousand, article 14, subsection e of Law N.° 5792), the Municipal Stamp (Timbre Municipal) (2 per thousand, article 93 of the Municipal Code, Law N.° 7794), the National Archives Stamp (Timbre de Archivos Nacionales) (₡20.00, article 6 of Law N.° 43 of 1934), and the Bar Association Stamp (Timbre del Colegio de Abogados) pursuant to the schedule in article 108 of Decreto Ejecutivo N.° 41457, all calculated on the actual value of the properties.
It should be noted that the Fiscal Stamp (Timbre Fiscal), which was previously calculated in accordance with articles 272, 273, and 274 of the Fiscal Code, was repealed from the legal framework by article 8 of Law N.° 10586 of November 5, 2024, known as "Ley Simple I: Simplificación de Impuestos para levantar la eficiencia y la competitividad (Fase I)," which expressly repealed articles 239 through 248 and 272 through 274 of that body of law, with effect as of December 3, 2024. Therefore, that item does not generate a payment obligation for either party.
For the foregoing reasons, while there is no omission that would create a registry obstacle for MINAE, there is a tax burden on RECOPE that the bill does not resolve. The Legislative Assembly is recommended to consider the advisability of including a provision exempting RECOPE from its proportional share of the aforementioned stamp duties, in order to facilitate the notarial and registry processing of the act.
Based on the foregoing analysis, this advisory body concludes:
The legislative authorization intended to be granted through article one is indispensable, since article 6, first paragraph, of Law N.° 6588 expressly prohibits RECOPE from making donations without prior legal authorization.
From the registry and cadastral standpoint, the transfer in favor of the State is viable; RECOPE holds full ownership of both properties, they present no encumbrances, annotations, or designations, they are located in a surveyed zone, and they show no inconsistencies, which eliminates any obstacle in the notarial and registry processing.
The only substantive observation made is the absence of a tax exemption in article three. While the transfer tax would not generate a payment obligation for either party by virtue of article 5, subsections d) and f) of Law N.° 6999-A, the situation of the parafiscal stamp duties (timbres parafiscales) is not resolved in the same way, given that RECOPE does not have a general exemption in its founding law and the bill does not grant one. It is recommended that an express provision be included to ensure smooth processing before the State Notary's Office and the National Registry.
The final decision on the approval of the bill remains in the hands of the members of the Legislative Assembly, in accordance with the legal considerations set forth herein.

The legislative authorization intended to be granted through article one is indispensable, since article 6, first paragraph, of Law N.° 6588 expressly prohibits RECOPE from making donations without prior legal authorization.
From the registry and cadastral standpoint, the transfer in favor of the State is viable; RECOPE holds full ownership of both properties, they present no encumbrances, annotations, or designations, they are located in a surveyed zone, and they show no inconsistencies, which eliminates any obstacle in the notarial and registry processing.
The only substantive observation made is the absence of a tax exemption in article three. While the transfer tax would not generate a payment obligation for either party by virtue of article 5, subsections d) and f) of Law N.° 6999-A, the situation of the parafiscal stamp duties is not resolved in the same way, given that RECOPE does not have a general exemption in its founding law and the bill does not grant one. It is recommended that an express provision be included to ensure smooth processing before the State Notary's Office and the National Registry.
The final decision on the approval of the bill remains in the hands of the members of the Legislative Assembly, in accordance with the legal considerations set forth herein."

Con la autorización del señor Procurador General de la República, me refiero a su oficio número AL-25223-OFI-0847-2026, de fecha once de febrero de dos mil veintiséis, mediante el cual se solicita el criterio de esta Procuraduría en relación con el proyecto de ley tramitado bajo el expediente legislativo número veinticinco mil doscientos veintitrés (25.223), denominado: "AUTORIZACIÓN A LA REFINADORA COSTARRICENSE DE PETRÓLEO SOCIEDAD ANÓNIMA (RECOPE) PARA QUE DONE A FAVOR DEL MINISTERIO DE AMBIENTE Y ENERGÍA, DOS PROPIEDADES UBICADAS EN EL PARTIDO DE LIMÓN PARA CONSTRUIR LAS INSTALACIONES DE LA DIRECCIÓN REGIONAL DEL ÁREA DE CONSERVACIÓN LA AMISTAD CARIBE Y MEJORA DE LAS OFICINAS DE LA SUBREGIÓN LIMÓN-TALAMANCA."
La Procuraduría General de la República es el órgano consultivo técnico-jurídico de las distintas dependencias de la Administración Pública, según lo disponen los artículos uno, dos, tres, cuatro y cinco de su Ley Orgánica.
Asimismo, el numeral tres, inciso b), de dicha norma establece, como una de sus competencias, emitir dictámenes al Estado, los entes descentralizados, los demás organismos públicos y las empresas estatales.
La función consultiva se materializa mediante la emisión de dictámenes y opiniones jurídicas a favor de la administración activa, la cual tiene la facultad y legitimación para solicitar el criterio de este órgano técnico, previo a la adopción de una decisión administrativa.
Ahora bien, si bien la formación de las leyes —función constitucional asignada a la Asamblea Legislativa— no forma parte de la función administrativa, lo cierto es que esta Procuraduría ha venido evacuando las consultas que formulan los señores diputados en relación con proyectos de ley concretos.
Por lo anterior, esta opinión jurídica carece de efectos vinculantes para el caso específico y tiene como objetivo contribuir al efectivo ejercicio de las altas funciones parlamentarias que el ordenamiento asigna a las señoras y los señores diputados, mediante un asesoramiento de índole estrictamente jurídico. Precisamente por esa razón, el plazo establecido en el artículo ciento cincuenta y siete del Reglamento de la Asamblea Legislativa no resulta aplicable a la Procuraduría General de la República.
Aunado a lo anterior, la presente opinión jurídica se emite en el menor tiempo posible, según lo permita la atención de las competencias ordinarias asignadas por ley a este órgano asesor.
SOBRE EL ARTÍCULO PRIMERO El artículo primero autoriza a la Refinadora Costarricense de Petróleo Sociedad Anónima (RECOPE), cédula jurídica número tres-ciento uno-cero cero siete mil setecientos cuarenta y nueve (3-101-007749), para que done a favor del Estado-Ministerio de Ambiente y Energía (MINAE), cédula jurídica dos-ciento-cuarenta y dos mil catorce (2-100-042014), dos fincas inscritas en el Registro de la Propiedad Inmobiliaria del Registro Nacional, bajo el sistema de Folio Real, ambas ubicadas en el distrito primero Limón, cantón primero Limón, de la provincia de Limón.
La primera finca corresponde a la matrícula número siete-veinte mil doscientos treinta y cinco (7-20235-000), con una naturaleza de terreno para construir con una casa, con un área de mil cuatrocientos cuarenta y dos metros con diecinueve decímetros cuadrados (1.442,19 m²), según plano catastrado número L-0339001-1979. La segunda finca corresponde a la matrícula número siete-dieciséis mil seiscientos setenta y uno (7-16671-000), con naturaleza de terreno para construir, lote nueve, con un área de cuatro mil doscientos cincuenta metros con ochenta decímetros cuadrados (4.250,80 m²), según plano catastrado número L-0339008-1979.
Con respecto al estado registral de ambas fincas, según las certificaciones literales del Registro Nacional emitidas el trece de mayo de dos mil veintiséis, RECOPE figura como propietaria en pleno dominio de ambos inmuebles, sin que consten anotaciones, gravámenes ni afectaciones sobre ninguna de ellas. Adicionalmente, los certificados catastrales, emitidos en esa misma fecha, confirman que ambas fincas se encuentran en zona catastrada, que el área según registro coincide exactamente con el área según plano catastrado —mil cuatrocientos cuarenta y dos metros con diecinueve decímetros cuadrados (1.442,19 m²) para la finca 7-20235, y cuatro mil doscientos cincuenta metros con ochenta decímetros cuadrados (4.250,80 m²) para la finca 7-16671—, y que ninguna de ellas presenta inconsistencias, modificaciones, gravámenes, anotaciones, avisos catastrales ni se ubica en áreas bajo régimen especial (ABRE). Todo lo anterior resulta un elemento favorable para la viabilidad jurídica de la donación propuesta.
Sobre la imposibilidad de RECOPE para realizar donaciones sin autorización legal y la necesidad del proyecto.
El artículo 6 de la Ley N.° 6588 del 30 de julio de 1981, que regula a la Refinadora Costarricense de Petróleo, establece de manera "Los objetivos de la Refinadora Costarricense de Petróleo, S.A. son los siguientes: refinar, transportar, comercializar o granel el petróleo y sus derivados: mantener y desarrollar las instalaciones necesarias para ello y ejercer, en lo que le corresponda, los planes de desarrollo del sector energía, conforme al plan nacional de desarrollo. La Refinadora no podrá otorgar préstamos, hacer donaciones, conceder subsidios o subvenciones, ni construir oleoductos interoceánicos, sin la previa autorización legal, salvo el caso del Hospicio de Huérfanos de San José, al cual se le podrán otorgar, en forma directa, donaciones de chatarra." (lo destacado o es del original).
La norma establece una prohibición expresa para que RECOPE realice donaciones sin previa autorización legal. Esta restricción responde al principio de especialidad que rige a las empresas públicas, conforme al cual su actuación se circunscribe a los fines para los que fueron creadas y a los actos expresamente permitidos por su ley de creación.
En ese sentido, la donación es un acto vedado para la Administración en tanto no constituye una actividad ordinaria y supone disposición gratuita del patrimonio público. Doctrinariamente, la donación ha sido definida como "un acto de liberalidad mediante la que una persona (física o jurídica) traspasa a otra, gratuitamente, la propiedad de una cosa mediante un contrato que requiere para su perfección del consentimiento o aceptación de la contraparte (donatario)" (OJ-096-2007 del 26 de setiembre del 2007).
Bajo esa inteligencia, en el ámbito público la donación debe estar acompañada de una autorización legal que habilite la disposición del patrimonio, en acatamiento del principio de legalidad consagrado en el artículo 11 de la Constitución Política y el artículo 11 de la Ley General de la Administración Pública. Esta autorización legislativa "repercute en la validez del acto debido a que se convierte en un requisito imprescindible" y, dentro del ámbito notarial, "se convierte en una autorización previa de conformidad con el artículo 7 inciso d del Código Notarial", que prohíbe al notario "autorizar actos o contratos contrarios a la ley, ineficaces o los que para ser ejecutados requieran autorización previa, mientras esta no se haya extendido".
Por consiguiente, el presente proyecto resulta indispensable para que RECOPE pueda válidamente disponer de su patrimonio mediante donación. No obstante, conviene destacar que la autorización legislativa, por su carácter dispositivo y no imperativo, "carece de efectividad por sí misma, ya que su efecto jurídico se constriñe a la remoción del obstáculo legal que se impone a los entes públicos para transferir sus recursos a favor de terceros. Ello implica que, para que tales leyes sean efectivas, requieren además de la autorización de la Junta Directiva de la institución donante; de un acto administrativo que deberá ser emitido sobre la base de un juicio de conveniencia u oportunidad administrativa, cumpliendo con todos los procedimientos y solemnidades legales" (OJ-116-2017 del 12 de setiembre del 2017).
Finalmente, en cuanto al sujeto beneficiario, siendo el Estado-Ministerio de Ambiente y Energía quien recibiría la donación, su aceptación constituye un acto discrecional vinculado a la satisfacción de los fines públicos encomendados, debiendo verificarse que la donación no limite ni impida el cumplimiento de sus funciones institucionales.
SOBRE EL ARTÍCULO SEGUNDO Conviene precisar que RECOPE, conforme al párrafo segundo del artículo 6 de la Ley N.° 6588, únicamente está habilitado para asignarle al Ministerio de Ambiente y Energía recursos financieros, humanos, técnicos y logísticos requeridos para el cumplimiento de las obligaciones encomendadas a ese Ministerio en la Ley de Hidrocarburos. Ese supuesto normativo es de alcance restringido y responde a una lógica operativa vinculada exclusivamente al sector hidrocarburos, por lo que no puede extenderse para amparar una disposición patrimonial de bienes inmuebles con fines de afectación demanial como la que aquí se plantea.
El artículo segundo del proyecto afecta al uso los terrenos descritos en el artículo anterior, asignándoles como nueva naturaleza destinados a la construcción de las instalaciones de la Dirección Regional y Programas del Área de Conservación La Amistad Caribe, así como otras dependencias del MINAE y para la remodelación de la infraestructura de la Subregión Limón y Talamanca.
El proyecto afecta las fincas para uso administrativo del MINAE. Sobre el concepto de afectación, este órgano asesor en el dictamen C-228-98 del 3 de noviembre de 1998 señaló:
"La afectación es un mecanismo o técnica (decisión del poder público en sentido material), por cuya virtud un bien, propiedad del Estado o de la Administración, queda directamente vinculado o destinado a una finalidad pública: uso -directo o indirecto-, o servicio público. Determina el calificativo demanial del bien y la sujeción a un régimen exorbitante. Este abarca el ejercicio de un cúmulo de potestades públicas conferidas al ente titular para cumplir la función a que se conecta la cosa. La afectación se concreta cuando su fin se realiza en forma real, es decir, efectiva y actual." Bajo esa inteligencia, una vez formalizado el traspaso de los inmuebles, estos quedarán sujetos al régimen de afectación por ley conforme lo instruye el 261 del Código Civil, con las consecuencias jurídicas que ello implica: como la obligación de conservarlos y destinarlos permanentemente al fin público para el que fueron afectados, sea la construcción y funcionamiento de las instalaciones del Área de Conservación La Amistad Caribe y las dependencias de la Subregión Limón-Talamanca del MINAE.
Por lo anterior, el artículo segundo del proyecto resulta jurídicamente procedente en tanto la afectación que dispone encuentra su fundamento habilitante en la autorización legislativa contenida en el artículo primero.
SOBRE EL ARTÍCULO TERCERO El artículo tercero encarga a la Notaría del Estado la formalización de todos los trámites de la donación, mediante la elaboración de la escritura pública correspondiente, facultándola además para actualizar y corregir la medida, los linderos y cualquier error, diferencia u omisión relacionados con los datos de los inmuebles a donar, así como cualquier otro dato registral o notarial necesario para la debida inscripción en el Registro Nacional.
En cuanto a la competencia de la Notaría del Estado, el artículo 3 inciso c) de la Ley Orgánica de la Procuraduría General de la República establece que le corresponde realizar los actos o contratos del Estado que deban formalizarse en escritura pública. En ese sentido, el artículo es congruente con el ordenamiento vigente y no merece observación alguna SOBRE LA EXONERACIÓN DE TIMBRES A FAVOR DE RECOPE A diferencia de otros proyectos de similar naturaleza, el texto sustitutivo bajo análisis no contempla ninguna exoneración tributaria expresa. Sin embargo, el análisis de las normas aplicables permite determinar con claridad qué obligaciones tributarias subsisten para cada parte.
En cuanto al impuesto de traspaso, el artículo 5 inciso d) de la Ley N.° 6999-A exceptúa al Estado en la parte que le corresponda como adquirente, y el inciso f) del mismo artículo exonera al donante en las donaciones realizadas al Estado. Por tanto, ni RECOPE ni el MINAE estarían obligados al pago de ese tributo.
En cuanto a los timbres, en cuanto al Estado la adquisición del inmueble sea onerosa o gratuita a favor del Estado, el documento se encuentra exento de la totalidad de los tributos, con fundamento en el artículo 5 de la Ley N.° 5790, el artículo 20 de la Ley N.° 6575 y el artículo 2 inciso 1 de la Ley N.° 7293. En consecuencia, la parte correspondiente al MINAE como donatario queda cubierta de la totalidad de los tributos.
Distinta es la situación de RECOPE como donante, quien en su condición de empresa pública con forma de sociedad anónima no es Estado en sentido estricto y no goza de esa cobertura de pleno derecho, debiendo pagar su parte proporcional de los siguientes timbres: el Arancel de Registro (5 por mil, Ley N.° 4564), el Timbre Agrario (¢1,50 por cada mil, artículo 14 inciso e de la Ley N.° 5792), el Timbre Municipal (2 por mil, artículo 93 del Código Municipal, Ley N.° 7794), el Timbre de Archivos Nacionales (¢20,00, artículo 6 de la Ley N.° 43 de 1934) y el Timbre del Colegio de Abogados conforme a la tabla del artículo 108 del Decreto Ejecutivo N.° 41457, todos calculados sobre el valor real de los inmuebles.
Cabe señalar que el Timbre Fiscal, que anteriormente se calculaba conforme a los artículos 272, 273 y 274 del Código Fiscal, fue derogado del ordenamiento jurídico mediante el artículo 8 de la Ley N.° 10586 del 5 de noviembre de 2024, denominada "Ley Simple I: Simplificación de Impuestos para levantar la eficiencia y la competitividad (Fase I)", la cual derogó expresamente los artículos 239 al 248 y 272 al 274 de ese cuerpo normativo, con vigencia a partir del 3 de diciembre de 2024. Por tanto, ese rubro no genera obligación de pago para ninguna de las partes.
En razón de lo anterior, si bien no existe una omisión que genere un problema de inscripción registral para el MINAE, sí existe una carga tributaria para RECOPE que el proyecto no resuelve. Se recomienda a la Asamblea Legislativa valorar la conveniencia de incluir una disposición que exonere a RECOPE de su parte proporcional en los timbres indicados, a fin de facilitar la tramitación notarial y registral del acto.
Con base en el análisis realizado, este órgano asesor concluye:
La autorización legislativa que se pretende otorgar mediante el artículo primero es indispensable, toda vez que el artículo 6 párrafo primero de la Ley N.° 6588 prohíbe expresamente a RECOPE realizar donaciones sin habilitación legal previa.
Desde el punto de vista registral y catastral, es viable el traspaso a favor del Estado, RECOPE ostenta pleno dominio sobre ellas, no presentan gravámenes, anotaciones ni afectaciones, están en zona catastrada y no registran inconsistencias, lo que elimina cualquier obstáculo en la tramitación notarial y registral.
La única observación de fondo que se formula es la ausencia de una exoneración tributaria en el artículo tercero. Si bien el impuesto de traspaso no generaría obligación de pago para ninguna de las partes por aplicación del artículo 5 incisos d) y f) de la Ley N.° 6999-A, la situación de los timbres parafiscales no está resuelta de igual manera, dado que RECOPE no cuenta con una exoneración general en su ley de creación ni el proyecto la otorga. Se recomienda incluir una disposición expresa al respecto para garantizar una tramitación fluida ante la Notaría del Estado y el Registro Nacional.
Queda en manos de las señoras y señores diputados la decisión final sobre la aprobación del proyecto, conforme a las consideraciones jurídicas expuestas.

Opinión jurídica de carácter no vinculante emitida, con la autorización del señor Procurador General de la República, por el Licenciado Jonathan Bonilla Córdoba, Notario del Estado. El pronunciamiento tiene como fin brindar asesoramiento técnico-jurídico sobre el proyecto de ley tramitado bajo el expediente legislativo N.° 25.223 (consultado mediante el oficio AL-25223-OFI-0847-2026). La iniciativa se denomina: “AUTORIZACIÓN A LA REFINADORA COSTARRICENSE DE PETRÓLEO SOCIEDAD ANÓNIMA (RECOPE) PARA QUE DONE A FAVOR DEL MINISTERIO DE AMBIENTE Y ENERGÍA, DOS PROPIEDADES UBICADAS EN EL PARTIDO DE LIMÓN PARA CONSTRUIR LAS INSTALACIONES DE LA DIRECCIÓN REGIONAL DEL ÁREA DE CONSERVACIÓN LA AMISTAD CARIBE Y MEJORA DE LAS OFICINAS DE LA SUBREGIÓN LIMÓN-TALAMANCA”.
El objetivo fundamental es facultar a RECOPE para que traspase a título gratuito dos fincas de su propiedad en Limón al Estado (MINAE), para la construcción y remodelación de infraestructura administrativa y de conservación.
Fondo de la Consulta La Procuraduría dictamina que el proyecto es jurídicamente viable. El análisis destaca los siguientes puntos fundamentales:
Necesidad indispensable de la Ley (Art. 1): La Ley de creación de RECOPE (N.° 6588) prohíbe de manera expresa a esta institución realizar donaciones sin contar con una autorización legal previa. Por tanto, este proyecto constituye el requisito imprescindible para remover el obstáculo legal y permitir la disposición de su patrimonio. Además, registralmente, ambas fincas están libres de gravámenes y anotaciones, lo que favorece el traspaso.
Afectación al uso público (Art. 2): Se avala la disposición que afecta las fincas al uso administrativo del MINAE, quedando vinculadas directamente a la finalidad pública de albergar las instalaciones del Área de Conservación La Amistad Caribe y la Subregión Limón-Talamanca.
Formalización (Art. 3): Es correcto y acorde a sus competencias encomendar a la Notaría del Estado la confección de la escritura pública y corrección de eventuales datos registrales.
Carga Tributaria y Necesidad de Exoneración: La Procuraduría señala una observación de fondo importante: el texto omite incluir una cláusula de exoneración tributaria. Si bien ninguna de las partes pagará el impuesto de traspaso (por exclusiones en la Ley N.° 6999-A) y el MINAE está exento del pago de timbres, RECOPE no goza de esta cobertura general al ser una empresa pública constituida como sociedad anónima. Por ende, RECOPE tendría que pagar una suma proporcional en timbres (Arancel de Registro, Agrario, Municipal, etc.). Se recomienda fuertemente a los legisladores incluir una disposición que exonere a RECOPE de estos timbres para facilitar la inscripción en el Registro Nacional.
Conclusiones Literales Tras el análisis integral del proyecto, la Procuraduría General de la República emitió las siguientes conclusiones textuales:
"Con base en el análisis realizado, este órgano asesor concluye:
La autorización legislativa que se pretende otorgar mediante el artículo primero es indispensable, toda vez que el artículo 6 párrafo primero de la Ley N.° 6588 prohíbe expresamente a RECOPE realizar donaciones sin habilitación legal previa.
