((With reference to the letter of endorsement from the Ministry of Environment and Energy (MINAE) of November 12, 2020, and in compliance with the Convention on Technical Cooperation concluded between the Government of the Federal Republic of Germany and the Government of the Republic of Costa Rica on July 23, 1965, as amended by the Protocols of Amendment of March 13, 1986, and of December 18, 2006, I have the honor to propose to Your Excellency, in the name of the Government of the Federal Republic of Germany, the following Agreement on the project "ACCION Clima III- Implementation of Costa Rica's NDCs and regional dissemination of experiences" within the framework of the International Climate Protection Initiative of the Federal Ministry for the Environment, Nature Conservation and Nuclear Safety:
1. The Government of the Federal Republic of Germany and the Government of the Republic of Costa Rica will jointly promote the project "ACCION Clima III- Implementation of the NDCs of Costa Rica and regional dissemination of experiences", if after examination it proves eligible for support.
HER EXCELLENCY MARTINA HANNI NIBBELING-WRIESSNIG AMBASSADOR OF THE FEDERAL REPUBLIC OF GERMANY 2. The objective of the project is to contribute to climate protection and sustainable development in the Republic of Costa Rica through the promotion of measures for the mitigation of greenhouse gas emissions.
3. The Government of the Federal Republic of Germany will provide human resources and will make material contributions and, if applicable, financial contributions for the project in a total amount of up to 10,000,000 euros (in words: ten million euros).
It will entrust the execution of the project to the Deutsche Gesellschaft für Internationale Zusammenarbeit (GIZ) GmbH.
4. On behalf of the Government of the Republic of Costa Rica, the Ministry of Environment and Energy (MINAE) will be responsible for the execution of the project.
5. The details of the project and of the respective contributions and obligations shall be set forth in an execution contract and, if applicable, a financing contract to be concluded between GIZ and the institution to which the Government of the Republic of Costa Rica entrusts the execution of the project and which shall be subject to the legal provisions in force in the Federal Republic of Germany.
6. The commitment of the Government of the Federal Republic of Germany for the project shall become void if the execution contract and, if applicable, the financing contract mentioned in paragraph 5 is not concluded by December 31, 2024.
7. The Government of the Republic of Costa Rica shall exempt the materials, vehicles, goods, and equipment imported into the Republic of Costa Rica for the project mentioned in paragraph 1 on behalf and at the expense of the Government of the Federal Republic of Germany, as well as the respective spare parts used for the project mentioned in paragraph 1 from all import and export duties, as well as from licenses, port fees, storage charges, and other public levies, and shall ensure their expeditious customs clearance.
8. The Government of the Republic of Costa Rica shall exempt GIZ from all direct taxes accrued in the Republic of Costa Rica in connection with the conclusion and fulfillment of the execution contract and, if applicable, the financing contract mentioned in paragraph 5.
9. The Government of the Republic of Costa Rica shall, upon request by GIZ, reimburse the value-added tax and other similar indirect taxes that have been levied in the Republic of Costa Rica on objects purchased and services used in connection with the conclusion and fulfillment of the execution contract and, if applicable, the financing contract mentioned in paragraph 5. The special consumption taxes that have been levied in this context shall be borne by the Government of the Republic of Costa Rica upon a request.
10. The present Agreement shall apply to both the project mentioned in paragraph 1 and to future follow-up measures under the same title should our two Governments wish to continue promoting the project. The commitments of the Government of the Federal Republic of Germany regarding the granting of support for follow-up measures of the project mentioned in paragraph 1 shall be communicated through an official communiqué of the Government of the Federal Republic of Germany, in which explicit reference shall be made to the present Agreement.
11. For other matters, the provisions of the above-specified Technical Cooperation Convention of July 23, 1965, as amended by the Protocols of Amendment of March 13, 1986, and of December 18, 2006, shall also apply to the present Agreement.
12. The present Agreement is concluded in German and Spanish, both texts being equally authentic.
In this regard, I have the honor to inform Your Excellency that the foregoing proposal is acceptable to the Government of Costa Rica and that Your Excellency's note and the present one constitute an Agreement between our Governments, which shall enter into force on the day the Government of the Republic of Costa Rica has communicated to the Government of the Federal Republic of Germany, through the diplomatic channel, the fulfillment of the internal requirements necessary for the entry into force of the present Exchange of Notes.
I take this opportunity to reiterate to Your Excellency the assurances of my highest and most distinguished consideration.

Should the Government of the Republic of Costa Rica declare its conformity with the proposals contained in paragraphs 1 to 12, this Note and the Note in reply from Your Excellency containing your Government's conformity shall constitute an Agreement between our Governments which shall enter into force on the date of receipt of the Note through which the Government of the Republic of Costa Rica communicates through the diplomatic channel to the Government of the Federal Republic of Germany the fulfillment of the internal requirements necessary for the entry into force of the present Agreement.
