((With reference to the letter of endorsement from the Ministry of Environment and Energy (MINAE) of November 12, 2020, and in compliance with the Convention on Technical Cooperation concluded between the Government of the Federal Republic of Germany and the Government of the Republic of Costa Rica on July 23, 1965, as amended by the Protocols of Amendment of March 13, 1986, and of December 18, 2006, I have the honor to propose to Your Excellency, in the name of the Government of the Federal Republic of Germany, the following Agreement on the project "ACCION Clima III- Implementation of Costa Rica's NDCs and regional dissemination of experiences" within the framework of the International Climate Protection Initiative of the Federal Ministry for the Environment, Nature Conservation and Nuclear Safety:

1. The Government of the Federal Republic of Germany and the Government of the Republic of Costa Rica will jointly promote the project "ACCION Clima III- Implementation of the NDCs of Costa Rica and regional dissemination of experiences", if after examination it proves eligible for support.

HER EXCELLENCY MARTINA HANNI NIBBELING-WRIESSNIG AMBASSADOR OF THE FEDERAL REPUBLIC OF GERMANY 2. The objective of the project is to contribute to climate protection and sustainable development in the Republic of Costa Rica through the promotion of measures for the mitigation of greenhouse gas emissions.

3. The Government of the Federal Republic of Germany will provide human resources and will make material contributions and, if applicable, financial contributions for the project in a total amount of up to 10,000,000 euros (in words: ten million euros).

It will entrust the execution of the project to the Deutsche Gesellschaft für Internationale Zusammenarbeit (GIZ) GmbH.

4. On behalf of the Government of the Republic of Costa Rica, the Ministry of Environment and Energy (MINAE) will be responsible for the execution of the project.

5. The details of the project and of the respective contributions and obligations shall be set forth in an execution contract and, if applicable, a financing contract to be concluded between GIZ and the institution to which the Government of the Republic of Costa Rica entrusts the execution of the project and which shall be subject to the legal provisions in force in the Federal Republic of Germany.

6. The commitment of the Government of the Federal Republic of Germany for the project shall become void if the execution contract and, if applicable, the financing contract mentioned in paragraph 5 is not concluded by December 31, 2024.

7. The Government of the Republic of Costa Rica shall exempt the materials, vehicles, goods, and equipment imported into the Republic of Costa Rica for the project mentioned in paragraph 1 on behalf and at the expense of the Government of the Federal Republic of Germany, as well as the respective spare parts used for the project mentioned in paragraph 1 from all import and export duties, as well as from licenses, port fees, storage charges, and other public levies, and shall ensure their expeditious customs clearance.

8. The Government of the Republic of Costa Rica shall exempt GIZ from all direct taxes accrued in the Republic of Costa Rica in connection with the conclusion and fulfillment of the execution contract and, if applicable, the financing contract mentioned in paragraph 5.

9. The Government of the Republic of Costa Rica shall, upon request by GIZ, reimburse the value-added tax and other similar indirect taxes that have been levied in the Republic of Costa Rica on objects purchased and services used in connection with the conclusion and fulfillment of the execution contract and, if applicable, the financing contract mentioned in paragraph 5. The special consumption taxes that have been levied in this context shall be borne by the Government of the Republic of Costa Rica upon a request.

10. The present Agreement shall apply to both the project mentioned in paragraph 1 and to future follow-up measures under the same title should our two Governments wish to continue promoting the project. The commitments of the Government of the Federal Republic of Germany regarding the granting of support for follow-up measures of the project mentioned in paragraph 1 shall be communicated through an official communiqué of the Government of the Federal Republic of Germany, in which explicit reference shall be made to the present Agreement.

11. For other matters, the provisions of the above-specified Technical Cooperation Convention of July 23, 1965, as amended by the Protocols of Amendment of March 13, 1986, and of December 18, 2006, shall also apply to the present Agreement.

12. The present Agreement is concluded in German and Spanish, both texts being equally authentic.

In this regard, I have the honor to inform Your Excellency that the foregoing proposal is acceptable to the Government of Costa Rica and that Your Excellency's note and the present one constitute an Agreement between our Governments, which shall enter into force on the day the Government of the Republic of Costa Rica has communicated to the Government of the Federal Republic of Germany, through the diplomatic channel, the fulfillment of the internal requirements necessary for the entry into force of the present Exchange of Notes.

I take this opportunity to reiterate to Your Excellency the assurances of my highest and most distinguished consideration.

Should the Government of the Republic of Costa Rica declare its conformity with the proposals contained in paragraphs 1 to 12, this Note and the Note in reply from Your Excellency containing your Government's conformity shall constitute an Agreement between our Governments which shall enter into force on the date of receipt of the Note through which the Government of the Republic of Costa Rica communicates through the diplomatic channel to the Government of the Federal Republic of Germany the fulfillment of the internal requirements necessary for the entry into force of the present Agreement.

I take this occasion to reiterate to Your Excellency, Minister Solano, the testimony of my highest and most distinguished consideration.

((Con referencia a lo corto de respaldo del Ministerio de Ambiente y Energía /MINAE) del 12 de noviembre de 2020 y en cumplimiento del Convenio sobre Cooperación Técnico concertado entre el Gobierno de la República Federal de Alemania y el Gobierno de lo República de Costa Rica et 23 de julio de J 965, en lo redacción de los Protocolos de Enmiendo del 13 de marzo de 1986 y del 18 de diciembre de 2006, tengo el honor de proponer a Vuestra Excelencia, en nombre del Gobierno de la República federal de Alemania, el siguiente Acuerdo sobre e/ proyecto "ACC/ON Clima //!- Implementación de los NDC de Costa Rica y diseminación regional de experiencias" en el marco de lo Iniciativa Internacional de Protección del Clima del Ministerio Federal de Medio Ambiente, Protección de lo Naturaleza y Seguridad Nuclear:

1. El Gobierno de la República Federal de Alemania y el Gobierno de la República de Costa Rica fomentarán conjuntamente el proyecto "ACCION Clima III- Implementación de los NDC de Costa Rica y diseminación regional de experiencias", si después de examinado resulta susceptible de apoyo.

El objetivo del proyecto es contribuir a la protección del clima y al desarrollo sostenible en la República de Costa Rica o través del fomento de medidas para la mitigación de las emisiones de gases de efecto invernadero.

3. El Gobierno de la República Federal de Alemania facilitará recursos humanos y realizará prestaciones materiales y, si procede, aportaciones financieras para el proyecto por un monto total de hasta 10000 000 de euros /en letras: diez millones de euros].

Confiará lo ejecución del proyecto a la Deutsche Gesellschoff für lnternationale Zusammenarbeit (Gil) GmbH.

4. Por parte del Gobierno de lo República de Costa Rico será responsable de la ejecución del proyecto el Ministerio de Ambiente y Energía (MINAEJ.

5. los detalles del proyecto y de los prestaciones y obligaciones respectivos se fijarán en un contrato de ejecución y, si procede. de financiación que habrá de ser concertado entre la GIZ y lo institución a la que el Gobierno de la República de Costo Rico encargue lo ejecución del proyecto y que estará sujeto a las disposiciones legales vigentes en la República Federal de Alemania.

6. El compromiso del Gobierno de lo República Federal de Alemania paro el proyecto quedará sin efecto si el contrato de ejecución y, si procede, de financiación mencionado en el párrafo 5 no se concierta hasta el 31 de diciembre de 2024.

7, El Gobierno de lo República de Costa Rico eximirá o los materiales, vehículos, bienes y equipos importados en la República de Costa Rica para el proyecto mencionado en el párrafo I por encargo y a expensas del Gobierno de lo República Federal de Alemania, así como o los respectivos repuestos que se utilicen para el proyecto mencionado en el párrafo 1 de todos los derechos de importación y exportación, así como de licencias, tasas portuarias, derechos de almacenaje y demás gravámenes públicos, y asegurará que pasen aduana sin demora.

8. EI Gobierno de lo República de Costa Rica eximirá a la GIZ de todos los impuestos directos que se devenguen en /a República de Costo Rico en relación con la concertación y el cumplimiento del contrato de ejecución y, si procede, de financiación mencionado en el párrafo 5.

9. El Gobierno de la República de Costo Rico reembolsará o solicitud do la GIZ el impuesto sobre el valor añadido y otros impuestos indirectos similares que hayan sido aplicados en la República de Costo Rico sobre objetos adquiridos y servicios utilizados en relación con la concertación y el cumplimiento del contrato de ejecución y si procede, de financiación mencionado en el párrafo 5. Los impuestos especiales al consumo que se hayan aplicado en este contexto serán asumidos por el Gobierno de la República de Costa Rica siguiendo una solicitud.

10. El presente Acuerdo se aplicará tanto el proyecto mencionado en el párrafo 1 como a futuros medidos de seguimiento con el mismo título en caso de que nuestros dos Gobiernos deseen continuar el fomento del proyecto. Los compromisos del Gobierno de lo República Federal de Alemania relativos o lo concesión de fomento respecto o medidos de seguimiento del proyecto mencionado en el párrafo I se transmitirán median fe comunicado oficial del Gobierno de la República Federal de Alemania, en el que se hará referencia explícita al presente Acuerdo.

11. Por lo demás se aplicarán también al presente Acuerdo los disposiciones del arribo especificado Convenio de: Cooperación Técnico del 23 de julio de 1965, en la redacción de /os Protocolos de Enmienda del 13 de marzo de 1986 y del 18 de diciembre de 2006.

12. El presente Acuerdo se concierta en alemán y español, siendo ambos textos igualmente auténticos.

Sobre el particular. tengo el honor de informa Su Excelencia que la propuesta anterior es aceptable al Gobierno de Costo Rica y que la nota de Su Excelencia y lo presente constituyen un Acuerdo entre nuestros Gobiernos, que entrará en vigencia el día en que el Gobierno de la República de Costa Rica hoya comunicado al Gobierno de la República Federal de Alemania, por la vía diplomática, el cumplimiento de los requisitos internos necesarios para la entrada en vigor del presente Canje de Notas.

LA EMBAJADORA DE LA REPÚBLICA FEDERAL DE ALEMANíA Ref.: WZ 468.40 San José, 11 28 de abril de 2021 Excmo. Señor Canciller Rodolfo Solano:

Con referencia a la carta de respaldo del Ministerio de Ambiente y Energía (MINAE) del 12 de noviembre de 2020 y en cumplimiento del Convenio sobre Cooperación Técnica concertado entre el Gobierno de la República Federal de Alemania y el Gobierno de la República de Costa Rica el 23 de julio de 1965, en la redacción de los Protocolos de Enmienda del 13 de marzo de 1986 y del 18 de diciembre de 2006, tengo el honor de proponer o Vuestra Excelencia, en nombre del Gobierno de la República Federal de Alemania, el siguiente Acuerdo sobre el proyecto "ACCION Clima III - Implementación de los NDC de Costa Rica y diseminación regional de experiencias" en el marco de In Iniciativa Internacional de Protección del Clima del Ministerio Federal de Medio Ambiente, Protección de la Naturaleza y Seguridad Nuclear:

1. El Gobierno de la República Federal de Alemania y el Gobierno de la República de Costa Rica fomentarán conjuntamente el proyecto "ACCION Clima Ill implementación de los NDC de Costa Rica y diseminación regional de experiencias", si después de examinado resulta susceptible de apoyo.

2. El objetivo del proyecto es contribuir a la protección del clima y al desarrollo sostenible en la República de Costa Rica a través del fomento de medidas para la mitigación de las emisiones de gases de efecto invernadero.

El presente Acuerdo se aplicará tanto al proyecto mencionado en el párrafo I como a futuras medidas de seguimiento con el mismo tirulo en caso de que nuestros dos Gobiernos deseen continuar el fomento del proyecto. Los compromisos del Gobierno de la República Federal de Alemania relativos a la concesión de fomento respecto a medidas de seguimiento del proyecto mencionado en el párrafo I se transmitirán mediante commtlcado oficial del Gobierno de la República Federal de Alemania, en el que se hará referencia explícita al presente Acuerdo.

11. Por lo demás se aplicarán también al presente Acuerdo las disposiciones del arriba especificado Convenio de Cooperación Técnica del 23 de julio de 1965, en la redacción de los Protocolos de Enmienda del 13 de marzo de 1986 y del 18 de diciembre de 2006.

12. El presente Acuerdo se concierta en alemán y español, siendo ambos textos igualmente auténticos.

En caso de que el Gobierno de la República de Costa Rica se declare conforme con las propuestas contenidas en los párrafos 1 a 12, esta Nota y la Nota de respuesta de Vuestra Excelencia en la que conste la conformidad de su Gobierno constituirán un Acuerdo entre nuestros Gobiernos que entrará en vigor en la fecha de recepción de la Nota mediante la cual el Gobierno de la República de Costa Rica comunique por vía diplomática al Gobierno de In República Federal de Alemania el cumplimiento de los requisitos internos necesarios para la entrada en vigor del presente Acuerdo.

Aprovecho la ocasión para reiterar a Vuestra Excelencia, Señor Ministro Solano, el testimonio de mi más alta y distinguida consideración.
