Honorable Madam:

I have the honor to address Your Excellency, on the occasion of referring to your kind note Ref.: WZ468.40/15, dated 17 December 2020, which reads as follows:

"His Excellency Mr. Minister:

With reference to the letter of endorsement from the Ministry of Environment and Energy of the Republic of Costa Rica of 20 December 2019 and in compliance with the Convention on Technical Cooperation concluded between the Government of the Federal Republic of Germany and the Government of the Republic of Costa Rica on 23 July 1965, in the wording of the Amending Protocols of 13 March 1986 and 18 December 2006, I have the honor to propose to Your Excellency, on behalf of the Government of the Federal Republic of Germany, the following Agreement on the project 'Scaling Up of Ecosystem-Based Adaptation Measures in Rural Areas of Latin America' within the framework of the International Climate Protection Initiative of the Federal Ministry for the Environment, Nature Conservation and Nuclear Safety:

1. The Government of the Federal Republic of Germany and the Government of the Republic of Costa Rica shall jointly promote the project 'Scaling Up of Ecosystem-Based Adaptation Measures in Rural Areas of Latin America' if, after examination, it is deemed eligible for support.

2. The objective of the project is to contribute to climate protection and sustainable development in the Republic of Costa Rica, the Republic of Ecuador, and the Republic of Guatemala through the promotion of measures for adaptation to the consequences of climate change.

3. The Government of the Federal Republic of Germany shall provide human resources and make material contributions and, where appropriate, financial contributions for the project in a total amount of up to 20,000,000 euros (in words: twenty million euros) for the three implementing countries.

It shall entrust the execution of the project to the Deutsche Gesellschaft für Internationale Zusammenarbeit (GIZ) GmbH.

4. On behalf of the Government of the Republic of Costa Rica, the Ministry of Environment and Energy (MINAE) shall be responsible for the execution of the project.

5. The details of the project and of the respective contributions and obligations shall be set forth in an execution contract and, where appropriate, a financing contract to be concluded between GIZ and the institution to which the Government of the Republic of Costa Rica entrusts the execution of the project, and which shall be subject to the legal provisions in force in the Federal Republic of Germany.

6. The commitment of the Government of the Federal Republic of Germany for the project shall cease to have effect if the execution contract and, where appropriate, the financing contract mentioned in paragraph 5 are not concluded by 31 December 2024.

7. The Government of the Republic of Costa Rica shall exempt the materials, vehicles, goods, and equipment imported into Costa Rica for the project, on behalf of and at the expense of the Government of the Federal Republic of Germany, as well as the respective spare parts used for the project mentioned in paragraph 1, from all import and export duties, as well as from licenses, port fees, storage charges, and other public levies, and shall ensure their customs clearance without delay.

8. The Government of the Republic of Costa Rica shall exempt GIZ from all direct taxes accruing in the Republic of Costa Rica in connection with the conclusion and fulfillment of the execution contract and, where appropriate, the financing contract mentioned in paragraph 5.

9. The Government of the Republic of Costa Rica shall reimburse, upon GIZ's request, the value-added tax or similar indirect taxes that have been applied in the Republic of Costa Rica on objects acquired and services used in connection with the conclusion and fulfillment of the execution contract and, where appropriate, the financing contract mentioned in paragraph 5. Special consumption taxes that have been applied in this context shall be borne by the Government of the Republic of Costa Rica following a request.

10. This Agreement shall apply both to the project mentioned in paragraph 1 and to future follow-up measures under the same title, should our two Governments wish to continue promoting it. The commitments of the Government of the Federal Republic of Germany relating to the granting of support for follow-up measures of the project specified in paragraph 1 shall be conveyed by official communication from the Government of the Federal Republic of Germany, in which explicit reference shall be made to this Agreement.

11. Furthermore, the provisions of the above-specified Technical Cooperation Convention of 23 July 1965, in the wording of the Amending Protocols of 13 March 1986 and 18 December 2006, shall also apply to this Agreement.

12. This Agreement is concluded in German and Spanish, both texts being equally authentic.

In the event that the Government of the Republic of Costa Rica declares itself in agreement with the proposals contained in paragraphs 1 to 12, this Note and the Note in reply from Your Excellency stating your Government's agreement shall constitute an Agreement between our Governments, which shall enter into force on the date of receipt of the Note by which the Government of the Republic of Costa Rica communicates through diplomatic channels to the Government of the Federal Republic of Germany the fulfillment of the internal requirements necessary for the entry into force of this Agreement.

In this regard, I have the honor to inform Your Excellency that the foregoing proposal is acceptable to the Government of Costa Rica and that Your Excellency's note and this one constitute an Agreement between our Governments, which shall enter into force on the day on which the Government of the Republic of Costa Rica has communicated to the Government of the Federal Republic of Germany, through diplomatic channels, the fulfillment of the internal requirements necessary for the entry into force of this Exchange of Notes.

I take this opportunity to renew to Your Excellency the assurances of my highest and most distinguished consideration.

Tengo el honor de dirigirme a Su Excelencia, en ocasión de hacer referencia a su atenta noto Ref.: WZ468.40/ 15, de fecha 17 de diciembre de 2020, que dice lo siguiente:

"Excelentísimo Sr. Ministro:

Con referencia a la carta de respaldo del Ministerio de Ambiente y Energía de la República de Costa Rica del 20 de diciembre de 2019 y en cumplimiento del Convenio sobre Cooperación Técnica concertado entre el Gobierno de la República Federal de Alemania y el Gobierno de la República de Costa Rica el 23 de julio de 1965, en la redacción de los Protocolos de Enmienda del 13 de marzo de 1986 y del 18 de diciembre de 2006, tengo el honor de proponer a Vuestra Excelencia en nombre del Gobierno de lo República Federal de Alemania, el siguiente Acuerdo sobre el proyecto "Ampliación de /as medidas de adaptación basados en los ecosistemas en las zonas rurales de América Latina" en el marco de la Iniciativo Internacional de Protección del Clima del Ministerio Federal de Medio Ambiente, Protección de la Naturaleza y Seguridad Nuclear:

1. El Gobierno de lo República Federal de Alemania y el Gobierno de la República de Costa Rica fomentan conjuntamente el proyecto "Ampliación de las medidas de adaptación basadas en los ecosistemas en las zonas rurales de América Latina" si después de examinado, resulta susceptible de apoyo.

2. El objetivo del proyecto es contribuir a la protección del clima y al desarrollo sostenible en la República de Costa Rica, la República del Ecuador y lo República de Guatemala a través del fomento de medidos para la adaptación o las consecuencias del cambio climático.

3. El Gobierno de lo República Federal de Alemania facilitará recursos humanos y realizará prestaciones materiales y, si procede, aportaciones financieras para el proyecto por un monto total de hasta 20 000 000 de euros (en letras: veinte millones de euros) para los tres países de implementación.

Confiará lo ejecución del proyecto a la Deutsche Gesellschaft für lnternationale Zusammenarbeit (GIZ) GmbH.

4. Por porte del Gobierno de lo República de Costa Rica será responsable de la ejecución del proyecto el Ministerio de Ambiente y Energía (MINAE).

5. Los detalles del proyecto y de las prestaciones y obligaciones respectivas se fijarán en un contrato de ejecución y, si procede, de financiación que habrá de ser concertado entre la GIZ y la institución a la que el Gobierno de la República de Costa Rica encargue la ejecución del proyecto y que estará sujeto o los disposiciones legales vigentes en la República Federal de Alemania.

6. El compromiso del Gobierno de la República Federal de Alemania para el proyecto quedará sin efecto si el contrato de ejecución y, si procede, de financiación mencionado en el párrafo 5 no se concierta hasta el 31 de diciembre de 2024.

7. El Gobierno de la República de Costa Rica eximirá a los materiales, vehículos, bienes y equipos importados a Costa Rica para el proyecto, por encargo y a expensas del Gobierno de la República Federal de Alemania, así como o los respectivos repuestos que se utilicen para el proyecto mencionado en el párrafo 1, de todas los derechos de importación y exportación, así como de licencias, tasas portuarios, derechos de almacenaje y demás gravámenes públicos, y asegurará que pasen aduana sin demora.

8. El Gobierno de la República de Costa Rica eximirá a la GIZ de todas los impuestos directos que se devenguen en la República de Costa Rica en relación con la concertación y el cumplimiento del contrato de ejecución y, si procede, de financiación mencionado en el párrafo 5.

9. El Gobierno de la República de Costa Rica reembolsará a solicitud de la GIZ el impuesto sobre el valar añadido u otros impuestas indirectos similares que hayan sido aplicados en la República de Costa Rica sobre objetos adquiridos y servicios utilizados en relación con la concertación y el cumplimiento del contrato de ejecución y, si procede, de financiación mencionado en el párrafo 5. Las impuestos especiales al consumo que se hayan aplicado en este contexto serán asumidos por el Gobierno de /a República de Costa Rica siguiendo una solicitud.

10. El presente Acuerdo se aplicará tanto al proyecto mencionado en el párrafo 1 como a futuras medidas de seguimiento con el mismo título en coso de que nuestros dos Gobiernas deseen continuar el fomento del mismo. Los compromisos del Gobierno de la República Federal de Alemania relativos o la concesión de fomento respecto a medidas de seguimiento del proyecto especificado en el párrafo 1 se transmitirán mediante comunicado oficial del Gobierno de la República Federal de Alemania en el que se hará referencia explícita al presente Acuerdo.

11. Por lo demás, se aplicarán también al presente Acuerdo las disposiciones del arriba especificado Convenio de Cooperación Técnica del 23 de julio de 1965, en la redacción de los Protocolos de Enmienda del 13 de marzo de 1986 y del 18 de diciembre de 2006.

12. El presente Acuerdo se concierta en alemán y español, siendo ambos textos igualmente auténticos.

En caso de que el Gobierno de la República de Costa Rica se declare conforme con los propuestos contenidas en los párrafos 1 a 12, esta Nota y la Nota de respuesta de Vuestra Excelencia en la que conste la conformidad de su Gobierno constituirán un Acuerdo entre nuestros Gobiernos que entrará en vigor en la fecha de recepción de lo Nota mediante la cual el Gobierno de la República de Costa Rica comunique por vía diplomática al Gobierno de la República Federal de Alemania el cumplimiento de los requisitos Internos necesarios para la entrado en vigor del presente Acuerdo.

Sobre el particular tengo el honor de informar a Su Excelencia que la propuesta anterior es aceptable al Gobierno de Costa Rica y que la nota de Su Excelencia y la presente constituyen un Acuerdo entre nuestros Gobiernos, que entrará en vigencia el día en que el Gobierno de la República de Costa Rica haya comunicado al Gobierno de lo República Federal de Alemania, por la vía diplomática, el cumplimiento de los requisitos internos necesarios para la entrada en vigor del presente Canje de Notas.

2. El objetivo del proyecto es contribuir a la protección del clima y al desarrollo sostenible en la República de Costa Rica, la República del Ecuador y la República de Guatemala a través del fomento de medidas para la adaptación a las consecuencias del cambio climático.

El Gobierno de la República de Costa Rica eximirá a los materiales, vehículos, bienes y equipos importados a Costa Rica para el proyecto, por encargo y a respectivos repuestos que se utilicen para el proyecto mencionado en el párrafo 1, de todos los derechos de importación y exportación, así como de licencias, tasas portuarias, derechos de almacenaje y demás gravámenes públicos, y asegurará que pasen aduana sin demora 8. El Gobierno de la República de Costa Rica eximirá a la GIZ de todos los impuestos directos que se devenguen en la República de Costa Rica en relación con la concertación y el cumplimiento del contrato de ejecución y, si procede, de financiación mencionado en el párrafo 5.

Los impuestos especiales al consumo que se hayan aplicado en este contexto serán asumidos por el Gobierno de la República de Costa Rica siguiendo una solicitud.

El presente Acuerdo se aplicará tanto al proyecto mencionado en el párrafo 1 como a futuras medidas de seguimiento con el mismo título en caso de que nuestros dos Gobiernos deseen continuar el fomento del mismo. Los compromisos del Gobierno de la República Federal de Alemania relativos a la concesión de fomento respecto a medidas de seguimiento del proyecto especificado en el párrafo 1 se transmitirán mediante comunicado oficial del Gobierno de la República Federal de Alemania en el que se hará referencia explícita al presente Acuerdo.

11. Por lo demás, se aplicarán también al presente Acuerdo las disposiciones del arriba especificado Convenio de Cooperación Técnica del 23 de julio de 1965, en la redacción de los Protocolos de Enmienda del 13 de marzo de 1986 y del 18 de diciembre de 2006.

12. El presente Acuerdo se concierta en alemán y español, siendo ambos textos igualmente auténticos.

En caso de que el Gobierno de la República de Costa Rica se declare conforme con las propuestas contenidas en los párrafos 1 a 12, esta Nota y la Nota de respuesta de Vuestra Excelencia en la que conste la conformidad de su Gobierno constituirán un Acuerdo entre nuestros Gobiernos que entrará en vigor en la fecha de recepción de la Nota mediante la cual el Gobierno de la República de Costa Rica comunique por vía diplomática al Gobierno de la República Federal de Alemania el cumplimiento de los requisitos internos necesarios para la entrada en vigor del presente Acuerdo.
