IT IS AGREED:

A)Based on the provisions set forth in Opinion No. AL-1105-2017 issued by the Legal Advisory Office, to amend, in strict adherence to the powers conferred upon the Board of Directors by virtue of Article 26, subsection b) of the Organic Law of the ICT, No. 1917, to "issue, enact, amend, and interpret the internal regulations necessary for the better development of the Institute's purposes," Article 3 of the Operating Regulations of the Board of Directors, approved in session of this Board of Directors in session 5273, Article 5, subsection IV, held on October 14, 2003, and published in the Official Gazette La Gaceta No. 213 of November 5, 2003, so that it shall read as follows and its wording shall conform to the terms of Article 10 of Law No. 6758, the Regulatory Law for the Development and Execution of the Papagayo Gulf Tourism Hub, and Article 3 of its Regulations (Executive Decree No. 25439-MP-TUR), which are superior-ranking norms:

"Article 3 – The Board of Directors is composed of five members: The Executive President of the Institute, who shall preside over it and shall be replaced in his/her absences by the person the Board of Directors designates; two representatives of the Institute and two representatives of the private sector, who must have experience in tourism and shall be freely appointed by the Board of Directors. SE ACUERDA:

A)Con sustento en lo establecido en el criterio Nº AL-1105-2017 suscrito por la Asesoría Legal, modificar en estricto apego a las atribuciones conferidas a la Junta Directiva, mediante el artículo 26 inciso b) de la Ley Orgánica del ICT, Nº 1917, de "dictar, promulgar, reformar e interpretar los reglamento internos necesarios para el mejor desarrollo de los fines del Instituto", el artículo 3º del Reglamento de Operación del Consejo Director, aprobado en sesión de ésta Junta Directiva en sesión 5273, artículo 5º, inciso IV, celebrada el 14 de octubre del 2003 y publicado en el Diario Oficial La Gaceta Nº 213 del 05 de noviembre del 2003, para que se lea de la siguiente manera y su redacción se ajuste a los términos del artículo 10 de la Ley Nº 6758, Ley Reguladora del Desarrollo y Ejecución del Polo Turístico Golfo Papagayo y artículo 3º de su Reglamento (Decreto Ejecutivo Nº 25439-MP-TUR), que son normas de rango superior:

"Artículo 3º-El Consejo Director está constituido por cinco miembros: El Presidente Ejecutivo del Instituto, quien lo presidirá, y será sustituido en sus ausencias por el que la Junta Directiva designe; dos representantes del Instituto y dos representantes del sector privado, los cuales deberán tener experiencia en turismo y serán nombrados libremente por la Junta Directiva.
