Agreement on the Establishment of the Global Green Growth InstituteAcuerdo sobre el establecimiento del Global Green Growth Institute

ESTABLISHMENT 1.-The Global Green Growth Institute is hereby established as an international organization (hereinafter referred to as the "GGGI").------------- 2.-The principal offices of GGGI shall be located in Seoul, the Republic of Korea.

OBJECTIVES The GGGI shall promote the sustainable development of emerging and developing countries, including the least developed countries, by:-------------------------------- a.----supporting and diffusing a new paradigm of economic growth: green growth, which is a balanced advancement of economic growth and sustainability; b.----targeting key aspects of economic performance and resilience, poverty reduction, job creation and social inclusion, and those of environmental sustainability such as the mitigation of climate change and adaptation to it, the protection of biodiversity, and ensuring affordable access to clean energy, clean water, and land; and----------------------------------------- c.---creating and improving the economic, environmental, and social conditions of emerging and developing countries through partnerships between developed and developing countries and the public and private sectors.-------------------------------------------

DEFINITIONS For the purposes of this Agreement:-------------------------------- a.--a contributing member is that Member of the GGGI that has provided a core funding contribution, amounting to no less than 15 million USD over three years, or 10 million USD during the first two years. The level and nature of the contribution required to qualify as a contributing member shall be subject to review by the Assembly, and may be adjusted by the Assembly by consensus to support the growth of the GGGI over time;--------- b.--a participating member is one who is a Member of the GGGI that is not a contributing member under the terms of paragraph a;--------------------------------- c.--members present and voting are those members present and casting an affirmative or negative vote. ACTIVITIES In order to achieve its objectives, GGGI shall engage in the following types of activities:------------- ------------------------------------------------------------------------------- a.--supporting emerging and developing countries with capacity building to design and implement green growth plans at the national, provincial, or local level to facilitate poverty reduction, job creation, and social inclusion;------------------------------------------------------------------------------------ b.--promoting research to advance the theory and practice of green growth, particularly taking into account the experience of governments and industries;------------------------- ----------------------------------------------------------------------- c.--facilitating public-private cooperation to promote an enabling environment for the efficient investment of resources for innovation, production and consumption, and diffusion of best practices;----------------------------------------------------------------- d.--disseminating evidence-based knowledge and enhancing awareness of green growth and sustainable development; and------------------------------------------------- e.--carrying out any other activities relevant to the objectives of the GGGI.--------------- --------------------------------------------------------------------------------------

MEMBERSHIP 1.--A state or regional integration organization1 may become a Member of GGGI by becoming a Party to this Agreement. Membership of GGGI is open to any state of the United Nations or regional integration organization that subscribes to the objectives of the GGGI under Article 2.------------------ 2.--No member shall be held responsible, by reason of its status or participation in GGGI, for the acts, omissions, or obligations of the GGGI------------- 1--A regional integration organization shall be an organization constituted by the sovereign states of a given region, to which its member states have transferred competence in respect of the matters governed by this Agreement.--------------------------------------------------- ----------------------------------------------- LAST LINE PAGE ONE--------------------------------------- LAST LINE FOLIO FOUR------------------------------------ FOLIO FIVE----------------------------------------------------------- PAGE ONE------------------------------------------------------------ 3.--Signatory States and regional integration organizations that have not deposited an instrument of ratification, acceptance, or approval with the Director-General by the date of entry into force of the Agreement, may, at the first session of the Assembly, have the same rights as Members, including the right to vote and the possibility of being elected to, and to serve on, the Council. For the avoidance of doubt, this paragraph shall not apply in relation to subsequent sessions of the Assembly.--------------------------------------------------------------------- 4.--Any regional integration organization that becomes a Party to the Agreement without any of its member states being a Party shall be bound by all the obligations under the Agreement. In the case of such organizations, where one or more of its member states is a Party to the Agreement, the organizations and their member states shall decide on their responsibilities for the performance of their obligations under the Agreement. A separate agreement on the modalities of the exercise of membership shall be negotiated prior to the acceptance thereof by the regional integration organizations and subsequently approved by the Assembly.----------------------------------- 5.--In their instruments of ratification, acceptance, approval, or accession, regional integration organizations must declare the extent of their competence with respect to the matters governed by the Agreement; likewise they shall inform the Depositary, who in turn shall inform the Parties, of any substantial modification in the extent of their competence.----------------------------------------------------

ORGANS 1.--GGGI shall have an Assembly, a Council, an Advisory Committee, and a Secretariat as its principal organs.---------------------------------------------------------------------- 2.--Branches or other subsidiary bodies of GGGI may be established if the Assembly so decides as required to support its activities.-------------

THE ASSEMBLY 1.--The Assembly is the supreme organ of GGGI and shall be composed of Members.----------------------- ------------------------------------------------------------------------- 2.--The Assembly shall meet once every two years in ordinary sessions, or as otherwise decided by the Assembly. A session of the Assembly shall be convened at the initiative of one-third of its Members. Sessions of the Assembly shall be held at the principal offices of the GGGI, unless the Assembly decides otherwise.--------------------------------------------------------- LAST LINE PAGE ONE--------------------------------------- LAST LINE FOLIO FIVE--------------------------------------- FOLIO SIX-------------------------------------------------------------- PAGE ONE------------------------------------------------------------ 3.--The Assembly shall adopt its rules of procedure by consensus at its first session. For the avoidance of doubt, this Agreement shall prevail to the extent of any inconsistency between this Agreement and the rules of procedure.----------------------- 4.--The Assembly may grant Observer status to non-state entities such as intergovernmental organizations, private companies, research institutes, and non-governmental organizations (NGOs), based on the criteria agreed upon by the Assembly. Representatives with Observer status may take part in the discussions in the Assembly, but shall have no right to vote in the deliberations of the Assembly. Additional provisions related to the participation of Observers in the Assembly may be made within the rules of procedure detailed in paragraph 3.-------- 5.--The functions of the Assembly shall include:------------------------ a.--electing the Members of the Council, in accordance with Article 8.2 and considering the principle of rotation;---------------------------- b.--appointing the Director-General who shall be nominated by the Council;----------------- c.--considering and adopting amendments to this Agreement, in accordance with Article 24; d.--advising the general direction of the work of the GGGI;--------------------------------------- e.--reviewing the progress of the objectives in the meetings of GGGI;----------------------- f.--receiving reports from the Secretariat on strategic, operational, and financial matters; and-------------------------------------------------------------------------------------------- g.--providing guidance regarding cooperative partnerships and links with other international entities in accordance with Article 16.---------------------------- 6.--Each Member shall have the right to one vote.------------------------- 7.--Members that are regional integration organizations shall, in matters for which they are responsible in accordance with Articles 5.4 and 5.5, exercise their right to vote with a number of votes equal to the number of their member states that are Parties to this Agreement. The modalities of the exercise of membership rights shall be included in a separate agreement detailed in Article 5.4, to be negotiated before granting membership to regional integration organizations.------------------------------------------------------- 8.--The Assembly shall make every effort to take decisions by consensus. Additionally, the adoption of decisions shall require a majority presence of contributing members entitled to vote, as well as a majority participation of members present and voting. THE COUNCIL 1.--The Council shall act as the executive organ of GGGI and, under the guidance of the Assembly, shall be responsible for directing the activities of GGGI.------------------------- 2.--The Council shall consist of no more than seventeen members, namely:----------------- a.--five contributing members elected by the Assembly;----------------------------- b.--five participating members elected by the Assembly;------------------------------- c.--five to the objectives of the GGGI, appointed by the Council;----------------- d.--the host country, which shall have a permanent seat on the Council; and------------ e.--the Director-General, without the right to vote.--------------------------- 3.--The members of the Council specified in paragraph 2 a, b, and c shall serve for terms of two years, except as provided for in paragraph 4.------------- 4.--The Assembly shall ensure that approximately half of the initial members of the Council elected under paragraph 2 a, b, and c, are elected for an initial term of one year, for the purposes of continuity of membership of the Council.----------------------------------------------------------- 5.--The functions of the Council, under the guidance of the Assembly, shall be---------------------- a.--to nominate a Director-General to be appointed by the Assembly;------------------ b.--to approve the strategy of the GGI, and review the results, monitoring, and evaluation framework of work;--------------------------------------------------------------------------------------- c.--to approve the annual work program and budget;----------------------------- d.--to approve the audited financial statements;------------------------- e.--to approve the admission of new members to the Advisory Committee in accordance with Article 9.2;---------------------------------------------------------------------------------------------- f.--to approve the criteria for the selection of the country program, which shall be consistent with the objectives of GGGI and based on, among others, objective criteria;------------------------- g.--to approve the membership of the Sub-Committees of the Council; and----------------------------- h.--to carry out any other functions delegated by the Assembly or conferred elsewhere in this Agreement.---------------------------------------------------- LAST LINE PAGE ONE FOLIO SEVEN---------------------- LAST LINE PAGE FOLIO SEVEN----------------------------- FOLIO EIGHT------------------------------------------------------------ PAGE ONE------------------------------------------------------------ 6.--Each member of the Council shall have the right to one vote, except for the Director-General.------------- -------------------------------------------------------------------------------------- 7.--The Council shall make every possible effort to reach decisions by consensus. If all efforts to obtain consensus have been exhausted, and no consensus has been reached, at the request of the Presidency, as a last resort decisions shall be taken by a simple majority of the members present and voting, except as otherwise specified in this Agreement. Additionally, the adoption of decisions shall require the presence of a majority of contributing members voting, as well as a majority presence of participating members voting. For the avoidance of any doubt, decisions may be taken by written procedure between meetings of the Council. ------------------------------------------------------------------------------------------------ -- 8.--The Council shall adopt its rules of procedure by consensus at its first session.------------------------------------------------------------------------------------------ 9.--The Council shall elect a President and two Vice-Presidents for terms of two years.--------------- ---------------------------------------------------------------------------------------- 10.-The Presidency, with the support of the Vice-Presidents, shall preside over the Council and fulfill all the obligations entrusted to it.------------------------------------ 11.-The Presidency shall be accountable to the Council while it is in session.

12.-For effective operation and coordination, the Council has the power to establish sub-committees, including, where appropriate, a Facilitating Sub-Committee, a Human Resources Sub-Committee, a Program Sub-Committee, and a Finance & Audit Sub-Committee. The Finance and Audit Sub-Committee shall be chaired by a contributing member.--------------------------------------------------

THE ADVISORY COMMITTEE 1.--The Advisory Committee, as an advisory and consultative body of GGGI, shall have a key function in:---------------------------------- a.--serving as a forum for public-private cooperation on green growth; and------------------------------------------------------------------------------------- b.--advising the Council on the strategy and activities of GGGI, including with respect to any synergies and links between GGGI and other actors that may be pursued through Article 16.---------------------------------------------------- 2.--The Advisory Committee shall be composed of relevant and prominent non-state actors. Applications for membership to the Advisory Committee shall be submitted to the Director-General in writing and shall be approved by the Council in accordance with Article 8.5 e.---------------------------------------------------------------- 3.--The Advisory Committee shall meet in regular sessions convened once a year unless otherwise decided.--------------------------------------------------- LAST LINE PAGE ONE--------------------------------------- LAST LINE FOLIO EIGHT--------------------------------------- FOLIO NINE---------------------------------------------------------- PAGE ONE------------------------------------------------------------ 4.--The Advisory Committee shall adopt its rules of procedure and may elect a Presidency and Vice-Presidency.--------------------

THE SECRETARIAT AND THE DIRECTOR-GENERAL 1.--The Secretariat, under the guidance of the Council and the Assembly, shall be the principal operational organ of GGGI, and shall be headed by a Director-General.--------------------- 2.--The Director-General shall be nominated by the Council and appointed by the Assembly. The Director-General may participate in the meetings of the Council and the Assembly, but shall have no right to vote at such meetings.---------------------------- 3.--The Director-General shall be appointed for an initial term of four years and may be re-appointed for an additional term.------------------------------------------------------ 4.--In addition to any functions conferred upon the Director-General elsewhere in this Agreement or by the Council or the Assembly from time to time, the Director-General, under the guidance of the Council and the Assembly, shall:--------------------- a.--provide strategic leadership for GGGI;------------------------- b.--prepare all necessary financial and operational documents;---------- c.--report on the general implementation of the activities of GGGI and bring to the attention of the Council any matter he or she considers may have an impact on the fulfillment of the objectives of GGGI;--------------------------------------- d.--implement the directives of the Assembly and the Council; and---------------------- e.--represent GGGI externally and develop close relationships with the Members and other interested parties.------------------------------------------------------------- 5.--The Secretariat shall be accountable to the Director-General and shall, among others, support the Director-General in implementing the functions listed in paragraph 4 and the core activities of GGGI.-------------------------------------------- 6.--In the performance of their duties, the Director-General and the staff of the Secretariat shall not seek or receive instructions from any state or from any authority external to GGGI. Efficiency, competence, merit, and integrity shall be the necessary considerations in the recruitment and employment of staff, taking into account the principle of gender equality.

LANGUAGE TO BE USED IN GGGI The language to be used in GGGI shall be English.

FINANCES 1.--GGGI shall obtain its financial resources through:------- a.--voluntary contributions provided by the Members;------ b.--voluntary contributions supplied from non-governmental sources;----- c.--the sale of publications and other income;----------------------- d.--interest accruing from trusts; and------------------------- e.--any other sources in accordance with the financial regulations to be adopted by the Assembly by consensus.----------- 2.--Members are requested to support GGGI and thus ensure its financial stability through annual voluntary core funding contributions, active participation in its activities, or other appropriate means.---------------------- 3.--To promote financial transparency, a financial audit of the operations of GGGI shall be conducted annually by an independent external auditor appointed by the Council, and the audit shall be conducted in accordance with the standards of an international audit.------------------------------------------------------------------------ 4.--The financial statements submitted by the auditor shall be made available to the Members as soon as possible after the close of each fiscal year, but not later than six months after that date, and shall be submitted for consideration for approval by the Council at its next session, as appropriate.

DISCLOSURE The organs of GGGI shall develop a comprehensive disclosure policy which ensures the transparency of the work of GGGI, including:------------------------ LAST LINE PAGE ONE FOLIO TENTH------------------ LAST LINE FOLIO TENTH------------------------------------ FOLIO ELEVENTH----------------------------------------------------- PAGE ONE------------------------------------------------------------ a.--the discussions, decisions, and documents received, considered, and adopted by the Assembly;---------------------------------------------------------------------------------------- b.--the criteria by which Observer status is granted to non-state entities;------------ ------------------------------------------------------------------------------------- c.--the discussions, decisions, and documents related to the Council;---------------- d.--the criteria on which experts and non-state actors on the Council are selected;----- --------------------------------------------------------------------------------------------- e.--the criteria and methodology for the selection of the country program;---------------- f.--the criteria by which members of the Advisory Committee are approved; and------------- g.--the annual audit statements of GGGI,

LEGAL PERSONALITY AND CAPACITY GGGI shall have legal personality and the capacity to:----------------- a.--enter into contracts;------------------------------------------------------------- b.--acquire and dispose of movable and immovable property; and----------- c.--institute and defend legal proceedings.------------

PRIVILEGES AND IMMUNITIES GGGI may enjoy such privileges and immunities in the member state in which it has its headquarters, and may seek such privileges and immunities in other Members, as may be necessary and appropriate for the proper functioning of GGGI in the territory of the member states, with due consideration to such privileges and immunities as are customary for similar types of international organizations. Such privileges and immunities shall be specified in a separate agreement that may be concluded between the Members or between GGGI and the individual Member.----------------------------------------------------------------

COOPERATIVE PARTNERSHIPS 1.--GGGI may establish cooperative relationships with other organizations, including non-governmental, intergovernmental, and international organizations, for the purpose of promoting the objectives of GGGI.--------------------------- 2.--GGGI may also invite organizations with which it shares similar objectives on green growth, to form a strategic partnership for mutual cooperation on a medium- or long-term basis.----------- LAST LINE PAGE ONE FOLIO ELEVENTH-------------- LAST LINE FOLIO ELEVENTH-------------------------------- FOLIO TWELFTH--------------------------------------------------- PAGE ONE------------------------------------------------------------

TRANSITIONAL PROVISIONS 1.--Until such time as the Secretariat of GGGI has been established, the Organization shall serve and carry out the functions of the Secretariat. The Executive Director of the Organization shall hold the position of Director-General of GGGI until the Assembly appoints the Director-General in accordance with Article 7.5b.------- 2.--Upon the entry into force of this Agreement, the rights, obligations, commitments, existing offices, regional branches² and property of the Organization shall be transferred to GGGI in accordance with any necessary processes of that body.--------------------------------------------------------------------------- 3.--The rules, regulations, resolutions, procedures and practices of the Organization shall apply to GGGI until otherwise decided by the Assembly, the Council or the Director-General as appropriate, and only to the extent that they are not inconsistent with this Agreement or with any rules, regulations, resolutions, procedures and practices adopted by the Assembly or the Council.------------------------------------------ 4.--Until a sufficient number of states and regional integration organizations are Parties to this Agreement, each number specified in subparagraphs a, b, c of Article 8.2 as a requirement for the number of members of the Council may be applied with flexibility as decided by the Assembly.-------------------------------------------------------------------------------------

DEPOSITARY The Director-General of the Secretariat shall be the Depositary of this Agreement.

RATIFICATION, ACCEPTANCE AND APPROVAL 1.--This Agreement shall be subject to ratification, acceptance, or approval by the signatory States and regional integration organizations.------------------------ 2.-- The instruments of ratification, acceptance or approval shall be deposited with the Depositary.

ACCESSION 1.--This Agreement shall be open to accession by any state or regional integration organization that has not signed the Agreement.----------------------------------- 2.--The instruments of accession shall be deposited with the Depositary.------------------

ENTRY INTO FORCE 1.--This Agreement shall enter into force on the thirtieth day after the deposit of the third instrument of ratification, acceptance, approval, or accession.------------------------- 2.--For each state or regional integration organization that ratifies, accepts, approves or accedes to this Agreement after its entry into force, the Agreement shall enter into force on the thirtieth day after the deposit of the respective instrument.

RESERVATIONS This Agreement shall not contain any reservation.

AMENDMENTS 1.--Any Party to this Agreement may propose an amendment to this Agreement by submitting such proposal to the Director-General of the Secretariat. The Director-General shall communicate a proposed amendment to all Members of GGGI at least ninety days before its consideration by the Assembly.------- LAST LINE PAGE ONE--------------------------------------- LAST LINE FOLIO THIRTIETH-------------------------------- FOLIO FOURTEENTH--------------------------------------------- PAGE ONE------------------------------------------------------------ 2.--An amendment to this Agreement shall enter into force for those Parties that accept it on the ninetieth day after the deposit of an instrument of acceptance by at least three-fourths of the Parties to this Agreement, unless otherwise specified in such amendment, following its adoption by the Assembly. Additionally, the instruments of acceptance shall require the approval of three-fourths of the contributing members, as well as three-fourths of the participating members, for it to enter into force.------------------------------ -------------------------------------------------------------------------

WITHDRAWAL Any Party may withdraw from this Agreement by written notification of its intention to withdraw from this Agreement. Such withdrawal shall take effect six months after the date of receipt by the Director-General of the Secretariat of the notification.--------------------------------------------------------------------------------------

INTERPRETATIONS Any matter of interpretation of the provisions of this Agreement that arises between any Member and GGGI or between any Members of GGGI shall be submitted to the President of the Assembly, for consideration and decision by the Assembly. The Assembly shall make every effort to reach a decision by consensus. If all efforts to obtain a consensus fail, and no consensus is obtained, such decisions shall as a last resort be adopted by three-fourths of the members present and voting. Additionally, the adoption of such decisions shall require the presence and votes of three-fourths of the contributing members, as well as the presence and votes of three-fourths of the participating members. This Agreement, including the decisions mentioned above, shall be interpreted in accordance with the customary rules of interpretation of public international law, including the Vienna Convention on the Law of Treaties adopted in 1969.----------------------

TERMINATION 1.--This Agreement may only be terminated by means of a consensus decision in the Assembly of all Members.-------------------------------------------- 2.--Any decision taken under Paragraph 1 shall not take effect before twelve months have expired unless otherwise decided by the Assembly by consensus.------------------------------------------------------------------------------------------- 3.--The termination of this Agreement shall not affect the progress of any project or program initiated under this Agreement and not yet executed at the time of the termination of this Agreement, unless otherwise decided by consensus of the Assembly.---------------------------------------------------------------------------------------- 4.--Upon termination, the Assembly may agree, by consensus, to transfer the property and assets of GGGI to one or more international organizations having the same, or substantially the same, objectives of GGGI as detailed in Article 2. The property and assets of GGGI may otherwise be redistributed to the Members in accordance with any procedure agreed by the Assembly.---------------------------------------------------------------------------------------- IN WITNESS WHEREOF, the undersigned representatives, duly authorized thereto by their respective governments, have signed this Agreement.

ESTABLECIMIENTO 1.-Por la presente se establece a Global Green Growth Institute como una organización internacional (de aquí en adelante conocido como "GGGI").------------- 2.-Las oficinas principales de GGGI se ubicarán en Seúl, la República de Korea.

OBJETIVOS El GGGI promoverá el desarrollo sostenible de los países emergentes y en desarrollo, incluyendo los países menos desarrollados al:-------------------------------- a.----apoyar y difundir un nuevo paradigma de crecimiento económico: crecimiento verde, el cual es un avance balanceado de crecimiento económico y sostenible; b.----focalizar aspectos claves del desempeño económico y la resistencia, la reducción de la pobreza, la creación de empleo e inclusión social, y las de sostenibilidad ambiental tales como la mitigación del cambio climático y la adaptación a éste, la protección de la biodiversidad y asegurando el acceso asequible a energía limpia, agua limpia y terreno; y----------------------------------------- c.---crear y mejorar las condiciones económicas, ambientales y sociales de países emergentes y en desarrollo por medio de asociaciones entre países desarrollados y en desarrollo y los sectores públicos y privados.-------------------------------------------

DEFINICIONES Para los propósitos de este Acuerdo:-------------------------------- a.--un miembro contribuyente es aquel Miembro del GGGI que ha entregado una contribución de financiación básica, aportando no menos de 15 millones de UDS a los largo de tres años, o 10 millones de USD durante los primeros dos años. El nivel y la naturaleza de la contribución requerida para calificar como un miembro contribuyente será objeto de revisión por la Asamblea, y puede ser ajustada por la Asamblea por consenso para apoyar el crecimiento del GGGI con el tiempo;--------- b.--un miembro participante es quien es un Miembro del GGGI que no es un miembro contribuyente bajo las condiciones del párrafo a;--------------------------------- c.--miembros presentes y con derecho a voto son aquellos miembros presentes y dando un voto afirmativo o negativo. ACTIVIDADES A fin de lograr sus objetivos, GGGI participará en los siguientes tipos de actividades:------------- ------------------------------------------------------------------------------- a.--apoyar a países emergentes y en desarrollo con la creación de capacidades para diseñar e implementar los planes de crecimiento verde al nivel nacional, provincial, o local para facilitar la reducción de la pobreza, la creación de empleos y la inclusión social;------------------------------------------------------------------------------------ b.--promover la investigación para avanzar la teoría y la práctica del crecimiento verde, particularmente tomando en cuenta la experiencia de gobiernos e industrias;------------------------- ----------------------------------------------------------------------- c.--facilitar la cooperación pública-privada para promover un ambiente que permita la inversión eficiente de los recursos para la innovación, producción y consumo, y difusión de las mejores prácticas;----------------------------------------------------------------- d.--desminar el conocimiento basado en la evidencia y mejorar la conciencia del crecimiento verde y el desarrollo sostenible; y------------------------------------------------- e.--llevar a cabo cualesquiera otras actividades relevantes a los objetivos del GGGI.--------------- --------------------------------------------------------------------------------------

MEMBRESÍA 1.--Una organización de integración regional o estatal1 podrá ser Miembro de GGGI al convertirse en Parte de este Acuerdo. La membresía de GGGI está abierta a cualquier estado de las Naciones Unidas u organización de integración regional que suscriba los objetivos del GGGI bajo el Artículo 2.------------------ 2.--Ningún miembro se tendrá como responsable, por razón de su estatus o participación en GGGI, por los actos, omisiones u obligaciones del GGGI------------- 1--Una organización de integración regional será una organización constituida por los estados soberanos de una región dada, a la cual sus estados miembros hayan transferido competencia respecto a los asuntos gobernados por el presente Acuerdo.--------------------------------------------------- ----------------------------------------------- ÚLTIMA LÍNEA PÁGINA UNO--------------------------------------- ÚLTIMA LÍNEA FOLIO CUATRO------------------------------------ FOLIO CINCO----------------------------------------------------------- PÁGINA UNO------------------------------------------------------------ 3.--Los Estados Signatarios y las organizaciones de integración regional que no hayan entregado un instrumento de ratificación, aceptación o aprobación al Director-General para la fecha de entrada en vigor del Acuerdo, podrán, en la primera sesión de la Asamblea, tener los mismos derechos que los Miembros, incluyendo el derecho a votar y la posibilidad de ser elegidos al, y para servir en el Concejo. Para evitar la duda, este párrafo no aplicará en relación a sesiones subsecuentes de la Asamblea.--------------------------------------------------------------------- 4.--Cualquier organización de integración regional que llegue a formar una Parte del Acuerdo sin que ninguno de sus estados miembros sea una Parte estará obligada a cumplir con todas las obligaciones bajo el Acuerdo. En el caso de tales organizaciones, donde uno o más de sus estados miembros sean una Parte al Acuerdo, las organizaciones y sus estados miembros decidirán sus responsabilidades para el cumplimiento de sus obligaciones bajo el Acuerdo. Un acuerdo separado de las modalidades del ejercicio de la membresía se negociará previo a la aceptación ésta de las organizaciones de integración regional y aprobada subsecuentemente por la Asamblea.----------------------------------- 5.--En sus instrumentos de ratificación, aceptación, aprobación o adhesión. Las organizaciones de integración regional deben declarar el grado de su competencia con respecto a los asuntos gobernados por El Acuerdo, así mismo lo informarán al Depositario, quien a su vez informará a las Partes, de cualquiera modificación substancial en el grado de su competencia.----------------------------------------------------

ORGANOS 1.--GGGI tendrá una Asamblea, un Concejo, un Comité Asesor y un Secretariado como sus órganos principales.---------------------------------------------------------------------- 2.--Las sucursales u otros órganos subsidiarios de GGGI se pueden establecer si la Asamblea así lo decide como se requiere para apoyar sus actividades.-------------

LA ASAMBLEA 1.--La Asamblea es el órgano supremo de GGGI y estará compuesta por Miembros.----------------------- ------------------------------------------------------------------------- 2.--La Asamblea se reunirá una vez cada dos años en sesiones ordinaria, o como de otra manera se decida por la Asamblea. Una sesión de la Asamblea será convocada a la iniciativa de un-tercio de sus Miembros. Las sesiones de la Asamblea se llevarán a cabo en las oficinas principales de la GGGI, a no ser que la Asamblea decida otra cosa.--------------------------------------------------------- ÚLTIMA LÍNEA PÁGINA UNO--------------------------------------- ÚLTIMA LÍNEA FOLIO CINCO--------------------------------------- FOLIO SEIS-------------------------------------------------------------- PÁGINA UNO------------------------------------------------------------ 3.--La Asamblea adoptará su reglas de procedimiento por consenso en su primera sesión. Para evitar dudas, este Acuerdo prevalece en la medida de cualquier inconsistencia entre este Acuerdo y las reglas del procedimiento.----------------------- 4.--La Asamblea puede otorgar el estatus de Observador a entidades no-estatales tales como organizaciones intergubernamentales, compañías privadas, institutos de investigación y organizaciones no-gubernamentales (NGOs - por sus siglas en inglés), basándose en el criterio acordado por la Asamblea. Representantes con el estatus de Observador pueden tomar parte en las discusiones en la Asamblea, pero no tendrán derecho al voto en las deliberaciones de la Asamblea. Provisiones adicionales relacionadas a la participación de los Observadores en la Asamblea se pueden tomar dentro del reglamento detalladas en el párrafo 3.-------- 5.--Las funciones de la Asamblea incluirán:------------------------ a.--elegir a los Miembros del Consejo, de acuerdo con el Artículo 8.2 y considerando el principio de rotación---------------------------- b.--nombrar el Director-General quien será nominado por el Consejo;----------------- c.--considerar y acoger enmiendas a esta Acuerdo, de acuerdo con el Artículo 24; d.--asesorar la dirección general del trabajo de GGGI;--------------------------------------- e.--revisar el progreso de los objetivos en las reuniones de GGGI;----------------------- f.--recibir informes de la Secretaría en asuntos estratégicos, operacionales y financieros; y-------------------------------------------------------------------------------------------- g.--proporcionar orientación en cuanto a asociaciones cooperativas y vínculos con otras entidades internacionales de acuerdo con el Artículo 16.---------------------------- 6.--Cada Miembro tendrá derecho a un voto.------------------------- 7.--Los Miembros que son organizaciones de integración regional deberán, en los asuntos por los cuales son responsables de acuerdo con los Artículos 5.4 y 5.5, ejercitar su derecho al voto con un número de votos que iguale el número de sus estados miembros que son Partes de este Acuerdo. Las modalidades del ejercicio de los derechos de membresía se incluirán en un acuerdo separado detallado en el Artículo 5.4, a ser negociado antes de otorgar la membresía a las organizaciones de integración regionales.------------------------------------------------------- 8.--La Asamblea hará todo lo posible para tomar las decisiones por consenso. EL CONSEJO 1.--El Consejo actuará como el órgano ejecutivo de GGGI y, bajo la guía de la Asamblea, será responsable de dirigir las actividades de GGGI.------------------------- 2.--El Consejo consistirá de no más de diecisiete miembros, a saber:----------------- a.--cinco miembros contribuyentes elegidos por la Asamblea;----------------------------- b.--cinco miembros participantes elegidos por la Asamblea;------------------------------- c.--cinco sustancialmente a los objetivos del GGGI, nombrados por el Consejo;----------------- d.--el país anfitrión, el cual tendrá un asiento permanente en el Concejo; y------------ e.--el Director-General sin derecho al voto.--------------------------- 3.--Los miembros del Consejo especificados en el párrafo 2 a, b, y c servirán durante periodos de dos años, a excepción de lo provisto en el párrafo 4.------------- 4.--La Asamblea se asegurará que aproximadamente la mitad de los miembros iniciales del Consejo elegidos bajo el párrafo 2 a, b y c, sean elegidos por un periodo inicial de un año, para los propósitos de continuidad de la membresía del Concejo.----------------------------------------------------------- 5.--Las funciones del Consejo, bajo la guía de la Asamblea, podrá---------------------- a.--nominar un director-General pare ser designado por la Asamblea;------------------ b.--aprobar la estrategia de GGGI, y revisar los resultados, monitorear y evaluar el marco de trabajo;--------------------------------------------------------------------------------------- c.--aprobar el programa del trabajo y el presupuesto anuales;----------------------------- d.--aprobar los estado financieros auditados;------------------------- e.--aprobar la admisión de miembros nuevos al Comité Asesor de acuerdo con el Artículo 9.2;---------------------------------------------------------------------------------------------- f.--aprobar el criterio para la selección del programa del país, el cual tendrá consistencia con los objetivos de GGGI y estará basado en, entre otros, con criterio objetivo;------------------------- g.--aprobar la membresía de los Sub-Comités del Consejo; y----------------------------- h.--llevar a cabo cualesquiera otras funciones delegadas por la Asamblea o conferidos en otras partes de este Acuerdo.---------------------------------------------------- ÚLTIMA LÍNEA PÁGINA UNO FOLIO SIETE---------------------- ÚLTIMA LÍNEA PÁGINA FOLIO SIETE----------------------------- FOLIO OCHO------------------------------------------------------------ PÁGINA UNO------------------------------------------------------------ 6.--Cada miembro del Consejo tendrá derecho a un voto a excepción del Director-General.------------- -------------------------------------------------------------------------------------- 7.--El Consejo hará todo esfuerzo posible para llegar a las decisiones por consenso. Si todos los esfuerzos para obtener un consenso se han agotado, y no se ha logrado un consenso, a solicitud de la Presidencia, como último recurso las decisiones se tomarán por una simple mayoría de los miembros presentes y votantes, a excepción como de otra forma se especifique en este Acuerdo. Adicionalmente, la adopción de las decisiones requerirán la presencia de una mayoría de miembros contribuyentes y votantes, así como una mayoría de la presencia de miembros participantes y votantes. Para evitar cualquier duda, las decisiones pueden tomarse por procedimiento escrito entre las reuniones del Cons ejo.------------------------------------------------------------------------------------------------ -- 8.--El Consejo adoptará su reglamento de procedimiento por consenso en la primera sesión.------------------------------------------------------------------------------------------ 9.--El Consejo elijará un Presidente y dos Vice-Presidentes por periodos de dos años.--------------- ---------------------------------------------------------------------------------------- 10.-La Presidencia, con el apoyo de los Vice-Presidentes, presidirá el Concejo y cumplirá todas las obligaciones que se le encomienden.------------------------------------ 11.-La Presidencia será la responsabilidad del Consenso mientras esté en sesión.

12.-Para la operación y coordinación efectiva, el Consejo tiene la facultad de establecer sub-comités, incluyendo cuando sea apropiado, un Sub-Comité Facilitador, un Sub-Comité de Recursos Humanos, un Sub-Comité de Programa y un Sub-Comité de Finanzas & Auditoría. El Sub-Comité de Finanzas y Auditoría será presidido por un miembro contribuyente.--------------------------------------------------

EL COMITÉ ASESOR 1.--El Comité Asesor, como un órgano asesor y consultativo de GGGI, tendrá una función clave en:---------------------------------- a.--servir como un fórum para la cooperación pública-privada en el crecimiento verde; y------------------------------------------------------------------------------------- b.--asesorar en Concejo sobre la estrategia y actividades de GGGI, incluyendo lo respectivo a cualesquiera sinergias y vínculos entre GGGI y otros actores que se puedan perseguir por medio del Artículo 16.---------------------------------------------------- 2.--El Comité Asesor se compondrá de actores no-estatales relevantes y destacados. Las Aplicaciones para la membresía al Comité Asesor se presentarán al Director-General por escrito y serán aprobadas por el Consejo en concordancia con el Articulo 8.5 e.---------------------------------------------------------------- 3.--El Comité Asesor se reunirá en sesiones regulares que se convocarás una vez al año a no ser que se decida de otra forma.--------------------------------------------------- ÚLTIMA LÍNEA PÁGINA UNO--------------------------------------- ÚLTIMA LÍNEA FOLIO OCHO--------------------------------------- FOLIO NUEVE---------------------------------------------------------- PÁGINA UNO------------------------------------------------------------ 4.--El Comité Asesor adoptará su reglamento de procedimiento y puede elegir una Presidencia y Vice-Presidencia.--------------------

LA SECRETARIA Y EL DIRECTOR GENERAL 1.--La Secretaría, bajo la guía del Concejo y la Asamblea, será el principal órgano operacional de GGGI, y será encabezada por un Director-General.--------------------- 2.--El Director-General será nominado por el Concejo y nombrado por la Asamblea- El Director-General puede participar en las reuniones del Concejo y la Asamblea, pero no tendrá derecho a votar en tales reuniones.---------------------------- 3.--El Director-General se nombrará por un periodo inicial de cuatro años y podrá ser re-nombrado por un periodo adicional.------------------------------------------------------ 4.--Adicionalmente cualesquiera funciones conferidas al Director-Genera en otra parte de este Acuerdo o por el Concejo o la Asamblea de vez en cuando, el Director-General, bajo la guía del Consejo y la Asamblea deberá:--------------------- a.--proveer liderazgo estratégico para GGGI;------------------------- b.--preparar todos los documentos financieros y operacionales necesarios;---------- c.--informar sobre la implementación general de las actividades de GGGI y poner ante la atención del Concejo cualquier asunto que considere pueda tener un impacto en el cumplimiento de los objetivos de GGGI;--------------------------------------- d.--poner en práctica las directivas de la Asamblea y el Concejo; y---------------------- e.--representar a GGGI externamente y desarrollar relaciones estrechas con los Miembros y otras partes interesadas.------------------------------------------------------------- 5.--La Secretaría será responsable ante el Director-General y deberá, entre otros, apoyar la Dirección-General en poner en práctica las funciones listadas en el párrafo 4 y en las actividades centrales de GGGI.-------------------------------------------- 6.--En el desempeño de sus funciones el Director-General y el personal de la Secretaría no buscarán ni recibirán instrucciones de ningún estado o de ninguna autoridad externa a GGGI. Eficiencia, competencia, mérito, e integridad serán las consideraciones necesarias en el reclutamiento y empleo del personal, tomando en cuenta el principio de la igualdad de género.

IDIOMA QUE SE USARÁ EN GGGI El idioma que se usará en GGGI será el inglés.

FINANZAS 1.--GGGI obtendrá sus recursos financieros por medio de:------- a.--contribuciones voluntarias entregadas por los Miembros;------ b.--contribuciones voluntarias suministradas de fuentes no-gubernamentales;----- c.--la venta de publicaciones y otros ingresos;----------------------- d.--intereses provenientes de fideicomisos; y------------------------- e.--cualesquiera otras fuentes de acuerdo con el reglamento financiero a ser adoptado por la Asamblea por consenso.----------- 2.--A los Miembros se les pide que apoyen a GGGI y así asegurar su estabilidad financiera por medio de contribuciones anuales voluntarias de financiación básica, participación activa en sus actividades u otros medios apropiados.---------------------- 3.--Para promover una transparencia financiera, una auditoría financiera de las operaciones de GGGI se conducirá en forma anual por un auditor independiente externo nombrado por el Concejo y la auditoría se conducirá de acuerdo con las normas de una auditoría internacional.------------------------------------------------------------------------ 4.--Los estados financieros presentados por el auditor se pondrán a la disponibilidad de los Miembros tan pronto como sea posible después del cierre de cada año fiscal, pero no más tarde de seis meses después de esa fecha, y se pondrán a consideración para la aprobación del Concejo en su próxima sesión, como sea apropiado.

DIVULGACIÓN Los órganos de GGGI desarrollarán una política de divulgación comprensiva la cual asegure la transparencia del trabajo de GGGI, incluyendo:------------------------ ÚLTIMA LÍNEA PÁGINA UNO FOLIO DÉCIMO------------------ ÚLTIMA LÍNEA FOLIO DÉCIMO------------------------------------ FOLIO UNDÉCIMO----------------------------------------------------- PÁGINA UNO------------------------------------------------------------ a.--las discusiones, decisiones y documentos recibidos, estudiados y adoptados por la Asamblea;---------------------------------------------------------------------------------------- b.--el criterio con el cual se otorga el estatus de Observador a entidades no-estatales;------------ ------------------------------------------------------------------------------------- c.--las discusiones, decisiones y documentos relacionados al Consejo;---------------- d.--el criterio sobre el cual se seleccionan los expertos y actores no-estatales en el Consejo;----- --------------------------------------------------------------------------------------------- e.--el criterio y la metodología para la selección del programa del país;---------------- f.--el criterio con el cual se aprueban los miembros del Comités Asesor; y------------- g.--los estados de la auditoría anual de GGGI,

PERSONERÍA Y CAPACIDAD LEGAL GGGI tendrá personería legal y la capacidad para:----------------- a.--contratar;------------------------------------------------------------- b.--adquirir y disponer de bienes muebles e inmuebles; y----------- c.--instituir y defenderse en los procedimientos legales.------------

GGGI puede disfrutar tales privilegios e inmunidades en el estado miembro en el que tiene su sede, y puede buscar tales privilegios e inmunidades en otros Miembros, como pueda ser necesario y apropiado para el correcto funcionamiento de GGGI en el territorio de los estados miembros, en la debida consideración de tales privilegios e inmunidades que se acostumbren para los tipos similares de organizaciones internacionales. Tales privilegios e inmunidades se especificarán en un acuerdo separado que puede concluirse entre los Miembros o entre GGGI y el Miembro individual.----------------------------------------------------------------

ASOCIACIONES DE COOPERACIÓN 1.--GGGI puede establecer relaciones de cooperación con otras organizaciones, incluyendo organizaciones no-gubernamentales, inter-gubernamentales e internacionales, con el fin de promover los objetivos de GGGI.--------------------------- 2.--GGGI también puede invitar organizaciones con las cuales comparta objetivos similares en el crecimiento verde, para formar una asociación estratégica para la cooperación mutua sobre una base de períodos de mediano o largo plazo.----------- ÚLTIMA LÍNEA PÁGINA UNO FOLIO UNDÉCIMO-------------- ÚLTIMA LÍNEA FOLIO UNDÉCIMO-------------------------------- FOLIO DUODÉCIMO--------------------------------------------------- PÁGINA UNO------------------------------------------------------------

1.--Hasta tal tiempo en que la Secretaría de GGGI ha sido establecida, la Organización servirá y llevará a cabo las funciones de la Secretaría. El Director Ejecutivo de la Organización llevará el cargo de Director-General de GGGI hasta que la Asamblea nombre el Director-General de acuerdo con el Artículo 7.5b.------- 2.--A partir de la entrada en vigor de este Acuerdo, los derechos. Obligaciones, compromisos, las oficinas existentes, sucursales/regionales2 y la propiedad de la Organización se delegarán a GGGI de acuerdo con cualesquiera procesos necesarios de ese órgano.--------------------------------------------------------------------------- 3.--Las normas, reglamentos, resoluciones, procedimientos y prácticas de la Organización aplicarán a GGGI hasta que se decida otra por la Asamblea, el Concejo o el Director-General como fuese apropiado, y sólo en la medida en que no sean inconsistentes con este Acuerdo o con cualesquiera normas, reglamentos, resoluciones, procedimientos y prácticas adoptadas por la Asamblea o el Concejo.------------------------------------------ 4.--Hasta que un número suficiente de estados y organizaciones de integración regionales sean Parte de este Acuerdo, cada número especificado en los subpárrafos a, b, c del Artículo 8.2 como requerimiento para el número de miembros del Concejo se puede aplicar con flexibilidad como lo decida la Asamblea.-------------------------------------------------------------------------------------

DEPOSITARIO El Director-General de la Secretaria será el Depositario de este Acuerdo.

RATIFICACION, ACEPTACIÓN Y APROBACIÓN 1.--Este Acuerdo estará sujeto a ratificación, aceptación, o aprobación por los Estados signatarios y las organizaciones de integración regional.------------------------ 2.-- Los instrumentos de ratificación, aceptación o aprobación se depositarán con el Depositario.

ADHESIÓN 1.--Este Acuerdo estará abierto a la adhesión de cualquier estado u organización de integración regional que no haya firmado el Acuerdo.----------------------------------- 2.--Los instrumentos de adhesión se depositarán con el Depositario.------------------

ENTRADA EN VIGOR 1.--Este Acuerdo entrará en vigor el día trigésimo después del depósito del tercer instrumento de ratificación, aceptación, aprobación, o adhesión.------------------------- 2.--Para cada estado u organización de integración regional que ratifique, acepte, aprueba o se adhiera a este Acuerdo después de su entrada en vigor, el Acuerdo entrará en vigor el trigésimo día después del depósito del instrumento respectivo.

SALVEDADES Este Acuerdo no contiene salvedad alguna.

ENMIENDAS 1.--Cualquier Parte de este Acuerdo puede proponer una enmienda a este Acuerdo presentando tal propuesta al Director-General de la Secretaría. Adicionalmente, los instrumentos de aceptación requerirán la aprobación de tres-cuartas partes de los miembros contribuyentes, así como tres- cuartas partes de los miembros participantes, para que entre en vigor.------------------------------ -------------------------------------------------------------------------

RETIROS Cualquier Parte puede retirarse de este Acuerdo mediante una notificación escrita, de su intención de retirarse de esta Acuerdo. Tal retiro tendrá efecto seis meses después de la fecha de recibo por el Director-General de la Secretaría de la notificación.--------------------------------------------------------------------------------------

INTERPRETACIONES Cualquier asunto de interpretación de las provisiones de este Acuerdo que se presente entre cualquier Miembro y GGGI o entre cualesquiera Miembros de GGGI se presentará al Presidente de la Asamblea, para la consideración y decisión de la Asamblea. La Asamblea hará todo esfuerzo posible para llegar a una decisión por consenso. Si todos los esfuerzos para obtener un consenso fracasaren, y no se obtenga un consenso, tales decisiones como última instancia se adoptarán por tres-cuartos de los miembros presentes y votantes. Adicionalmente, la adopción de tales decisiones requerirá la presencia y los votos de tres-cuartos de los miembros contribuyentes, así como la presencia y los votos de tres-cuartos de los miembros participantes. Este acuerdo, incluyendo las decisiones mencionadas arriba, y se interpretará de acuerdo con los reglamentos acostumbrados de interpretación de la ley pública internacional, incluyendo la Convención de Viena sobre la Ley de Tratados adoptada en 1969.----------------------

TERMINACIÓN 1.--Este Acuerdo solamente puede ser terminado por medio de una decisión por consenso en la Asamblea de todos los Miembros.-------------------------------------------- 2.--Cualquier decisión tomada bajo el Párrafo 1 no tendrá efecto antes de que hayan expirado los doce meses a no ser que se decida diferente por la Asamblea por consenso.------------------------------------------------------------------------------------------- 3.--La terminación de este Acuerdo no afectará el progreso de cualquier proyecto o programa iniciado bajo este Acuerdo y no se hayan ejecutado al tiempo de la terminación de este Acuerdo, a no ser que se decida diferente por consenso de la Asamblea---------------------------------------------------------------------------------------- 4.--A la terminación, la Asamblea puede acordar, por consenso, delegar la propiedad y los bienes de GGGI a uno o más organismos internacionales que tengan los mismos, o sustancialmente los mismos, objetivos de GGGI como se detallan en el Artículo 2.
