"AGREEMENT ON THE CONSTITUTION OF THE INTERNATIONAL INSTITUTE OF PLANT GENETIC RESOURCES Preamble Whereas, the Consultative Group on International Agricultural Research (hereinafter referred to as "CGIAR") is a group formed by local governments, multilateral aid agencies, private foundations, and others that support a significant number of research centers whose purpose is to improve and increase agricultural production in developing countries; Whereas, the members of the CGIAR founded in 1974 the International Board for Plant Genetic Resources (hereinafter referred to as "IBPGR"), as an international entity operating under the auspices of the CGIAR and located at the Food and Agriculture Organization of the United Nations (hereinafter referred to as "FAO"), and also created a Trust Fund at the FAO to finance the IBPGR through a Letter of Agreement signed by representatives of the Federal Republic of Germany, the Kingdom of the Netherlands (Holland), the Kingdom of Sweden, and the United Kingdom of Great Britain and Northern Ireland; Whereas, the FAO and the IBPGR defined their respective roles and responsibilities, as well as the specific areas of collaboration in the field of plant genetic resources, they signed a Memorandum of Understanding on cooperation with the program on September 21, 1990, finalizing said agreement; Whereas, with the intention of promoting the development and strengthening of plant genetic resources activities around the world, both within and outside the CGIAR system, the CGIAR has decided to establish the International Plant Genetic Resources Institute (hereinafter referred to as "IPGRI" or "the Institute"), which shall assume all the tasks and functions of the IBPGR and replace the IBPGR as a party to the Memorandum of Understanding referred to in the previous paragraph; Whereas, it is intended that IPGRI be an integral part of the CGIAR system; Whereas, the parties to this agreement wish to create IPGRI as an independent institution with adequate administration, legal personality (personería jurídica) and appropriate international status, as well as with the authorities, privileges, immunities, and other necessary conditions that allow it to operate efficiently to achieve its objectives.
