THE PRESIDENT OF THE REPUBLIC, AND THE MINISTERS OF FINANCE AND OF AGRICULTURE AND LIVESTOCK Based on Articles 140, subsections 3), 8), 18), and 20), and 146, of the Political Constitution, Law No. 6227 of May 2, 1978, Law No. 5515 of April 19, 1974, and Law No. 4895 of November 16, 1971, and their amendments.

Regulation for the Financing of Credit for Banana Rehabilitation against damages caused by natural phenomena
DECREE:
These rules regulate the resources made available for the financing of credit for the rehabilitation of banana farms affected by the floods and strong winds that occurred in the second half of the month of November 2008, and the manner in which the credits will be granted to the producing subjects.
This fund will be constituted with part of the resources collected based on Law No. 5515 of April 19, 1974, which can legally be allocated for the benefit of banana producers and are currently managed and administered by CORBANA, as well as with its own funds.
For these purposes, CORBANA will dispose of the remnants of the Rehabilitation Fund of the Rehabilitation and Rescue Program for National Producers, regulated by Decrees No. 30671-H-MAG of August 22, 2002, Article 5, No. 30841-H-MAG effective as of January 1, 2003, and No. 31029-H-MAG of January 7, 2003, Article 35. From these remnants, CORBANA will also reimburse itself the sum of US$1,006,000.00 (one million six thousand dollars of the United States of America) that it provided to cover the operational expenses for the start-up of the execution of said Program, which has been under its execution.
For its part, in order for this fund to be formed, CORBANA must contribute an amount of no less than US$2,300,000.00 (two million three hundred thousand dollars of the United States of America).
CORBANA will be the administrator of the Fund and will fulfill the following functions: a) Administer the resources, exercising due administrative, accounting, financial, and technical control over them; b) it will manage the Fund's resources coming from the tax established by Law No. 5515 in a separate accounting from its own, and accounting-wise separated from the resources that it contributes to the Fund. For these purposes, it will keep special accounting books, duly legalized by the Book Legalization Office of the Dirección General de Tributación Directa, in which it will record all income and expenses related to the resources from Law No. 5515. Likewise, it may not combine its own resources and resources from the cited law in the same credit, for which purpose it must try to make the own resources that it contributes to the Fund available to producers first, and once these are exhausted, use the resources from Law 5515.
If for some reason the foregoing cannot be fulfilled, in any case, CORBANA may not combine one and the other resources in the granting of a single credit, but it may grant two credits to the same subject to resolve their needs, each one, in that case, with different resources from those established herein; c) establish and verify that in each case the necessary requirements are met by the banana producers applying for the Fund's resources; d) approve the credits to the producers who qualify to become beneficiaries thereof, through its Board of Directors; e) disburse the resources of each credit in accordance with what is established in this regard in these rules; f) follow up on the credits and the rehabilitation tasks and works on the affected farms.
All banana producers who apply may obtain financing from this Fund, provided they meet the requirements of this regulation and the requirements established by CORBANA.
To benefit from the Fund's financing, producers must submit a formal application to CORBANA, establishing the amount of the credit and describing in detail the circumstances that lead them to make the application, what the specific damages caused by the natural phenomenon were, and what they intend to repair, rehabilitate, and finance with the credit; and they must attach the following documentation and information.
The applications must be signed by the natural persons or the legal representative of the applicant legal entity.
The certifications from a notary public that are presented must be no more than three months old, and this information in all cases, when appropriate, can be corroborated in the corresponding public registries by the Legal Department of CORBANA, and when necessary, the latter may request that the applicant update it.
The applications and credits will be processed and granted in accordance with the principle of first in time, first in right, provided that the applications are submitted with the complete and correct requirements and documentation.
Once the application, with the required requirements and documentation, is submitted to CORBANA, it will immediately be analyzed by the specialized departments, which may request any necessary additional information from the interested parties and carry out the verifications they consider pertinent in each particular case, on the farm itself or at the offices of the applicant companies. Additionally, the Credit Section, in its analysis, must be guided by the following criteria:
Once the analysis of the applications is concluded, the Credit Section of CORBANA will refer each case to the Credit Committee of CORBANA, which will carry out the corresponding study and elevate each matter to the knowledge of the Board of Directors, accompanying a report with its technical recommendations.
This report must contain sufficient information for decision-making by the Board of Directors, which will ultimately be the body that approves or disapproves the credit.
The term, any potential grace period, and the form of payment of the credits granted by CORBANA, and all other conditions, will be at the discretion of the Board of Directors, taking into consideration the stipulations of this Regulation and studying each specific case based on the report that the specialized departments will render.
CORBANA may modify the conditions proposed by the applicant, adjusting them to the real agronomic and financial situation and the provisions of these rules, so that the financing technically seeks the true solution to the problems the applicant faces.
The maximum amount to be financed in each case will be determined by the credit requirements of each farm and the availabilities of the Fund, and in each case, it will be up to CORBANA to establish it.
Once the credit is approved and formalized, CORBANA will deliver the agreed sums to the beneficiaries in accordance with the approved disbursement schedule and the availability of funds, if pertinent.
CORBANA may disburse a first disbursement as a revolving fund, which will not exceed 20% of the total amount of the approved credit, which will be used to make the down payment for works to be carried out or for the purchase of materials and inputs, which CORBANA will pay directly to the contractors or suppliers. Subsequent disbursements will be made upon presentation of receipts, and once CORBANA, without undue delay, has adequately controlled the use of the disbursed money, it will make the following disbursement, always trying to pay directly to the co-contractors of the borrowers.
Each request for disbursement of funds from the borrowers must be accompanied by the respective justifications and supporting documents, such as: payrolls, Costa Rican Social Security Fund (Caja Costarricense de Seguro Social) payrolls, payroll distribution, payment vouchers, settlement vouchers, copies of checks, invoices, receipts, and any other document of accounting and legal acceptance that justifies the expenditures.
In order to control the progress of the investment plan, CORBANA, through the Dirección de Asistencia Técnica, will carry out periodic cut-off evaluations of the same and compare them with the material progress corroborated in the field.
CORBANA will establish the amount of the periodic payments for debt service, for which it will take into account the real possibilities of the borrower and the result of the analysis carried out. The form of payment will be established so that the installments increase progressively and gradually, according to how CORBANA projects that the productive units will recover agronomically and financially. The Board of Directors of CORBANA will define the form of payment for each credit.
The resources received for debt service will be applied, first to the payment of interest, and the remainder will be amortized to the principal.
For the calculation of interest, the calendar year of 365 days will be considered, calculating the interest on the outstanding balances at the date of application. The Board of Directors of CORBANA will review the interest rate semiannually, which will be equal to that established for the credits of the Fondo de Préstamos a Productores that CORBANA has established with its own resources.
For every credit admitted for processing, a file will be opened, which will begin with the submission of the application and will contain all the documentation generated, duly numbered, until the cancellation of the credit, and must be in the custody of the Credit Section of CORBANA during the entire validity and operation of the Fund, until the last credit is canceled.
The Head of Credit of CORBANA and each of the Credit Officers, in their respective areas, bear responsibility for the formation and custody of the credit files, ensuring that they contain all the requirements demanded for their approval and that the documentation backing every movement applied to the credit is found within them, particularly copies of the authorized disbursements; as well as maintaining said file updated with all communication issued by the parties. No file may be transferred outside the offices of CORBANA without the authorization of the Credit Department.
Likewise, the Internal Audit must supervise and evaluate the control system for the credit portfolios by the active administration.
The Credit Section of CORBANA must issue four-monthly reports on the Fund's portfolio, and whenever the Board of Directors of CORBANA so requests. Also, CORBANA, with its own resources, must contract an annual external audit on the Fund's resources.
In everything related to the purposes of this Regulation and not provided for herein, the laws and regulations governing the granting of credit will apply, on a supplementary basis, especially regarding the banana activity.
The application of this Regulation and any other resolution related to the credit activity of CORBANA falls under the purview of the Board of Directors, which must administer the funds, trying to benefit the greatest number of producers, attending to technical criteria and in accordance with the principles of rationality, reasonableness, logic, and good administration.
It becomes effective upon its publication.

EL PRESIDENTE DE LA REPÚBLICA, Y LOS MINISTROS DE HACIENDA Y DE AGRICULTURA Y GANADERÍA Con fundamento en los artículos 140, incisos 3), 8), 18) y 20) y 146, de la Constitución Política, la Ley Nº 6227 del 2 de mayo de 1978, Ley Nº 5515 de 19 de abril de 1974 y la Ley Nº 4895 de 16 de noviembre de 1971 y sus reformas.

Reglamento para la Financiación de Crédito para la Rehabilitación Bananera ante daños causados por fenómenos naturales
DECRETAN:
Las presentes normas regulan los recursos que se disponen para la financiación de crédito para la rehabilitación de las fincas bananeras afectadas por las inundaciones y los fuertes vientos ocurridos en la segunda quincena del mes de noviembre del 2008 y la forma en que se otorgarán los créditos a los sujetos productores.
Este fondo se constituirá con parte de los recursos recaudados con base en la ley Nº 5515 de 19 de abril de 1974, que legalmente se pueden destinar a favor de los productores bananeros y que actualmente maneja y administra CORBANA, así como, con fondos propios de esta.
Para estos efectos, CORBANA dispondrá de los remanentes del Fondo de Rehabilitación del Programa de Rehabilitación y Salvamento de los Productores Nacionales, regulado por los decretos Nº 30671-H-MAG de 22 de agosto del 2002, artículo 5º, Nº 30841-H-MAG vigente a partir del 1º de enero de 2003 y Nº 31029-H-MAG de 7 de enero del 2003, artículo 35. Con esos remanentes también CORBANA reintegrará a su favor la suma de US$1.006.000,00 (un millón seis mil dólares de los Estados Unidos de América) que la misma facilitó para sufragar los gastos operativos del inicio de la ejecución del citado Programa, que ha estado bajo su ejecución.
Por su parte, para que se pueda conformar este fondo CORBANA deberá aportar un monto no menor de US$2.300.000,00 (dos millones trescientos mil dólares de los Estados Unidos de América).
CORBANA, será la administradora del Fondo y cumplirá las siguientes funciones: a) Administrar los recursos, ejerciendo el debido control administrativo, contable, financiero y técnico de los mismos; b) manejará los recursos del Fondo provenientes del impuesto establecido por la Ley Nº 5515 en una contabilidad separada de la suya y separados contablemente de los recursos que ella aportara al Fondo. Para esos efectos, llevará libros especiales de contabilidad, debidamente legalizados por la Oficina de Legalización de Libros de la Dirección General de Tributación Directa, en los cuales registrará todos los ingresos y egresos relativos a los recursos provenientes de la Ley Nº 5515. Asimismo, no podrá hacer combinación de recursos propios y recursos provenientes de la citada ley en un mismo crédito, para lo cual deberá tratar de poner a disposición de los productores primeramente los recursos propios que la misma aporta al Fondo y una vez agotados estos, utilizar los recursos provenientes de la ley 5515.
Si por alguna razón lo anterior no se pudiera cumplir, de todas formas, CORBANA no podrá combinar unos y otros recursos en el otorgamiento de un mismo crédito, pero si podrá otorgar dos créditos a un mismo sujeto para resolver sus necesidades, eso si cada uno con diferentes recursos de los aquí establecidos; c) establecer y verificar que en cada caso se cumplan los requisitos necesarios por parte de los productores bananeros solicitantes de los recursos del Fondo; d) aprobar los créditos a los productores que califiquen para hacerse beneficiarios de los mismos, a través de su Junta Directiva; e) girar los recursos de cada crédito de conformidad con lo establecido al respecto en las presentes normas; f) dar seguimiento a los créditos y a las labores y obras de rehabilitación de las fincas afectadas.
Todos los productores bananeros que lo soliciten podrán obtener financiamiento con este Fondo, siempre y cuando cumplan con los requerimientos del presente reglamento y los requisitos que establezca CORBANA.
Para disfrutar del financiamiento del Fondo, los productores deberán presentar una solicitud formal ante CORBANA, estableciendo el monto del crédito y describiendo detalladamente las circunstancias que los determinan a efectuar la solicitud, cuáles en concreto son los daños que el fenómeno natural les produjo y qué pretenden reparar, rehabilitar y financiar con el crédito; y deberán adjuntar la siguiente documentación e información.
Las solicitudes deberán ser suscritas por las personas físicas o el representante legal de la persona jurídica solicitante.
Las certificaciones de fedatario público que se presenten deberán tener como máximo un plazo de tres meses de emitidas y esa información en todos los casos, cuando ello proceda, puede ser corroborada en los registros públicos correspondientes por el Departamento Legal de CORBANA y cuando fuere necesario esta última podrá pedir al solicitante que la actualice.
Las solicitudes y los créditos se tramitarán y otorgarán de conformidad con el principio de primero en tiempo primero en derecho, siempre y cuando se presenten las solicitudes con los requisitos y la documentación completa y correcta.
Presentada ante CORBANA la solicitud con los requisitos y documentación exigidos, inmediatamente pasarán a ser analizados por los departamentos especializados, los cuales podrán solicitar a los interesados cualquier información adicional necesaria y efectuar las verificaciones que consideren pertinentes en cada caso particular, en la propia finca u oficinas que tengan las empresas solicitantes. Además, la Sección de crédito en el análisis deberá guiarse por los siguientes criterios:
Concluido el análisis de las solicitudes, la Sección de Crédito de CORBANA remitirá cada caso al Comité de Crédito de CORBANA, el cual hará el estudio correspondiente y elevará cada asunto a conocimiento de la Junta Directiva, acompañando un informe con sus recomendaciones técnicas.
Ese informe deberá contener la información suficiente para la torna de decisión por parte de la Junta Directiva, la cual será en definitiva el órgano que apruebe o no el crédito.
El plazo, el eventual período de gracia y la forma de pago de los créditos que otorgue CORBANA y todas las restantes condiciones, quedarán a juicio de la Junta Directiva, tomando en consideración las estipulaciones del presente Reglamento y estudiando cada caso concreto con base en el informe que rendirán los departamentos especializados.
CORBANA podrá modificar las condiciones propuestas por el solicitante, ajustándolas a la situación agronómica y financiera real y a las disposiciones de estas normas, de modo que el financiamiento procure técnicamente, la verdadera solución a los problemas que afronta el solicitante.
El monto máximo a financiar en cada caso estará determinado por los requerimientos de crédito de cada finca y a las disponibilidades del Fondo y en su caso corresponderá a CORBANA establecerlo.
Una vez aprobado y formalizado el crédito, CORBANA entregará a los beneficiarios las sumas pactadas de acuerdo con el cronograma de desembolsos aprobado y la disponibilidad de fondos, si ello fuere pertinente.
CORBANA podrá girar un primer desembolso como fondo revolutivo, el cual no excederá del 20% del monto total del crédito aprobado, que se utilizará para realizar el enganche de obras a realizar o para la compra de materiales e insumos, lo cual CORBANA pagará directamente a los contratistas o proveedores. Los desembolsos subsiguientes se efectuarán contra presentación de comprobantes y una vez que CORBANA, sin mayor tardanza, haya controlado adecuadamente la utilización del dinero girado, realizará el siguiente desembolso, tratando siempre de pagar directamente a los co-contratantes de los prestatarios.
Cada solicitud de desembolso de fondos de los prestatarios deberá acompañarse de los justificantes y comprobantes respectivos, como son: planillas, planillas de la Caja Costarricense de Seguro Social, distribución de nómina, boletas de pago, boletas de liquidación, copias de cheques, facturas, recibos y cualquier otro de aceptación contable y legal que justifiquen las erogaciones.
Con el objeto de controlar el avance del plan de inversión, CORBANA, a través de la Dirección de Asistencia Técnica, hará cortes periódicos del mismo y los comparará con el avance material corroborado en el campo.
CORBANA establecerá el monto de los pagos periódicos para el servicio de la deuda, para lo cual tomará en cuenta las posibilidades reales del prestatario y el resultado del análisis efectuado. La forma de pago se establecerá de modo que las cuotas se vayan incrementando progresiva y gradualmente, de acuerdo a como CORBANA proyecte que las unidades productivas se irán recuperando agronómica y financieramente. La Junta Directiva de CORBANA definirá la forma de pago de cada crédito.
Los recursos que se reciban para el servicio de la deuda serán aplicados, primero para el pago de intereses y el remanente se amortizará al principal.
Para el cálculo de los intereses se considerará el año calendario de 365 días, calculando los intereses sobre saldos a la fecha de la aplicación. La Junta Directiva de CORBANA revisará semestralmente la tasa de interés, que será igual a la establecida para los créditos del Fondo de Préstamos a Productores que tiene establecido CORBANA con sus recursos propios.
De todo crédito que se admita para su tramitación se abrirá un expediente, que se iniciará con la presentación de la solicitud y contendrá toda la documentación debidamente foliada que se genere, hasta la cancelación del crédito, debiendo estar custodiado por la Sección de Crédito de CORBANA durante toda la vigencia y operación del Fondo, hasta que se cancele el último crédito.
Constituye responsabilidad del Jefe de Crédito de CORBANA y de cada uno de los Oficiales de Crédito, en lo particular, la formación y custodia de los expedientes de crédito, que éstos contengan la totalidad de los requisitos exigidos para su aprobación, y que se encuentre en ellos la documentación que respalde cada movimiento aplicado en el crédito, particularmente copias de los desembolsos autorizados; así como, de mantener dicho expediente actualizado con toda comunicación emitida por las partes. Ningún expediente podrá ser trasladado fuera de las oficinas de CORBANA sin la autorización del Departamento de Crédito.
Asimismo, la Auditoría deberá supervisar y evaluar el sistema de control de las carteras crediticias por parte de la administración activa.
La Sección de Crédito de CORBANA deberá emitir informes cuatrimestrales sobre la cartera del Fondo y cuando la Junta Directiva de CORBANA lo solicite. También, CORBANA con sus propios recursos deberá contratar una Auditoría externa anual sobre los recursos del Fondo.
En todo lo relacionado con los fines del presente Reglamento y no previsto aquí, regirán, con carácter supletorio, las leyes y reglamentos que regulan la concesión de crédito, especialmente en lo que se refiere a la actividad bananera.
La aplicación del presente Reglamento y cualquiera otra resolución relacionada con la actividad crediticia de CORBANA, compete a la Junta Directiva, la cual deberá administrar los fondos, tratando de beneficiar al mayor número de productores, atendiendo criterios técnicos y de acuerdo con los principios de racionalidad, razonabilidad, lógica y buena administración.
