N° N° 133 SECOND CIVIL TRIBUNAL, SECTION ONE.- San José, at ten hours and twenty minutes on the twenty-second of April of two thousand and five.- In the ordinary civil action (proceso ordinario) filed before the FOURTH CIVIL COURT OF SAN JOSÉ under case file number 00-002184-183-CI, brought by ALUMIMUNDO SOCIEDAD ANÓNIMA, represented by its general attorney-in-fact without limitation of amount (apoderado generalísimo sin límite de suma) [Nombre1], of legal age, married, engineer, resident of San José, residency card number CED1, against USG CORPORATION, represented by [Nombre2] and [Nombre3], and USG INTERIORS INC and USG INTERIORS INTERNATIONAL INC, represented by [Nombre4] and [Nombre5].- The plaintiff is represented by special judicial attorneys-in-fact (apoderados especiales judiciales) Licenciados Víctor Pérez Vargas, Carlos Alberto Ramírez Aguilar, and Abraham Stern Feterman, and the defendants by Licenciados Carlos José Oreamuno Morera, Tomas Federico Guardia Echandi, and Carlos Manuel Valverde Retana.-

WHEREAS:

  1. 1The present action, whose value was set at the sum of one million five hundred twenty-two thousand four hundred fifty-two dollars and ninety cents, seeks a judgment declaring: "...1. That this action be granted in all its claims. 2. That the appointment of a new distributor by THE DEFENDANTS constitutes just cause for termination of the relationship between the defendants and ALUMIMUNDO S.A. 3. That the termination of the contract between THE DEFENDANTS and ALUMIMUNDO S.A. be declared with liability on the part of the former, for having violated legal and contractual obligations, constituting just cause for the termination of the exclusive distribution agreement (contrato de distribución exclusiva). 4. That the rescission by unilateral revocation be declared and that THE DEFENDANTS must pay the damages and losses arising from their contractual breach, in accordance with what is stipulated in our Law N. 6209 in its article 2. 5.That the defendants be ordered to pay a reasonable percentage of the investments made by ALUMIMUNDO S.A. in anticipation of the stability of the legal relationship, in the amount of US $11,949.60 (eleven thousand nine hundred forty-nine dollars and sixty cents). 6. That the defendants be ordered to pay the legal percentages to which our client is entitled in accordance with what is stipulated in our Law N. 6209 in its article 2, as distributor. Said amount totals US $501,568.41 (five hundred one thousand five hundred sixty-eight dollars and forty-one cents). 7. That the defendants be ordered to pay the legal percentages to which it is entitled in accordance with what is stipulated in our Law N. 6209 in its article 2, as representative. Said amount totals US $8,933.85 (eight thousand nine hundred thirty-three dollars and eighty-five cents). 8. That the defendants be ordered, by virtue of the untimely, unjust, and bad-faith manner in which they proceeded to breach their duty to respect exclusivity, to pay objective moral damages (Daño Moral Objetivo), for having caused discredit and a stain on its commercial reputation, in favor of ALUMIMUNDO S.A. in the amount of US $[...] (one million dollars). 9.That the defendants also be ordered to pay the corresponding compensation, taking into account the variations in the value of the currency and inflation indices from the date of the condemnatory judgment until its effective payment, which shall be determined in enforcement proceedings (ejecución de sentencia). 10. That the defendants be ordered to pay all damages and losses that continue to arise after the filing of this action, particularly those that, as a result of their conduct, may affect the reputation of both the company and its managers and representatives. 11. That the defendants also be ordered to pay statutory interest on the total value of the indemnifications, until the moment of their effective payment, calculated based on the legal rate at the time of the judgment, which interest shall be liquidated in enforcement proceedings. 12. That it be declared that the indemnifications must be paid in a single installment, 'immediately upon the condemnatory judicial judgment becoming final,' and that all payments must be made by THE DEFENDANTS by means of a certified check from a first-class international or local bank, as provided in article 9 of Ley 6209. 13. That the defendants be ordered to pay all attorneys' fees and court costs.".-
  2. 2The defendants were duly served with the complaint, answered it in the negative, and raised the defense of lack of legal right (falta de derecho).-
  3. 3Licenciada Ana María López Retana, Fourth Civil Judge of San José, in a judgment rendered at sixteen hours on the twenty-first of June of two thousand and four, ruled: "...THEREFORE, in accordance with the foregoing and the cited articles, I RULE: The motion regarding untimely documents (incidente de documentos extemporáneos) is granted. The motion regarding new facts (incidente de hechos nuevos) is granted. The defense of lack of legal right is overruled. The ordinary action filed by ALUMIMUNDO, SOCIEDAD ANÓNIMA AGAINST USG CORPORATION, USG INTERIORS INC and USG INTERIORS INTERNATIONAL, INC. is partially granted. Accordingly, it is declared: a) That the appointment of a new distributor by the defendants constitutes just cause for termination of the relationship between the defendants and Alumimundo, Sociedad Anónima. b) The termination of the contract between the defendants and Alumimundo, Sociedad Anónima is declared with liability on the part of the former, for having violated legal and contractual obligations, constituting just cause for the termination of the exclusive distribution agreement. c) The rescission by unilateral revocation is declared, and the defendants must pay the damages and losses arising from their contractual breach to which the plaintiff is entitled as distributor and as representative, in accordance with what is stipulated in our Law N. 6209 in its article 2.Said indemnification shall be determined in the enforcement phase of the judgment, with the assistance of expert appraisal, to conclusively establish the sales of the products over which the plaintiff held exclusivity—namely USG-brand suspended ceilings and metal suspension systems—carried out during the last two years of the relationship, the gross profit generated thereby, and the corresponding indemnification as distributor, as well as the commissions earned as representative during the last four years of the contract and the corresponding indemnification, taking into account in both cases that the contract terminated on the eighth of November of two thousand and one. d) The defendants are ordered to pay statutory interest on the total value of the indemnifications, from the date the judgment determining them becomes final until the moment of their effective payment, calculated based on the legal rate at the time of the judgment determining them. e) The indemnifications must be paid in a single installment, immediately after the condemnatory judicial judgment becomes final.As to what was granted, the defense of lack of legal right raised by the condemned defendants is overruled. In all other respects not expressly granted, the action is dismissed, with the defense of lack of legal right sustained as to those claims. All court costs are charged to the defeated defendants.".-
  4. 4This Tribunal is hearing said judgment by virtue of appeals filed by both parties. The applicable procedural requirements have been observed throughout the proceedings.

The opinion is DRAFTED by Judge LEON OROZCO; AND,

CONSIDERING:

I.The ruling on the motion regarding untimely documents corresponds to what is provided by article 293 of the Código Procesal Civil, since it concerns supplementary evidence to rebut defenses raised by the defendant, and accordingly merits confirmation.

II.The motion regarding new facts filed by the plaintiff did not generate controversy, as it concerns a fact that occurred after the complaint and answer were filed, and its existence was admitted by both parties, such that it merits approval.

III.The facts listed as established, as well as the one found unproven, are a reflection of the evidentiary elements appearing in the record, and for that reason they shall be approved.

IV.The defendants' appeal is grounded on several bases. First, it alleges that there is an inconsistency between the established facts and the operative part (parte dispositiva) of the judgment, because the list of facts held as proven does not establish the existence of a representation agreement between the parties, yet the plaintiff is nonetheless granted compensation in its capacity as representative. The defendants add that the only fact in which this matter is referenced is the sixth, which states that Alumimundo announced itself in its advertising and external signs as a representative of USG, without the defendants objecting. The defendants argue that the plaintiff's self-declaration as a representative of USG did not confer upon it that legal status, and that the sole reason there was no opposition on their part is that the plaintiff's advertising and external signs were not subject to the defendants' prior approval.

The second ground of grievance raised by the defendants is the termination of the contract as a prerequisite for the indemnification provided under Ley 6209. The appellants maintain that the triggering condition for applying the "Ley de Protección al Representante de Casas Extranjeras," which the plaintiff invokes in this proceeding, is the termination of the contract between the domestic company (empresa nacional) and the foreign principal (casa extranjera), as clearly follows from articles 2, 3, 4, and 5 of the cited law—a condition that is not met in this case, since at the time the complaint was filed the commercial relationship between the parties was still in effect, a fact that the challenged judgment holds to be established. The defendants argue that when a ground for termination with liability on the part of the foreign principal arises, the domestic company has three options: to terminate the contract and demand payment of the corresponding indemnification, to accept the breach and continue the relationship without further action, or to seek judicial rescission of the contract.

If the first option is chosen, Ley N° 6209 comes into play; if the second is chosen, there is no termination of the contract and any breach is ratified by the failure to claim such termination; and if the third option is selected, the party must file the corresponding action and await the court's decision on rescission in the judgment. The defendants note that, although it appeared the plaintiff had opted for this last course of action, during the course of the proceedings it decided unilaterally to terminate the contract, as the plaintiff itself acknowledged in the motion regarding new facts filed on the eighth of November of two thousand and one. The defendants contend that by so doing, the plaintiff acted against its own claim, which thereby lost its justification. The third and final ground of disagreement raised by the defendants is the award of costs. They consider themselves entitled to exemption from the payment of costs, since, although the action was granted, it was only partially granted, with the claims for moral damages and the alleged investments being denied, as well as the claimed amount and the calculation formula used, with the obligation being declared in the abstract.

V.The plaintiff joined the appeal filed by the defendants, a request that was admitted by this Tribunal. Its objection concerns the rejection of the claim for additional damages (daños y perjuicios), specifically the rejection of compensation for investments made and for moral damages (daño moral). The plaintiff states that the universal principle is that full indemnification (indemnización plenaria) must be accepted when the harm exceeds the caps established by law and there are additional damages caused by willful misconduct (dolo); that in this case, the law does not establish the fixed statutory indemnification (indemnización tasada) as the sole remedy, and therefore it must be understood as a "minimum statutory indemnification (indemnización mínima tasada)." The plaintiff contends that there was willful misconduct on the part of the defendant, since the harmful conduct was voluntary and intentional.

With respect to the rejection of compensation for investments made, the plaintiff notes that this has traditionally been resolved in the manner adopted by the trial court judge (a quo), holding that such compensation is not authorized by Article 2 of the Ley de Protección al Representante de Casas Extranjeras and that the investments made form part of the costs the representative necessarily had to incur in order to earn the profits from its own activity. However, in the plaintiff's view, the law makes no such exclusion, so the admissibility of that compensation must be analyzed on a case-by-case basis, taking into account certain criteria—such as the extraordinary cost of outfitting facilities appropriate for the product being distributed—and it is not fair that the distributor or representative be indemnified solely through the payment of minimum statutory percentages, commissions, or gross revenue, especially in those cases where the representation is revoked shortly after it is granted.

Regarding the rejection of the claim for moral damages, the plaintiff is aware of the jurisprudential position holding that moral damages cannot be recognized in these cases because the legislature established specific parameters for setting the indemnification in its entirety. However, the plaintiff states its disagreement with that position, since when the foreign principal (casa extranjera) revokes the contract without just cause, as it did in this case, it may cause injury to the plaintiff's commercial reputation. The plaintiff asserts that in this case, the serious doubts generated among its clients by the unilateral termination of the contract—regarding the plaintiff's sound business performance—were duly proven. Finally, the plaintiff objects to the ruling regarding the moment from which interest should begin to accrue. The plaintiff asserts that granting interest from the time a judgment establishing a specific amount becomes final, as done in this case, is a way of encouraging the prolongation of proceedings by the obligors. In its view, interest should be recognized from the moment an abstract judgment of liability (condenatoria en abstracto) exists, since from that moment there is a recognition of the claimant's right.

VI.Appeal filed by the defendant (parte accionada). The first objection to the judgment under review concerns what the defendant calls an "inconsistency between the proven facts and the operative part (parte dispositiva) of the judgment." In reality, the law does not require such correspondence, since consistency (congruencia) in a judgment refers to the relationship that must exist between what the parties have requested and what the court has decided, but not between the facts deemed proven and what has been ruled upon; for even though in principle there should be concordance between the facts found to be established and what has been decided, if that were not so, it would not give rise to the nullity of the judgment—the proper course of action would instead be to reformulate the facts in the correct manner, in accordance with those effectively established within the proceedings. Furthermore, the appellant contends that the existence of the representation agreement on which the plaintiff bases its claim has not been proven.

Although the defendant denied that commercial relationship, there are two pieces of evidence assessed by the trial court judge that attest to that contractual relationship. Indeed, it was established that the plaintiff used advertising and distinctive signs (signos distintivos) that identified it as the defendant's representative, that the defendant was aware of that situation, and that it permitted it. The appellant replies on this point, arguing that there was no objection because the advertising used by the plaintiff was never submitted for prior approval. However, in this Tribunal's view, that is not a valid justification, since once the defendant became aware of those facts, it could have protested and required the plaintiff to remove the advertising and external signs identifying it as the defendant's representative to the general public; for if that situation were not accurate, the defendant should not have allowed it.

Furthermore, it is on record that the defendants paid commissions to the plaintiff for sales made by the defendants and in special projects—a payment that is only justified under a representation agreement and not a distribution agreement. The second issue raised by the defendants is that the contractual relationship between the parties had not concluded at the time these proceedings were initiated, a requirement that, in the defendants' view, is fundamental for the claim to be admissible. They argue that the fact that the plaintiff terminated the contract while these proceedings were underway is sufficient reason to dismiss the claim, which was thereby stripped of its basis. These arguments were analyzed in the appealed judgment and correctly rejected. Article 692 of the Civil Code governs breach (incumplimiento) in bilateral contracts, establishing the possibility for the non-breaching party to seek rescission (resolución) of the contract or to demand specific performance, and also to claim damages.

However, the general rule in our legal system is that the interested party must resort to judicial proceedings to have the breach declared. In this regard, Dr. Diego Baudrit states that "the determination of a material breach and the pronouncement of rescission is indispensable for the latter (referring to rescission) to take effect. It is from the time the judicial decision pronouncing rescission becomes final that rescission takes place, even though its effects may project back to the date of formation of the contract in the case of contracts of simultaneous performance." (BAUDRIT CARRILLO (Diego). Teoría General del Contrato, 3 edición. Editorial Juricentro. 1990, pp 102 y 103). This means that the plaintiff proceeded correctly by initiating these proceedings to have the rescission of the contract declared in light of the counterparty's breach, even though the contractual relationship continued.

And this did not ratify the defendant's wrongful conduct, as the defendant contends, since pursuant to Article 8 of the Ley de Protección al Representante de Casas Extranjeras, the plaintiff had a period of two years from the events giving rise to the breach to assert contractual liability, and it did so accordingly—which prevented the alleged ratification from occurring. The fact that the plaintiff subsequently, already in the course of these proceedings, decided to bring the exclusive distribution and representation agreement to an end for the reasons that gave rise to these proceedings, does not imply a waiver of the right to claim indemnification either, as the defendant interprets it, since the foreign principal's breach had already been brought before the courts and rescission of the contract had already been sought. The final grievance concerns the award of costs (condenatoria en costas).

The defendant argues that the award is not appropriate in this case because the plaintiff was denied two items of its claim: moral damages and the alleged investments made. This Tribunal considers that the ruling on this point must be upheld, since even though those items were denied, the claim was granted in its essential aspects; and if the amount of the indemnification was not fixed outright, this was solely because the record does not currently contain the bases necessary to make a correct determination.

VII.Appeal filed by the plaintiff: The plaintiff raises two grounds of grievance: the rejection of the claim for an additional indemnification to cover moral damages and investments made, and the starting point established for the accrual of interest. The appellant reiterates that the Ley de Protección al Representante de Casas Extranjeras does not establish the fixed statutory indemnification as the sole remedy, so it must be understood as a minimum statutory indemnification, and cites the Ley de Aviación Civil and the "Protocolo para la modificación de la Convención Internacional para la Unificación de Ciertas Reglas en Materia de Conocimientos" as examples of systems that establish a minimum statutory indemnification. The plaintiff also cites Resolution No. 105 of 2:20 p.m. on March 19, 2002, issued by this tribunal and section, in which it was held that:

"Article 2 of the Ley de Protección al Representante de Casas Extranjeras establishes precisely a statutory clause (cláusula legal) providing for the advance determination of damages, whose effect, like that of the statutory interest clause, is none other than to liquidate in advance the damages arising from a contractual breach. Thus, in the event of a culpable breach by the debtor, the creditor is entitled to demand payment of the amount set forth in that statutory provision, without needing to prove the quantum of the damages or the debtor's fault. However, if the creditor considers itself to have been affected in a greater amount, it may demand full reparation of all damages caused by the debtor's conduct, but to do so it must expressly allege and prove the existence of contractual willful misconduct (dolo contractual) and the amount of damages actually sustained. This follows from the application of the constitutional provision cited—Article 41—as well as the general principle of neminen laedere developed by Articles 701, 702, 704 and 1045 of the Civil Code.

It is clear that the legal system also sanctions the abuse of rights (Article 22 of the Civil Code), which is why the willfully defaulting debtor cannot benefit from the advance liquidation of damages, whether agreed upon through a penalty clause (cláusula penal) or provided for in a statutory clause." For the additional compensation (indemnización adicional) to be awarded, under the standard set forth, it must be alleged that the defaulting party engaged in willful conduct (conducta dolosa), and such behavior must be proven. In this case, the additional compensation being claimed is for moral damages (daño moral). However, the plaintiff company failed to prove that the defendant acted with willful intent, nor did it prove the existence of moral damages. Indeed, the appellant assumes that because the termination of the exclusive relationship (relación de exclusividad) was voluntary, this in itself implies willful conduct on the part of the foreign principal (casa extranjera), such that no additional proof is required.

That argument cannot be accepted, because contractual willful intent (dolo contractual) is not presumed; accepting such a presumption would lead to the conclusion that whenever the exclusive distribution or representation relationship is terminated at the will of the foreign principal, there is willful intent and therefore no additional proof is needed — which is absurd, because willful intent implies an intention to harm the other party, a malicious course of action, a deliberate scheme against the other contracting party with the purpose of causing damage to its patrimony, and none of that has been proven in this case. Given the absence of proof of willful intent, which is the threshold requirement for seeking additional compensation for damages, it is not possible to examine the claim for moral damages, and for those reasons the ruling below must be confirmed. The second ground of appeal concerns the rejection of the claim for payment of a reasonable percentage of the investments made by Alumimundo S.A. in anticipation of the stability of the legal relationship.

Article 3 of the Ley de Protección al Representantes de Casas Extranjeras provides that "when a representation, distribution, or manufacturing arrangement is terminated (cancelación), the represented foreign principal must purchase the stock (existencia) of its products from its representative, distributor, or manufacturer at a price that includes the costs of those products plus the reasonable percentage of the investment made by the latter. This percentage shall be determined by the Ministerio de Economía, Industria y Comercio." Under this provision, recognition of a percentage of the investment made is warranted only in those cases where, upon the termination of the commercial relationship, a remainder (remanente) of the foreign principal's products was left in the representative's, manufacturer's, or distributor's inventory, since the amount of the investment made is always factored into the calculation or setting of the product's price, so that if the product could not be sold, such recognition is owed.

But in cases such as the one under examination, where that situation did not arise — because no inventory of the defendant's products remained, or was reported to remain, in the plaintiff's warehouses (bodegas) — this means the investment was recovered through the sale of the product, and accordingly the claim is not warranted, and the ruling of the lower court must be confirmed. Finally, the plaintiff appeals the lower court's ruling on the issue of the starting point for the accrual of interest (réditos), arguing that interest should have been granted from the date on which the judgment became final rather than from the date on which the liquidated sum (suma líquida) is established. This grievance is not well-founded, since the approval of interest is only possible once a liquidated sum has already been determined, a condition not met in this case; and if that determination has not yet been made, this is the responsibility of the plaintiff, who failed to introduce into the court record adequate evidence that would have allowed the amount owed to be fixed in the judgment at this stage of the proceedings.

POR TANTO:

With respect to the matters appealed, the challenged judgment is confirmed.

Although I reach the same conclusion as my fellow members of the Court — that the judgment must be confirmed on the grounds that have been the subject of the appeal — I consider that the claim for additional compensation by the plaintiff must be rejected for reasons different from those set forth above. Article 2 of the Ley de Protección al Representante de Casas Extranjeras establishes, as the lower-court judge indicated, a fixed statutory compensation system (sistema legal tasado de indemnización) for the national representative, distributor, or manufacturer in the event that the contract is terminated for reasons beyond their control or is not renewed without justification after its expiration, such that under no circumstances is it possible to claim additional compensation. In this regard, the Second Section of this Court ruled, in judgment No. 32, issued at fourteen hours on the twenty-seventh of February two thousand and four, that "in order to avoid any dispute regarding the calculation of the respective compensation, a legal standard of reparation is established, which consists of imposing upon the responsible foreign principals a fixed compensation equivalent to four months of gross profit (utilidad bruta) for each year or fraction of the period of service, with a maximum of nine years of service, which would then be equivalent to 36 months of compensation.

In the case of distributors, the average gross profit over the last two years or fraction of the relationship shall be taken into account when determining the compensation, as provided in Article 2 of the Ley de Protección al Representante de Casas Extranjeras." This is not a minimum statutory compensation system, as interpreted by the appellant company, since the provision under discussion does not allow for the expansion being sought. Different is the scheme established by the Ley de Aviación Civil, with which the appellant attempts to draw a parallel. Article 256 of that law provides that "without prejudice to establishing, through legal means, greater compensation where appropriate, said companies or persons shall be liable for the equivalent of ...." Similarly, in the field of maritime law, Article 2-e of the Protocol Amending the International Convention for the Unification of Certain Rules of Law relating to Bills of Lading, cited by the appellant, provides that "neither the carrier nor the ship shall be entitled to the benefit of the limitation of liability provided for in this paragraph if it is proved that the damage resulted from an act or omission of the carrier done with intent to cause damage, or recklessly and with knowledge that damage would probably result." In both cases, these are special civil liability regimes that establish a minimum statutory system of reparation, as they expressly provide for the possibility of the interested party claiming greater compensation when the special circumstances — which must be proven by the claimant — so warrant.

The same is not true of the Ley de Protección a Representantes de Casas Extranjeras, which establishes a different system, as the law clearly sets forth a single statutory rate structure (sistema de tasación legal único) that does not permit expansion, as is evident from its wording.

N° N° 133 TRIBUNAL SEGUNDO CIVIL, SECCION PRIMERA.- San José a las diez horas veinte minutos del veintidós de abril de dos mil cinco.- En el proceso ORDINARIO establecido en el JUZGADO CUARTO CIVIL DE SAN JOSE bajo el número de expediente 00-002184-183-CI, por ALUMIMUNDO SOCIEDAD ANÓNIMA, representada por su apoderado generalísimo sin límite de suma [Nombre1] , mayor, casado, ingeniero, vecino de San José, cédula de residencia número CED1 contra USG CORPORATION, representada por [Nombre2] . y [Nombre3] . , y USG INTERIORS INC Y USG INTERIORS INTERNATIONAL INC. representadas por [Nombre4] . y [Nombre5] . .- Intervienen como apoderados especiales judiciales de la actora los licenciados Víctor Pérez Vargas, Carlos Alberto Ramírez Aguilar y Abraham Stern Feterman y de las demandadas los licenciados Carlos José Oreamuno Morera, Tomas Federico Guardia Echandi y Carlos Manuel Valverde Retana.-

RESULTANDO:

  1. 1La presente demanda cuya cuantía se fijó en la suma de un millón quinientos veintidós mil cuatrocientos cincuenta y dos dólares con noventa centavos, es para que en sentencia se declare: “...1. Se declare con lugar esta demanda en todos sus extremos. 2. Se declare que el nombramiento de un nuevo distribuidor por parte de LAS DEMANDADAS. constituye una causa justa de terminación de la relación entre las demandadas y ALUMIMUNDO S.A. 3. Se declare la terminación del contrato entre LAS DEMANDADAS y ALUMIMUNDO S.A. con responsabilidad a cargo de las primeras, por existir una violación a las obligaciones legales y contractuales, constitutiva de justa causa para la terminación del contrato de distribución exclusiva. 4. Se declare la resolución por revocación unilteral y que LAS DEMANDADAS deben pagar los daños y perjuicios derivados de su incumplimiento contractual, de conformidad con lo que estipula nuestra Ley.N. 6209- en su artículo 2 5. Se condene a las demandadas a pagar un porcentaje razonable de las inversiones que fueron hechas por ALUMIMUNDO S.A. en previsión de la estabilidad de la relación jurídica, en la suma de US $ 11.949.60 ( once mil novecientos cuarenta y nueve dólares con sesenta centavos de dólar) 6. Se condene a las demandadas a pagar los porcentajes legales a que nuestra representada tiene derecho de conformidad con lo que estipula nuestra Ley. N. 6209 en su artículo 2, como distribuidora. Suma que asciende a US $ 501.568.41 (quinientos un mil quinientos sesenta y ocho dólares con cuarenta y un centavos de dólar) 7. Se condene a las demandadas a pagar los porcentajes legales a que tiene derecho de conformidad con lo que estipula nuestra Ley. N. 6209 en su artículo 2, como representante. Suma que asciende a US $ 8.933.85 ( ocho mil novecientos treinta y tres dólares con ochenta y cinco centavos de dólar) 8.Se condene a las demandadas, en virtud de la forma intempestiva, injusta y de mala fe en que procedió a incumplir su deber de respetar la exclusividad, a pagar Daño Moral Objetivo, por haber causado un desprestigio y mancha en su reputación comercial, a favor de ALUMIMUNDO S.A. por la suma de US $[...] (un millón de dólares). 9. Se condene a las demandadas además, a pagar la indemnización que corresponda, tomándose en cuenta las variaciones en el valor del medio circulante y los índices inflacionarios a partir del fallo condenatorio y hasta su efectivo pago, la cual será determinada en ejecución de sentencia. 10. Se condene a las demandadas al pago de todos los daños y perjuicios que se continúen generando después de presentada esta demanda, en particular aquellos que, como resultado de sus actuaciones puedan incidir en la reputación, tanto de la empresa como de sus administradores y representantes. 11.Se condene a las demandadas, además, al pago de los intereses legales sobre el valor total de las indemnizaciones, hasta el momento de su efectivo pago, calculados con base en la tasa legal al momento de dictarse el fallo, intereses que se liquidarán en ejecución de sentencia. 12. Se declare que las indemnizaciones deben pagarse en un solo tracto, “inmediatamente cuando quede firme el fallo judicial condenatorio” y que todo pago deban hacerlo LAS DEMANDADAS, por medio de cheque certificado por un Banco de primer orden internacional o local, según lo dispuesto en el artículo 9 de la Ley 6209. 13. Se condene a las demandadas al pago de las costas personales y procesales.”.-
  2. 2Las accionadas fueron debidamente notificadas de la demanda y la contestaron negativamente e interpusieron la excepción de falta de derecho.-
  3. 3La licenciada Ana María López Retana, Juez Cuarto Civil de San José, en sentencia dictada a las dieciséis horas del veintiuno de junio del dos mil cuatro, resolvió: “...POR TANTO De conformidad con lo expuesto y artículos citados, FALLO: Se declara con el incidente de documentos extemporáneos. Se declara con lugar el incidente de hechos nuevos. Se rechaza la excepción de falta de derecho. Se declara parcialmente con lugar la demanda ordinaria establecida por ALUMIMUNDO, SOCIEDAD ANÓNIMA CONTRA USG CORPORATION USG INTERIORS INC y USG INTERIORS INTERNATIONAL, INC. En consecuencia se declara: a) Que el nombramiento de un nuevo distribuidor por parte de las demandadas, constituye una causa justa de terminación de la relación entre las demandadas y Alumimundo, Sociedad Anónima. b) Se declara la terminación del contrato entre las demandadas y Alumimundo, Sociedad Anónima con responsabilidad a cargo de las primeras, por existir una violación a las obligaciones legales y contractuales, constitutiva de justa causa para la terminación del contrato de distribución exclusiva. c) Se declara la resolución por revocación unilateral y que las demandadas deben pagar los daños y perjuicios derivados de su incumplimiento contractual, a que tiene derecho la actora como distribuidora y como representante, de conformidad con lo que estipula nuestra Ley.N. 6209 en su artículo 2. Dicha indemnización será fijada en la fase de ejecución del fallo, mediante auxilio pericial, determinándose fehacientemente las ventas de los productos sobre los que la actora tenía exclusividad, sea cielos suspendidos y suspensión metálica marca USG, efectuadas en los últimos dos años de la relación, la utilidad bruta generada por éstas y la indemnización respectiva como distribuidor, así como las comisiones devengadas como representante, durante los últimos cuatro años de vigencia del contrato y la indemnización respectiva, tomando en cuanta en ambos casos, que la terminación del contrato se dio en fecha ocho de noviembre de dos mil uno. d) Se condena a las demandadas al pago de los intereses legales sobre el valor total de las indemnizaciones, desde la firmeza del fallo que las determine y hasta el momento de su efectivo pago, calculados con base en la tasa legal al momento de dictarse el fallo que las determine. e) Las indemnizaciones deben pagarse en un solo tracto, inmediatamente después de que quede firme el fallo judicial condenatorio.En cuanto a lo concedido, se rechaza la excepción de falta de derecho opuesta por las accionadas condenadas. En todo lo demás que no fue concedido expresamente, se rechaza la demanda acogiendo en cuanto a ello la excepción de falta de derecho invocada. Son ambas costas del proceso a cargo de las accionadas vencidas.”.-
  4. 4De dicho fallo conoce este Tribunal en virtud de apelación interpuesta por ambas partes. En los procedimientos se han observado las prescripciones correspondientes.

REDACTA la Juez LEON OROZCO; Y,

CONSIDERANDO:

I.Lo resuelto sobre el incidente de documentos extemporáneos corresponde a lo dispuesto por el artículo 293 del Código Procesal Civil, ya que se trata de prueba complementaria para combatir excepciones opuesta por la accionada, y por consiguiente merece confirmación.

II.El incidente de hechos nuevos planteado por la actora no generó controversia, pues se trata de un hecho que ocurrió con posterioridad a la demanda y contestación y su existencia fue admitida por ambas partes, de manera que merece aprobación.

III.Los hechos enlistados como demostrados, así como el no probado, son reflejo de los elementos probatorios que aparecen en autos, y por esa razón deberán aprobarse.

IV.El recurso de la parte demandada se fundamenta en varios motivos. Alega en primer lugar, que existe incongruencia entre los hechos probados y la parte dispositiva del fallo, porque en la lista de hechos tenidos por demostrados no se tiene por acreditada la existencia de un contrato de representación entre las partes y, a pesar de ello, se le concede a la actora indemnización en su carácter de representante. Agrega que el único hecho en el que se hace referencia a este tema, es el sexto, en el que se indica que Alumimundo se anunciaba en su publicidad y en sus signos externos como representante de USG, sin que las accionadas protestaran. Señalan que la autoproclamación de la actora como representante de USG no le concedía esa condición jurídica y que la única razón por la que no hubo oposición de su parte, es porque la publicidad y signos externos de la actora no eran sometidos a aprobación previa de las demandadas.

El segundo motivo de agravio que exponen las accionadas es el de la terminación contractual como presupuesto de hecho para la indemnización prevista en la Ley 6209. Sostienen las apelantes, que el supuesto de hecho para aplicar la Ley de Protección al Representante de Casas Extranjeras, que en este proceso invoca la actora, es la terminación del contrato entre la casa nacional y la extranjera, según se deduce claramente de lo dispuesto por los artículos 2, 3, 4 y 5 de la citada ley, presupuesto que no se cumple en este caso, puesto que al momento en que se presentó la demanda, la relación comercial entre las partes, se encontraba vigente, hecho que tiene por establecido la sentencia impugnada. Sostiene que cuando se presenta una causal de terminación con responsabilidad para la casa extranjera, la empresa nacional tiene tres opciones: dar por terminado el contrato y exigir el pago de la indemnización correspondiente, aceptar el incumplimiento y continuar la relación sin mayor novedad o pedir la resolución judicial del contrato.

Si se opta por la primera alternativa, entra a funcionar la ley N° 6209, si se escoge la segunda, no hay terminación del contrato y cualquier incumplimiento se convalida ante el no reclamo de tal finalización, y si la seleccionada es la tercera posibilidad, debe interponer la demanda respectiva y esperar a que el juez, en sentencia, decida sobre la resolución. Refiere que a pesar de que pareciera que la actora se inclinó por esta última opción, en el transcurso del proceso, decidió en forma unilateral, dar por terminado el contrato, según lo reconoció ella misma, en el incidente de hechos nuevos, que presentó el día ocho de noviembre de dos mil uno. Entiende que con ese proceder, la actora atentó contra su propia pretensión, la que perdió razón de ser. El tercer y último motivo de inconformidad de la parte demandada es la condenatoria en costas. Consideran que son merecedoras de la exención en el pago de las costas, pues a pesar de que se declaró con lugar la demanda, ello se hizo en forma parcial, denegándose los rubros de daño moral y las supuestas inversiones y además se denegó el monto reclamado y la fórmula de cálculo utilizada, declarándose la obligación en abstracto.

V.La parte actora se adhirió al recurso de apelación planteado por las demandadas, solicitud que fue admitida por este Tribunal. Su inconformidad consiste en el rechazo del reclamo de daños y perjuicios adicionales, concretamente, el rechazo de la indemnización por la inversión realizada y del daño moral. Expresa que el principio universal, es que la indemnización plenaria debe aceptarse cuando el daño supera los topes establecidos por la ley y hay daños adicionales causados por dolo, que en este caso, la ley no establece la indemnización tasada como única, de manera que debe entenderse como “indemnización mínima tasada”. Sostiene que hubo dolo por parte de la demandada, pues la actuación dañosa fue voluntaria e intencional. Con respecto al rechazo de la indemnización por las inversiones realizadas, señalan que tradicionalmente se ha resuelto en la forma en que lo hace el a quo, indicando que esa indemnización no se encuentra autorizada por el artículo 2 de la Ley de Protección al Representante de Casas Extranjeras y que las inversiones efectuadas forman parte de los costos en los cuales necesariamente debió incurrir el representante para obtener las ganancias propias de su actividad.

Sin embargo, en criterio de la actora, la ley no hace tal exclusión, de manera que la procedencia de esa indemnización debe analizarse caso por caso, atendiendo a ciertos criterios, como el costo extraordinario para acondicionar instalaciones aptas para el objeto distribuido y no resulta justo que al distribuidor o representante se le indemnice solamente con el pago de porcentajes mínimos legales, de comisiones o de renta bruta, sobre todo en aquellos casos en que la representación es revocada al poco tiempo de otorgada. Sobre el rechazo del reclamo del pago de una indemnización por daño moral, se hace sabedora de la posición jurisprudencial que sostiene que no es posible reconocer el daño moral en estos casos porque el legislador estableció parámetros determinados para fijar la indemnización en un todo. Sin embargo, afirma no estar de acuerdo con esa tesis, pues cuando la casa extranjera revoca el contrato en forma intempestiva , como lo hizo en este caso, puede causar una lesión a la reputación mercantil.

Asegura que en este caso, fueron probadas las serias dudas que sobre su buena marcha, generó entre sus clientes, la terminación unilateral del contrato. Finalmente, protesta contra lo resuelto en cuanto al momento en que deben empezarse a computar los intereses. Asegura que otorgarlos a partir de la firmeza de la sentencia que establece un monto determinado, como se hace en este caso, es una manera de propiciar el alargamiento de los procesos por parte de los obligados. En su parecer, debe reconocerse el pago de los intereses a partir de que existe condenatoria en abstracto, pues desde ese momento hay un reconocimiento del derecho del reclamante.

VI.Recurso de apelación de la parte accionada. El primer reclamo contra la sentencia que se examina se refiere a lo que la accionada denomina “incongruencia entre los hechos probados y la parte dispositiva del fallo”. En realidad, la ley no exige tal correspondencia, puesto que la congruencia de la sentencia se refiere a la relación que debe existir entre lo pedido por las partes y lo decidido por el juzgador, pero no entre los hechos tenidos por demostrados y lo fallado, pues aunque en principio debe existir una concordancia entre los hechos que se tienen por demostrados y lo resuelto, si ello no fuere así, no daría lugar a la nulidad de la sentencia, sino, lo que procedería es reformular los hechos en la forma correcta, de acuerdo con los que efectivamente se hayan acreditado dentro del proceso. Por otra parte, afirma la apelante que no se ha demostrado la existencia del contrato de representación en el que la actora basa su reclamo.

A pesar de que la accionada negó esa relación comercial, existen dos elementos de prueba valorados por la juzgadora de instancia, que dan fe de esa relación contractual. En efecto, quedó demostrado que la actora utilizaba propaganda y signos distintivos que la identificaban como representante de la accionada, que ésta tenía conocimiento de esa situación y la permitió. Replica la parte apelante, sobre este punto, indicando que no hubo oposición porque la propaganda utilizada por la actora nunca fue sometida a su aprobación en forma previa. Sin embargo, en criterio de este Tribunal, esa no es una razón de justificación, puesto que en cuanto tuvo conocimiento de esos hechos, pudo haber protestado y obligado a la actora a retirar la propaganda y signos externos que la identificaban como su representante ante el público en general, pues si esa situación no era cierta, no la debió permitir. Además consta que las accionadas le pagaban comisiones a la actora por las ventas que ellas realizaran y en proyectos especiales, prestación que únicamente se justifica en el contrato de representación y no del distribución.

El segundo tema que exponen las accionadas es que la relación contractual que unía a las partes, no estaba concluida al momento en que se inició este proceso, requisito que a su parecer, es fundamental para la procedencia del reclamo. Aseguran que el hecho de que la actora haya dado por terminado el contrato estando en curso este proceso, es motivo suficiente para desestimar este reclamo, que quedó despojado de su razón de ser. Estos argumentos fueron analizados en la sentencia recurrida y correctamente rechazados. El artículo 692 del Código Civil regula el incumplimiento en contratos bilaterales, estableciendo la posibilidad para la parte no incumpliente de solicitar la resolución del contrato o exigir la ejecución forzosa de las prestaciones, y además, reclamar el pago de daños y perjuicios. Sin embargo, la regla general en nuestro sistema, es que el interesado debe acudir a la vía judicial para que se declare el incumplimiento.

En este sentido afirma el Dr. Diego Baudrit, que “la constatación del incumplimiento grave y el pronunciamiento de la resolución es indispensable para que esta (se refiere a la resolución) tenga efecto. Es a partir de la firmeza de la resolución judicial que pronuncie la resolución que ésta tiene lugar , aún cuando sus efectos se proyecten a la fecha de formación del contrato en el caso de los contratos de ejecución simultánea.” (BAUDRIT CARRILLO (Diego). Teoría General del Contrato, 3 edición. Editorial Juricentro. 1990, pp 102 y 103). Lo anterior significa que la parte actora procedió en forma correcta al interponer este proceso para que se declare la resolución del contrato, ante el incumplimiento de la contraparte, a pesar de que la relación contractual continuara. Y ello no convalidó el actuar incorrecto de la parte demandada, como lo entiende ésta, pues de acuerdo con el artículo 8 de la Ley de Protección al Representante de Casas Extranjeras, la actora tenía un plazo de dos años para exigir la responsabilidad contractual, contados a partir de los hechos que originaron el incumplimiento, y así lo hizo, lo que no permitió que se produjera la convalidación alegada.

El hecho de que posteriormente, ya en el curso de este proceso, la actora decidiera poner fin al contrato de distribución y representación exclusiva, por los motivos que dieron origen a este proceso, no implica tampoco una renuncia al derecho de reclamar la indemnización, como lo interpreta la parte demandada, puesto que ya estaba acusado ante los tribunales de justicia, el incumplimiento de la casa extranjera y se había solicitado la resolución del contrato. El último agravio se refiere a la condenatoria en costas. Estima que la condenatoria no procede en este caso porque a la actora se le denegaron dos extremos de la pretensión, a saber, el daño moral y las supuestas inversiones realizadas. Considera este Tribunal que lo resuelto en cuanto a este extremo debe mantenerse, pues si bien es cierto que se denegaron esos extremos, también lo es que la pretensión se acogió en lo fundamental y si no se fijó de una vez el monto de la indemnización, ello obedeció únicamente a que no existen en este momento en los autos, las bases necesarias para hacer una fijación correcta.

VII.Recurso de apelación de la parte actora: Los motivos de agravio de la parte actora son dos: el rechazo del reclamo de una indemnización adicional para cubrir los rubros de daño moral e inversiones realizadas y el punto de partida que se estableció para el cobro de intereses. Reitera la apelante que la Ley de Protección al Representante de Casas Extranjeras no establece la indemnización tasada como única, de manera que debe entenderse como una indemnización mínima tasada y cita la Ley de Aviación Civil y el “Protocolo para la modificación de la Convención Internacional para la Unificación de Ciertas Reglas en Materia de Conocimientos” como ejemplos de sistemas que fijan una indemnización mínima tasada. Además cita la resolución N° 105 de las catorce horas veinte minutos del diecinueve de marzo de dos mil dos, dictada por este tribunal y sección, en la que se sostuvo que:

“ el artículo 2 de la Ley de Protección al representante de casas Extranjeras , establece precisamente una cláusula legal de determinación anticipada de daños y perjuicios, cuyo efecto, al igual que el de la cláusula legal de intereses, no es sino liquidar preventivamente los daños y perjuicios derivados de un incumplimiento contractual. Así, ante el incumplimiento culposo del deudor, corresponde al acreedor exigir el resarcimiento del monto dispuesto en la citada disposición legal, sin necesidad de probar el quantum de los daños y perjuicios, ni la culpa del deudor. Sin embargo, si el acreedor se considera afectado en un monto mayor, puede exigir la reparación total de los daños y perjuicios ocasionados por el comportamiento del deudor, pero para ello deberá alegar expresamente y probar la existencia del dolo contracutal y el monto de los daños y perjuicios efectivamente producidos. Ello resulta de la aplicación del precepto constitucional citado, artículo 41, así como del principio general neminen laedere desarrollado por los artículos 701,702, 704 y 1045 del Código Civil.

Es claro que el ordenamiento jurídico sanciona además el abuso del derecho (artículo 22 del Código Civil), razón por la cual el deudor doloso no podrá verse beneficiado con la liquidación anticipada de daños y perjuicios, sea esta pactada mediante una cláusula penal o bien dispuesta en una cláusula legal “ Para que proceda la indemnización adicional, según el criterio expuesto, se requiere que se haya alegado la existencia de una conducta dolosa por parte del incumpliente y que se demuestre ese comportamiento. En este caso, la indemnización adicional que se cobra lo es por daño moral. Sin embargo, la sociedad actora no demostró que la accionada haya actuado en forma dolosa y tampoco demostró la existencia del daño moral. En efecto, asume la apelante que como el rompimiento de la relación de exclusividad fue voluntario, ello de por sí implica una actuación dolosa por parte de la casa extranjera, de manera que no se necesita prueba adicional.

Esa tesis no se puede aceptar, porque el dolo contractual no se presume, ya que ello conduciría a afirmar que siempre que se da el rompimiento de la relación de distribución o representación exclusiva por voluntad de la casa extranjera, hay dolo y entonces, no se necesitaría prueba adicional, lo que es absurdo, porque el dolo implica una intención de hacer daño a la contraparte, una actuación mal intencionada, una maquinación voluntaria en contra del otro contratante con la finalidad de causar un menoscabo en su patrimonio, y en este caso nada de eso se ha demostrado. Ante la carencia de prueba del dolo, que es el punto de partida para exigir una indemnización adicional del daño, no es posible examinar el daño moral que se reclama y por esas razones procede confirmar lo resuelto. El segundo extremo del recurso se refiere al rechazo del reclamo del pago de un porcentaje razonable de las inversiones que fueron hechas por Alumimundo S.A. en previsión de la estabilidad de la relación jurídica.

El artículo 3 de la Ley de Protección al Representantes de Casas Extranjeras, establece que “cuando se produzca la cancelación de una representación, distribución o fabricación, la casa extranjera representada deberá comprar la existencia de sus productos a su representante, distribuidor o fabricante, a un precio que incluya los costos de esos productos más el porcentaje razonable de la inversión que éste haya hecho. Este porcentaje que será determinado por el Ministerio de Economía, Industria y Comercio”. De acuerdo con ésta norma, el reconocimiento de un porcentaje de la inversión realizada procede únicamente en aquellos casos en los que al finalizar la relación comercial, en el inventario del representante, fabricante o distribuidor quedó un remanente de los productos de la casa extranjera, pues el monto de la inversión realizada, siempre se incluye dentro del cálculo o fijación del precio del producto, de manera que si el producto no pudo ser vendido, se le debe hacer tal reconocimiento.

Pero en casos como el que se analiza, en el que no sucedió esa situación, pues no quedó, o no se reportó que quedara en bodegas de la actora alguna existencia del producto de la demandada, eso significa que la inversión se recuperó al vender el producto, y por consiguiente no procede el reclamo, debiéndose confirmar lo resuelto por el a quo. Finalmente, apela la actora lo dispuesto en el fallo de instancia con relación al punto de partida de los intereses, indicando que éstos debieron concederse a partir de la firmeza del fallo y no a partir de que se fije la suma líquida. Ese agravio no es procedente, puesto que la aprobación de réditos únicamente es posible cuando ya se ha determinado la existencia de una suma líquida, requisito que no se cumple en este caso, y si esa fijación no se ha realizado hasta el momento, ello es responsabilidad de la parte actora, quien no hizo llegar a los autos prueba idónea que permitiera hacer la fijación del monto adeudado en la sentencia de esta etapa del proceso.

POR TANTO:

En lo apelado, se confirma la sentencia recurrida.

A pesar de que concluyo, al igual que mis compañeras de Tribunal, que la sentencia debe ser confirmada en los extremos en que ha sido objeto del recurso, considero que la indemnización adicional reclamada por la parte actora debe rechazarse por motivos distintos de los expuestos. El artículo 2 de la Ley de Protección al Representante de Casas Extranjeras establece, como lo indicó la señora jueza a quo, un sistema legal tasado de indemnización para el representante, distribuidor o fabricante nacional, en el caso de que el contrato se extinga por causas ajenas a su voluntad o no sea prorrogado después del vencimiento, en forma injustificada, de manera que no es posible, por ningún motivo, el reclamo de una indemnización adicional. En este sentido, se ha pronunciado la Sección Segunda de este Tribunal, cuando en la sentencia Nº 32 de las catorce horas del veintisiete de febrero de dos mil cuatro, estableció que “ para evitar cualquier discusión en cuanto a la fijación de las indemnizaciones respectivas, se establece un criterio legal de reparación, el cual consiste en imponer a las casas extranjeras responsables una indemnización fija correspondiente al equivalente de cuatro meses de utilidad bruta por cada año o fracción de tiempo de servicio, previéndose un máximo de nueve años de servicio, que equivaldría entonces a 36 meses de indemnización.

Tratándose de distribuidores , para fijar la indemnización se tomará en cuenta la utilidad bruta promedio de los últimos dos años o fracción de la relación, según los dispone el artículo 2 de la Ley de Protección al Representante de Casas Extranjeras.” Este no es un sistema legal de indemnización mínima, como lo interpreta la sociedad apelante, puesto que la norma de comentario no permite la ampliación que se pretende. Diferente es la regulación que establece la Ley de Aviación Civil , con la que el recurrente pretende establecer un paralelismo. El artículo 256 de la mencionada ley, señala que “ sin perjuicio de establecer por los medios legales una indemnización mayor cuando corresponda, dichas empresas o personas responderán por el equivalente a ....” De forma similar, en materia de derecho marítimo, el artículo 2-e del Protocolo para la modificación de la Convención Internacional para la Unificación de Ciertas Reglas en Materia de Conocimientos , que cita el apelante establece que “ ni el transportador ni el buque gozarán del derecho de beneficiarse de la limitación de la responsabilidad establecida por este parágrafo, si se prueba que el daño resultó de un acto o de una omisión del transportador hechos con la intención de provocar un daño o temerariamente y con conciencia de que podría producirse algún daño”.

En ambos casos, se trata de regímenes especiales de responsabilidad civil que establecen un sistema legal de reparación mínima, pues en forma expresa establecen la posibilidad de que el interesado reclame una indemnización mayor, cuando las circunstancias especiales, que deberán ser demostradas por el reclamante, así lo ameriten. No sucede lo mismo con la Ley de Protección a Representantes de Casas Extranjeras, en la que se establece un sistema distinto, pues la ley claramente señala un sistema de tasación legal único, que no permite la ampliación, según se desprende de su redacción.
