RES: 000810-F-04 FIRST CHAMBER OF THE SUPREME COURT OF JUSTICE. — San José, at ten o'clock in the morning on the seventeenth of September of the year two thousand and four.
Ordinary proceeding (proceso ordinario) established in the Fifth Civil Court of San José, brought by "YANBER SOCIEDAD ANÓNIMA," represented by its attorney-in-fact with unlimited power of attorney (apoderado generalísimo sin límite de suma) Samuel Yankelewitz Berger, chemical engineer; against "ALPHA MARATHON MFG. INC.," represented by its attorney-in-fact with unlimited power of attorney Alfredo Bentivoglio, engineer, passport EM 278471, resident of Ontario, Canada. The licensed attorneys Fernando Fallas Amador and Adrián Alberto Cordero Benavides appear as special judicial attorneys-in-fact (apoderados especiales judiciales) for the respective parties. The natural persons are of legal age, married, and, with the exceptions noted, are attorneys and residents of San José.
BACKGROUND
1°. — Based on the facts and legal provisions cited, the plaintiff's attorney filed a complaint valued at the sum of fifteen million colones, requesting that judgment be entered declaring: "... 1) That YANBER S.A. and ALPHA MARATHON MFG agreed upon a sale for the manufacture of a COMPLETE EXTRUSION LINE. 2) That said COMPLETE EXTRUSION LINE, pursuant to invoice #1102 ("DOCUMENT #3"), consisted of: 1 Marathon Extruder of 90 mm. diameter, 1 Manual Filter Changer, 1 10" diameter Extrusion Head, 1 10" Cooling Ring, 1 7.5 HP Air Blower, 1 64 TNE Pull Tower 64" wide, 1 Metal Extruder with rollers and guides, and 1 Double Surface Winder 64" wide. 3) That ALPHA MARATHON MFG failed to meet the technical specifications set forth in "QUOTATION # 0898 Rev B3," corresponding to "DOCUMENT #1" issued by ALPHA MARATHON MFG. 4) That ALPHA MARATHON MFG failed to meet the delivery deadline for the COMPLETE EXTRUSION LINE. 5) That the COMPLETE EXTRUSION LINE does not achieve the output promised by ALPHA MARATHON MFG. 6) That ALPHA MARATHON MFG sent the COMPLETE EXTRUSION LINE to Costa Rica incomplete. 7) That the COMPLETE EXTRUSION LINE has had and continues to have defective operation. 8) That to date the COMPLETE EXTRUSION LINE remains incomplete and in poor working order. 9) That as a result of the delay in delivery of the COMPLETE EXTRUSION LINE, YANBER S.A., during the period from February 14, 1993 to June 15, 1993, failed to produce 433,920 KILOGRAMS (four hundred thirty-three thousand nine hundred twenty kilograms) of polyethylene film, corresponding to an economic loss of Ë53,497,996.80 (fifty-three million four hundred ninety-seven thousand nine hundred ninety-six colones and eighty cents). 10) That as a result of the defective operation of the COMPLETE EXTRUSION LINE, YANBER S.A., during the period from August 1, 1993 to May 31, 1994, failed to produce 359,233 KILOGRAMS of polyethylene film, corresponding to an economic loss of Ë44,289,836.57 (forty-four million two hundred eighty-nine thousand eight hundred thirty-six colones and fifty-seven cents). 11) That as a result of the delay in delivery of the COMPLETE EXTRUSION LINE and its defective operation, ALPHA MARATHON MFG caused YANBER S.A. to fail to fill new orders for polyethylene film. 12) That ALPHA MARATHON MFG must pay YANBER S.A. for all economic losses in accordance with the amount indicated in the valuation of this complaint. 13) That the BILL OF EXCHANGE (Letra de Cambio) ("DOCUMENT #4") drawn to the order of COLORQUIM S.A. was drawn in favor of a non-existent legal entity. 14) That having conditioned payment within the BILL OF EXCHANGE itself, it ceased to be a BILL OF EXCHANGE. 15) That as a consequence of ceasing to be a BILL OF EXCHANGE, the enforcement route — summary enforcement proceeding (proceso sumario ejecutivo) — is inappropriate for collection of the BILL OF EXCHANGE. 16) That the attachments (embargos) ordered and executed in the enforcement proceeding (juicio ejecutivo) being handled in the Fourth Civil Court of San José, under judicial case number 1034-93, between Adrián Alberto Cordero Benavides (endorsee for judicial collection (endosatario para el cobro judicial)) and Yanber S.A., are improper and must be stayed and vacated. 17) That until ALPHA MARATHON MFG demonstrates that it has delivered the equipment sold to YANBER to YANBER's satisfaction, it shall have the right to collect the outstanding balance of the purchase price, corresponding to 20% and documented in the BILL OF EXCHANGE ("DOCUMENT #4"). 18) That in the event of opposition, the defendant party must pay and satisfy all personal and procedural costs (costas personales y procesales) of this complaint." (Sic).
2°. — The defendant company did not answer the complaint within the time period granted for that purpose, and therefore, by order issued at 16:05 hours on May 2, 1996, it was declared in default (rebelde) and the complaint was deemed answered affirmatively as to the facts.
3°. — At folios 413 to 414, and 485 to 486, the defendant raised the defenses of statute of limitations (prescripción) and/or lapse (caducidad). The plaintiff responded to the opportunity to be heard that was granted regarding those defenses, in the manner and terms set forth in the memorials at folios 416 to 422, and 524 to 526.
4°. — Judge Lic. Germán Valverde Vindas, in judgment N°144-01 rendered at 8:20 hours on September 11, 2001, ruled: "Based on articles 693 and following of the Civil Code, 450, 475, 727, 728 of the Commercial Code, and 153, 155, 165 and following and concordant provisions of the Code of Civil Procedure, the defense of res judicata (cosa juzgada), as well as the defense of statute of limitations and/or lapse grounded in article 450 of the Commercial Code, raised by the defendant, are rejected. The defense of statute of limitations grounded in article 984, paragraph e), of the Commercial Code is sustained as to the claims numbered one through twelve of the complaint. The defenses of lack of right (falta de derecho), lack of standing to sue (falta de legitimación activa), lack of standing to be sued (falta de legitimación pasiva), and lack of legal interest are sustained. The present ORDINARY PROCEEDING brought by YANBER SOCIEDAD ANÓNIMA against ALPHA MARATHON MFG INC. is declared WITHOUT MERIT in all its claims. Personal and procedural costs are charged to the plaintiff company." (Sic).
5°. — The plaintiff appealed, the defendant cross-appealed, and the Second Civil Tribunal, Second Section, composed of judges Alvaro Castro Carvajal, José Rodolfo León Díaz, and Juan Ramón Coronado Huertas, in judgment N° 274 rendered at 8:30 hours on August 22, 2003, ordered: "As to the appealed points, the challenged judgment is affirmed." 6°. — Lic. Fallas Amador, in his stated capacity, filed an appeal on points of law (recurso de casación) on the merits, alleging violation of articles 727, paragraph b), 728, and 984, paragraph e), of the Commercial Code, as well as article 222 of the Code of Civil Procedure.
7°. — The legal requirements have been observed throughout the proceedings. No defects or omissions capable of causing a violation of the right to a defense (indefensión) are noted.
The opinion is written by Justice Escoto Fernández; and,
WHEREAS
I.
In accordance with the statement of facts set forth in the complaint, on November 10, 1992, the defendant, Alpha Marathon Mfg. Inc., a company domiciled in Canada, provided the plaintiff, Yanber Sociedad Anónima, with quotation number 898 Rev B3 for the sale of two complete extrusion lines (líneas completas de extrusión) for single-layer marathon blown film, with a production output of 120 to 200 kilograms per hour, along with the additional specifications noted therein. It offered an FOB price of $538,000.00 in United States currency, payable as follows: 30% with the purchase order (orden de compra), 50% against shipping documentation, and 20% within 30 days after installation of the equipment. The delivery period was set at between 16 and 18 weeks from the purchase order and initial deposit. Based on the aforementioned quotation, the plaintiff company submitted a purchase order to the defendant, numbered AM-4167-92, but for only one complete extrusion line, together with its corresponding treater (tratadora).
For the former it set a price of $269,000.00 and $18,500.00 for the latter, and offered to pay the price as follows: 15% with the purchase order, 65% against shipping documentation, and the remaining 20% thirty days after installation of the machinery, once it had been tested to full satisfaction. Likewise, that the delivery period would be 14 weeks from November 13, 1992. The purchase order was delivered to Mr. José Domingo Oller López, a representative (personero) of Colorantes y Químicos de Centro América S.A., an intermediary company (empresa intermediadora) in Costa Rica between Yamber S.A. and Alpha Marathon Mfg. Inc. On June 11, 1993, the defendant company issued sales invoice (factura de venta) number 1102 in the name of the plaintiff, for a complete extrusion line and a treater, with the parts and additional specifications described therein. It set FOB, ex works prices of $269,000.00 for the extrusion line and $18,500.00 for the treater.
It set payment in three installments. The first, of 15%, had already been deposited upon submission of the purchase order; 65% was due against shipping documentation; and 20% thirty days after installation—eliminating the plaintiff's condition that payment would be due only upon acceptance to full satisfaction. June 11, 1993 was recorded as the shipping date, but not before the defendant had already received various verbal and written complaints from the plaintiff regarding the defendant's alleged breach of the agreed delivery date for the machine. Once Yanber S.A. had paid 80% of the price at the time the mechanical equipment was shipped from Canada, the defendant company requested that a bill of exchange (letra de cambio) be issued to secure payment of the outstanding balance. Accordingly, on June 28, 1993, the plaintiff company drew a bill of exchange, numbered 1102, drawn against itself, in the amount of $53,800.00, payable in San José on August 10, 1993, to the order of COLORQUIM S.A. On the reverse side of the negotiable instrument (título cambiario), Yanber S.A. added a note, signed by its legal representative, stating: "This bill of exchange shall be settled in accordance with the terms of note No. YSA 256-93 dated 28-06-93." The bill of exchange was prepared in its entirety by Mr.
Álvaro Hernández Rodríguez, an employee of the plaintiff company. The negotiable instrument (título valor) was delivered to Mr. Oller López on June 28, 1993, accompanied by a note identified as "No. YSA 256-93," the text of which reads: "Enclosed herewith we take the liberty of remitting to you original bill of exchange No. 1102 for $53,800 (fifty-three thousand eight hundred dollars), maturing on August 10, 1993, and our purchase order No. AM 416792. In accordance with the terms of the negotiation conducted with Alpha Marathon, the amount of the enclosed bill of exchange shall be settled once Yanber S.A. has received to full satisfaction the extrusion machine detailed in the aforementioned invoice." On July 5, 1993, Mr. Oller López endorsed the bill of exchange over to the defendant company. The extrusion line was received in June 1993, assembled between that month and the following August by a technician sent by the defendant company, and began operating at the end of that month.
The machine was shipped without a transformer and with incorrect guides. Additionally, Alpha Marathon Mfg. Inc. did not include the necessary electrical wiring, which consequently had to be paid for by Yanber S.A. On August 11, 1993, the extrusion line was started up in order to calibrate the rewinder (rebobinador) and observe actual power consumption in the different parts of the machine, during which everything proceeded normally and to the satisfaction of both parties. However, the following day (August 12), a problem arose with the laminating blade, which was not resolved until the end of the day. Three speed and production tests were then carried out and the corresponding reports were issued, with no specific difficulty noted in either respect. The lips of the die (dado) and the cooling ring (anillo de enfriamiento) remained to be examined. Subsequently, since the extrusion line appeared to exhibit deficiencies in the laminating blade system, incorrectly sized guides, operation at high temperatures, lack of uniformity in the gauge of the polyethylene films, insufficient structural rigidity of the tower, films affected by gels, inability to achieve adequate thickness in the polyethylene films, and excessive amperage in the transformer, the plaintiff company requested of the defendant on August 19, 1993, through Mr.
Oller López, the necessary corrections in order to obtain from the equipment the performance that had been promised and guaranteed. Meanwhile, on October 8, 1993, the defendant company endorsed the bill of exchange over to Attorney Adrián Alberto Cordero Benavides for collection through enforcement proceedings (proceso ejecutivo). These proceedings were conducted before the Juzgado Cuarto Civil de Mayor Cuantía of the city of San José, under expediente No. 1034-93, pursuant to which vehicles and bank accounts of Yanber S.A. would be attached (embargados). However, in response to the claims made by the plaintiff company, the president of the defendant company traveled to Costa Rica and, in addition to meeting with representatives of the plaintiff and Mr. Oller López, personally proceeded to inspect the extrusion line on November 5 and 6, 1993. After that, he returned to Canada and Alpha Marathon Mfg.
Inc. never sent the correct guides for the machinery, owing to Yanber S.A.'s refusal to pay the outstanding balance of the price. This led to the breakdown of relations between the parties. The enforcement action was served on Yanber S.A. on November 24, 1993 and was granted at the appellate level. For its part, the present ordinary action (demanda ordinaria) was filed before the court on August 4, 1994, with the defendant company not being served with process (emplazada) until December 16 of that same year. Furthermore, the extrusion line is currently still operating and in production. Likewise, it should be noted that no legal entity bearing the corporate name "COLORQUIM S.A." appears in the Sección Mercantil del Registro Público; however, Yanber S.A. always knew the company Colorantes y Químicos de Centroamérica S.A., represented by Mr. Oller López, by that name, which appeared in certain correspondence arising from that company's intermediary role with Alpha Marathon Mfg.
Inc., used as an acronym. The plaintiff company requested that judgment declare the defendant to be in breach of the sales contract entered into between the parties, having shipped the extrusion line late, incomplete, and with manufacturing defects, thereby causing the plaintiff damages in the form of lost profits (lucro cesante), for which it seeks compensation. It likewise requested that the bill of exchange be declared invalid for having been drawn in favor of a non-existent legal entity, and further that it be declared to have undergone desnaturalization (desnaturalización) by having been drawn subject to a condition, with the attachments (embargos) that were ordered and executed being annulled. It requests that the court declare that the defendant shall only be entitled to payment of the outstanding price balance once it demonstrates having delivered the equipment to the plaintiff's satisfaction.
It requested that the defendant be ordered to pay both attorney's fees and court costs (costas) in these proceedings. Alpha Marathon Mfg. Inc. filed its answer to the complaint out of time and was declared in default (rebelde), with the factual allegations in the complaint being deemed admitted. However, through an incidental motion (incidencia), it raised the defenses of statute of limitations (prescripción) and lapse (caducidad). In the trial court's judgment, the lapse defense was rejected and the statute of limitations defense was sustained. The complaint was dismissed in all its claims and the plaintiff was ordered to pay attorney's fees and court costs (costas personales y procesales) of the litigation. The appellate judgment (sentencia de alzada) affirmed that of the court below (a quo) in all respects.
II.The appellant alleged three grounds to quash the judgment of the court below on the merits. First, he charges a violation of Article 984(e) of the Commercial Code (Código de Comercio). In his view, the Tribunal improperly applied that provision to the incomplete delivery of the extrusion line (línea de extrusión) purchased from the defendant company, when Article 450 of the Commercial Code is the applicable provision in this specific case. In his view, under that latter provision, the prescriptive period (plazo prescriptivo) has not yet begun to run, because the appellant has been unable to test the complete extrusion line to its full satisfaction, in the manner regulated by the above-cited Article 450, due to the absence of certain components of the equipment. If what the provision requires is the counting of a three-month period from the delivery of the good, he argues, this must be understood as referring only to complete delivery, which has not yet occurred in the sub lite.
He regards Article 984(e) of the cited Code as a provision of general application, which is tacitly superseded, in this specific case, by the more specific character of Article 450 ibid. For that reason, he argues, Article 984(e) could not be applied to the detriment of the latter provision so as to draw a distinction that the statutory text itself omitted. He notes that the president of Alpha Marathon Mfg. Inc. came to the country on November 6, 1993, to attempt to resolve the machine's problems, offering, in his view, to send the correct guides, which he ultimately failed to do. Therefore, he maintains, November 7, 1993 cannot be taken as the starting date of the prescriptive period, since the day before had only just seen the proposal made, as the promised correct guides could not have entered the country in such a short time and a reasonable period had to be allowed for their arrival in Costa Rica.
But, he insists, in his view, the period to be applied is that contained in Article 450, which never began to run. Furthermore, he adds, in any event the claim would not be time-barred, even if Article 984(e) were accepted as applicable to this specific proceeding, because in his opinion his right would not have been foreclosed. If the complaint was filed on August 4, 1994, he reasons, it was filed within the prescriptive period as identified by the appellate judges. If there were delays in the service of the complaint (traslado de la demanda) and it could not be effected until December 16 of that year, this was due to judicial and consular procedures beyond its control. For that reason, he argues, the appellant cannot be penalized and have the right asserted at the commencement of this litigation treated as time-barred, because in justice and equity the effects of service should have been related back to the date on which the complaint was filed.
In his view, prescription is interrupted when the complaint is filed and the plaintiff (parte actora) completes the pending procedural steps to have the case file (expediente) ready for service of the complaint. But, he concludes, in any event this analysis is hypothetical, since if Article 954(e) of the Commercial Code had to be applied, the applicable provision would be Article 450 of that same body of law, as he indicated earlier.
Second, he charges a violation of Articles 727(b) and 728 of the Commercial Code, by giving legal effect to the bill of exchange (letra de cambio) collected by the defendant company in enforcement proceedings (proceso ejecutivo). In his view, with respect to that instrument, Article 727(b), cited above, is clear in requiring an unconditional order to pay a specified sum. However, he contends, this did not occur in the bill of exchange collected against it in enforcement proceedings, since the instrument contained the following notation: "Note: This bill of exchange shall be settled in accordance with the terms of note No. YSA 256-93 dated 28-06-93." He therefore asserts that this notation conditioned the instrument, which was thereby vitiated and, under Article 728 of the Commercial Code, lost its status as a negotiable instrument (título valor), making enforcement proceedings improper as a means of collection. Furthermore, it is evident that the representative in Costa Rica of the defendant company acquiesced, since he raised no objection when the bill of exchange — prepared by officers of Yanber S.A. — was handed to him, for otherwise he would have requested an instrument free of that condition.
Third, he identifies an infringement of Article 222 of the Code of Civil Procedure (Código Procesal Civil). He contends that he litigated in evident good faith and that, moreover, save for the prescription declared, the accuracy of the contractual breaches alleged by the appellant was recognized. Yet, despite this, the Tribunal ordered it to pay the court costs and attorney's fees (costas procesales y personales) of the litigation, when it should have exempted it from that obligation.
III.
Regarding the first ground of appeal, the alleged violation is a direct violation of the law arising from the improper application of Article 984, paragraph e, of the Commercial Code, to the exclusion of the applicable provision, namely Article 450 of the same Code, which was also violated by non-application. This latter article provides: "A buyer who, at the time of receiving goods, examines and tests them to his satisfaction shall have no right to bring a claim against the seller alleging a defect in quantity or quality. The buyer shall have the right to bring a claim against the seller on those grounds if he received the goods baled or packaged, provided that within the five days following receipt he notifies the seller or his representative in writing of any defect or flaw arising from force majeure (caso fortuito o fuerza mayor) or deterioration due to the inherent nature of the goods.
The seller may require that an inspection of quality and quantity be carried out at the time of delivery. Once such inspection has been conducted in the presence of the buyer or the person designated to receive the merchandise, if those parties declare themselves satisfied, no further claim shall be admissible. If the defects are hidden, the buyer must notify the seller or his representative in writing within ten days of delivery, unless otherwise agreed. The judicial action shall be barred three months from the date of delivery." (Emphasis not in the original.)
Payment, in its technical meaning, is the act by which obligations are fulfilled. Thus, if a person is bound to a specific performance by contract, quasi-contract, delict, or quasi-delict, the moment that person carries it out, he will have paid, with the attendant extinguishing effects on his status as debtor. However, in some instances the law provides that, despite payment having been made, it cannot produce its effects. In such a situation, the legal system provides for the action for recovery of payment (acción de repetir el pago). This consists of the possibility, for the creditor of the performance, of returning or compelling the debtor to accept back what was paid or its economic equivalent. Likewise, in the case of synallagmatic contracts (contratos sinalagmáticos), it consists of imposing on the other contracting party the duty to return the counter-performance received in exchange for the one returned by the party bringing the recovery action.
Costa Rican law contemplates this possibility in two cases. One, unrelated to the sub lite, arises when an undue payment (pago indebido) is made. Under Article 803 of the Civil Code, whoever fulfills a non-existent debt, where there is a lawful cause, has the right to compel the recipient to return what was delivered. The other, pertaining to the aforementioned Article 450 of the Commercial Code, occurs when the buyer receives the acquired goods under two distinct circumstances. The first is when the goods are delivered baled or packaged and, upon being opened, hidden defects (vicios ocultos) or a discrepancy with the agreed quantity or quality are found therein. In this case, the purchaser has five days after receiving the purchased goods to seek recovery from the seller—that is, to have the seller accept the return of what was delivered and treat the obligation to deliver the sold item as unfulfilled or unpaid.
The second hypothesis concerns redhibitory defects (vicios redhibitorios), whether or not conveyance (tradición) of the purchased item was made in packaged form, and must be asserted within ten days from the date of delivery or from the discovery of the hidden defect. In both cases, if the seller refuses to make restitution of what was paid, the buyer has the option of filing a lawsuit to compel such restitution, within a period of three months. Although the Commercial Code refers to that period as a prescriptive period (lapso prescriptivo), it is in reality a forfeiture period (caducidad), because it establishes no means by which it may be interrupted and merely imposes the burden of bringing the action within that three-month window.
Under Article 450 of the Commercial Code, the action for recovery of payment aims to eliminate the consequences, for the buyer, of having accepted the delivered goods. By not objecting to the conveyance, it could in principle be considered that the seller was released from his obligation to deliver the negotiated item. The action for recovery of payment operates as though, at the time conveyance was attempted, the buyer had objected to the handover on account of the defects found in what was acquired, thereby not releasing the seller from his debt, which consists of delivering the item that is the object of the legal transaction (negocio jurídico). However, it must be noted that what is regulated in Article 450 of the Commercial Code, concerning the action for recovery of payment, bears no relation whatsoever to the claim brought by Yanber S.A. in its complaint. Consequently, that legal provision would be inapplicable to its claims.
What the plaintiff is seeking is a declaration of breach of the agreed terms, protection under the exception of non-performance (excepción de contrato no cumplido) for as long as Alpha Marathon Mfg. Inc. does not satisfactorily carry out the agreed obligations, compensation for the economic losses suffered, and a declaration of unenforceability (inejecutabilidad) of a bill of exchange (letra de cambio). The appellant's error lies in assuming that Article 450 of the Commercial Code is the sole regulation governing hidden defects. As this Chamber has stated, depending on what the claimant seeks, there are three possible avenues. In Judgment No. 37 of 11:10 a.m. on May 28, 1993, it was held: "V.- For the correct resolution of this matter it is appropriate to clarify the legal implications of defects in the item that is the object of a contract of sale. In this regard, this Chamber has stated: 'The warranty against hidden defects (garantía de saneamiento o por vicios ocultos) is a natural effect of the contract of sale.
It refers to the seller's obligation to deliver the sold item and to ensure that it is fit to fulfill the function for which it is normally intended—that is, it must be delivered in good condition, free of defects that render it improper for or that materially affect its normal use. Regarding such defects, Article 1082 of the Civil Code provides: "A sale may not be annulled on account of hidden or redhibitory defects in the thing, unless those defects involve an error that voids consent, or unless there is a contrary stipulation." The article in effect establishes an action for relative nullity (acción de nulidad relativa) or voidability (anulabilidad), based on a defect of will: error. Such action is grounded jointly in the hidden defects and in the error. Although the sale cannot be annulled solely by reason of the existence of hidden defects—unless they also constitute an error that voids consent—the possibility of the seller's ordinary contractual liability always remains, as the seller has the obligation to deliver the item in such a way that it fully performs its normal function; such liability could give rise to compensation for damages and losses, depending on the nature of the breach.
If the seller delivers the item with a defect that renders it improper for its normal function or diminishes its value, he incurs a contractual breach, in accordance with Articles 692, 693, 701, 702, 704, and 764 of the Civil Code, the latter insofar as it provides that "payment shall be made in all respects in conformity with the terms of the obligation." It is an obligation implicit in every sale to deliver the item in the condition the buyer expects to receive it, in accordance with what was agreed (Articles 764 and 1022 ibídem).' (Sala Primera, Judgment No. 320 of 2:20 p.m. on November 9, 1990.) In addition to the foregoing, Article 450—read in conjunction with Article 467—both of the Commercial Code, establishes an action for recovery of payment on account of defects in the item that is the object of a commercial sale. There are therefore three possible actions arising from the same set of facts: defects in the item that is the object of the contract of sale.
The action for recovery of payment on account of hidden or redhibitory defects, as established in the penultimate paragraph of Article 450 of the Commercial Code; the action for annulment based on an error of will resulting from hidden or redhibitory defects, pursuant to Article 1082 of the Civil Code; and ordinary contractual liability derived from Article 692 of the Civil Code. In accordance with the aforementioned judgment, the latter two actions would be compatible with each other—not mutually exclusive—given their common premise: a defect in the item that diminishes its value or renders it unusable. However, they would not be compatible with the action for recovery of payment regulated by Article 450 of the Commercial Code, since, given the specialized nature of the subject matter, the rules contained therein apply to the exclusion of others when hidden or redhibitory defects are at issue in a commercial sale, as would be the case in the present matter." Accordingly, as established above, since there are three options for the buyer of an item with hidden defects, the applicable statute of limitations (prescripción) or forfeiture period will depend on each situation.
If recovery of what was paid is sought—which was not done in this litigation—a three-month forfeiture period will apply. If relative nullity, rescission, or specific performance of the contract is sought (the last of these being the relief sought by Yanber S.A.) and the agreement was entered into between businesses (pursuant to Article 438 of the Commercial Code), the statute of limitations established in Article 984, paragraph e, of the Commercial Code will apply, which sets a one-year period for: "Actions arising from wholesale and retail sales to other merchants or directly to the consumer." To that extent, Article 984, paragraph e, as cited, was correctly applied. Indeed, what the Tribunal set out in its considerando XX would be erroneous, since if the claims for hidden defects do not have as their substantive aim the recovery of payment, but rather—as in this case—compensation for losses and protection under the exception of non-performance, then, based on what has been set out in this considerando, the special period of Article 450 of the Commercial Code cannot apply; rather, the period established in Article 984, paragraph e, as mentioned, shall govern.
However, since that one-year period has elapsed, both those claims and the others falling under that provision are time-barred, making it unnecessary to modify the operative part of the second-instance judgment. Accordingly, the first ground of appeal regarding the non-application of Article 450 and the improper application of Article 984, paragraph e, both of the Commercial Code, shall be rejected.
IV.On a second point, still referring to the first ground of appeal, the appellant suggests that the statute of limitations (prescripción) was interrupted by the filing of the complaint. However, despite all the explanations given on this point, no mention was made of any provision of law that was violated by the Tribunal's ruling on this matter. Article 596, second paragraph, of the Code of Civil Procedure imposes on any party wishing to appeal in cassation the technical requirement of indicating, clearly and precisely, which rule of law was violated. Yet in this case, notwithstanding the arguments about when or whether the limitations period was interrupted, not even a single statutory provision was cited; the relevant provisions would have been those governing such interruption in commercial matters — for example, articles 977, 982, and 983 of the Code of Commerce. In light of this failure to satisfy the technical requirements imposed by the rules of civil procedure, the grievance concerning when the limitations period was interrupted will be denied.
In any event, the claim was clearly inadmissible, given the unequivocal terms in which Article 296 of the Code of Civil Procedure and Article 977, paragraph 1, of the Code of Commerce state that the limitations period is interrupted by service of process (emplazamiento) and not by the mere filing of the complaint. Furthermore, as set out in Considerando III, given the claims made in the complaint, Article 450 of the Code of Commerce was inapplicable to this proceeding. It is likewise unacceptable for the appellant to attempt to attribute the running of the limitations period to the judicial and consular authorities, when the appellant could herself have diligently interrupted it by availing herself of any of the methods set out in the aforementioned Article 977, for which she had no need of the public officials whose slowness she now criticizes. Accordingly, her claim is entirely without merit, and if the limitations period did run, this was not due to circumstances beyond her control, as she now attempts to argue.
V.With respect to the second ground of appeal, the appellant alleges infringement of Articles 727(b) and 728 of the Code of Commerce, inasmuch as validity and legal effect were recognized in favor of the bill of exchange (letra de cambio) enforced by the defendant in the summary enforcement proceeding (vía sumaria ejecutiva). According to the appellant in cassation, if COLORQUIM S.A. does not exist as a legal entity and the bill of exchange is subject to a condition, it could never have been judicially enforced. With respect to these arguments, the superior court found that, while certain defects in the negotiable instrument (título valor) might in principle be assumed, such defects cannot be given effect in order to prevent an antisocial exercise of rights. This conclusion rests on Articles 21 and 1023 of the Civil Code, given that bad faith was found in the conduct of Yanber S.A., whose own representatives drafted the bill of exchange and unilaterally introduced the condition upon which they now rely to argue unenforceability.
It was likewise those same representatives who abbreviated the name of Colorantes y Químicos de Centromérica S.A. and who now seek to deny the existence of that name. In any event, with respect to the condition invoked by the plaintiff company to challenge the validity of the negotiable instrument, the appellate court found it invalid pursuant to Article 681 of the Civil Code and, treating it as a nullity of an absolute nature, declared it void on its own motion in order to affirm the dismissal of the complaint. However, upon examination of what the appellant in cassation has set forth, no indication whatsoever is found of any violation with regard to the application of Articles 21, 681, and 1023 of the Civil Code, which were applied on a supplementary basis in this matter. In accordance with the principle of party disposition (principio dispositivo), this Chamber may only examine those violations of law that the appellant expressly identifies, save for any provision of law that expressly requires the Chamber to act on its own motion.
If the appellant failed to identify the infringed provisions and explain how they were violated, this Chamber cannot presume on her behalf which statutory provisions have been transgressed. Therefore, in the present case, since the Tribunal considered Articles 21, 681, and 1023 of the Civil Code applicable to the matter at hand — on the basis of which it rejected the substantive claims concerning the bill of exchange enforced by the defendant company — and the plaintiff company raised no error with respect to the application of those provisions, there is no basis for finding Articles 727(b) and 728 of the Code of Commerce to have been violated. In other words, since the application of the aforementioned Civil Code provisions was not successfully challenged — indeed, they were not even cited — it cannot be argued that the unenforceability of the bill of exchange should have been declared solely on the basis of the two articles invoked. Accordingly, the second ground of appeal must be rejected as incomplete.
VI.The third grievance raised by the appellant concerns an alleged error in the award of costs (costas). She alleges infringement of Article 222 of the Code of Civil Procedure on the ground that she is a litigant in good faith and therefore the beneficiary of an exemption that was not granted. Article 596, second paragraph, of the Code of Civil Procedure imposes on any party bringing a cassation appeal the procedural burden of identifying which rules of law were violated and explaining clearly and precisely how such infringement occurred. In other words, where a legal violation is alleged with respect to a specific legal institution, the moving party, in order to argue the point before this Chamber, must refer to the statutory provisions governing that institution and explain how the appellate court failed to observe them. In this matter, despite framing the grievance around the subject of costs, the appellant omits any analysis of Article 221 of the Code of Civil Procedure, which governs the imposition of such costs.
The appellant does not explain how that provision was violated — the very provision that served as the basis for the Tribunal's award of costs against her. Thus, Yanber S.A. confines itself to alleging a supposed failure to apply the provision establishing the exemption, while failing to state clearly and precisely the reasons for setting aside the provision that imposes costs on the losing party, which it did not even mention. Consequently, this grievance is incomplete and does not satisfy the requirements set out in Article 596 ibídem; this deficiency prevents the Chamber from examining the point and will result in the denial of the ground of appeal.
VII.In light of the foregoing analysis, the cassation appeal filed by Yanber S.A. is denied. Furthermore, pursuant to Article 611 of the Code of Civil Procedure, costs of the appeal shall be imposed upon that party.
POR TANTO
The appeal is declared without merit; with costs charged to the appellant.

RES: 000810-F-04 SALA PRIMERA DE LA CORTE SUPREMA DE JUSTICIA.- San José a las diez horas del diecisiete de setiembre del año dos mil cuatro.
Proceso ordinario establecido en el Juzgado Quinto Civil de San José, por “YANBER SOCIEDAD ANÓNIMA”, representada por su apoderado generalísimo sin límite de suma Samuel Yankelewitz Berger, ingeniero químico; contra “ALPHA MARATHON MFG. INC.”, representada por su apoderado generalísimo sin límite de suma Alfredo Bentivoglio, ingeniero, pasaporte EM 278471, vecino de Ontario, Canadá. Figuran como apoderados especiales judiciales de las partes, los licenciados Fernando Fallas Amador y Adrián Alberto Cordero Benavides, respectivamente. Las personas físicas son mayores de edad, casados y con las salvedades hechas abogados y vecinos de San José.
RESULTANDO
1°.- Con base en los hechos y disposiciones legales que citó, el apoderado de la actora estableció demanda cuya cuantía se fijó en la suma de quince millones de colones, a fin de que en sentencia se declare: “... 1) Que YANBER S.A. y ALPHA MARATHON MFG convinieron en una compraventa para la fabricación de una LINEA COMPLETA DE EXTRUSION. 2) Que dicha LINEA COMPLETA DE EXTRUSION, de acuerdo con la factura #1102 ("DOCUMENTO #3") estaba compuesta de: 1 Extrusora Marathon de 90 mm. de diámetro, 1 Cambia Filtro manual, 1 Cabezal de extrusión de 10" de diámetro, 1 Anillo de enfriamiento de 10", 1 Soplador de aire de 7.5 HP, 1 Torre de Tiro 64 TNE de 64" de ancho, 1 Extrusora metálica con rodillos y guías, y 1 Bobinadora doble de superficie 64" de ancho. 3) Que ALPHA MARATHON MFG incumplió con las especificaciones técnicas que constan en la "COTIZACION # 0898 Rev B3", correspondiente al "DOCUMENTO #1" emitido por ALPHA MARATHON MFG. 4) Que ALPHA MARATHON MFG incumplió el plazo de entrega de la LINEA COMPLETA DE EXTRUSION. 5) Que la LINEA COMPLETA DE EXTRUSION no da el rendimiento prometido por ALPHA MARATHON MFG. 6) Que ALPHA MARATHON MFG envió a Costa Rica la LINEA COMPLETA DE EXTRUSION incompleta. 7) Que la LINEA COMPLETA DE EXTRUSION tuvo y ha tenido un funcionamiento defectuoso. 8) Que hasta la fecha la LINEA COMPLETA DE EXTRUSION se encuentra incompleta y en mal funcionamiento. 9) Que con motivo del atraso en la entrega de la LINEA COMPLETA DE EXTRUSION, YANBER S.A. en el período que va del 14 de febrero de 1993 al 15 de junio de 1993, dejó de producir 433.920 KILOS (cuatrocientos treinta y tres mil novecientos veinte kilos) de películas de polietileno, correspondientes a un perjuicio económico de Ë53.497.996,80 (cincuenta y tres millones cuatrocientos noventa y siete mil novecientos noventa y seis colones con ochenta céntimos). 10) Que con motivo del mal funcionamiento de la LINEA COMPLETA DE EXTRUSION, YANBER S.A. en el período que va del 1 de agosto de 1993 al 31 de mayo de 1994, dejó de producir 359.233 KILOS de películas de polietileno, correspondientes a un perjuicio económico de Ë44.289.836,57 (cuarenta y cuatro millones doscientos ochenta y nueve mil ochocientos treinta y seis colones con cincuenta y siete céntimos). 11)Que con motivo del atraso en la entrega de la LINEA COMPLETA DE EXTRUSION y del mal funcionamiento de éste, ALPHA MARATHON MFG ocasionó a YANBER S.A. dejara de atender nuevos pedidos de películas de polietileno. 12) Que ALPHA MARATHON MFG debe pagar a YANBER S.A. todo el perjuicio económico de conformidad de conformidad con la cantidad que se indica en la estimación de esta demanda. 13) Que la LETRA DE CAMBIO ("DOCUMENTO #4") que se libró a la orden de COLORQUIM S.A., se libró a favor de un persona jurídica inexistente. 14) que al haber sido condicionado en la misma LETRA DE CAMBIO el pago de la misma, ésta dejó de ser LETRA DE CAMBIO. 15) Que como consecuencia de haber dejado de ser LETRA DE CAMBIO la vía ejecutiva -proceso sumario ejecutivo- es inapropiada para el cobro de la LETRA DE CAMBIO. 16) Que los embargos decretados y practicados en el juicio ejecutivo que se tramita en el Juzgado Cuarto Civil de San José, bajo el expediente judicial número 1034-93 de las partes Adrián Alberto Cordero Benavides (endosatario para el cobro judicial) contra Yanber S.A. son improcedentes y deben suspenderse y dejarse sin efecto. 17) Que hasta que ALPHA MARATHON MFG demuestre haber entregado el equipo vendido a YANBER, a satisfacción de ésta, tendrá derecho de cobrar el saldo de la compraventa, correspondiente al 20% y que se documentó en la LETRA DE CAMBIO ("DOCUMENTO #4"). 18) Que en caso de oposición la parte demandada debe pagar y cancelar todas las costas personales y procesales de esta demanda." (Sic).
2°.- La sociedad demandada no contestó la demanda dentro del plazo que al efecto se le confirió, por lo que en resolución de las 16:05 horas del 2 de mayo de 1996 se le declaró rebelde y se tuvo por contestada afirmativamente la demanda en cuanto a los hechos.
3°.- A folios 413 al 414; y 485 al 486, la demandada opuso las excepciones de prescripción y/o de caducidad. La actora contestó la audiencia que se le confirió sobre esas excepciones, en la forma y términos que constan en memoriales de folios 416 a 422, y 524 a 526.
4°.- El Juez, Lic. Germán Valverde Vindas, en sentencia N°144-01 de las 8:20 horas del 11 de setiembre del 2001, resolvió: “Con fundamento en los artículos 693 y siguientes del Código Civil, 450, 475, 727, 728 del Código de Comercio y 153, 155, 165 siguientes y concordantes del Código Procesal Civil, se rechaza la excepción de cosa juzgada, así como la excepción de prescripción y/o caducidad fundada en el artículo 450 del Código de Comercio, opuestas por la demandada. Se acoge la excepción de Prescripción fundada en el artículo 984 inciso e) del Código de Comercio, contra los extremos petitorios numerados del uno al doce de la demanda.- Se acogen las excepciones de falta de derecho, falta de legitimación activa y pasiva, falta de interés.- Se declara SIN LUGAR en todos sus extremos el presente proceso ORDINARIO establecido por YANBER SOCIEDAD ANÓNIMA contra ALPHA MARATHON MFG INC.- Son las costas personales y procesales a cargo de la sociedad actora." (Sic).
5°.- La parte actora apeló, la demandada se adhirió y el Tribunal Segundo Civil, Sección Segunda, integrado por los jueces Alvaro Castro Carvajal, José Rodolfo León Díaz y Juan Ramón Coronado Huertas en sentencia N° 274 de las 8:30 horas del 22 de agosto del 2003, dispuso: “En lo apelado se confirma la sentencia recurrida.” 6°.- El Lic. Fallas Amador, en su expresado carácter formula recurso de casación por el fondo. Alega violación de los numerales 727 inciso b), 728 y 984 inciso e) del Código de Comercio; además del artículo 222 del Código Procesal Civil.
7°.- En los procedimientos se han observado las prescripciones legales. No se notan defectos ni omisiones capaces de producir indefensión.
Redacta la Magistrada Escoto Fernández; y,
CONSIDERANDO
I.De conformidad con el elenco de hechos inserto en el escrito de demanda, con fecha 10 de noviembre de 1992 la demandada, Alpha Marathon Mfg. Inc., empresa domiciliada en Canadá, le cotizó a la actora, Yanber Sociedad Anónima, bajo la numeración 898 Rev B3, la venta de dos líneas completas de extrusión para película soplada marathon monocapa, para una producción de 120 a 200 kilogramos por hora, con las demás especificaciones ahí consignadas. Ofreció un precio FOB de $538.000,00, moneda de los Estados Unidos de América, pagadero de la siguiente forma: 30% con la orden de compra, 50% contra documentación de embarque y 20% en el plazo de 30 días después de la instalación del equipo. El plazo de entrega se fijó entre 16 y 18 semanas, a partir de la orden de compra y depósito inicial. Teniendo como base la cotización indicada, la empresa actora dirigió una orden de compra a la demandada, bajo la numeración AM-4167-92, pero solo por una línea completa de extrusión, con su respectiva tratadora.
Para la primera consignó un precio de $269.000,00 y de $18.500,00 para la segunda y ofreció pagar el precio de la forma siguiente: 15% con la orden de compra, 65% contra documentación de embarque y el 20% restante 30 días después de la instalación de la maquinaria, una vez probada a entera satisfacción. Asimismo, que el plazo de entrega sería de 14 semanas, a partir del 13 de noviembre de 1992. La orden de compra se entregó al señor José Domingo Oller López, personero de Colorantes y Químicos de Centro América S.A., empresa intermediadora en Costa Rica entre Yamber S.A. y Alpha Marathon Mfg. Inc. El 11 de junio de 1993, la compañía demandada emitió a nombre de la actora la factura de venta número 1102, respecto a una línea completa de extrusión y de una tratadora, con las partes y demás especificaciones descritas en la misma. Determinó como precios FOB, ex works, la suma de $269.000,00 por la línea de extrusión y $18.500,00 por la tratadora.
Fijó el pago en tres tractos. El inicial, de un 15%, ya depositado al enviarse la orden de compra; un 65%, contra la documentación de embarque y un 20% treinta días después de la instalación, eliminando la condición de la demandante, en el sentido de que sería a partir de su aceptación a entera satisfacción. Se consignó como fecha de embarque el 11 de junio de 1993, no sin antes haber recibido la demandada diversos reclamos verbales y escritos de la actora, por su presunto incumplimiento en cuanto a la fecha de entrega de la máquina, según lo pactado. Al haber cancelado Yanber S.A. el 80% del precio, cuando el equipo mecánico fue enviado desde Canadá, la empresa demandada solicitó la emisión de una letra de cambio, con la finalidad de garantizar el pago del saldo insoluto. De esa manera, el 28 de junio de 1993, la sociedad demandante libró una letra de cambio, numerada 1102, girada contra sí misma, por un monto de $53.800,00 y cuyo pago debería hacerse en San José, el 10 de agosto de 1993, a la orden de COLORQUIM S.A. En el reverso del título cambiario, Yanber S.A. introdujo una nota, firmada por su representante legal, donde se indicó: “Esta letra de cambio se cancelará de acuerdo con los términos de la nota No. YSA 256-93 de fecha 28-06-93”.
La letra, en su totalidad, fue confeccionada por el señor Álvaro Hernández Rodríguez, funcionario de la empresa actora. El título valor fue entregado al señor Oller López el 28 de junio de 1993, acompañado de una nota, identificada como “No. YSA 256-93”, cuyo texto dice: “Adjunto a la presente nos permitimos remitirle la letra original No. 1102 por $53800 (cincuenta y tres mil ochocientos dólares), con vencimiento al 10 de agosto de 1993 y nuestra orden de compra No. AM 416792. De conformidad con los términos de la negociación hecha con Alpha Marathon, el monto de la letra adjunta se cancelará una vez que Yanber S.A. haya recibido a entera satisfacción la máquina extrusora detallada en la citada factura”. En fecha 5 de julio de 1993, el señor Oller López endosó la letra de cambio a la compañía demandada. La línea de extrusión fue recibida en el mes de junio de 1993, se armó entre ese mes y el de agosto siguiente, por un técnico enviado por la empresa demandada, entrando a funcionar a finales de este último.
La máquina fue despachada sin transformador y con guías incorrectas. A la vez, Alpha Marathon Mfg. Inc. no incluyó el cableado eléctrico necesario, por lo cual debió ser costeado por Yanber S.A. El día 11 de agosto de 1993 se inauguró la línea de extrusión, con el fin de calibrar el rebobinador y observar el consumo efectivo en las diferentes partes de la máquina, ante lo cual todo transcurrió con normalidad y a satisfacción de las partes. Pero, al día siguiente (12 de agosto), se presentó un problema con la cuchilla de laminado, solamente superado hasta el final del día. Luego se realizaron tres pruebas de velocidad y producción, se emitieron los reportes respectivos, sin notarse en ellos dificultad específica alguna en cuanto a ambos puntos. Faltó por examinar los labios del dado y el anillo de enfriamiento. En forma ulterior, dado que en apariencia la línea de extrusión presentaba deficiencias en el sistema de cuchillas para laminar, tamaño incorrecto de guías, operación a altas temperaturas, falta de uniformidad en el calibre de las películas de polietileno, falta de solidez de la torre, películas afectadas por geles, imposibilidad de lograr un adecuado espesor en las películas de polietileno, así como el exceso de amperaje en el transformador, la compañía actora solicitó a la demandada, el 19 de agosto de 1993 a través del señor Oller López, las correcciones necesarias a fin de obtener del equipo el rendimiento prometido y garantizado.
Entre tanto, la sociedad demandada, en fecha 8 de octubre de 1993, endosó la letra de cambio al licenciado Adrián Alberto Cordero Benavides, a fin de cobrarla en proceso ejecutivo. Este se tramitó en el Juzgado Cuarto Civil de Mayor Cuantía de la ciudad de San José, bajo el expediente No. 1034-93, mediante el cual se embargarían vehículos y cuentas bancarias de Yanber S.A. Pero, ante los reclamos formulados por la empresa actora, arribó a Costa Rica el presidente de la sociedad demandada, quien, además de reunirse con personeros de la demandante y el señor Oller López, de manera personal procedió a revisar la línea de extrusión, en los días 5 y 6 de noviembre de 1993. Luego de ello, retornó a Canadá y Alpha Marathon Mfg. Inc. nunca envió las guías correctas de la maquinaria, ante la negativa de Yanber S.A. de cancelar el saldo pendiente del precio. Lo anterior llevó a la ruptura de relaciones entre las partes.
La demanda ejecutiva fue notificada a Yanber S.A. el 24 de noviembre de 1993 y se declaró con lugar en segunda instancia. Por su parte, la presente demanda ordinaria fue presentada en estrados, en fecha 4 de agosto de 1994, siendo emplazada la empresa demandada hasta el 16 de diciembre de ese mismo año. Además, en la actualidad la línea de extrusión se mantiene operando y en producción. Asimismo, debe ser acotada la ausencia en la Sección Mercantil del Registro Público de alguna persona jurídica cuya razón social sea “COLORQUIM S.A.”, pero Yanber S.A. siempre conoció con ese nombre a la empresa Colorantes y Químicos de Centroamérica S.A., representada por el señor Oller López, con quien tuvo comunicación en alguna correspondencia, a raíz de su intermediación con Alpha Marathon Mfg. Inc., con ese nombre, a manera de acrónimo. La empresa actora solicitó que en sentencia se declare a la demandada como incumplidora del contrato de venta suscrito entre las partes, al enviar la línea de extrusión de manera extemporánea, incompleta y con defectos de fábrica, lo que le ha causado un menoscabo por la pérdida del lucro cesante el cual pide se le resarza.
Asimismo, sea declarada la invalidez de la letra de cambio por haber sido librada a una persona jurídica inexistente y, también, se disponga su desnaturalización al haberse librado condicionada, anulándose los embargos decretados y practicados. Solicita se declare que la demandada solo tendrá derecho al pago del saldo del precio insoluto, una vez demuestre haberle entregado el equipo a su satisfacción. Pidió se le imponga a la demandada el pago de ambas costas de este proceso. Alpha Marathon Mfg. Inc. contestó extemporáneamente la demanda, siendo declarada rebelde y teniéndose por contestados los hechos de manera afirmativa. Pero, mediante incidencia, opuso las excepciones de prescripción y caducidad. En el fallo de primera instancia se rechazó la caducidad y se acogió la prescripción. Se declaró sin lugar la demanda en todos sus extremos y se condenó a la actora al pago de las costas personales y procesales de la lite. En la sentencia de alzada se confirmó la del a quo, en todos sus extremos.
II.El recurrente alegó tres cargos para casar la sentencia del ad quem por el fondo. Primero, acusa quebrantamiento del numeral 984 inciso e, del Código de Comercio. El Tribunal, en su criterio, aplicó indebidamente ese precepto al incumplimiento de la entrega completa de la línea de extrusión comprada a la sociedad demandada, siendo el ordinal 450 del Código de Comercio el aplicable al caso concreto. En su parecer, al tenor de esa última norma, el plazo prescriptivo aún no ha iniciado su cómputo, porque ha estado impedida de probar a entera satisfacción la línea completa de extrusión, en la manera regulada en el canon 450 de cita, ante la falta de algunos elementos del equipo. Si lo impuesto por la norma es contabilizar un plazo de tres meses a partir de la entrega del bien, considera, ello debe tomarse, solamente, como la entrega completa, algo no sucedido aún en el sub lite. Estima al numeral 984 inciso e, del Código citado como una norma de aplicación general, la cual se deroga de manera tácita, para el caso concreto, ante la especificidad del artículo 450 ibídem.
En razón de ello, opina, no podría emplearse en detrimento del segundo precepto y hacer una distinción omitida en el texto legal. Hace notar como el propio presidente de Alpha Marathon Mfg. Inc. vino al país a tratar de resolver los problemas de la máquina, el 6 de noviembre de 1993, ofreciendo, en su criterio, enviar las guías correctas, lo cual no llego a hacer. Entonces, conceptúa, no puede tomarse como inicio del plazo de la prescripción el 7 de noviembre de 1993, si apenas el día anterior se dio la propuesta, ya que en tan poco tiempo no podían ingresar las guías correctas prometidas y debía darse un plazo prudencial para la llegada de las mismas a Costa Rica. Pero, insiste, en su parecer, el plazo a aplicarse fue el contenido en el ordinal 450, el cual nunca comenzó a correr. Además, agrega, en todo caso no estaría prescrita la demanda, aún si se aceptara como procedente el numeral 984 inciso e, al caso específico de este proceso, pues en su opinión, no habría precluido su derecho.
Si la demanda se presentó el 4 de agosto de 1994, razona, fue dentro del plazo prescriptivo señalado por los jueces de alzada. Si hubo atrasos en la notificación del traslado de la demanda y no pudo efectuarse sino hasta el 16 de diciembre de ese año, se debió a trámites judiciales y consulares, ajenos a su voluntad. Por ese motivo, considera, no se le puede castigar y tener por prescrito el derecho pretendido al iniciar este litigio, porque en justicia y equidad se debieron retrotraer los efectos de la notificación a la fecha en la cual se presentó la demanda. En su concepto, se interrumpe la prescripción cuando se presenta la demanda y la parte actora realiza las gestiones pendientes para dejar el expediente listo a efectos de ser notificado el traslado de la misma. Pero, finaliza, en todo caso este análisis es hipotético, si se tuviera que aplicar el numeral 954 inciso e, del Código de Comercio, siendo el correspondiente el artículo 450 del mismo cuerpo normativo, como indicó con anterioridad.
Segundo, acusa violación de los ordinales 727 inciso b, y 728 del Código de Comercio, al darle eficacia a la letra de cambio cobrada por la empresa demandada en proceso ejecutivo. En su parecer, respecto de ese título cambiario, el numeral 727, inciso b, de cita es claro en requerir el mandato puro y simple de pagar determinada cantidad. Pero, estima, ello no ocurrió en la letra de cambio cobrada contra ella en la vía ejecutiva, ya que el título contenía la frase: “Nota: Esta letra de cambio se cancelará de acuerdo con los términos de la nota No. YSA 256-93 de fecha 28-06-93.” Por ello, asegura, esa leyenda vino a condicionar el título cambiario, el cual se desnaturalizó y, al tenor del artículo 728 del Código de Comercio, perdió su calidad de título valor, siendo improcedente el proceso ejecutivo para su cobro. Además, es claro como el representante en Costa Rica de la empresa demandada estuvo conforme, pues no formuló reclamo alguno cuando le fue entregada la letra de cambio, confeccionada por funcionarios de Yanber S.A., pues de lo contrario habría pedido un título cambiario sin esa condición.
Tercero, señala infracción del artículo 222 del Código Procesal Civil. Considera haber litigado con evidente buena fe e, incluso, salvo por la prescripción declarada, se estimó la certeza de los incumplimientos contractuales por ella acusados. Pero, a pesar de ello, el Tribunal le condenó a cubrir las costas procesales y personales del litigio, cuando debió haberla eximido del pago de estas.
III.En torno al primer agravio, lo acusado ha sido violación directa de la ley a partir de la indebida aplicación del ordinal 984 inciso e, del Código de Comercio, dejándose de lado el precepto correspondiente, cual es el numeral 450 del mismo Código, también violado por falta de aplicación. Este último artículo dispone: “El comprador que al tiempo de recibir la cosa la examina y prueba a satisfacción, no tendrá derecho para repetir contra el vendedor alegando vicio o defecto de cantidad o calidad.- El comprador tendrá derecho a repetir contra el vendedor por esos motivos, si hubiere recibido la cosa enfardada o embalada, siempre que dentro de los cinco días siguientes al de su recibo manifieste por escrito al vendedor o a su representante, vicio o defecto que proceda de caso fortuito o fuerza mayor o deterioro por la naturaleza misma de las cosas. El vendedor podrá exigir que en el acto de la entrega se haga un reconocimiento en cuanto a calidad y cantidad.
Hecho ese reconocimiento en presencia del comprador o de su encargado de recibir mercadería, si éstos se dan por satisfechos, no cabrá ulterior reclamo.- Si los vicios fueren ocultos, el comprador deberá denunciarlos por escrito al vendedor o su representante, dentro de los diez días a partir de la entrega, salvo pacto en contrario.- La acción judicial prescribirá en tres meses contados desde la entrega.”(El texto resaltado no es del original). El pago, en su significado técnico, es la acción mediante la cual se cumplen las obligaciones. De ese modo, si por contrato, cuasicontrato, delito o cuasidelito una persona está obligada a una prestación concreta, en el momento de llevarla a cabo, habrá pagado, con los efectos liberatorios que esto conllevaría a su condición de deudor. Pero, en algunas ocasiones la ley dispone que, a pesar de haberse realizado el pago, éste no puede surtir sus efectos.
En esa situación, el ordenamiento prevé la figura de la acción de repetir el pago. Esta consiste en la posibilidad, para el acreedor de la prestación, de devolver u obligar a su deudor a recibir de regreso lo pagado o su equivalencia económica. Asimismo, cuando se trate de contratos sinalagmáticos, de imponer al otro pactante el deber de retornar la contraprestación recibida a cambio de aquella regresada por quien ejercite la acción de repetición. La normativa costarricense contempla esa posibilidad en dos casos. Una, ajena al sub lite, cuando se da un pago indebido. Al tenor del artículo 803 del Código Civil, quien cumpla una deuda inexistente, cuando medie causa lícita, tiene la facultad de obligar a quien recibió el pago, devolver lo entregado. La otra, concerniente al invocado numeral 450 del Código de Comercio, ocurre cuando el comprador recibe los bienes adquiridos, en dos distintas circunstancias.
La primera, cuando se le entregan embalados o enfardados y, luego de ser abiertos, se encuentran en ellos vicios ocultos o una inexactitud con la cantidad o calidad pactada. Ante esto el adquiriente goza de cinco días, luego de recibir lo comprado, para pedir la repetición al vendedor, es decir, que éste permita la devolución de lo entregado y se tenga por no cumplida o pagada la obligación de dar la cosa vendida. La otra hipótesis se refiere a los vicios redhibitorios, se haya dado la tradición de la cosa comprada empacada o no, dentro de los diez días a partir de la entrega o del descubrimiento del vicio oculto. En ambos casos, si el vendedor se opone a repetir lo pagado, el comprador tiene la posibilidad de plantear una demanda, para exigírselo, dentro de un plazo de tres meses. Si bien el Código de Comercio habla en ese precepto de lapso prescriptivo, en realidad tal plazo es de caducidad, porque no establece forma alguna en la cual pueda ser interrumpido y sólo impone la carga de ejercer la acción dentro de ese trimestre.
En el ordinal 450 del Código de Comercio, la acción de repetir tiene como finalidad la disipación de las consecuencias, para el comprador, de haber aceptado la cosa entregada. Al no haberse opuesto a la tradición, con ello, en principio, podría considerarse que se liberó al vendedor de su prestación de dar el bien negociado. La repetición del pago viene a asimilarse como si, al intentarse la tradición, el comprador se hubiera opuesto a la entrega, debido a los vicios hallados en lo adquirido, con lo cual no libera al vendedor de su deuda, consistente en entregar el bien, objeto del negocio jurídico. Pero, debe notarse que lo regulado en el artículo 450 del Código de Comercio, concerniente a la acción para repetir el pago, en nada se relaciona con el reclamo formulado por Yanber S.A en su demanda. Por consiguiente, a su pretensión le sería inaplicable tal precepto legal. Lo reclamado por la actora es el incumplimiento de lo pactado, que se le tenga bajo el amparo de la excepción de contrato no cumplido mientras Alpha Marathon Mfg.
Inc. no realice, a satisfacción de la actora, las prestaciones pactadas y se le resarza por los menoscabos patrimoniales sufridos, así como la declaratoria de inejecutabilidad de una letra de cambio. El equívoco de la recurrente es suponer que ese numeral, 450 del Código de Comercio, sea la única regulación en torno a los vicios ocultos. Conforme lo señaló esta Sala, dependiendo de lo pretendido por quien entabla la demanda, las vías pueden ser tres. En la sentencia No. 37 de las 11 horas 10 minutos del 28 de mayo de 1993, se dispuso: “V.- Para la correcta solución de este asunto conviene aclarar las implicaciones jurídicas de los vicios o defectos en la cosa objeto del contrato de compraventa. Al respecto, esta Sala ha dicho: "la garantía de saneamiento o por vicios ocultos es un efecto natural del contrato de compraventa. Se refiere a la obligación del vendedor de entregar la cosa vendida y que ésta sea apta para cumplir con la función para la que normalmente está destinada, es decir, que debe entregar la cosa en buen estado, sin vicios o defectos que hagan impropio, o afecten notablemente su uso normal.
En cuanto a estos vicios, el artículo 1082 del Código Civil dispone: "La venta no podrá ser anulada por vicios o defectos ocultos de la cosa de los llamados redhibitorios, salvo si esos vicios o defectos envuelven error que anule el consentimiento, o si hay estipulación en contrario". El artículo establece en realidad una acción de nulidad relativa o anulabilidad, basada en un vicio de la voluntad: el error. Dicha acción se funda en los vicios ocultos y en el error, conjuntamente. Aunque la venta no puede ser anulada por la sola existencia de los vicios ocultos, -salvo que constituya, además, error que anule el consentimiento-, siempre queda la posibilidad de la responsabilidad contractual común del vendedor, quien tiene la obligación de entregar la cosa en forma tal que cumpla su función normal a cabalidad; responsabilidad que podría derivar en una indemnización por daños y perjuicios, según la naturaleza del incumplimiento.
Si el vendedor entrega la cosa con algún vicio o defecto que la haga impropia para su función normal o la desmejore, incurre en un incumplimiento contractual, de conformidad con los artículos 692, 693, 701, 702, 704 y 764 del Código Civil, este último en cuanto dispone que "el pago se hará bajo todos los aspectos conforme al tenor de la obligación". Es una obligación implícita en la compraventa el entregar la cosa tal y como el comprador espera recibirla, de conformidad con lo acordado (764 y 1022 ibídem)." (Sala Primera, Sentencia Nº 320 de las 14 horas 20 minutos del 9 de noviembre de 1990). Además de lo dicho, el artículo 450 -en relación con el 467- ambos del Código de Comercio, establece una acción de repetición por vicios o defectos en la cosa objeto de la compraventa mercantil. Se trata, por lo tanto, de tres posibles acciones nacidas de un mismo hecho: defectos de la cosa objeto del contrato de compraventa.
La acción de repetición por vicios ocultos o redhibitorios, tal y como lo establece el penúltimo párrafo del 450 del Código de Comercio, la acción de anulación por error en la voluntad como resultado de los vicios ocultos o redhibitorios, según el artículo 1082 del Código Civil y la responsabilidad contractual común derivada del artículo 692 del Código Civil. De conformidad con sentencia precitada, las dos últimas acciones serían compatibles -no excluyentes- entre sí dado el supuesto común: el defecto en la cosa desmejorándola o haciéndola inutilizable. Sin embargo, no lo serían respecto a la acción de repetición regulada por el artículo 450 del Código de Comercio, pues dada la especialidad de la materia se aplican las reglas allí contenidas con exclusión de otras cuando de vicios ocultos o redhibitorios se trata en el caso de la compraventa mercantil, como sería en el presente asunto.”.
Entonces, conforme a lo anterior, si existen tres opciones para el comprador de la cosa con vicios ocultos, dependerá de cada situación el plazo de prescripción o caducidad a aplicarse. Si se pide la repetición de lo pagado, lo cual no se hizo en este litigio, se aplicará un plazo de caducidad de tres meses. Si se pide la nulidad relativa, la resolución o la ejecución forzosa del contrato, (siendo ésta última hipótesis la pretendida por Yanber S.A.) y se trata de un convenio suscrito entre empresas (al tenor del ordinal 438 del Código de Comercio), se aplicará la prescripción dispuesta en el numeral 984 inciso e, del Código de Comercio, el cual establece un plazo anual para: “Las acciones derivadas de ventas al por mayor y al detalle a otros comerciantes o al consumidor directamente”. En ese tanto, fue bien aplicado el ordinal 984 inciso e, de cita. Más bien, lo expuesto por el Tribunal en su considerando XX estaría errado, pues si los reclamos por vicios ocultos no tienen como pretensión material el repetir el pago, sino, como en este caso, ser indemnizado y quedar bajo el amparo de la excepción de contrato no cumplido, a partir de lo expuesto en este considerando, no podrá aplicarse el plazo especial del artículo 450 del Código de Comercio, sino el establecido en el precepto 984 inciso e, mencionado.
Pero, dado que se cumplió ese lapso de un año, tanto esas pretensiones como las otras ajustadas a ese numeral, están prescritas, por lo cual es innecesario modificar la parte dispositiva del fallo de segunda instancia. Por consiguiente, se rechazará el primer cargo en cuanto a la falta de aplicación del 450 y empleo indebido del 984 inciso e, ambos del Código de Comercio.
IV.En un segundo orden de ideas, siempre referido al cargo primero, la recurrente sugiere que la prescripción quedó interrumpida con la interposición de la demanda. Mas, a pesar de todas las explicaciones dadas alrededor del punto, no se hizo mención al quebranto de norma alguna con lo dispuesto por el Tribunal en ese sentido. El artículo 596 párrafo segundo, del Código Procesal Civil, impone a quien desee recurrir en casación el requisito técnico de indicar, de manera clara y precisa, cuál ha sido la norma violentada. Pero, en este caso, pese a los alegatos de cuándo se interrumpió o no el plazo prescriptivo, ni siquiera se hizo mención a texto legal alguno, siendo que los pertinentes habrían sido los reguladores de esa interrupción en materia mercantil, verbigracia los ordinales 977, 982 y 983 del Código de Comercio. Ante ese incumplimiento de los requerimientos de técnica exigidos en la ley de rito civil, se denegará el agravio atinente a cuando se interrumpió la prescripción.
En todo caso, el reclamo era improcedente a todas luces, dada la forma contundente en el cual los artículos 296 del Código Procesal Civil y 977 inciso 1, del Código de Comercio, indican que la prescripción se interrumpe con el emplazamiento y no con la interposición de la demanda. Además, conforme se inaplicable el ordinal 450 del Código de Comercio a este proceso. Asimismo, es inaceptable que la recurrente trate de cargar el cumplimiento de la prescripción a las autoridades judiciales y consulares, cuando de manera diligente la pudo haber interrumpido ella misma, con cualquiera de las señaladas en el canon 977 mencionado, para lo cual no necesitaba de los funcionarios públicos a quienes reprocha su lentitud. Entonces, su reclamo carece de todo fundamento y si se cumplió la prescripción, ello no fue por razones ajenas a su voluntad, como ahora pretende hacerlo ver.
V.En lo concerniente al reproche segundo, se alegan infringidos los artículos 727 inciso b, y 728 del Código de Comercio, en el tanto se le concedió validez y eficacia a la letra de cambio ejecutada por la demandada en la vía sumaria ejecutiva. Según la casacionista, si COLORQUIM S.A. no existe como persona jurídica y la letra de cambio está condicionada, esta nunca pudo haber sido ejecutada en el ámbito judicial. Respecto de estos asegura el superior que, aunque en principio podrían suponerse yerros en el título valor, lo cierto es que ello no puede ser dispuesto, en aras de evitar un ejercicio antisocial del derecho. Lo anterior en aplicación de los numerales 21 y 1023 del Código Civil, pues se encontró mala fe en la actuación de Yanber S.A., cuyos propios personeros redactaron la letra e introdujeron, unilateralmente, la condición, sobre la cual ahora alegan inejecutividad. También, fueron estos mismos quienes abreviaron el nombre de Colorantes y Químicos de Centromérica S.A. y ahora pretenden desconocer la existencia de ese nombre.
En todo caso, respecto de la condición a la cual se aferra la empresa actora para atacar la bondad del título valor, el ad quem la consideró inválida, al tenor del precepto 681 del Código Civil y, por tratarse de nulidad absoluta, la tuvo así de oficio, a fin de confirmar el rechazo de la demanda. Pero, analizado lo expuesto por el casacionista, no se aprecia indicación alguna sobre un quebranto en torno a la aplicación de esos artículos 21, 681 y 1023 del Código Civil; aplicados de manera supletoria en este asunto. De conformidad con el principio dispositivo, esta Sala solo puede entrar a analizar las violaciones de ley que, en forma expresa, señale quien recurra salvo norma legal expresa que la imponga de oficio. Si la casacionista fue omisa en señalar la normativa infringida y explicar cómo se vulneró la misma, la Sala no puede entrar a suponer por ella cuáles disposiciones legales han sido quebrantadas.
Por ello, en el caso concreto, si el Tribunal consideró que eran aplicables al sub lite los ordinales 21, 681 y 1023 del Código Civil, con fundamento en los cuales se basó para rechazar las pretensiones materiales concernientes a la letra de cambio ejecutada por la sociedad demandada; y la empresa actora no refiere yerro alguno respecto del empleo de esos preceptos, ningún motivo hay para determinar violados los numerales 727 inciso b, y 728 del Código de Comercio. En otras palabras, si no se logró desvirtuar la aplicación de los preceptos mencionados del Código Civil, porque ni siquiera se citaron, no se puede reprochar que no se declarara la inejecutabilidad de la letra de cambio al tenor de los únicos dos numerales descritos. Entonces, el cargo segundo deberá ser rechazado, dado su carácter incompleto.
VI.El tercer agravio expuesto por la recurrente, gira en torno a un supuesto yerro en la condenatoria en costas. Alega infringido el numeral 222 del Código Procesal Civil, por considerarse litigante de buena fe y, por ende, destinataria de una exención no dispuesta. El artículo 596 párrafo segundo, del Código Procesal Civil impone, a quien acuda a casación, la carga procesal de señalar cuáles han sido las normas violadas y explicar cómo ha acaecido tal infracción, de una manera clara y precisa. En otras palabras, si se alega quebranto legal alrededor de un instituto jurídico específico, para debatir el punto ante la Sala, el gestionante deberá aludir a las normas reguladoras del mismo y exponer de qué manera han sido inobservadas por el ad quem. En este asunto, pese a referir su agravio a la materia de costas, se omite todo análisis sobre el artículo 221 del Código Procesal Civil, el cual dispone lo pertinente a su condena.
No dilucida la recurrente cómo se vulneró ese numeral, mismo que fue el fundamento de la imposición de costas en su contra, prohijada por el Tribunal. Entonces, Yanber S.A. se limita a acusar una supuesta falta de aplicación de la norma que establece la exención, pero no es clara ni precisa en apuntar las razones para desestimar el empleo de aquella que impone la condena a la parte vencida, a la cual, ni siquiera, hizo alusión. En consecuencia, su agravio es incompleto y falta a los requerimientos reglados en el ordinal 596 ibídem; esa inobservancia impide a la Sala entrar a conocer del punto y conllevará a la denegatoria del cargo.
VII.De conformidad con lo analizado, se rechaza el recurso de casación interpuesto por Yanber S.A. Asimismo, en atención al numeral 611 del Código Procesal Civil, se le impondrá a esta el pago de las costas del mismo.
POR TANTO
Se declara sin lugar el recurso; con sus costas a cargo del recurrente.
