No. 119 SALA PRIMERA DE LA CORTE SUPREMA DE JUSTICIA. San José, at fourteen hours thirty minutes on the twentieth of October, nineteen ninety-five.
Mortgage foreclosure proceeding (proceso ejecutivo hipotecario) filed in the Juzgado Segundo Civil of this city by "Inversiones Comebk S.A.", represented by its attorneys-in-fact (apoderados), Mr. Edwin Méndez Mata, businessman, and Lic. Oscar Bejarano Coto; against "Torrecafé S.A.", represented by its court-appointed curators (curadores), Licdos. Gisberto Miguel Wauters Vargas and Hugo Alberto Pórter Laitano. All parties are adults, married, and, with the noted exception, attorneys residing in this city.
BACKGROUND:
1°.- Based on the facts set forth and the legal provisions cited, the plaintiff initiated a mortgage foreclosure proceeding to auction the property (finca) of the Partido de Cartago, registration number (matrícula) Placa36147, on the basis of a first-rank mortgage bond (cédula hipotecaria) in the amount of ¢CED140122, endorsed in its favor by the defendant.
2°.- Lic. Pórter Laitano, in his stated capacity, filed a prescription plea (incidente de prescripción) regarding the mortgage bonds underlying the enforcement action, on the grounds that more than ten years had elapsed since the payment due date without any interrupting circumstances having occurred.
3°.- The plaintiff was given an opportunity to respond to said motion (articulación), and it replied in the negative.
4°.- The then-Acting Judge (Actuario), Lic. Henry Alpízar Rojas, in an interlocutory judgment (auto sentencia) issued at 16:00 hours on June 13, 1994, ruled: "The lapse plea (incidente de caducidad) regarding the mortgage bonds is denied; the prescription plea is granted, and accordingly the mortgage bonds underlying this proceeding are declared prescribed. Resolved without a special award of costs...". In support thereof, Actuario Alpízar reasoned as follows: "I.- Proven facts: The following are considered relevant: a).- Nombre188315 Sociedad Anónima, on the eleventh of January of nineteen eighty-four, issued two mortgage bonds endorsed in favor of Inversiones Comebk Sociedad Anónima in the amount of two hundred fifty thousand dollars each (see the two mortgage bonds in the envelope in the safekeeping of this Court). b).- Said bonds are secured by the property of the Partido de Cartago, number Dirección21642, with a maturity date of June first, nineteen eighty-three (see same mortgage bonds). c).- The representatives of the defendant company appointed Hugo Pórter Laitano and Gisberto Wauters Vargas as its representatives due to the lack thereof, and they appeared before the Court to accept and swear the appointment (see folios 46, 82 to 85). d).- The representative of the defendant company was not served notice of the filing of the complaint until the fourteenth of July of nineteen ninety-three (see notification record at folio 353).
II.- On the merits: With respect to a mortgage bond, if more than ten years have elapsed since the payment due date, the bond shall produce no effects after that date to the detriment of third parties, provided that the Registry does not reflect a collection action or acknowledgment of the debt or any other interruption of prescription, and the registrar, upon registering new instruments relating to the property, shall disregard such encumbrance (artículo CED140121, , ). In the present case, the mortgage bonds were issued on the eleventh of January of nineteen eighty-four, stipulating that they were payable from June first, nineteen eighty-three — meaning they prescribed on June first, nineteen ninety-three. On the sixth of July of nineteen ninety-three, an attachment decree was marginally noted against the securing property; however, this occurred after the ten-year period and applied only as against third parties, not in this proceeding, where interruption of prescription is governed by article 977 of the Código de Comercio.
Having stated the foregoing, the representative of the defendant company was served notice of the filing of the complaint on the fourteenth of July of nineteen ninety-three — that is, after June first, nineteen ninety-three, the date on which the bonds had already prescribed. The argument advanced by the party that bonds do not prescribe between the same contracting parties has no legal basis, because prescription of a document cannot be left to the discretion of the parties; rather, as in this case, the law assigns a fixed period, which is ten years. It is also noted that in this proceeding every manner of motion has been filed and the case was stayed due to an action of unconstitutionality; however, it is equally true that the representatives designated at the shareholders' meeting to represent the interests of the defendant company were not served notice through the inaction of the party — note that at folio 239 verso, the Court's process server on the thirtieth of January of nineteen eighty-nine indicated that in order to serve the representatives with notice of all procedural acts, certain missing copies had to be provided, and this was complied with only after the bonds had already prescribed.
Accordingly, the prescription defense is well taken; the lapse defense is denied, since what operates here is prescription and not lapse (sic). As for costs, the matter is resolved without a special award, given all that has arisen in the proceeding." 5°.- Both parties appealed, and the Tribunal Superior Primero Civil, composed of Judges Olman Arguedas Salazar, Gerardo Rojas Schmit, and Gerardo Parajeles Vindas, in an interlocutory judgment issued at 8:35 hours on October 26, 1994, ruled: "On the matters that were the subject of appeal, the appealed ruling is reversed, and in its place the prescription plea filed by the representative of the defendant party is denied, with procedural costs assessed against the latter. The Tribunal grounded its ruling in the following considerations drafted by Judge Arguedas: "I.- The set of proven facts (elenco de hechos probados) is approved. II.- This is a mortgage-bond foreclosure proceeding in which the defendant Nombre188315 lacked legal representation (acéfala) and the Court therefore proceeded to appoint legal representatives, as shown at folios 46, 82, and 84.
The court that originally heard the matter was the Juzgado Tercero Civil of this city, but it transferred the file to the Juzgado Segundo Civil because it had declared the bankruptcy of Beneficiadora Cachí S.A. This was ordered in the ruling of eight o'clock on the first of September of nineteen eighty-seven, found at folio 29 recto and verso. That ruling was appealed, but the motion was rejected for lack of standing (personería), which is why the Juzgado Segundo Civil continued to hear the case. Now is not the time to determine whether that ruling was correct or not, as it has become final and revisiting that point could give rise to procedural complications that must be avoided. III.- This Tribunal now considers the prescription plea filed by Lic. Pórter Laitano, one of the defendant's representatives appointed by the court below. The defendant's representatives were served notice on the fourteenth of July of nineteen ninety-three, as shown at folio 353.
It is clear that the notification record refers only to the preceding ruling — that is, the one issued at fourteen hours twenty minutes on the second of July of nineteen ninety-three, found at folio 352 — and if one of the representatives, the aforementioned Lic. Pórter Laitano, filed this plea affecting the merits of the matter, it is because he is aware of what was decided and for that reason appeared by way of the motion now under consideration. Otherwise, he would not have filed this prescription plea. Consequently, notwithstanding the notation found at folio 239 verso regarding the missing copies required for service of notice, the conduct of the said representative, it bears repeating, permits application of the rule contained in article 183 of the Código Procesal Civil, since the file contains many prior motions by the said representatives dating from the time they accepted the appointment apud acta, which demonstrates their awareness of this case.
Artículo 183 del Código Procesal Civil. IV.- The mortgage bonds matured on June first, nineteen eighty-three, and their prescription would have run on June first, nineteen ninety-three, had it not been for the appearance of the defendant's representatives, which occurred on the first of March of nineteen eighty-eight, thereby demonstrating their knowledge of the complaint and interrupting prescription in accordance with article 296, paragraph a) of the Código Procesal Civil. Thereafter, all collection actions took the form of properly notified auction settings, as occurred with the motion filed on the twenty-third of June of nineteen ninety-three, which produced the ruling of fourteen hours twenty minutes on the second of July of nineteen ninety-three, which was served on the fourteenth of July following — undoubtedly interrupting the prescription period anew, given that the prior interruption had occurred five years earlier upon the appearance of the defendant's representatives, as already stated.
See folios 351, 352, and 353. Mortgage bonds are order instruments of a civil nature and, accordingly, the applicable prescription period is the ten-year period (plazo decenal). It is also not superfluous to note (sic) that the argument advanced by the party filing the plea, based on subparagraph 4) of article 430 of the Código Civil, is inapplicable here, because that provision concerns the effects that a mortgage bond will no longer produce — but in relation to third parties — whereas in the case before us, the relationship is between the parties, and above all between the contracting parties involved in a judicial proceeding, which is precisely this mortgage foreclosure with waiver of ordinary process. V.- The plaintiff appeals the ruling issued by the court below at sixteen hours on the thirteenth of June of nineteen ninety-four, and that ruling is adverse to it only insofar as it granted the prescription plea filed by the defendant's representative.
The ruling on the lapse issue rendered in that same decision cannot be reviewed by this Tribunal because it is favorable to the plaintiff, and moreover the defendant's appeal was limited solely to the portion resolving the matter without a special award of costs. As already set out in the preceding consideration, in this case collection actions have occurred that have interrupted prescription, so that the ten-year prescription period is currently still running; for this reason the first-instance ruling must be reversed and, in its place, the motion denied, with procedural costs assessed against the party that filed the plea." 6º.- The Superior Court, at 7:45 a.m. on January 6, 1995, denied the motions for clarification and supplementation (aclaración y adición) of the preceding ruling, filed by Lic. Pórter Laitano. In doing so, the Court reasoned as follows: "The grounds stated in support of those motions are:
...inasmuch as said individual lacked authority, in the exercise of that representation, to cancel such a notation (leyenda), since it was our client, Nombre188315., to whom the cancellation of the notation belonged — that is, the first notation, which states that those mortgage bonds (cédulas hipotecarias) secured the promissory note (pagaré) Nº 5203916 — given that no blank endorsement (endoso en blanco) was placed thereon by Nombre188315. Furthermore, this first notation could not be eliminated in the manner sought, inasmuch as the obligation set forth in the promissory note to which that notation refers had been paid; therefore, only Nombre188315., as owner of the properties encumbered as security for the mortgage bonds, could validly determine that said mortgage bonds would remain in the possession of Inversiones Comebk S.A. as security for other subsequent obligations of Beneficiadora Cachí S.A. — none of which was noted or analyzed by the Tribunal Superior Primero Civil at the appellate level, notwithstanding that it was expressly requested and was essential for the effectiveness of the securities being enforced herein.
It should be noted that the first notation, which states that the mortgage bonds secure promissory note Nº 5203916, was placed on 23 January 1984; that said promissory note was paid; and that two years later — that is, in the month of April 1986 — an attempt was made to use those mortgage bonds once again to secure the pledge certificate (certificado de prenda) so frequently referred to herein, by means of cancelling that notation — a cancellation carried out by a person who did not act in representation of Nombre188315., and without the consent of our client for those mortgage bonds to once again serve as security for Inversiones Comebk S.A., now securing the obligation set forth in the pledge certificate.
Note that the date of issuance of the mortgage bonds was 11 January 1984, and that the pledge obligation (obligación prendaria) which the plaintiff claims they secure was constituted in the year 1986, which demonstrates the necessity that Nombre188315. grant its consent to constitute that new security interest — which was never obtained.
All of the foregoing causes an absolute deprivation of the right of defense (indefensión absoluta) to the detriment of our client, Nombre188315., which, although expressly alleged, was not addressed by the Tribunal Superior Primero Civil, and which, entailing absolute nullity (nulidad absoluta) due to the nonexistence of the security interest, necessarily leads to the prescription (prescripción) of the aforementioned mortgage bonds, inasmuch as those bonds, as is evident from said notations, do not secure the obligation being enforced; since, although the mortgage bonds were originally issued directly in favor of the plaintiff, Nombre188316., the obligation that they originally secured was cancelled, thus fulfilling the initial purpose of the issuance of said bonds; therefore, in the absence of an endorsement as security (endoso en garantía) signed by the representative of Nombre188315., those mortgage bonds do not secure the obligation set forth in the pledge certificate cited by the plaintiff and could not have remained in the possession of plaintiff Nombre188316., but were instead unavoidably required to be returned to Nombre188315. — and should not have been improperly used to purport to secure a new transaction in respect of which Nombre188315. is neither debtor, surety, nor guarantor, and which — we repeat — in the absence of any notation or endorsement thereon to once again constitute said mortgage bonds as security for another obligation, constitutes for Nombre188315. a res inter allius acta and amounts to a form of improper appropriation (apropiación indebida) of those security interests.
Furthermore, neither does the pledge certificate reflect the consent of the authorized representative (apoderado) of Nombre188315. for the mortgage bonds to be once again constituted as security — for which the signature of said authorized representative on a notation in which Nombre188315. consented to the encumbrance was required — which likewise was neither appreciated nor duly weighed by the appellate court, which instead passed over those circumstances lightly, as if treading on hot coals.
It should also be noted that nothing in the ruling that is the subject of this appeal indicates that the Tribunal Superior Primero Civil had the originals of the mortgage bonds before it when reaching its decision, notwithstanding that we expressly requested this; it therefore appears that the court ruled based on photocopies. This constitutes an error of law and of fact in the assessment of those evidentiary elements by the appellate court — a violation we hereby assert, which is established in artículo 595 inciso 3 del Código Procesal Civil.
All of the foregoing causes an absolute deprivation of the right of defense to our client, Nombre188315., as well as to the bankruptcy estate of Beneficiadora Cachí S.A.; we therefore request that the challenged ruling be quashed on the merits and that the prescription of both the principal obligation set forth in the pledge certificate and that of the mortgage bonds be declared, and further, that the nullity of all proceedings be declared.
The mortgage bonds being enforced in these proceedings are irremediably prescribed.
As was stated before the appellate court, the pledge certificate in which the obligation being enforced herein is set forth shows that no representative or officer (personero) of Nombre188315. with sufficient authority to bind it appeared to grant its consent on behalf of Nombre188315. for the mortgage bonds belonging to Nombre188315. to constitute security for the obligation set forth in the aforementioned pledge certificate, which was executed by Nombre185657. as debtor and in favor of Inversiones Comebk S.A. as creditor.
Nor does said pledge certificate reflect — as we have already stated — that Nombre188315. is a debtor, co-debtor, and/or surety in respect of the aforementioned obligation; consequently, there is no causal nexus or legal standing for those mortgage bonds to secure the obligation being collected herein, and this entails the circumstance that, even though the security interest is nonexistent — which under our legal system implies an absolute nullity declarable ex officio — the Tribunal Superior Primero Civil has deemed valid all proceedings and decisions rendered in this case, even though, by virtue of their nullity, as well as the nullity of the security interest purported to be substantiated through said mortgage bonds, those bonds are entirely prescribed.
Inasmuch as our legislation contains no specific provisions to address nonexistent legal acts, the legal circumstances under which the security interest invoked herein — to conduct a foreclosure auction (remate) of our client's property — is purported to have been validly constituted, notwithstanding that those circumstances establish the absolute nonexistence of such security interest, fall within artículo 835 del Código Civil as an absolute nullity for lacking the essential conditions for its formation or existence.
Such nullity, which is evident from the principal documents — (the pledge certificate and the mortgage bonds) — is absolute and declarable ex officio — as a duty of the adjudicator — pursuant to the provisions of artículo 837 ibídem, which so establishes; for this reason we assert the violation of both provisions (Arts. 835 y 837 del Código Civil) by non-application in the challenged ruling, and on this basis we also request that the challenged rulings be quashed on the merits, with the absolute nullity of all proceedings being declared.
Directly related to the foregoing, it is essential for us to challenge what the Tribunal Superior Primero Civil stated with respect to the nullities alleged, when it held: "And as to the nullity, the arguments advanced have not been the subject of debate. It is only now that they are raised, making it impossible to rule on them, because to do so would be to rule at first and only instance, which would be unlawful." It should be noted that if the nullity we have identified herein is absolute, and furthermore declarable ex officio, and its significance in the record is itself sufficient basis for the prescription timely invoked, it cannot be considered that the adjudicator was unable to address it on the grounds that it constituted a new, unpleaded fact, since it is a consequence that necessarily follows and also presents itself as a basis for prescription.
Consequently, the interpretation adopted by the Tribunal Superior Primero Civil runs contrary to the provisions of the final paragraph of the aforementioned artículo 837, which reads: ".. And it cannot be cured by the confirmation or ratification of the parties, nor by a period of time shorter than that required for ordinary prescription" — a violation we also hereby assert in this regard.
Furthermore, from the very mortgage bonds being used to conduct the foreclosure auction of the properties they secure, it is evident that those bonds do not serve as security for the obligation set forth in the pledge certificate at issue in this case; on the contrary, on the reverse of each of the two mortgage bonds it is expressly stated that they "secure the transaction set forth in promissory note Nº 5203916," in favor of Inversiones Comebk S.A. — which was paid — a notation that Beneficiadora Cachí S.A. purported to cancel without having authority to do so.
Consequently, once the obligation set forth in the aforementioned promissory note — and secured by the mortgage bonds — was paid, those bonds should have been returned to Nombre188315., which was the entity entitled to decide their fate, having been used improperly by decision of Nombre188316. without the consent of Nombre188315.
Note that Nombre188316. states in the complaint that the obligation it seeks to satisfy through the foreclosure auction of the property securing the aforementioned mortgage bonds is the one set forth in the pledge certificate so frequently referred to, and it is that obligation that is purportedly secured by said bonds; the plaintiff thereby acknowledges that the mortgage bonds are limited to securing that obligation for it, for which it was and remains essential that the consent of Nombre188315. be reflected thereon, granted by its officer with sufficient authority acting in representation of Nombre188315., expressly so stated on the reverse of the bonds and in the pledge certificate itself, since in reality there exists no direct credit claim (acreencia) of Inversiones Comebk S.A. against Nombre188315., which makes the endorsement by Nombre188315. indispensable, consenting to those bonds serving as security for the obligation set forth in the pledge certificate.
Therefore, in the absence of such requirements, as is evident from the pledge certificate and the mortgage bonds, the security interest is absolutely nonexistent and absolutely null for the purposes of these proceedings and the application of substantive law, such that the foreclosure auction conducted on the basis of those bonds not only lacks legal foundation — since there is no obligation that may be validly collected — but, furthermore, the bonds are sufficiently prescribed inasmuch as there is no obligation that they secure.
It should likewise be noted that the mortgage bonds were already prescribed prior to the foreclosure auction conducted in the mortgage enforcement proceeding (ejecutivo hipotecario) at issue.
It must further be borne in mind that every security interest must be express and that a security interest cannot be constituted or maintained as a type of presumption, as the appellate court does when it states, superficially, that "Torrecafé S.A. constituted the mortgage bond credit in favor of Inversiones Comebk... so that the plaintiff may collect on them because they were issued in its name." We must point out that banks and other financial institutions, when they receive instruments such as mortgage bonds — whether endorsed or even when issued in their favor — always and in all cases do so receiving them as security for specific credit transactions, and not as owner; this is evidenced in the present case by the first notation contained in the mortgage bonds that are the basis of the enforcement proceeding.
The Tribunal Superior Primero Civil assumes — even when interpreting against the restrictive provisions indicated by the mortgage bonds (cédulas hipotecarias) — that these were issued to the plaintiff as outright ownership and not as security, which constitutes a manifest error of fact and of law. This is because the documents submitted as the basis for enforcement show that this involves a credit not honored by the debtor Beneficiadora Cachí S.A., in relation to which Nombre188315 is a mere third party. We repeat: the foregoing constitutes a manifest error of law and of fact, in the application of the law and in the assessment of the evidence, and we expressly request that it be corrected. It should be noted — as stated above — that Nombre188315 is neither a debtor, nor a co-debtor, nor a joint and several guarantor (fiadora solidaria) of the obligation recorded in the pledge certificate (certificado de prenda); this is therefore not a case of a joint and several obligation that would cause the filing of the mortgage enforcement action (juicio ejecutivo hipotecario) against Nombre188315 to interrupt the prescription (prescripción) of the principal pledge obligation.
In the case at hand (sublite), this would involve the mere granting of a security interest — which does not exist or is nonexistent in this case for lack of consent — to secure the obligation of a third party; therefore, the principal obligation, which is commercial in nature, prescribed four years from its maturity date, and, consequently, in an absolute sense, since that principal obligation has prescribed — as it has — the mortgage bonds have likewise prescribed by reason of the inefficacy of these proceedings to conduct a foreclosure auction (remate) of a security whose underlying obligation, as set forth in the principal instrument, has already prescribed. The plaintiff Nombre188316 has no title (titularidad) to enforce the security interests; consequently, all actions taken and rulings issued, both on the merits and on procedural grounds, are absolutely null and void. Our client, Nombre188315, is a third party with respect to the obligation constituted by Nombre185657 — now in bankruptcy proceedings — in favor of Nombre188316, by virtue of the fact that she did not give her consent in the pledge certificate in which the obligation is recorded, nor did she endorse the mortgage bonds so that they could secure that obligation, nor is she a debtor or joint and several guarantor thereof.
Accordingly, no valid interrupting act (acto interruptorio) could have validly taken place against her, as the Tribunal Superior Primero Civil erroneously held in the challenged ruling, and we request that this be corrected. Under these circumstances, if the mortgage bonds are not security for the obligation recorded in the pledge certificate, and Nombre188316 has no other instrument justifying her ownership of them, only Nombre188315, through a notarized deed filed with or registered before the Registro Público, could have interrupted the prescription of said mortgage bonds, which has not occurred, as shown by the certification of the property subject to the foreclosure auction.
In conclusion, if no registry annotation (anotación) was made before the Registro Público that validly interrupted the prescription of the mortgage bonds during their effective period — that is, from June 1, 1983 to June 1, 1993, as shown by the encumbrance certificates (certificaciones de gravámenes) included in the case file — in accordance with Article 430, subsection 4) of the Código Civil, said mortgage bonds are entirely prescribed, and we expressly request that this be so declared and the challenged judgment be quashed, on the grounds that the court of second instance violated said provision (Art. 430) by failure to apply it — a violation we hereby allege. Furthermore, none of the acts that the Tribunal Superior Primero Civil identifies as interrupting prescription can have the effect of interrupting such prescription, as the court of second instance contends, in violation of Article 977 of the Código de Comercio — a violation we also allege by reason of its improper application, and we request that it be so declared and the challenged ruling be quashed.
Indeed, the aforementioned Article 977 provides that prescription is interrupted by a complaint served on the debtor, and our client Nombre188315 is not the debtor in the obligation identified as the cause of this action; accordingly, our acceptance of the appointment as representatives of Nombre188315, as well as the notification of the scheduling of the foreclosure auction, are procedural acts that likewise do not have, under the terms of that provision, the effect of interrupting the prescription of said mortgage bonds, as the Tribunal Superior Civil erroneously holds in the challenged ruling. Furthermore, no judicial demand was made upon the debtor Nombre185657 — now in bankruptcy proceedings — in this case, nor has any payment of interest been made; accordingly, the interrupting acts exhaustively enumerated in this statutory provision (Art. 977) are absent, and that provision was violated by the Tribunal Superior Primero Civil, and we request that it be applied as partial grounds for the declaration of prescription sought.
Moreover, since this proceeding contains no summons (emplazamiento) directed to debtor Nombre185657, nor has she been served notice in any capacity, the court of second instance violated Article 296, subsection 1) of the Código Procesal Civil by failure to apply it — a violation we also allege. Likewise, Articles 578 of the Código de Comercio and 430, subsection 4) of the Código Civil have been violated by failure to apply them — violations we allege and request be applied as grounds for the prescription asserted. Therefore, the mortgage bonds and the principal obligation have prescribed, and we expressly request that this be so declared and the challenged judgment be quashed. To elaborate further on this point, we must state that the interruption of prescription that the Tribunal Superior Primero Civil bases on the notification of the scheduling of the foreclosure auction and the other interrupting acts it identifies cannot have that effect under Article 977 of the Código de Comercio — not only for the reasons stated above, but also because the security represented by those mortgage bonds had, at the time they were utilized, no obligation to secure, whether in the bond instrument itself or in the pledge certificate, since Nombre188315 did not give her consent.
The cause or reason for which the mortgage enforcement action was brought to realize the security is the pledge obligation subscribed by Nombre185657 — now in bankruptcy proceedings — in favor of Inversiones Comebk S.A. In these proceedings, Nombre185657 has neither been named as a defendant nor served notice of the action in any capacity; for this reason, the acts, proceedings, motions, or rulings issued in these proceedings do not have the effect of interrupting the prescription of the obligation recorded in the pledge certificate, which the plaintiff represents to be secured by the mortgage bonds used as the basis for the foreclosure auction in the case at hand. Consequently, since Nombre185657 has not been named as a defendant in this action, nor served in any capacity, the obligation recorded in the corresponding pledge certificate has prescribed, given that Nombre188315 is neither a guarantor nor an obligor, but is simply a third party in this relationship, whose status as a defendant does not have the effect of interrupting the obligation recorded in the aforementioned pledge certificate.
Therefore, if the obligation recorded in said pledge certificate has prescribed, the mortgage bond security that has been deemed sufficient to support a foreclosure auction in this case cannot be sustained and does not exist, by virtue of the principle that the accessory follows the fate of the principal; accordingly, if the pledge obligation has prescribed, this constitutes an additional ground for determining the prescription of the mortgage bonds and the security interests — which in this case, moreover, are not properly constituted — and which, for the further reason of the prescription of the principal obligation, are already defunct or nonexistent and therefore cannot be collected upon, nor can the assets securing them be auctioned. It should be noted that the case file shows that no act has occurred to interrupt the prescription of the corresponding pledge obligation, nor was the complaint timely annotated before the Registro Público to interrupt the prescription of the mortgage bonds during their effective period.
The annotation made on July 6, 1993 at the plaintiff's request has no legal relevance, since prescription had already run as of June 1, 1993, and it is legally impossible and impermissible to interrupt a prescription that has already occurred.
As all of the foregoing demonstrates beyond any doubt that the plaintiff Nombre188316 has not litigated in evident good faith — given that she was aware that she had no right to enforce judgment against our client Nombre188315 and knew that the obligation she seeks to enforce is invalid and ineffective — we request that she be ordered to pay both parties' costs of the proceedings, by application of Article 221 of the Código Procesal Civil, a request we expressly ask to be granted. By filing this appeal on the merits, we ask the Justices of the Sala Primera Civil of the Corte Suprema de Justicia to quash the challenged ruling and, upon deciding the merits, to overturn the ruling of the Tribunal Superior Primero Civil, sustaining the plea of prescription of the mortgage bonds and of the obligation being enforced in these proceedings — which in turn supports the prescription of the mortgage bonds as set forth above — and to order the plaintiff to pay both parties' costs of the proceedings.
Violation of Article 578 of the Código de Comercio. This provision establishes that actions arising from a pledge (prenda) prescribe four years from the date of maturity. The case file shows that this four-year period has elapsed by a considerable margin, with no acts in the proceedings capable of validly interrupting said prescription — neither with respect to the debtor Beneficiadora Cachí S.A., now in bankruptcy proceedings, nor with respect to the guarantors Nombre188317 and Nombre117374, nor with respect to our client Nombre188315, who was not served notice in these proceedings — initiated in the year 198[...] — until July 14, 1993. See the case file. As a consequence of what is stated in the preceding paragraph, the Tribunal Superior Primero Civil violated Article 778 of the Código de Comercio by failure to apply it — a violation we hereby allege.
General Prayer for Relief: Based on the foregoing and the statutory provisions invoked, we request that the Justices of the Sala Primera Civil quash the challenged rulings on procedural grounds, annulling all acts taken and all decisions issued in the corresponding mortgage enforcement proceeding; or, in the alternative, that the appeal be sustained with respect to the substantive violations identified, declaring the prescription of the mortgage bonds that form the basis of this enforcement action, and also declaring the prescription of the aforementioned pledge certificate in which the principal obligation is recorded, since it likewise supports the prescription of the mortgage bonds and, consequently, the nullity of the proceedings — in particular the foreclosure auction held on the record — and ordering the plaintiff to pay both parties' costs of the proceedings." 8. The legal requirements have been observed throughout the proceedings. Alternate Justice Horacio González Quiroga participates in deciding this matter, substituting for Regular Justice Rodrigo Montenegro Trejos, who has been granted leave.
The opinion is authored by Justice Zeledón Zeledón; and,
WHEREAS:
I.The cassation appeal (recurso de casación) lies only against judgments or orders having the character of judgments—in accordance with the monetary threshold established by the Corte Plena, or where the amount in dispute is indeterminate—issued by Superior Courts exclusively in the following matters: 1. in ordinary or abbreviated proceedings; 2. in all other proceedings, provided they produce substantive res judicata (cosa juzgada material); 3. in matters cognizable by Superior Courts in a single instance; and 4. in such other cases as the law expressly provides. Articles 889, 900, and 1019 of the former Code of Civil Procedure, and Articles 591, 704, and Transitional Provision I of the current Code of Civil Procedure. Reference may be made to resolution No. 57 of the former Sala de Casación, issued at 13:00 hours on June 20, 1979, and to resolution No. 102 of this Chamber, issued at 14:17 hours on July 4, 1990.
In summary proceedings, the final resolution does not produce substantive res judicata, and therefore no cassation appeal lies, except as shall be stated below. Indeed, this cassation appeal in a mortgage foreclosure proceeding was admitted in a timely manner because the challenged resolution concerns a defense of prescription (prescripción), and Art. 165 of the Code of Civil Procedure provides that judgments relating to prescription issued in other types of proceedings cannot be contested by way of ordinary or abbreviated proceedings, which means that they carry the authority and effect of substantive res judicata (Articles 153 and 591, paragraph 2 of that Code). This means that the Chamber must confine itself to examining only matters pertaining to prescription; consequently, any other substantive or procedural allegation not relating to it is barred from analysis and ruling, and must be dismissed outright. (The Chamber ruled to this effect in Judgment No. 82 of 9:15 hours on September 16, 1994.)
II.Nombre188315 Sociedad Anónima executed two mortgage bonds (cédulas hipotecarias), one of first rank and one of second rank, secured against its property registered in the Registro Público, Property Section, Partido de Cartago, under the Folio Real system, Registration Number Placa36148, in favor of Inversiones Comebk Sociedad Anónima. These bonds were issued on January 11, 1984. Each one secured a mortgage loan in the amount of 250,000 dollars, at an annual interest rate of 24%, repayable on June 1, 1983. On May 13, 1987, they were presented for collection before the Juzgado Tercero Civil de San José. That court, upon declaring itself without jurisdiction, transferred the matter to the Juzgado Segundo Civil. Attorneys Hugo Pórter Laitano and Gilberto Wauters Vargas were appointed as representatives of the defendant company, and in that capacity accepted and swore to carry out the appointment, as recorded in the minutes of 10:00 hours on May 13, 1988.
Attorney Hugo Pórter was notified of the order decreeing the attachment (embargo) and foreclosure sale (remate) on July 14, 1993. The following day, July 15, 1993, he filed a motion of prescription or lapse (incidente de prescripción o caducidad) of the mortgage bonds, on the grounds that the attachment had not been recorded until July 6, 1993. The lower court, by resolution issued at 16:00 hours on June 13, 1994, rejected the lapse and granted the prescription motion concerning the mortgage bonds. The Appellate Court, by resolution No. 1451-L issued at 8:35 hours on October 26, 1994, reversed the lower court's resolution and denied the prescription motion. The Appellate Court found the existence of acts interrupting prescription (actos interruptores de la prescripción) pursuant to Articles 183 and 296, paragraph 1), of the Code of Civil Procedure, and held Art. 430, paragraph 4), of the Civil Code to be inapplicable, as that provision pertains to third parties and not to the contracting parties in the mortgage relationship.
III.Cassation Appeal on Procedural Grounds: The cassation appeal on formal grounds alleges absolute nullity (nulidad absoluta) of all proceedings on account of a violation of the right to a defense (indefensión). It invokes the failure to notify Beneficiadora Cachí S.A., and the absence of a sufficient and necessary instrument to order the foreclosure sale, as required by Art. 630, paragraph 3), of the Code of Civil Procedure. Pursuant to Art. 594, paragraph 1), of the Code of Civil Procedure, it requests that all actions taken and rulings issued be annulled. As noted in the first Whereas clause, this Chamber is barred from entertaining procedural matters, since the sole and exclusive object of the appeal is the prescription defense raised. For the foregoing reasons, this grievance must be rejected.
IV.Cassation Appeal on Substantive Grounds: The cassation appeal alleges direct and indirect violation of substantive legal provisions. The first ground of indirect violation alleges error in the assessment of evidentiary elements. The Appellate Court, it is argued, reached different conclusions from the same established facts by introducing as an evaluative factor that the ten-year prescription period under Art. 430 of the Civil Code had not elapsed. Furthermore, it is argued that Nombre188315 is a mere third party, and therefore the acts identified by the Appellate Court cannot be taken into account for purposes of interrupting prescription. The second ground of indirect violation concerns errors of fact and of law in the assessment of documentary evidence, on the grounds that the mortgage bonds do not secure the obligation contained in the pledge (prenda) certificate. Accordingly, it is argued, since the proceedings are grounded on non-existent acts, an absolute nullity arose that may be declared ex officio pursuant to Articles 835 and 837 of the Civil Code, which are alleged to have been violated by failure to apply them.
Regarding the direct violations of substantive provisions, the appeal raises two grounds. As to the first ground—although raised within the section on procedural grounds—the Chamber has recognized the possibility, in order to avoid unnecessary formalism, of entertaining as substantive grounds grievances raised within the formal section of the appeal, and vice versa. Infringement is alleged by failure to apply Articles 296, paragraph a), of the Code of Civil Procedure, 578 of the Code of Commerce, and 430, paragraph 4), of the Civil Code. The appellant maintains that no acts interrupting prescription existed and that therefore both the pledge and the mortgage bonds are time-barred. The second ground alleges infringement of Articles 578, 778, and 977 of the Code of Commerce, as well as Art. 430, paragraph 4), of the Civil Code. Actions arising from a pledge, it is argued, prescribe after four years. The acts cited by the Appellate Court, it is maintained, do not have the force to interrupt prescription, nor has there been any annotation in the Registro Público.
V.The appeal on grounds of indirect violation of substantive provisions is procedurally defective. It does not technically meet the minimum requirements set forth in Articles 595, paragraph 3), and 596, paragraph 2, of the Code of Civil Procedure. It does not expressly identify the rules governing the evidentiary weight of the documents submitted. It does not clearly indicate how the alleged violation occurred as a result of the evidence being incorrectly assessed. It merely cites, without developing any legal argument, Articles 430, 835, and 837 of the Civil Code. It does not explain, with the requisite legal precision and in a clear and specific manner, how the infringement operated in the challenged resolution. Nor does it clearly identify the types of errors involved—whether errors of fact or of law and what they consist of—pointing, for both types, to the substantive provisions allegedly violated, and for the latter type, to the rules governing the evidentiary weight of the documents. For the foregoing reasons, the appeal must be rejected on this point.
VI.This Court has established the basic principles governing extinctive prescription (prescripción extintiva). In Sentencia No. 120, issued at 3:00 p.m. on July 29, 1992, the Court held: "IV.- Extinctive prescription, also known as negative or liberatory prescription, is an institution created to protect social order and security in legal relations. The timely exercise of actions and rights may be said to be supported by a social interest. Indefinite delay in this regard gives rise to doubt and anxiety among individuals and threatens patrimonial stability. This institution is designed, precisely, to eliminate situations of uncertainty produced by the passage of time in legal relations. Three elements are required for its application: the elapse of the period prescribed by law, the failure to exercise the right by its holder, and the expressed will of the party benefited by prescription to invoke it, either through an action or a defense, since it cannot be declared ex officio by the judge and may be waived—expressly or tacitly—provided the waiver is not anticipatory.
Furthermore, account must be taken of the nature of the right in question, since there are legal situations of particular relevance to the legal order that are imprescriptible. As to its theoretical basis, prescription was initially considered a sanction or penalty against the holder of a right who, through negligence, creates a censurable situation of insecurity—on account of which the legislature bars, unless the interested party waives it, the possibility of its belated exercise. It has been argued in legal scholarship that prescription finds its raison d'être in a presumed tacit waiver of the right by its holder, who, through inactivity, conveys an intention not to claim what is owed to him. This position has been rightly challenged on the ground that prescription can be considered neither a penalty for negligent conduct nor a tacit waiver, because if that were true, the party adversely affected by it should be permitted to demonstrate the absence of culpable negligence or of the presumed intent to abandon the right.
This criticism is consistent with our commercial legislation, since against extinctive prescription no defense is available "... other than that of suspension where such suspension has legally occurred, and the incorrect calculation of time periods" (Article 985 of the Código de Comercio). Ergo, any argument aimed at showing that there was no negligence or intention to waive would fall outside the scope of that provision. The prevailing view today attributes the basis of prescription to the need to create a state of legal certainty (seguridad jurídica) in the face of an objective situation of uncertainty produced by the failure to exercise the right in a timely manner. It may thus be affirmed that the value protected by the law in such cases is legal certainty, and that the aim is to prevent the surprise exercise of a right. Several situations are thereby protected; for example, where the claimed obligation may have been duly discharged in due time but, owing to the time elapsed, the documents or evidence needed to prove the extinction of the obligation are no longer available; or where the debt sought to be collected has already been forgotten by the debtor by virtue of the prolonged passage of time and the creditor's inaction.
In any event, prescription emerges as a means of creating certainty, which promotes social order and tranquility. However, it is not difficult to imagine situations in which prescription may, to some extent, serve to protect injustices and prevent the exercise of rights that genuinely existed. In this regard, it should be noted that the law, as a vehicle for the realization of justice, must necessarily operate within a framework of certainty and security. Were it otherwise, the ultimate aim stated above would be frustrated in its practical or functional dimension. Justice cannot operate in the midst of uncertainty and instability. It is for this reason that legal certainty stands, inevitably, alongside justice as an essential value of the law. Neither of them, as ends of the law, is absolute in legal practice. At some point, one of them must yield in the interest of the other's survival.
This is what occurs in the case of prescription, where justice yields in favor of legal certainty. Were it not so, justice, as an essential end of the law, would be endangered, as uncertainty and disorder become entrenched in the social sphere—factors that render justice unattainable. This phenomenon does not mean ignoring justice, but rather establishing a time period within which the protection of justice is available; once that period has elapsed, however, and in deference to legal certainty, justice yields to the need to avoid litigation and disputes arising belatedly—and therefore difficult to resolve—whose potential impact would maintain an enervating sense of uncertainty in human relations. V.- The legal order, in order to avoid the rigidity of the system, provides for the possibility of preventing prescription from running when the objective situation of uncertainty ceases, for any of the reasons expressly provided by law.
This is the case of interruption of the said institution. When its basis is absent—because an act is performed in which the right is exercised, or because an acknowledgment is made by the obligated party—the prescription period begins to run anew, without it being possible to count the time that had previously elapsed. The interruptive act thus confirms that the basis of prescription lies in the need to eliminate an objective situation of uncertainty which, once it disappears, deprives any possible extinction of the claimed right of its justification. VI.- The Código de Comercio establishes, in its Article 977, the grounds for interruption of prescription in commercial matters. Given the public interest that underlies this institution, the interpretation of the grounds for interruption provided therein must be restrictive, since the interest of the community in avoiding disruptive surprise disputes that undermine social order and legal certainty must prevail.
Moreover, in commercial matters, other relevant factors must be taken into account when interpreting these rules, namely the speed and certainty that are characteristic of commercial relations. Compared with activity in the civil sphere, the commercial world is characterized by greater agility in the formation and termination of transactions. The rapid and large-scale movement of goods must be supported by a regulatory system that promotes certainty in relations and prevents the immobilization of capital while awaiting belated claims, since the latter would be detrimental to the objectives pursued by commercial law. Consequently, the interpretation of Article 977 of the Código de Comercio cannot disregard the nature and function of prescription nor its adaptation to the situations characteristic of commercial law. This effort must be carried out in a comprehensive manner, as required by Article 10 of the Código Civil, "... according to the proper meaning of its words, in relation to the context, the historical and legislative background, and the social reality of the time when they are to be applied, paying fundamental attention to their spirit and purpose" (emphasis in original omitted).
VIII.-...The value pursued by the legal order is, in reality, that of legal certainty, which has been disrupted in a legal relationship by one party's failure to exercise its right in a timely manner, thereby compromising the position of the other party. Opposing relevant interests thus converge, namely: those belonging to the creditor's legal position, on the one hand, and those of the debtor's, on the other. Uncertainty weighs more heavily on the debtor, and prescription has been provided as an instrument for the debtor's use, so that, unless the debtor sees fit to waive it, it may be invoked as an action or a defense. Given this situation, there could be no legal certainty if the party in whose favor prescription has been established is unaware of the act intended to counter the right-holder's inaction. Therefore, the grounds for interruption of prescription must be known to the debtor, so that the state of uncertainty created by the creditor's failure to exercise the right may effectively cease.
In this regard, the interpretation given by the lower courts to the rule alleged to have been violated—namely that notification of the claim is required for the interruptive effect to occur—is endorsed by this Court, not only because it is the interpretation most consistent with the underlying basis of prescription, but also because it fulfills the objectives pursued by commercial law by allowing for greater speed and certainty in commercial transactions. This interpretation might be said to give rise to potential injustices in situations where the defendant cannot be promptly served, whether due to delays attributable to the court office or to difficulties arising in locating the debtor and completing this step. However, in the first case, if it were considered that the mere filing of the claim interrupts prescription, this would cause harm to a debtor unaware of the action filed against him, and there is no reason to sacrifice the value of certainty, since the normal or excessive delay that the processing of the matter in the judicial forum may suffer is likewise not attributable to the debtor.
In the event of difficulty in serving the debtor, the legal order has placed at the disposal of the plaintiff—who, as a matter of procedural law, is responsible, together with the judge, for ensuring the speed of the proceedings—mechanisms to overcome the obstacles that may arise, such as service by publication in the Boletín Judicial and a newspaper, provided for in Article 177 of the current Código Procesal Civil (the predecessor of which, in the now-repealed Código de Procedimientos Civiles, was found in Article 103); service abroad, contemplated in Article 180 of the new Código Procesal (corresponding to Article 98 of the repealed Código de Procedimientos); or the appointment of a guardian ad litem (curador) for a specific matter, if the circumstances provided for in Article 67 of the Código Civil are present. Accordingly, the creditor has a real opportunity to prevent the prescription of its right and must therefore ensure its exercise in the most appropriate manner.
For this reason, the current civil procedural legislation, which was not yet in force at the time the claim was filed on March 13, 1989, sought to resolve any doubt in this regard by treating prescription as a substantive effect of the service of summons (emplazamiento), produced at the moment of its notification (Article 296, paragraph a), of the Código Procesal Civil)."
VII.Specifically regarding notification (notificación) and other acts interrupting prescription (prescripción), in Judgment No. 21 of 2:15 p.m. on May 6, 1994, the Chamber stated: "V.- Notification is understood both as the act and effect of giving notice and as the document recording that notice. To notify is to make known a decision of the authority with the formalities prescribed for the case; in a broad sense it means to inform of a matter, and is therefore synonymous with communicating. In judicial proceedings, notification occurs not only through the formalities established by law, but also, in the absence of such formalities, is deemed legally accomplished when the person has manifested in the proceeding that they are aware of the decision, as provided by article 100 of the former Código de Procedimientos Civiles and articles 182 and 183 of the current Código Procesal Civil; this form of notification arises primarily from written submissions filed by the party, the content of which reflects—expressly or tacitly—knowledge of the procedural motion or act in response to which the submission was filed.
The latter is what must be accepted in this matter, because even though—given that the acts in question were judicial acts of the judge—it is logical that the declared nullity (nulidad) encompasses the notification records, the written submissions of the plaintiff party continuing to drive the collection proceeding are preserved, clearly evidencing the party's intent and activity aimed at enforcing collection of the credit in its favor; likewise preserved are the submissions of the various bankruptcy trustees (curadores de la quiebra) of the bankruptcy or commercial insolvency proceeding (concurso mercantil), filed in response to those motions, by which they manifested their knowledge of those motions—submissions that contain no objection to the obligation being collected, as detailed in Considerando I of this decision—thereby having been notified of the complaint and of those collection motions and written demands; and, having raised no objection whatsoever, as stated, the debt was at least tacitly acknowledged and prescription was interrupted (article 977, paragraphs a), b), and c), of the Código de Comercio)....".
VIII.In civil matters, the rules governing the regime of interruption of prescription are contained in articles 875 through 879 of the Código Civil (Chapter IV, Title VI "On Prescription"). They apply both to acquisitive prescription (prescripción positiva o usucapión) and to extinctive prescription (prescripción extintiva). They closely resemble the grounds provided in commercial matters. Articles 876 and 877 of the same body of law regulate three forms of interrupting extinctive prescription.
IX.The prescription of mortgage bonds (cédulas hipotecarias) is governed by the provisions of the Código Civil. Article 430, paragraph 4, provides: "If more than ten years have elapsed since the maturity date for payment, the bond shall have no effect after that date to the detriment of third parties, provided the Registry does not show circumstances implying a collection action or acknowledgment of the credit or other interruption of prescription…". Three fundamental aspects arise from that provision: 1) Mortgage bonds prescribe by the mere passage of 10 years from maturity, when no cause interrupting prescription appears of record in the Registry; 2) the prescription period for mortgage bonds, as with the real right of mortgage (derecho real de hipoteca), is the ordinary period of ten years; and 3) grounds interrupting prescription include collection actions, acknowledgment of the credit, or any other ground recognized by the Código Civil.
X.The grounds of the cassation appeal (recurso de casación) for direct violation of substantive rules (violación directa a las normas de fondo) are not well taken. The appellant erroneously interprets article 430, paragraph 4, of the Código Civil. According to the appellant, no collection action or any other cause interrupting prescription appeared of record in the Registry. However, the requirement of that provision operates for the benefit of third parties. In this case, Nombre188315 is not a third party. It is a party to the contractual relationship. Therefore, it is irrelevant whether the attachment order was registered after the prescription period had elapsed. But as will be seen, other causes interrupting prescription did in fact exist. Nor has there been any violation of article 578 of the Código de Comercio. Although that provision establishes prescription as an extinctive cause of a pledge (prenda), with a four-year term running from the maturity of the obligation, that regime does not apply to mortgage bonds. These are governed by the ten-year prescription (prescripción decenal) enshrined in the Código Civil—specifically in articles 430, paragraph 4, 471, second paragraph, and 868. Accordingly, there is no violation of article 977 of the Código de Comercio, and even less of article 778, which has no bearing on the matter at hand.
XI.The mortgage bonds subject to the enforcement proceeding are not time-barred. As the Tribunal has found established, causes interrupting prescription did exist. From the very outset, the representatives of Nombre188315 learned of the collection action filed by Inversiones Comebk S.A. This is evident both from their interest in accepting their appointment as representatives (case file pages (folios) 46, 82, and 85)—through which they gained knowledge of the proceeding filed—and from their actions contesting collection of the debt. In the Chamber's view, the Tribunal correctly applied the principle of automatic or tacit notification. That principle encompasses two aspects: 1) it arises through any procedural motion; and 2) the motion must imply knowledge of the decision in order for tacit notification to occur. In the instant case, Attorneys (Licenciados) Gisberto Wauters Vargas and Hugo Pórter Laitano filed countless motions within the proceeding as legal representatives of Nombre188315 (pages 40 and 85).
Among others, noteworthy are the motions in which they filed several appeals (pages 44, 84, and 92). On January 12, 1989, the trial court (Juzgado) ordered the property subject to the mortgage bonds to be put up for judicial auction (remate), a decision in which the defendant was instructed to designate an address to receive notifications (page 234). By motion filed on June 5, 1989, the representatives of Nombre188315 alleged that the enforcement proceeding was invalid for lack of legal standing in Costa Rica. In doing so, they were plainly acknowledging notification of the earlier decision ordering the encumbered property to be auctioned, thereby interrupting the prescription period once again. When notification of the court order (auto) of July 2, 1993 was effected on July 14, more than ten years had not yet elapsed since the last act interrupting prescription. As is well established, one of the effects of the interruption of prescription is to nullify the period previously elapsed.
Therefore, given that interrupting acts existed—under the principle of tacit and automatic notification—the grievances raised regarding violation of article 296, paragraph 1, of the Código Procesal Civil must be dismissed. The provisions of that article, which establish interruption of prescription as an effect of judicial summons, were correctly applied.
XII.In judgment N 82 of 9:15 a.m. on September 16, 1994, the Chamber analyzed the issue of prescription (prescripción) of mortgage bonds (cédulas hipotecarias) in relation to commercial pledges (prenda comercial), and the effects with respect to third parties. In that regard, the Chamber stated: "...V.- The appellant claims infringement of Articles 430, 876, and 879 of the Civil Code, arguing that notification of the complaint in the pledge enforcement proceeding (ejecutivo prendario) interrupts prescription of the obligation and, consequently, of the mortgage bonds offered as security. In his view, the mere filing of the complaint is sufficient for the interruption to take effect. Finally, he adds that the registry annotation (anotación) of the mortgage complaint in the Property Registry (Registro de la Propiedad), as of December 13, 1991, was not correctly assessed, and that it also interrupts prescription.
The complaint was filed and notification occurred while the current Code of Civil Procedure was already in force; therefore, pursuant to its Article 296, it is not the filing but rather the notification that interrupts prescription, both civil and commercial, as was explained. VI.- These are two separate proceedings for the collection of a single debt; even so, notification of the pledge enforcement proceeding does not interrupt prescription of the mortgage bonds, because it only has that effect between the parties and within the proceeding in which it was made, and solely with respect to the pledge security, not the mortgage bond security, and all the less so when, given their special nature, mortgage bonds may affect third parties. As for the mortgage enforcement proceeding (ejecutivo hipotecario), it was filed on October 31, 1991; its annotation was ordered on the 6th and presented to the Public Registry (Registro Público) on the 13th, both days in December 1991—dates by which ten years had already elapsed since the issuance and maturity of the first-ranking mortgage bond (cédula hipotecaria de 1º grado) on September 22 and September 30, 1981, respectively.
Therefore, when Mr. Nombre188318 purchased the property on January 7, 1992, it had already been released from that encumbrance (gravamen), because prescription had already operated—or rather, lapse (caducidad), which is how the provision of subsection 4 of Article 430 of the Civil Code has been interpreted. That provision is mandatorily included in the text of the mortgage bond and reads: 'That if more than ten years have passed since the due date for payment, the bond shall produce no effect after that date to the detriment of third parties, provided the Registry does not reflect circumstances implying a collection action (gestión cobratoria) or acknowledgment of the debt or any other interruption of prescription; and the Registrar, when registering new instruments relating to the respective property, shall disregard such encumbrance.' The same fate befell the other two mortgage bonds on September 30 and December 30, 1981, against which no collection proceeding was initiated and therefore no annotation was recorded in the Public Registry—an annotation that would have constituted the interruption of prescription or lapse with respect to third parties, as is the case of Mr.
Nombre188318. It should be noted that it was only on a subsequent date, January 24, 1992, that the defendant's representative acknowledged notification of the mortgage enforcement action." The cited precedent illustrates the independent nature of mortgage bonds. Even though they constitute accessory security (garantía accesoria), their regime and statute of limitations are governed by the Civil Code. Furthermore, the application of Article 430, subsection 4, to cases involving third parties—as opposed to the contracting parties themselves—is made clear. The difference in the factual background (cuadro fáctico), as compared to the present case, lies precisely in the existence of acts interrupting prescription. By virtue of filings (gestiones) submitted by the defendant's representatives, tacit or automatic notification (notificación tácita) of the aforementioned rulings took effect. The time previously elapsed was thereby rendered ineffective for purposes of prescription.
XIII.For all of the foregoing reasons, the alleged violations of law invoked by the appellants do not exist, and the appeal must therefore be dismissed, with court costs (costas) assessed against the party who filed it.
THEREFORE:
The appeal is dismissed. Court costs are assessed against the party that filed it.

Nº 119 SALA PRIMERA DE LA CORTE SUPREMA DE JUSTICIA. San José, a las catorce horas treinta minutos del veinte de octubre de mil novecientos noventa y cinco.
Proceso ejecutivo hipotecario establecido en el Juzgado Segundo Civil de esta ciudad por "Inversiones Comebk S.A.", representada por los sus apoderados, Señor Edwin Méndez Mata, empresario, y Lic. Oscar Bejarano Coto; contra "Torrecafé S.A.", representada por los curadores, Licdos. Gisberto Miguel Wauters Vargas y Hugo Alberto Pórter Laitano. Todos son mayores, casados y, con la salvedad hecha, abogados y vecinos de esta ciudad.
RESULTANDO:
1º.- Con base en los hechos que expuso y disposiciones legales que citó, la actora estableció proceso ejecutivo hipotecario para subastar la finca del Partido de Cartago, matrícula Placa36147, en base a la cédula hipotecaria de primer grado, por valor de ¢CED140122, endosadas a su favor por la demandada.
2º.- El Lic. Pórter laitano, en su expresado carácter, formuló incidente de prescripción de las cédulas hipotecarias que sirven de base a la ejecución, por haber transcurrido más de diez años desde el vencimiento del plazo para el pago, sin que se dieran circunstancias interruptoras.
3º.- De dicha articulación se confirió audiencia a la actora, y ésta la contestó negativamente.
4º.- El Actuario de entonces, Lic. Henry Alpízar Rojas, en auto sentencia de las 16 horas del 13 de junio de 1994, resolvió: "Se rechaza el incidente de caducidad de las cédulas hipotecarias, se acoge la de prescripción y por ello se declaran prescritas las cédulas hipotecarias base de este proceso. Se resuelve sin especial condenatoria en costas...". Al efecto consideró el Actuario Alpízar: "I.- Hechos probados: De importancia se tienen los siguientes: a).- Nombre188315 Sociedad Anónima, el once de enero de mil novecientos ochenta y cuatro, expidió dos cédulas hipotecarias endosadas a favor de Inversiones Comebk Sociedad Anónima por la suma de doscientos cincuenta mil dólares cada una de ellas (ver las dos cédulas hipotecarias en sobre en resguardo del Despacho). b).- Dichas cédulas son garantía de la finca del Partido de Cartago, número Dirección21642 , con un vencimiento al primero de junio de mil novecientos ochenta y tres (ver mismas cédulas hipotecarias). c).- Los representantes de la sociedad demandada nombraron como sus representantes por carecer de éstos a Hugo Pórter Laitano y Gisberto Wauters Vargas, quienes comparecieron al Juzgado a aceptar y jurar el cargo (ver folio 46, 82 a 85). d).- El representante de la sociedad demandada fue notificado del establecimiento de la demanda hasta el catorce de julio de mil novecientos noventa y tres (ver acta de notificación a folio 353).
II.- Sobre el fondo: En la cédula hipotecaria si han pasado más de diez años desde el vencimiento del plazo del pago, la cédula no surtirá efectos después de esa fecha en perjuicio de terceros, siempre que el Registro no manifieste la gestión cobratoria o reconocimiento del crédito u otra interrupción de la prescripción y el registrador al inscribir nuevos títulos relativos a la finca hará caso omiso de tal gravamen (artículo CED140121, ), ). En el presente caso tenemos que las cédulas hipotecarias se expidieron el once de enero de mil novecientos ochenta y cuatro, estipulándose que las mismas eran exigibles a partir del primero de junio de mil novecientos ochenta y tres, sea, que prescribieron el primero de junio de mil novecientos noventa y tres. El seis de julio de mil novecientos noventa y tres, se anotó al margen de la finca garante decreto de embargo, ello no obstante que se dio después de los diez años, ello era para terceros y no para el presente proceso, en donde la interrupción de la prescripción está establecida por el artículo 977 del Código de Comercio.
Indicado lo anterior, tenemos que al representante de la sociedad demandada se le notificó del establecimiento de la demanda el catorce de julio de mil novecientos noventa y tres, sea, posterior al primero de junio de mil novecientos noventa y tres en que prescribían las cédulas. El alegato de la parte en el sentido de que las cédulas no prescriben entre las mismas partes, no tiene asidero jurídico, ello, porque no puede quedar al arbitrio de las partes la prescripción de un documento, sino que como este caso la ley le tiene asignado un plazo que es de diez años. También se observa que en el proceso se ha presentado todo tipo de recursos y el mismo estuvo interrumpido por una acción de inconstitucionalidad, pero también es cierto que los representantes designados en la junta para que representara los intereses de la sociedad demandada no fueron notificados por inercia de la parte, véase que a folio 239 vuelto, el notificador del Despacho el treinta de enero de mil novecientos ochenta y nueve hace la indicación de que para notificar a los representantes de todo lo actuado, deben aportarse algunas copias que falta y ello se cumplió pero ya después de que prescribieran las cédulas y por ello la excepción de prescripción es de recibo, rechazándose, eso sí, la caducidad porque lo que opera es la prescripción y no ésta. (sic). En cuanto a las costas, se resuelve sin especial condenatoria, por todo lo suscitado en el proceso.".
5º.- Las partes apelaron, y el Tribunal Superior Primero Civil, integrado por los Jueces Olman Arguedas Salazar, Gerardo Rojas Schmit y Gerardo Parajeles Vindas, en auto sentencia dictado a las 8:35 horas del 26 de octubre de 1994, resolvió: "En lo que ha sido materia de recurso, se revoca la resolución apelada para en su lugar denegar el incidente de prescripción formulado por el representante de la parte demandada, con las costas procesales a cargo de esta última. El Tribunal fundamentó su resolución en las siguientes consideraciones que redactó el Juez Arguedas: "I.- Se aprueba el elenco de hechos probados. II.- Se trata en este caso de un proceso hipotecario de cédulas en el que la demandada Nombre188315 . estaba acéfala y por eso el Juzgado procedió al nombramiento de representantes legales, como consta a folios 46, 82 y 84. El Juzgado que inicialmente había conocido era el Tercero Civil de esta ciudad, pero envió el expediente al Juzgado Segundo Civil porque ésta había decretado la quiebra de Beneficiadora Cachí S.A. Eso se dispuso en la resolución de ocho horas del primero de setiembre de mil novecientos ochenta y siete, visible a folio 29 frente y vuelto.
Esa resolución fue recurrida, pero la gestión fue rechazada por falta de personería, razón por la cual continúo conociendo el Juzgado Segundo Civil. No es ahora el momento para determinar si ese pronunciamiento está correcto o no, pues al encontrarse firme, la revisión de ese punto podría ocasionar problemas procedimentales que es necesario evitar. III.- Conoce ahora este Tribunal del incidente de prescripción que promovió el Lic. Pórter Laitano, uno de los representantes de la demandada nombrado por el juzgado a quo. Los personeros de la demandada fueron notificados el catorce de julio de mil novecientos noventa y tres, como consta en el folio 353. Es claro que en el acta de dicha notificación se hace referencia únicamente a la resolución anterior, esto es, a la de catorce horas veinte minutos del dos de julio de mil novecientos noventa y tres, visible a folio 352, y si uno de los personeros, el mencionado Lic. Pórter Laitano, formuló este incidente que afecta el fondo del asunto, es porque está enterado de lo resuelto y por ese motivo se apersonó mediante la articulación de que ahora se conoce.
De otra manera no hubiera gestionado este incidente de prescripción. En consecuencia, a pesar de la constancia visible a folio 239 vuelto, relativa a la falta de copias para notificar la actitud del mencionado representante, se repite, permite aplicar la norma contenida en el artículo 183 del Código Procesal Civil, puesto que en el expediente hay muchas gestiones anteriores de los mencionados representantes desde que aceptaron el cargo apud acta, lo que demuestra el conocimiento que tenían de este caso. Artículo 183 del Código Procesal Civil. IV.- Las cédulas hipotecarias vencieron el primero de junio de mil novecientos ochenta y tres, y su prescripción se habría operado el primero de junio de mil novecientos noventa y tres, de no haber sido por el apersonamiento de los representantes de la demandada, lo que ocurrió el primero de marzo de mil novecientos ochenta y ocho, lo cual demuestra el conocimiento que de la demanda tenían dichos personeros, y con lo cual se interrumpió la prescripción de acuerdo con lo dicho en el artículo 296 inciso a) del Código Procesal Civil.
Posteriormente todas las gestiones cobratorias se producen con los remates señalados debidamente notificados, como ocurre con la solicitud presentada el veintitrés de junio de mil novecientos noventa y tres que produjo la resolución de catorce horas veinte minutos del dos de julio de mil novecientos noventa y tres, la cual fue notificada el catorce de julio siguiente, lo que sin duda volvió a interrumpir el plazo prescriptivo, pues la anterior interrupción había ocurrido cinco años antes con el apersonamiento de los representantes de la demandada, como ya se ha indicado. Véanse folios 351, 352 y 353. Las cédulas hipotecarias son títulos a la orden de carácter civil y, por lo tanto, el plazo de su prescripción es el decenal. No sobra decir tampoco (sic) que el argumento esgrimido por la parte incidentista relativa al inciso 4) del artículo 430 del Código Civil, no es de aplicación en este caso, porque esa norma se refiere a los efectos que ya no producirá una cédula hipotecaria, pero en relación a terceros, y en el caso que nos ocupa, la relación lo es entre las partes y, sobre todo, entre las partes contratantes involucradas en un proceso judicial que es precisamente este ejecutivo hipotecario con renuncia de trámites.
V.- La parte actora apela de lo resuelto por el a quo a las dieciséis horas del trece de junio de mil novecientos noventa y cuatro, y ese pronunciamiento le perjudica tan sólo en cuanto acoge la prescripción solicitada por el representante de la demandada. El pronunciamiento hecho en esa misma resolución relacionado con la caducidad no lo puede analizar este Tribunal porque es beneficioso para dicha parte, aparte de que la apelación de la parte demandada fue limitada únicamente en cuanto se resolvió sin especial condena en costas. Ya en el considerando anterior quedó expuesto que en este caso se han producido gestiones cobratorias que han producido la interrupción de la prescripción, de manera que en la actualidad sigue corriendo el plazo decenal de prescripción, por cuya razón debe revocarse la resolución de primera instancia para, en su lugar, denegar la articulación, con las costas procesales a cargo de la parte incidentista.".
6º.- El Tribunal Superior, a las 7:45 horas del 6 de enero de 1995, denegó la aclaración y adición de la resolución anterior, solicitadas por el Lic. Pórter Laitano. Al efecto consideró el Tribunal: "Las razones que se exponen para hacer esas peticiones son:
7º.- Los Licdos. Wauters Vargas y Pórter Laitano, en el carácter expresado, formularon recurso de casación en el que, en lo conducente, manifestaron: "... Recurso de casación por la forma: Violaciones. 1) La obligación principal y su garantía están fatalmente prescritas y así pedimos se declare. La obligación constante en el certificado de prenda que en este proceso se señala como fundamento de la demanda, no es una obligación autónoma o independiente celebrada entre la actora Inversiones Comebk S.A. y nuestra representada Nombre188315 . sino que es una obligación constituida según consta en dicho certificado de prenda, entre la accionante Inversiones Comebk S.A. y Beneficiadora Cachí S.A., hoy su quiebra, frente a la cual Nombre188315 . es un simple tercero. Como consecuencia de lo anterior, la deudora Beneficiadora Cachí S.A., o su quiebra, debió de haber sido necesaria e indispensablemente notificada en el proceso, no sólo para determinar en forma fehaciente si la obligación había sido pagada o no, ya sea en todo o en parte, sino también, porque lo que aquí se resuelva podrá depararle perjuicio, no sólo en cuanto al eventual saldo en descubierto que podría luego ser legalizado en la quiebra, sino, además, por los reembolsos que ésta debería hacerle a Nombre188315 . en virtud de la garantía que se llegara a liquidar, razones por las cuales debió de habérsele emplazado y dársele la oportunidad de oponer las excepciones o defensas correspondientes.
Lo anterior ha causado indefensión absoluta, tanto a la quiebra de Nombre185657 , como a nuestra representada Nombre188315 ., lo cual produce la nulidad absoluta de todo lo actuado y resuelto en el correspondiente proceso ejecutivo hipotecario citado en la referencia, por lo que al respecto formulamos expresa y formal petición a fin de que así se declare, y anule todo lo actuado. Al no haber sido notificada la deudora Beneficiadora Cachí S.A., tampoco se le ha hecho emplazamiento a ésta para el pago de la obligación que está al cobro judicial en el proceso indicado en la referencia, ni se ha producido conforme a los actos, ninguna gestión interruptoria (sic) de la prescripción de ese crédito, provocándose la prescripción de la obligación principal y de las pretendidas garantías, lo que pedimos sea declarado. Violaciones: De acuerdo a los autos ‑repetimos‑, no se ha hecho emplazamiento a la compañía deudora Beneficiadora Cachí S.A., ya que ésta ni siquiera ha sido notificada en este proceso, por lo que pedimos se case la sentencia recurrida por la forma, de conformidad con lo establecido en el artículo 594 inciso 1) del Código Procesal Civil, a efecto de que se anule todo lo actuado y resuelto para cumplir con ese emplazamiento.
Asimismo el Tribunal Superior incurrió en violación, por falta de aplicación de lo dispuesto en el artículo 296, inciso a), del Código Procesal Civil, que establece que los efectos del emplazamiento son materiales y procesales, y se producen a partir de la notificación del demandado, siendo un efecto material el de interrumpir la prescripción, violación que expresamente reclamamos. Por otra parte, de conformidad con lo establecido en el artículo 578 del Código de Comercio, en cuya violación incurrió el Tribunal de segunda instancia por falta de aplicación, la prenda se extingue por prescripción en el término de cuatro años, a partir del vencimiento de la obligación, plazo que ha transcurrido sobradamente en este proceso, en virtud de que por falta de emplazamiento, no han existido actos interruptorios (sic) de la prescripción; a mayor abundamiento, de que a Nombre188315 . no se le dio audiencia sobre ese documento a fin de que pudiera oponer a él las defensas pertinentes, consecuentemente pedimos se aplique esta disposición y se declare prescrito el certificado de prenda donde está constituida la obligación principal que aquí se ejecuta.
Por otro lado, de acuerdo con lo establecido en el artículo 430, inciso 4), del Código Civil, cuya violación acusamos ya que el Tribunal de segunda instancia no lo aplicó, las cédulas hipotecarias que supuestamente garantizan la obligación constante en el certificado de prenda (en realidad no existió o no se dio consentimiento de nuestra representada para otorgar la pretendida garantía) se encuentran totalmente prescritas. A mayor abundamiento de que la prescripción de la obligación que consta en el certificado de prenda aludido, también sustenta la prescripción de las indicadas cédulas hipotecarias, lo que expresamente pedimos sea declarado en apoyo de dicha norma, casándose la sentencia recurrida. Además, para establecer una ejecución hipotecaria o prendaria, necesariamente se requiere de un documento que constituya título ejecutivo, y conforme al artículo 630, inciso
8º.- En los procedimientos se han observado las prescripciones legales. Interviene en la decisión de este asunto el Magistrado Suplente Horacio González Quiroga, en sustitución del Magistrado Titular, Rodrigo Montenegro Trejos, por licencia concedida.
Redacta el Magistrado Zeledón Zeledón; y,
CONSIDERANDO:
I.El recurso de casación procede sólo contra las sentencias o autos con carácter de sentencia, conforme a la cuantía establecida por la Corte Plena, o cuya cuantía sea inestimable, dictadas por los Tribunales Superiores únicamente en los siguientes asuntos: 1.- en procesos ordinarios o abreviados; 2.- en los demás procesos, siempre y cuando produzcan cosa juzgada material; 3.- en asuntos de conocimiento de los Tribunales Superiores en única instancia; y 4.- en los demás casos que establezca expresamente la ley. Artículos 889, 900 y 1019 del Código de Procedimientos Civiles anterior, 591, 704 y Transitorio I, del Código Procesal Civil vigente. Puede consultarse la resolución de la antigua Sala de Casación Nº 57 de las 13 horas del 20 de junio de 1979 y la de esta Sala, Nº 102 de las 14:17 horas del 4 de julio de 1990. En procesos sumarios la resolución final no produce cosa juzgada material o sustancial, por lo cual carece del recurso de casación, salvo lo que luego se dirá.
En efecto, este recurso de casación en un proceso ejecutivo hipotecario, fue admitido oportunamente porque la resolución recurrida trata de una excepción de prescripción, y del artículo 165 del Código Procesal Civil resulta que las sentencias que se refieren a la prescripción dictadas en otra clase de procesos, no pueden ser discutidas en las vías ordinaria o abreviada, lo que significa que tienen entonces la autoridad y eficacia de la cosa juzgada material (artículos 153 y 591, inciso 2º ibídem). Lo expuesto significa que la Sala debe limitarse a conocer únicamente de lo que se refiere a la prescripción, de ahí que cualquier otra alegación de fondo o de forma que no se refiera a ella, está vedado su análisis y pronunciamiento y procede denegarla de plano (En este sentido se pronunció la Sala en Sentencia N 82 de las 9 horas y 15 minutos del 16 de setiembre de 1994).
II.Nombre188315 Sociedad Anónima constituyó dos cédulas hipotecarias, una de primero y la otra de segundo grado, sobre su finca inscrita en el Registro Público, Sección de Propiedad, Partido de Cartago, bajo el Sistema de Folio Real Matrícula número Placa36148, a favor de Inversiones Comebk Sociedad Anónima. Las mismas, fueron expedidas el 11 de enero de 1984. Cada una garantizó un crédito hipotecario por la suma de 250.000 dólares, con un interés del 24% anual, el cual debía ser cancelado el día 1 de junio de 1983. El 13 de mayo de 1987 fueron presentadas para su cobro ante el Juzgado Tercero Civil de San José. Este, al declararse incompetente, lo remitió al Juzgado segundo Civil. Los Licenciados Hugo Pórter Laitano y Gilberto Wauters Vargas fueron nombrados como representantes de la sociedad demandada, y en tal carácter aceptaron y juraron cumplir el cargo, según consta en acta de las 10 horas del 13 de mayo de 1988.
El Licenciado Hugo Pórter fue notificado, de la resolución que decretó el embargo y remate, el 14 de julio de 1993. El día siguiente, 15 de julio de 1993, formuló incidente de prescripción o caducidad de las cédulas hipotecarias, por cuanto el embargo no fue anotado hasta el 6 de julio de 1993. El Juzgado, en resolución de las 16 horas del 13 de junio de 1994, rechazó la caducidad y acogió el incidente de prescripción de las cédulas hipotecarias. El Tribunal, mediante resolución N1451-L de las 8 horas y 35 minutos del 26 de octubre de 1994, revocó la resolución del Juzgado y declaró sin lugar el incidente de prescripción. Consideró la existencia de actos interruptores de la prescripción conforme a los numerales 183 y 296, inciso 1), del Código procesal Civil, y señala como inaplicable el artículo 430, inciso 4), del Código Civil por referirse a terceros y no a las partes contratantes de la relación hipotecaria.
III.Recurso de casación por razones procesales: El recurso de casación por la forma acusa la nulidad absoluta de todo lo actuado por existir indefensión. Se invoca la falta de notificación a Beneficiadora Cachí S.A, y la inexistencia de un título suficiente y necesario para ordenar el remate, según lo dispuesto por el artículo 630, inciso 3), del Código Procesal Civil. Conforme al numeral 594, inciso 1), del Código Procesal Civil solicita anular todo lo actuado y resuelto. Como se señaló en el primer Considerando, a esta Sala le está vedado entrar a conocer cuestiones formales pues el objeto del recurso es única y exclusivamente lo referido a la prescripción alegada. Por lo expuesto se debe rechazar ese agravio.
IV.Recurso de Casación por razones substantivas: El recurso de casación acusa violación directa e indirecta de las normas de fondo. En el primer motivo por violación indirecta se acusa error en la apreciación del elemento probatorio. El Tribunal, se aduce, llegó a conclusiones diferentes con los mismos hechos probados al introducir como elemento de valoración que no ha transcurrido el plazo de prescripción decenal, conforme al numeral 430 del Código Civil. Además, se argumenta, Nombre188315 . es un simple tercero y por ello los actos establecidos por el Tribunal no pueden ser tomados en cuenta para efectos de interrumpir la prescripción. El segundo agravio por violación indirecta se refiere a errores de hecho y de derecho en la apreciación de la prueba documental por cuanto las cédulas hipotecarias no garantizan la obligación constante en el certificado de prenda. Por ello, según su criterio, al basarse el proceso en actos inexistentes se produjo una nulidad absoluta declarable de oficio conforme a los artículos 835 y 837 del Código Civil los cuales acusa violados por falta de aplicación.
Por violación directa de las normas de fondo, el recurso contiene dos agravios. El cuanto al primer agravio, aún cuando es invocado dentro de los motivos por razones procesales, la Sala ha admitido la posibilidad, para evitar formalismos innecesarios, de conocer como de fondo agravios invocados en el recurso por la forma y viceversa. Se acusa la infracción por falta de aplicación de los numerales 296 inciso a) del Código Procesal Civil, 578 del Código de Comercio y 430 inciso 4) del Código Civil. Considera el recurrente que no existieron actos interruptores de la prescripción y por ello tanto la prenda como las cédulas hipotecarias se encuentran prescritas. El segundo agravio acusa la infracción de los numerales 578, 778 y 977 del Código de Comercio, así como el artículo 430, inciso 4), del Código Civil. Las acciones nacidas de una prenda, se alega, prescriben a los cuatro años. Los actos citados por el Tribunal, se sostiene, no tienen la virtud de interrumpir la prescripción y tampoco ha existido anotación ante el Registro Público.
V.El recurso por violación indirecta a las normas de fondo es informal. Técnicamente no reúne los requisitos mínimos señalados por los artículos 595, inciso 3), y 596, párrafo 2, del Código Procesal Civil. No se señala en forma expresa las normas del valor probatorio de los documentos aportados. No se indica con claridad la forma como dicha violación ocurrió al ser incorrectamente apreciada la prueba. Solo cita, sin profundizar en argumentos jurídicos, los numerales 430, 835 y 837 del Código Civil. No explica, con la técnica jurídica del caso, en forma clara y precisa cómo operó la infracción en la resolución recurrida. Tampoco indica con claridad los tipos de errores, si son de hecho o de derecho y en qué consisten, señalando para ambos las normas de fondo violadas y para el segundo las normas referidas al valor probatorio de los documentos. Por lo expuesto debe rechazarse el recurso en cuanto a este extremo.
VI.Esta Sala ha sentado los principios básicos en materia de prescripción extintiva. En la Sentencia No. 120 de las 15 horas del 29 de julio de 1992 señaló: "IV.- La prescripción extintiva, también denominada negativa o liberatoria, es una institución creada para tutelar el orden social y la seguridad en las relaciones jurídicas. El ejercicio oportuno de las acciones y los derechos, podría decirse, está asistido de un interés social. La postergación indefinida en tal sentido acarrea duda y zozobra en los individuos y amenaza la estabilidad patrimonial. El instituto de mérito propende, precisamente, a eliminar las situaciones de incerteza, producidas por el transcurso del tiempo, en las relaciones jurídicas. Para su aplicación se requieren tres elementos: el transcurso del tiempo previsto por la ley, la falta de ejercicio por parte del titular del derecho y la voluntad del favorecido por la prescripción de hacerla valer, ya sea a través de una acción o de una excepción, pues no puede ser declarada de oficio por el juez y es posible su renuncia tácita o expresa, siempre y cuando no sea anticipada.
Además, debe atenderse a la naturaleza del derecho en cuestión, pues existen situaciones jurídicas, de particular relevancia para el ordenamiento jurídico, que son imprescriptibles. En cuanto a su fundamento, se le consideró, en un principio, una sanción o pena contra el titular de un derecho quien, por negligencia, crea una situación de inseguridad censurable en razón de la cual el legislador veda, salvo renuncia del interesado, la posibilidad de su ejercicio tardío. Se ha dicho dentro de la doctrina, que la prescripción encuentra su razón de ser en una presunta renuncia tácita del derecho por parte de su titular, quien a través de su inactividad, trasunta su intención de no reclamar lo que le corresponde. A tal posición se le ha objetado, con acierto, que la prescripción no puede considerarse ni como una pena por un actuar negligente, ni como una renuncia tácita, pues si eso fuera cierto, debería permitirse al perjudicado con ella demostrar la inexistencia de culpa castigable o de la presunta intención de abandono.
Dicha crítica concuerda con nuestra legislación mercantil, pues contra la prescripción extintiva no se permite "... más excepción que la de suspensión cuando ésta legalmente se haya operado, y el mal cómputo en los términos" (Artículo 985 del Código de Comercio). Ergo, cualquier argumentación tendente a demostrar que no ha existido negligencia o voluntad de renuncia se encontraría al margen del citado precepto. La posición dominante, en la actualidad, atribuye el fundamento de la prescripción a la necesidad de crear un estado de seguridad jurídica ante una situación objetiva de incertidumbre, producida por el no ejercicio oportuno del derecho. Puede afirmarse, por ende, que el valor tutelado por el derecho en estos casos es la seguridad jurídica, por lo cual se pretende evitar el ejercicio sorpresivo de un derecho. Así, serían varias las situaciones tuteladas en estos casos; por ejemplo, cuando eventualmente la obligación reclamada hubiere sido oportunamente honrada, pero, a raíz del tiempo transcurrido, no se cuente ya con los documentos o las pruebas requeridas para poder demostrar la extinción de la obligación; o cuando la deuda a cobrar haya sido ya olvidada por el deudor en virtud del transcurso prolongado del tiempo y la inercia del acreedor.
En todo caso, la prescripción emerge como un medio para crear seguridad, lo cual propende al orden y a la tranquilidad social. Empero, no resulta difícil imaginar situaciones en las cuales la prescripción pueda servir, en cierto modo, para tutelar injusticias e impedir el ejercicio de derechos los cuales verdaderamente existieron. Al respecto, es de señalar, que el derecho, como vehículo para la realización de la justicia, precisa actuar, necesariamente, dentro de un marco de certeza y seguridad. De no ser así, el fin último enunciado, se vería frustrado, en su dimensión práctica o funcional. La justicia no puede operar en medio de situaciones de incertidumbre e inestabilidad. Es por ello que la seguridad se yergue, inevitablemente, junto con la justicia, como valor esencial del derecho. Ninguno de los dos, como fin de éste, es absoluto en el quehacer jurídico. En algún momento, uno de ellos, en aras de la supervivencia del otro, tiene que ceder.
Eso ocurre en el caso de la prescripción cuando, en favor de la seguridad, cede la justicia. De no ser así, ésta, como fin esencial del derecho, peligraría, al entronizarse la incertidumbre y el desorden en el medio social, factores que la tornan inalcanzable. Tal fenómeno significa no ignorar la justicia, sino fijar un plazo por parte del legislador, dentro del cual la tutela de ella halla cabida; pero, una vez transcurrido éste, y en obsequio a la seguridad, cede ante la necesidad de evitar litigios y controversias suscitados a destiempo, y por ende de difícil solución, cuya posible incidencia mantendría una enervante sensación de incertidumbre en las relaciones humanas. V.- El ordenamiento jurídico establece, con el fin de soslayar la rigidez del sistema, la posibilidad de evitar la prescripción cuando la situación objetiva de hesitación cesa, por alguno de los motivos expresamente previstos por la ley.
Es el caso de la interrupción del instituto dicho. Al faltar el fundamento de éste -porque se cumple con un acto en el cual se ejerce el derecho, o bien, si se da un reconocimiento de parte del sujeto obligado-, el término de prescripción comienza a correr de nuevo, sin que se pueda volver a computar el que anteriormente había transcurrido. El acto interruptivo viene a confirmar, por ende, que el fundamento de la prescripción radica en la necesidad de eliminar una situación objetiva de incerteza, la cual, si desaparece, priva de justificación una posible extinción del derecho reclamado. VI.- El Código de Comercio establece, en su artículo 977, las causas de interrupción de la prescripción en materia mercantil. Dado el interés público que asiste a este instituto, la interpretación de las causas de interrupción previstas debe ser restrictiva, pues ha de prevalecer el interés de la comunidad en evitar discusiones sorpresivas perturbadoras del orden social y la seguridad jurídica.
Además, en materia comercial, existen otros factores relevantes, a tenerse en cuenta al momento de interpretar esta normativa, cuales son la celeridad y seguridad propias de las relaciones mercantiles. Respecto a la actividad en el campo civil, el mundo comercial está caracterizado por una mayor agilidad en la formación y extinción de los negocios. La movilización acelerada y masiva de bienes, debe verse respaldada por un sistema normativo que auspicie la seguridad en las relaciones y evite la inmovilización de capitales en espera de reclamos tardíos, pues esto último perjudicaría los fines perseguidos por el ordenamiento mercantil. En consecuencia, la interpretación del artículo 977 del Código de Comercio, no puede prescindir de la naturaleza y función de la prescripción ni de su adecuación a las situaciones propias del derecho mercantil. Tal empeño debe realizarse en una forma integral, como lo preceptúa el artículo 10 del Código Civil, "... según el sentido propio de sus palabras, en relación con el contexto, los antecedentes históricos y legislativos y la realidad social del tiempo en que han de ser aplicadas, atendiendo fundamental-mente al espíritu y finalidad de ellas" (lo evidenciado no es del original).
VIII.-...El valor perseguido por el ordenamiento jurídico, en realidad es el de la seguridad, que ha sido perturbado en una relación jurídica, por el no ejercicio oportuno del derecho de una de las partes, lo cual compromete, por ende, la posición de la otra. Concurren, entonces, intereses relevantes contrapuestos, a saber: los pertenecientes a la situación jurídica crediticia, por un lado, y, por otro, aquéllos de la debitoria. La incertidumbre afecta, en mayor medida, a la parte deudora y la prescripción ha sido un instrumento dado a ésta para que, si no tiene a bien renunciarla, sea utilizado como acción o excepción. Ante esta situación, no podría existir seguridad jurídica si la parte a favor de la cual ha sido instituida la prescripción, ignora el acto tendente a desvirtuar la inercia del titular. Por ende, las causas de interrupción de la prescripción deben ser conocidas por el deudor, para que eficazmente cese el estado de incertidumbre creado por la falta de ejercicio del derecho por parte del acreedor.
En este sentido, la interpretación dada por los juzgadores de instancia a la norma alegada como violada, según la cual es necesaria la notificación de la demanda para que se dé el efecto interruptivo, es avalada por esta Sala, no sólo por ser la que más se ajusta al fundamento propio de la prescripción, sino también por cumplir los fines perseguidos por el derecho mercantil, al permitir una mayor celeridad y seguridad en las transacciones comerciales. A esta interpretación se le podría atribuir posibles injusticias, en situaciones en las cuales no pueda ser notificado en forma rápida el demandado, por atrasos imputables al Despacho judicial o por dificultades suscitadas para localizar al deudor y cumplir con esta diligencia. Sin embargo, en el primer caso, si se considera que la sola presentación de la demanda interrumpe la prescripción, se estaría causando un perjuicio al deudor ignorante de la acción incoada en su contra, y no existe motivo alguno para sacrificar el valor seguridad, pues tampoco es imputable al deudor el retraso normal o excesivo que pueda sufrir la tramitación del asunto en sede jurisdiccional.
En caso de dificultad para notificar al deudor, el ordenamiento ha puesto al servicio del accionante -a quien procesalmente corresponde, junto con el juzgador, velar por la celeridad del proceso- mecanismos para poder salvar los obstáculos que se presenten, como la notificación por el Boletín Judicial y un periódico, prevista por el artículo 177 del actual Código Procesal Civil (cuyo antecedente en el Código de Procedimientos Civiles derogado se encontraba en su artículo 103); la notificación en el extranjero, contemplada en el artículo 180 del nuevo Código Procesal (correspondiente al artículo 98 del Código de Procedimientos derogado); o el nombramiento de un curador para determinado negocio, si se presentan las circunstancias previstas por el artículo 67 del Código Civil. Por ende, el acreedor se halla en posibilidad real de evitar la prescripción de su derecho, por lo cual debe velar por su ejercicio en la forma más conveniente.
Por ello, la actual legislación procesal civil, que aún no se encontraba en vigencia al momento de presentarse la demanda, el trece de marzo de mil novecientos ochenta y nueve, trató de zanjar cualquier duda al respecto, al considerar la prescripción como un efecto material del emplazamiento, producido al momento de su notificación (artículo 296, inciso a), del Código Procesal Civil).".
VII.Propiamente en cuanto a la notificación y otros actos interruptores de la prescripción, en la Sentencia No. 21 de las 14 horas y 15 minutos del 6 de mayo de 1994, la Sala indicó: "V.- Por notificación se entiende tanto la acción y efecto de notificar cuanto el documento en que se hace constar.- Notificar es hacer saber una resolución de la autoridad con las formalidades preceptuadas para el caso; en un sentido amplio es dar noticia de una cosa, por lo que es sinónimo de comunicar.- En lo jurisdiccional la notificación se da no solo con las formalidades establecidas por la ley, sino que, en ausencia de ellas también se admite como legalmente hecha, cuando la persona se hubiere manifestado en juicio sabedora de la resolución, conforme resulta del artículo 100 del Código de Procedimientos Civiles anterior, y de los números 182 y 183 del Código Procesal Civil vigente, y esta forma de notificación resulta principalmente de los escritos presentados por la parte, de cuyo contenido así resulte expresa o tácitamente, ante la gestión o acto procesal a consecuencia del cual se presenta ese escrito.- Y esto último es lo que cabe admitir en este asunto, pues aun cuando por tratarse de actos procesales del juez, es lógico que la nulidad decretada comprende las actas de notificación, se mantienen los escritos de la parte actora impulsando el procedimiento cobratorio, con lo que es evidente su voluntad y actividad desplegada para hacer efectivo el cobro del crédito a su favor, así como también los escritos de los diferentes curadores de la quiebra o concurso mercantil, presentados a consecuencia de aquellas gestiones, con lo que se manifestaban sabedores de ellas, escritos que no contienen ninguna objeción a la obligación que se cobra, conforme se detalló en el Considerando I de esta resolución, quedando así notificados de la demanda y de esas gestiones cobratorias, y requerimientos escritos, y al no hacer objeción alguna como se ha dicho, en forma tácita al menos se reconoció así la deuda y se interrumpió la prescripción (artículo 977, incisos a), b) y c), del Código de Comercio)....".
VIII.En materia civil, las normas sobre el régimen de interrupción a la prescripción están contenidas en los numerales 875 al 879 del Código Civil (capítulo IV, Título VI "De la prescripción"). Se aplican tanto a la prescripción positiva o usucapión cuanto a la prescripción extintiva. Se asemejan mucho a las causas previstas en materia comercial. Los numerales 876 y 877 del mismo cuerpo normativo regulan tres formas de interrumpir la prescripción extintiva.
IX.La prescripción de las cédulas hipotecarias se rige por las disposiciones contenidas en el Código Civil. El artículo 430, inciso 4o., establece: "Si han pasado más de diez años desde el vencimiento del plazo para el pago, la cédula no surtirá efectos después de esta fecha en perjuicio de terceros, siempre que el Registro no manifieste circunstancias que impliquen gestión cobratoria o reconocimiento del crédito u otra interrupción de la prescripción...". De dicha norma se desprenden tres aspectos fundamentales: 1) Las cédulas hipotecarias prescriben por el solo transcurso de 10 años desde el vencimiento, cuando no conste en el Registro ninguna causa interruptora de la prescripción; 2) el plazo de prescripción de las cédulas hipotecarias, como con el derecho real de hipoteca, es el ordinario de diez años; y, 3) son causas interruptoras de la prescripción la gestión cobratoria, el reconocimiento del crédito, o cualquier otra admitida por el Código Civil.
X.Los motivos del recurso de casación por violación directa a las normas de fondo no son de recibo. El recurrente interpreta en forma errónea el artículo 430 inciso 4o. del Código Civil. Según él en el Registro no constaba gestión cobratoria o cualquier otra causa interruptora de la prescripción. Pero, el requerimiento de dicha norma es para efectos de terceros. En este caso Nombre188315 . no es tercero. Es una parte de la relación contractual. Por ello carece de relevancia si el decreto de embargo se inscribió con posterioridad al plazo de prescripción. Pero como se verá sí existieron otras causas interruptoras de la misma. Tampoco ha habido violación del numeral 578 del Código de Comercio. Si bien esta norma establece como causa extintiva de la prenda la prescripción, y el término es de 4 años a partir del vencimiento de la obligación, ese régimen no es aplicable a las cédulas hipotecarias. Estas se rigen por la prescripción decenal consagrada en el Código Civil. Particularmente en los artículos 430 inciso 4o, 471 párrafo segundo y 868. Por ello no hay violación del numeral 977 del Código de Comercio y menos del 778 pues no tiene relación con lo discutido.
XI.Las cédulas hipotecarias objeto de la ejecución no están prescritas. Como lo ha tenido por acreditado el Tribunal han existido causas interruptoras de la prescripción. Evidentemente, desde un principio, los representantes de Nombre188315 . se enteraron de la gestión cobratoria realizada por Inversiones Comebk S.A. Ello se desprende tanto de su interés por aceptar el cargo de representantes (folios 46, 82 y 85), con lo cual tuvieron conocimiento del proceso planteado, cuanto al gestionar combatiendo el cobro de la deuda. A juicio de esta Sala el Tribunal aplicó correctamente el principio de la notificación automática o tácita. Ella comprende dos aspectos: 1) se produce mediante cualquier gestión; y 2) dicha gestión debe suponer conocimiento de la resolución, para que se produzca la notificación tácita. En el subjúdice, los Licenciados Gisberto Wauters Vargas y Hugo Pórter Laitano, han realizado innumerables gestiones dentro del proceso como representantes legales de Nombre188315 .
(folios 40 y 85). Entre otros, se destacan las gestiones donde presentan varios recursos de apelación (folios 44, 84 y 92). El 12 de enero de 1989 el Juzgado ordenó sacar a remate los bienes objeto de las cédulas hipotecarias, resolución en la cual se previene a la demandada señalar lugar para atender notificaciones (folio 234). Mediante gestión del 5 de junio de 1989 los representantes de Nombre188315 . alegan la falta de validez de la ejecución por carecer de acción legal en Costa Rica. Con ello, obviamente, se estaban dando por notificados de la primera resolución que ordena sacar a remate el bien gravado, interrumpiéndose nuevamente el plazo de prescripción. Cuando se produce la notificación del auto del 2 de julio de 1993, el 14 de julio, no habían pasado más de diez años desde el último acto interruptor de la prescripción. Como es bien sabido uno de los efectos de la interrupción de la prescripción es inutilizar el plazo transcurrido anteriormente.
Por ello, habiendo existido actos interruptores, bajo el principio de la notificación tácita y automática, procede desestimar los agravios planteados, en cuanto a la violación del numeral 296 inciso 1) del Código Procesal Civil. Se aplicó en forma correcta lo dispuesto en dicho artículo el cual establece como efecto del emplazamiento judicial la interrupción de la prescripción.
XII.En la sentencia N 82 de las 9 horas y 15 minutos del 16 de setiembre de 1994, la Sala analizó el tema de la prescripción de las cédulas hipotecarias en relación a la prenda comercial, y los efectos en cuanto a terceros. Al respecto señaló: "...V.- Reclama el recurrente la infracción de los artículos 430, 876 y 879 del Código Civil, alegando que la notificación de la demanda en el ejecutivo prendario interrumpe la prescripción de la obligación y consecuentemente de las cédulas hipotecarias ofrecidas como garantía. A su juicio, es suficiente con la presentación de la demanda para que opere la interrupción. Por último, añade que no se valoró correctamente la anotación de la demanda hipotecaria en el Registro de la Propiedad, desde el 13 de diciembre de 1991, que también interrumpe la prescripción. La demanda se presentó y la notificación se produjo ya vigente el actual Código Procesal Civil, por lo que conforme a su artículo 296, no es la presentación sino la notificación lo que interrumpe la prescripción tanto civil cuanto mercantil, según se explicó.
VI.- Se trata de dos procesos distintos para el cobro de un mismo crédito, pero aún así la notificación del ejecutivo prendario no interrumpe la prescripción de la cédulas hipotecarias, por cuanto sólo tiene ese efecto entre las partes y en el proceso en que se efectuó, y en relación con la garantía prendaria, no la de la hipoteca de cédulas, y menos cuando con éstas, dada su especialidad se puede afectar a terceros. Y en lo que al ejecutivo hipotecario se refiere, se presentó el 31 de octubre de 1991, su anotación se ordenó el 6 y se presentó al Registro Público el 13, ambos días de diciembre de 1991, fechas todas cuando ya se habían cumplido los diez años desde la emisión y vencimiento de la cédula hipotecaria de 1º grado, el 22 y el 30 de setiembre de 1981, por lo que cuando el señor Nombre188318 compró el inmueble el 7 de enero de 1992, ya éste se había liberado de ese gravamen, por haberse operado la prescripción o más bien la caducidad, que es como se ha interpretado la disposición del inciso 4º del artículo 430 del Código Civil, que se incluye obligadamente en el texto de la cédula y que dice "Que si han pasado más de diez años desde el vencimiento del plazo para el pago, la cédula no surtirá efectos después de esa fecha en perjuicio de terceros, siempre que el Registro no manifieste circunstancias que impliquen gestión cobratoria o reconocimiento del crédito u otra interrupción de la prescripción; y el Registrador al inscribir nuevos títulos relativos a la finca respectiva, hará caso omiso de tal gravamen".
Y la misma suerte corrieron las otras dos cédulas el 30 de setiembre y el 30 de diciembre de 1981, contra las que no se siguió ningún proceso cobratorio y por lo mismo no se practicó ninguna anotación en el Registro Público, anotación que habría sido la interrupción de la prescripción o caducidad en relación con terceros, como es el caso del señor Nombre188318. Obsérvese que fue en fecha posterior, el 24 de enero de 1992, que el representante de la demandada se dio por notificado de la ejecución hipotecaria." El precedente citado ilustra la independencia de las cédulas hipotecarias. Aún cuando se trate de una garantía accesoria su régimen y plazo de prescripción se rige por el Código Civil. Además queda clara la aplicación del numeral 430, inciso 4o., para casos de terceros y no en relación con las partes contratantes. La diferencia del cuadro fáctico, en relación con el presente caso, radica precisamente en la existencia de actos interruptores de la prescripción.
En virtud de gestiones presentadas por los representantes de la demandada operó la notificación tácita o automática de las resoluciones arriba indicadas. Entonces se inutilizó el tiempo transcurrido anteriormente para efectos de la prescripción.
XIII.Por todo lo expuesto, no existiendo las violaciones de ley invocadas por los recurrentes, procede declarar sin lugar el recurso con las costas a cargo de quien lo interpuso.
POR TANTO:
Se declara sin lugar el recurso. Son sus costas a cargo de la parte que lo interpuso.
