II JUDICIAL CIRCUIT OF SAN JOSÉ, ENFORCEMENT OF JUDGMENT, at nine hours and ten minutes on diecinueve de enero del año dos mil veintitrés.- THIRD-PARTY OWNERSHIP CLAIM (TERCERÍA DE DOMINIO), filed by REFORESTACIÓN INDUSTRIAL LOS NACIENTES S.A., corporate identification number 3-101-77522, represented by Luis Salazar Rodríguez, identity card number 2-0322-0171, within the judgment-enforcement proceeding brought by La Asociación Preservacionista de Flora y Fauna (APREFLOFAS) and Jorge Lobo Segura against the State, the Sistema Nacional de Áreas de Conservación, and Industrias Infinito S.A. Asociación Norte por la Vida participates as an intervening party (coadyuvante).-

WHEREAS

I. PROCEDURAL ACTIONS

The following are deemed to constitute such actions:

  • a)On 23 de diciembre del 2016, Reforestación Industrial Los Nacientes S.A. filed a third-party claim seeking exclusion from execution (tercería excluyente de dominio) with respect to properties in the Province of Alajuela numbered 394051-000, 184259-000, 303718-000, 177560-000, and 175767-000, which at the time were owned by Industrias Infinito S.A. (images 2 to 5 of the third-party-claim record).
  • b)By order issued at fifteen hours and two minutes on 18 de setiembre del 2020, it was ordered that the present application be processed in a separate record, and by order issued at fifteen hours and thirty-one minutes on 25 de setiembre del 2020, the parties were granted a hearing. (images 42 to 44 and 46 of the third-party-claim record).
  • c)The State’s counsel responded to the application. (images 51 and 52 of the third-party-claim record).
  • d)Counsel for Mr. Jorge Lobo responded to the application filed. (image 160 of the third-party-claim record).

II. PROVEN FACTS

The following facts are deemed proven and relevant to the resolution of the third-party claim at issue:

  • 1)When the ordinary action was filed on 11 de noviembre del 2008, no notice of the ordinary action (anotación de la demanda ordinaria) was requested in the registry entries for the properties affected by the Crucitas mining project. (images 163 to 187 and 202 to 226 of the scanned principal case file).
  • 2)Upon filing the application for enforcement of judgment on 12 de abril del 2012, the plaintiff requested that an attachment (embargo) be ordered against properties in the Alajuela Registry District numbered 184259-000, 175767-000, 394051-000, 177577-002, 175783-002, 184445-002, 184445-008, 262865-004, 303718-000, 173125-002, 173127-002, 175399-002, 175419-001, 175769-000, 240277-002, and 293866-003, as well as several other immovable assets owned by Industrias Infinito S.A. At fifteen hours and eighteen minutes on 17 de abril del 2012, the parties were merely summoned to an oral hearing to consider the application for enforcement of judgment. (images 110 to 127, 130, and 131 of the judgment-enforcement record).
  • 3)At the judgment-enforcement hearing held on 30 de abril del 2012, the plaintiff Asociación maintained and expanded its request for the precautionary measure (medida cautelar) of attachment; nevertheless, no ruling was issued on the matter because the only determination concerned the evidence yet to be taken. (images 295 to 306 of the enforcement record).
  • 4)By a pleading filed on 06 de noviembre del 2012, the plaintiff Asociación requested a notice of action (anotación de demanda) and reiterated its request for attachment against the immovable and movable assets of Industrias Infinito S.A. (images 701 and 702 of the enforcement record).
  • 5)By a pleading filed on 09 de diciembre del 2014, the claimant Asociación again requested attachment against the assets of Industrias Infinito S.A. (images 831 to 833 of the enforcement record).
  • 6)On 04 de agosto del 2015, counsel for Mr. Jorge Lobo requested the notice and attachment of the assets of Industrias Infinito S.A. (image 1030 of the enforcement record).
  • 7)By order issued at fourteen hours and fifty-one minutes on 06 de agosto del 2015, said counsel was directed to specify the assets against which attachment was sought and to submit the corresponding certifications. (image 1031 of the enforcement record).
  • 8)By public deed N° 45 executed at sixteen hours on 10 de agosto del 2015 by Notary Public Juan Carlos Morera Fernández, the representatives of Industrias Infinito S.A. and Reforestación Industrial Los Nacientes S.A. agreed to the purchase and sale, free of mortgage liens and judicial notices, of properties in the Province of Alajuela numbered 184250-000, 394051-000, 175767-000, 303718-000, and 175769-000, for the sum of $445.000,00, which was paid and received to the parties’ satisfaction. The corresponding certified copy of the deed (testimonio) was submitted to the Registro Nacional at 11:41 hours on 11 de agosto del 2015. (images 8 to 10 of the third-party-claim record and 1049 to 1053 of the enforcement record).
  • 9)On 12 de agosto del 2015, the plaintiff Asociación submitted the information and documentation required by the Court. (images 1033 and 1034 of the enforcement record).
  • 10)On 12 de agosto del 2015, the intervening Asociación requested, as a precautionary measure, that the Registro Nacional be ordered to halt the registration process for the purchases and sales involving the immovable assets of Industrias Infinito. (image 1035 of the enforcement record).
  • 11)By order issued at seven hours and fifty-eight minutes on 13 de agosto del 2015, notice was ordered against properties in the Province of Alajuela numbered 394051-00, 184259-000, 303718-000, 175769-000, and 175776-000, and the writs (mandamientos) were made available to the interested party for service and processing. Additionally, the requested attachment was denied as premature, and the opposing party was granted a hearing on the measure. (images 1057 and 1058 of the enforcement record).
  • 12)The corresponding writ, issued at eight hours and twenty-five minutes on 13 de agosto del 2015, was submitted to the Registro Nacional at 12:04 hours on 13 de agosto del 2015. (image 20 of the third-party-claim record and images 1065 and 1066 of the enforcement record).
  • 13)On 14 de agosto del 2015, the plaintiff Asociación informed the Court that, because Industrias Infinito S.A. had proceeded to transfer the assets against which attachment and notice had been requested, it requested that the Registro Nacional be ordered to halt the registration process for the aforementioned sale and to freeze the properties (inmovilización de las fincas). (images 1067 to 1069 of the enforcement record).
  • 14)That request was reiterated by counsel for Mr. Jorge Lobo on 14 de agosto del 2015. (image 1071 of the enforcement record).
  • 15)By order issued at ten hours and forty minutes on 17 de agosto del 2015, and in view of the form and grounds on which the requests for the precautionary measures of halting registration of the purchases and sales made by the judgment debtor company and freezing the properties had been filed, the parties were granted a 24-hour hearing before a ruling was issued, and Reforestación Los Nacientes S.A. was ordered joined in the proceeding because it was the new owner of the properties at issue. (images 1073 and 1074 of the enforcement record).
  • 16)The precautionary application to halt the property-registration process, filed on 18 de agosto del 2015 by the Asociación participating as an active intervening party, was addressed in an order issued at fourteen hours and five minutes on 18 de agosto del 2015. (images 1081 and 1084 of the enforcement record).
  • 17)As relevant here, by order issued at seven hours and two minutes on 28 de agosto del 2015, the decision to join Reforestación Los Nacientes S.A. was annulled. (images 124 to 126 of the enforcement record).
  • 18)By Order N° 1031-15 issued at eight hours on 25 de agosto del 2015, the precautionary requests to halt the registration process and freeze the properties were denied. (images 1135 to 1140 of the enforcement record).
  • 19)In Voto N° 494-2015-II issued at fifteen hours and fifty-nine minutes on 8 de octubre del 2015, the Second Section of the Court of Appeals affirmed the ruling in Order N° 1031-15. (image 1263 of the judicial case file).
  • 20)Properties in the Province of Alajuela numbered 394051-00, 184259-000, 303718-000, 175769-000, and 175776-000 are currently registered with the Registro Nacional in the name of Reforestación Industrial Los Nacientes S.A.; those same properties are subject to a notice of action ordered in this proceeding on 13 de agosto del 2015. III. ON THIRD-PARTY OWNERSHIP CLAIMS (TERCERÍA DE DOMINIO)

As defined by Costa Rican law, this is a procedural mechanism through which a third party (a person who is not a party to the proceedings) claims ownership and title to attached property (bienes embargados). This follows from former Article 490 of the CPC and current Section 172 of the CPC in force, which respectively provide: “Article 490.- Classes.- Third-party claims (tercerías) may be ownership claims, priority claims, or distribution claims. They are ownership claims when the third party asserts ownership of the attached property, and priority claims (tercerías de mejor derecho) when the third party seeks preferential payment from the proceeds thereof because the property secures the third party’s claim by virtue of a security interest (derecho de garantía) or right of retention (derecho de retención). They are distribution claims (tercerías de distribución) in all other cases in which the third party neither claims ownership of the property subject to attachment (embargo) nor preference for payment from its proceeds.

A third-party claim filed by any other preferred creditor shall be admissible only as a distribution claim, without modifying any right that the creditor may assert if the debtor is declared subject to insolvency proceedings (concurso).” and “Article 172.- Classes of third-party claims. Third-party claims may be ownership claims, priority claims, or distribution claims. They are ownership claims when the third party asserts ownership of the attached property; priority claims when preference is sought for payment from the proceeds thereof; and distribution claims when the third party seeks to participate proportionally or pro rata in the proceeds of the attachment, alleging a claim based on an instrument bearing a legally certain date (título de fecha cierta) preceding the execution of the attachment or, in the case of registered property, its notation.” Closely related to the matter of third-party ownership claims, it is necessary to begin with Sections 455 and 456 of the Civil Code, which provide: “ARTICLE 455- Instruments subject to registration that have not been registered shall not prejudice third parties until the date they are filed with the Registry.

A third party shall be deemed to be anyone who was not a party to the act or contract to which the registration pertains. A person who records a notation based on a personal claim shall not have third-party status with respect to rights in rem (derechos reales) created by public deed (escritura pública) before notation of the attachment or judicial seizure (secuestro) order. However, if the public deed is filed with the Registry more than three months after its execution and a notation of attachment or judicial seizure already exists, those notations shall prevail over the deed unless the person deriving rights from the deed succeeds in proving, in ordinary proceedings against the person who recorded the notation, that such person’s right is genuine and not simulated. Such proceedings must be brought within three months following the date on which the deed was filed and shall be governed by the provisions of Article 978.

When deeds concerning rights in rem that were filed within three months following their execution are registered, the aforementioned attachment notations or registrations shall be disregarded without the need for any application, petition, or ruling so declaring, and the Registrar shall enter a marginal note beside the entries for those notations or registrations stating that, pursuant to this article, they have become entirely null and ineffective with respect to the property or rights concerned.” and “ARTICLE 456.- Registration does not cure registered acts or contracts that are void or voidable under the law. However, once registered, acts or contracts performed or executed by a person who appears in the Registry as entitled to do so shall not be invalidated as against third parties, even if the grantor’s right is subsequently annulled or terminated by virtue of an unregistered instrument, implicit grounds, or grounds that, although explicit, do not appear in the Registry.” These articles establish the basic rules of registration law (derecho registral), namely the principles of public notice (publicidad registral) and registration priority (prioridad registral).

In practice, these principles mean that legal acts requiring registration with the Public Registry do not take effect against third parties until they are filed with that body and that, where several legal transactions conflict, priority is given to the one first filed, chronologically, with that Registry, subject to the statutory exceptions stated in the preceding sections. On this subject, our courts of justice in various fields and the First Chamber of the Supreme Court of Justice have stated:

“VI.- The appellant in cassation’s argument centers on the application of the principle ‘prior in tempore potior in iure’ (first in time, first in right), used in the law of rights in rem to determine the effectiveness against third parties of acts transferring such rights. In this regard, it is appropriate to reproduce the case-law criteria followed by this Chamber and set forth in Judgment Nº 84, at 14:30 on 22 de mayo de 1992, which states: ‘V.- ... Our legal system establishes a dichotomy between rights in rem and personal or credit rights (derechos personales o de crédito); Articles 455, 456, and 457 of the Civil Code faithfully reflect that distinction because they establish the rules for resolving conflicts between rights in rem and personal rights. Article 455 primarily governs conflicts between a right in rem and a personal right. When two rights in rem conflict, the rule “first in time, first in right” applies; where registrable rights in rem are concerned, that rule must be understood as referring to whichever is filed first with the Registry.

Thus, the first paragraph of that section provides that instruments subject to registration take effect against third parties only upon being filed with the Registry. (...) This means that registration of an instrument entailing a change in a legal relationship involving a right in rem prevents any other instrument of the same nature that is incompatible with it from gaining entry to the Registry, even if the latter bears an earlier date. It should be noted that the effects of registration of the instrument relate back to its filing date. Competing instruments arise when they are executed by the same registered titleholder, and their incompatibility stems from the impossibility of recognizing identical rights or powers over the same immovable property in two different persons. Spanish legal scholarship has termed the foregoing “closure of the registry” (cierre registral), because it prevents new contradictory entries or prior rights irreconcilable with the instrument filed for registration from gaining entry to the Registry.

VI.- Regarding a conflict between rights in rem and personal rights, this Chamber stated the following in its recent Judgment No. 60 at 15 hours on 24 de abril de 1991: “III.- The fundamental purpose of the Public Property Registry is the registration, security, and public notice of rights in rem. Accordingly, everything relating to the creation, vicissitudes, and extinguishment of such rights, in addition to being significant to their holder, is highly relevant to third parties, who only through public notice in the registry can ascertain the precise status of those rights, both insofar as they may converge with other rights in rem and with respect to the effect of personal rights upon them. Problems arising among different rights in rem, or from personal rights affecting them, are governed by Sections 455, 456, and 457 of the Civil Code, and the case law has established very clear guidelines concerning these provisions, particularly following the amendment to Article 455 enacted pursuant to Law Nº 2928 of 5 de diciembre de 1961 (Cassation Judgment Nº 95 at 15 hours 45 minutes on 7 de agosto de 1968).

This is so because, before that amendment, the case law (from the judgment at 15 hours and 30 minutes on 30 de abril de 1904 through the judgment at 10 hours and 30 minutes on 26 de agosto de 1947) accorded third-party status not only to a new acquirer of a right in rem but also to a personal or unsecured creditor (acreedor quirografario). Following the amendment, clearer criteria were established, under which a person who records a notation of attachment based on a personal claim must not be regarded as a third party; furthermore, a transfer of a right in rem that was not filed with the Registry before notation of an attachment based on a personal claim against the transferor remains valid without prejudice to the acquirer if, within three months following execution of the deed of transfer, the acquirer files it with the Registry; and, finally, if a deed transferring a right in rem against which an attachment based on a personal claim has been noted is filed more than three months after its execution, it shall prevail over that notation only if, in ordinary proceedings, the acquirer of the right in rem proves that the transfer was genuine and not simulated.

Such proceedings must be brought within three months following the date on which the deed was filed (Cassation Judgment Nº 95 at 15 hours 45 minutes on 7 de agosto de 1968). For its part, where rights in rem and personal rights converge, the principle of first in time, first in right must naturally prevail. Accordingly, even if one public deed was executed long before a later deed filed with the Registry, priority shall be given to the deed filed first. This follows from the unchanged rule in the first paragraph of Article 455 of the Civil Code, which was not legislatively amended, and it is the rule repeatedly accepted by the case law. Notwithstanding the foregoing, the legal system does not seek to have the Registry confer greater validity upon any void or voidable act filed earlier for registration, much less to cure it; consequently, a party remains free to seek a declaration of either of those defects.

Nevertheless, once registered, acts or contracts performed by a person who appears in the Registry as entitled to do so shall not be invalidated as against third parties, even if the grantor’s right is subsequently annulled or terminated by virtue of an unregistered instrument, implicit grounds, or grounds that, although explicit, do not appear in the Registry (Article 456 of the Civil Code). It is stated that the legal system does not seek to have the Registry confer greater validity upon any act because, although the rule is that actions for rescission or termination (acciones de rescisión o resolución) shall not apply against a third party who has registered that party’s right, this rule has two exceptions: the first is consensual in origin, since if the parties stipulated it and it appears in the Registry, the action for rescission or termination prejudices the third party; and the other arises when the parties have promoted the creation of acts or contracts in fraud of creditors (fraude de acreedores), in which case rescission or termination applies when the second conveyance was made gratuitously or when the third party had knowledge of the fraud (Article 457 of the same Code).”’ (Emphasis not in the original, Voto N° 80-1994, at fourteen hours and forty-five minutes on siete de setiembre de mil novecientos noventa y cuatro.)” “IV.- It is necessary to clarify that Article 455, in its fourth paragraph, under which the annotation of an attachment (anotación de embargo) or seizure (secuestro) shall prevail over the acquisition of a real right (derecho real): ‘…unless the person deriving his or her right from the deed succeeds in proving, in ordinary proceedings against the party who obtained the annotation, that his or her right is genuine and not simulated, which proceedings must be instituted within the three months following the date on which the deed was submitted…,’ establishes a limitation period (plazo de caducidad).

This provision resolves the conflict arising between a real right and a personal or unsecured claim (derecho de crédito personal o quirografario). The prevailing thrust of the statutory provision is to give priority to the acquisition of the former over any eventual attachment or judicial sale (remate) of the property. If the real right arose through a public deed (escritura pública) before an unsecured creditor (acreedor quirografario) recorded the attachment in the Public Registry, that right shall prevail even if the instrument has not yet been submitted for registration, thereby creating an exception to the rule in the first paragraph, embodied in the principle ‘first in time, first in right’ (prior tempore potior iure). Nevertheless, if the acquirer of the real right submits the certified copy of the public instrument (testimonio público) within three months of execution of the deed and annotations of attachment or seizure exist, those annotations shall be disregarded, reaffirming the priority (prelación) of the real right over the personal right....

To all of the foregoing, it must be added that the Constitutional Chamber of the Supreme Court of Justice has held that the issue is governed in light of the rules on expiration (caducidad), as it explained in judgment no. 2809 of 15 hours 06 minutes on 11 June 1996, which the Ad quem cites in support of its decision.” (Emphasis not in the original, First Chamber, Decision 362-F-2007, at nine hours twenty minutes on the eighteenth of May of two thousand seven).

“III.- Within the special proceedings (procesos especiales), the Code of Civil Procedure specifically governs what are known as third-party proceedings (tercerías), which are a type of incidental proceeding (procedimiento incidental) brought in specific and defined circumstances; this means that predetermined matters established in advance by the legislature are adjudicated through expedited procedures. This other form of third-party intervention in proceedings comprises three procedural mechanisms: third-party ownership proceedings (tercería de dominio), third-party priority proceedings (tercería de mejor derecho), and third-party distribution proceedings (tercería de distribución). The term ‘third party’ refers precisely to a person who is not a party to the procedural relationship but whose assets are affected and who must therefore institute third-party proceedings so that the property or money claimed may be restored to that person, or so that the person may even share in certain sums of money.

Precisely so that the normal course of proceedings is not hindered by improper interventions whose resolution as such would have entailed a waste of time and money, the Code of Civil Procedure specifies the circumstances in which third-party proceedings are admissible. The Code of Civil Procedure does not, however, provide an exact definition thereof, but places them in the section on special proceedings, where they may be found beginning with Article 490. Modern procedural scholarship, for its part, defines them as ‘the action available to a person who is not a party to proceedings in order to defend his or her rights against those who are adjudicating their own rights, and which may be brought against both parties or only one of them’ DE SANTO (Víctor). Diccionario de Derecho Procesal, Buenos Aires, Edit. Universidad, 2000, entry: ‘tercería,’ p. 407. Among the special types of third-party proceedings is the one at issue in the present case: third-party ownership proceedings, which are admissible when property attached as belonging to the debtor is alleged to be owned by a third party, known, by virtue of that intervention, as the third-party claimant (tercerista).

Third-party ownership proceedings are generally brought in executive or enforcement proceedings (procesos ejecutivos o de ejecución); nevertheless, they have also been admitted in proceedings involving a full adjudication on the merits (procesos de conocimiento pleno), such as ordinary proceedings, and in cases where the challenged measure is a notice of pending litigation (anotación de demanda) as a standard precautionary measure (medida cautelar típica). The purpose of this mechanism is to enable a third party who is not involved in the dispute (litis) to seek the lifting of an attachment or a notice of pending litigation affecting property that does not belong to the parties and is not the subject matter of the dispute in which the third party is not a defendant, insofar as the attachment or annotation causes the third party harm. Such harm may affect the third party both in proceedings to enforce payment of sums of money and in ordinary proceedings in which title to property is claimed, because property belonging neither to the defendant nor to the plaintiff, but rather to that third party, is seized by way of attachment or made subject to a notice of pending litigation.

This is possible because of an appearance that makes such property seem, or leads it to be presumed, to belong to the party against whom enforcement is sought, contrary to the true circumstances that the third party must then prove—namely, that the third party is the current owner of the property claimed and acquired it before the attachment or annotation encumbered it. Third-party ownership proceedings are in fact an incidental matter (incidencia) through which a third party who claims to hold title to attached property seeks the lifting of the attachment or annotation improperly imposed upon or affecting that property. The procedural issue for determination (objeto procesal, thema decidendum) in a third-party ownership claim is the reversal of the registry status, while its substantive object (objeto material) is the exclusion of the attachment or annotation from the third-party claimant’s property, a declaration that the property is unencumbered, and its restoration to that claimant.

Accordingly, under this approach, the procedural parties participating in third-party proceedings are: a) The third-party claimant, who, in third-party ownership proceedings, is the person whose property is affected, whether in compulsory enforcement proceedings (ejecución forzosa) or ordinary proceedings, by another person’s liability, thereby becoming a principal voluntary intervenor (interviniente voluntario principal) in the enforcement proceedings. The third-party claimant must have a legal identity distinct from those of the enforcing party and the party against whom enforcement is sought; persons who held either status in the dispute in which the third-party proceedings are instituted, and persons joined to the litigants by the legal relationship constituting the subject matter of the enforceable judgment, lack such status. Two requirements must be met: first, the claimant must be a third party and therefore not involved in the proceedings; and second, the claimant must submit the instrument on which the claim is based (Active Standing on the Merits [Legitimación Ad Causam Activa]).

The standing of an ownership claimant is an extremely important requirement (the second requirement), since that claimant intervenes in another person’s proceedings to obtain the revocation of the procedural acts (actos procesales) consisting of the attachment or notice of pending litigation carried out by the court, which, because of their nature, may be revoked only in exceptional cases. The third-party ownership claimant must establish standing by submitting an instrument that, without prejudice to further evidence, establishes the alleged ownership of the property; this requirement also entails proof of the identity of that property—that is, that the attached property is precisely the property claimed as belonging to the claimant—and, without that requirement, the claim will not be processed (subsection 1 of Article 491 ibídem), so as to prevent manifestly unfounded dilatory incidents in the enforcement proceedings.

This is, of course, without prejudice to the plaintiff’s ability, once this requirement for processing the claim has been met, to offer appropriate evidence to establish the asserted right, the burden of proof resting upon that party. b) The enforcing party and the party against whom enforcement is sought appear as respondents in a passive joinder of parties (litisconsorcio pasivo). This is justified for a different reason in each case: the enforcing party or plaintiff in the principal proceedings must be joined because that party has an interest in opposing the claim, given that if the third-party claim is upheld, the property to which it relates—which the creditor intended to realize in order to recover the debt—will be removed from the enforcement proceedings, making it necessary to seek other property to subject to enforcement. The party against whom enforcement is sought, or defendant in the principal proceedings, also has a certain interest in the third-party incidental proceedings and is therefore afforded passive standing (legitimación pasiva), because granting the third-party claimant’s claim—which entails recognition of the claimant’s title to the attached property—simultaneously entails denying that the party against whom enforcement is sought holds title to it; in that event, the attachment or notice of pending litigation will affect other property within that party’s estate.

By reason of relatedness (conexidad), jurisdiction over the third-party proceedings lies with the Judge presiding over the principal proceedings (Kompetenz-kompetenz Principle); the third-party proceedings are conducted in a separate case file.... This means that third-party proceedings, as special proceedings, have a defined issue for adjudication (thema decidendum), that is, defined issues that may be raised by the claimant and the respondents, since the third-party claimant may dispute only title to the property attached or annotated in the litigation to which that claimant is not a party, while the respondents in the incidental proceedings may dispute only the third-party claimant’s lack of title or whether the third-party claimant acquired the property after the annotation or attachment had already encumbered it before the actual transfer (Articles 455 and 456 of the Civil Code). Matters concerning the invalidity of the instrument through which the third-party claimant acquired the property are reserved for adjudication in ordinary declaratory proceedings (proceso declarativo ordinario), since claims seeking the nullity of legal acts (nulidad de actos jurídicos) are not subject to special procedures (summary, abbreviated, or special proceedings) under our procedural legislation.-” (Emphasis not in the original, Voto Nº 0488-F-07 at ten hours fifteen minutes on the nineteenth of June of two thousand seven, AGRARIAN COURT OF THE SECOND JUDICIAL CIRCUIT OF SAN JOSÉ).

Based on the foregoing legal and jurisprudential framework, the specific case is analyzed.

IV. ON THE MERITS

Having analyzed the matter in detail, as well as the principal case file (currently scanned), the judgment-enforcement record, and the arguments of the parties involved, this Judge finds that the third-party ownership claim (tercería de dominio) filed (in 2016) by Reforestación Industrial Los Nacientes S.A. should be granted, for the following reasons. As previously stated, the conflict between rights in rem (derechos reales) and personal rights (derechos personales) must be resolved in accordance with Article 455 of the Civil Code (and, procedurally, by the Code of Civil Procedure, which applies supplementarily in this case pursuant to Article 220 of the Code of Administrative Litigation Procedure), from which the first-in-time, first-in-right rule (that is, the principle of registry priority (principio de prioridad registral)) is derived, as reiterated in the case law transcribed above.

The judicial case file shows that, upon the filing of the ordinary complaint and throughout the proceedings at the trial and cassation stages, the plaintiffs did not request that a notice of the complaint (anotación de la demanda) be entered against the properties that, at that time, were owned by Industrial Infinito S.A. and that might ultimately have been relevant for purposes of the requested remediation of environmental damage (reparación del daño ambiental). The applications for entry of notice of the complaint and attachment (embargo) of those assets were not made until the judgment-enforcement action was filed, in abril del 2012 (image 120 of the enforcement record), and subsequently on 5 de noviembre del 2012 (image 702 of the cited record) and 9 de diciembre del 2014 (image 831 of the cited record). For reasons unknown to this Judge, the records reviewed do not indicate that those applications were acted upon.

In agosto del año 2015, upon learning of the financial situation of the Canadian parent company of Industrias Infinito S.A., the plaintiffs and one of the supporting intervenors (coadyuvantes) in the proceedings requested the attachment and entry of notice against that company’s movable and immovable property, whereupon they were ordered to specify the assets whose attachment was sought and to submit the corresponding certifications. In this regard, it must be recalled that typical or atypical precautionary measures (medidas cautelares típicas o atípicas) remain subject to compliance with procedural formalities and requirements and to the application of the rules established in the CPCA and other governing bodies of law; in other words, they are not applications granted automatically, but require a specific procedure and a determination as to whether the applications for precautionary relief are warranted.

After that order had been complied with, by an interlocutory order (auto) issued at siete horas y cincuenta y ocho minutos del 13 de agosto del 2015, notice was ordered entered against properties of the Alajuela Registry District No. 394051-000, 184259-000, 303718-000, 175769-000 and 175767-000, while the attachment application was denied as premature. The corresponding writ (mandamiento) was prepared, collected by the interested parties (image 1066 of the enforcement record), and submitted to the Registro Nacional that same day (around noon), by which time the cited properties were already subject to a purchase and sale agreement between Industrias Infinito S.A. and the third-party claimant. As set forth in the proven facts of this order, by public deed No. 45 executed at dieciséis horas del 10 de agosto del 2015 before Notario Público Juan Carlos Morera Fernández, the representatives of Industrias Infinito S.A. and Reforestación Industrial Los Nacientes S.A. agreed to the purchase and sale, free of mortgage liens and judicial notices, of properties in the Provincia de Alajuela numbered 184250-000, 394051-000, 175767-000, 303718-000 and 175769-000, for the sum of $445.000,00, which was duly paid and received.

The corresponding certified copy of the deed (testimonio) was submitted to the Registro Nacional at 11:41 horas del 11 de agosto del 2015. (images 8 to 10 of the third-party claim record and 1049 to 1053 of the enforcement record). It is therefore clear to this Judge—regardless of whether there may be doubts as to the ultimate purpose of that legal transaction and whether it was simulated, matters that in any event are neither the subject of these judgment-enforcement proceedings nor capable of resolution in this jurisdiction—that the purchase and sale of the properties was submitted at 11:41 horas del día 11 de agosto del 2015, whereas the notice ordered by this Court against those properties was entered at 12:04 horas del 13 de agosto del 2015 (image 20 of the third-party claim record and images 1065 and 1066 of the enforcement record). Accordingly, because this is a conflict between a right in rem (the purchase and sale) and a personal right (the notice), the rule established in Article 455 of the CC and the procedural provisions governing third-party ownership claims (which existed when the application was filed in 2016 and are almost entirely the same as those currently in force) must be applied, giving precedence to the legal transaction registered with the Registro Nacional through which the interested company acquired the properties in question over the notice of the judgment-enforcement action pending before this Court, because the former was submitted to the Registro Nacional before the latter and thereby acquired priority.

In this regard, it must be noted that the evidence added to the judicial case file shows that, as a formal matter, the properties were not subject to any notices or encumbrances relating to these judgment-enforcement proceedings; this was stated in the aforementioned public deed, and the transfers were registered accordingly with the Registro Nacional. Additionally, the parties involved should bear in mind that, by Auto N° 1031-15 issued at ocho horas del 25 de agosto del 2015, the applications for precautionary relief seeking suspension of the registration process and immobilization of the properties were denied (images 1135 to 1140 of the enforcement record), a decision affirmed by Voto N° 494-2015-II issued at quince horas cincuenta y nueve minutos del 8 de octubre del 2015 by the Sección Segunda del Tribunal de Apelaciones. (image 1263 of the judicial case file). It is reiterated that, regardless of any subsequent dispute between the parties in the forum they deem appropriate concerning the purpose of the stated purchase and sale transactions, after analyzing the arguments and evidence submitted by all parties involved in this third-party claim, this Judge concludes that the assets acquired by Reforestación Industrial Los Nacientes S.A. must be excluded.

This follows from the principles of public notice and registry priority (principios de publicidad y prioridad registral), because, when the assets were conveyed, they were not subject to any encumbrances or notices ordered in these enforcement proceedings, given that the corresponding certified copy of the deed was submitted before the writ directing entry of notice of the complaint, and because such exclusion is precisely one of the effects of a third-party ownership claim, as legally established and authorized under our legal system. In other words, as stated above, the third-party claim mechanism permits the exclusion of assets subject to proceedings against a third party who is not a party to those proceedings, which is the situation presented here. With respect to the parties’ arguments, the following must be stated. Regarding the State’s arguments, it should be noted that the precise location of the clear-cutting (tala rasa) on the properties that formerly comprised the annulled mining project is an unresolved and fundamental matter that must be established in the enforcement judgment to be issued, in accordance with the ruling of the Sala Primera de la Corte Suprema de Justicia in Resolution No. 1567-F-S1-2017.

As to the argument that no harm caused by the notices has been demonstrated, such a circumstance is plainly not a procedural requirement for a determination on the merits of the third-party claim filed, since the issue is whether the asset affected by the notice may be excluded from the proceedings under the parameters of Article 455 of the CC. This is not, for example, a matter of precautionary relief in which the damage or harm caused must be demonstrated. Regarding the arguments submitted by the representative of Mr. Jorge Lobo, it must be clarified that the matter at issue in this third-party claim does not concern mandatory joinder of parties (integración de litis) and does not seek to reopen procedural stages that have already concluded by preclusion (preclusión). The judgment-enforcement record clearly shows that the parties to the enforcement proceedings have already been determined and that the participation of the third-party claimant company (which was ordered at one point and subsequently annulled) was denied by the enforcement division, with that denial affirmed by the Tribunal de Apelaciones de lo Contencioso Administrativo y Civil de Hacienda.

This authority cannot reopen that issue on its own motion because the appellate court has already decided it, and the matter is therefore precluded. In other words, that legal entity is not a party to the judgment-enforcement proceedings, a status that plainly gives it standing to file the third-party claim decided in this order. The situation would have been different had the decision permitting its participation in the judgment-enforcement proceedings remained in effect. Furthermore, that representative should bear in mind that the procedural mechanism of a third-party ownership claim exists in our legal system and that this judicial authority is obligated to rule on the relief requested. Regarding the arguments submitted by the representative of APREFLOFAS, the foregoing discussion concerning mandatory joinder of parties is reiterated. It should also be borne in mind that a third-party ownership claim is not a method or form of joinder; they are distinct procedural mechanisms governed by different substantive and procedural rules.

No ruling is made on the statements concerning the enforcement judgment that must be issued anew, because they are not relevant to this third-party claim. With respect to the arguments of the representative of the intervening Asociación, the foregoing discussion concerning mandatory joinder of parties is reiterated. No ruling is made on its interpretation of the purpose of remediation of environmental damage because such a ruling is unnecessary, as that issue concerns the merits of the enforcement proceedings rather than this third-party claim. Finally, regarding the arguments of the representative of SINAC, the foregoing discussion concerning mandatory joinder of parties is reiterated, as is the fact that, in this case, demonstrating damage or harm is not a legal or procedural requirement for granting the application under consideration, since the purpose and grounds of a third-party ownership claim have already been stated.

Consequently, once this decision becomes final, the notices of complaint entered against properties in the Provincia de Alajuela numbered 184250-000, 394051-000, 175767-000, 303718-000 and 175769-000, all owned by the third-party claimant, are ordered canceled. No special award of costs is made.

POR TANTO

The third-party ownership claim filed by REFORESTACIÓN INDUSTRIAL LOS NACIENTES S.A. is GRANTED. Consequently, once this decision becomes final, the notices of complaint entered against properties in the Provincia de Alajuela numbered 184250-000, 394051-000, 175767-000, 303718-000 and 175769-000, all owned by the third-party claimant, are ordered canceled. EJECUCIÓN DE SENTENCIA (TERCERÍA) PROMOVENTE:

REFORESTACIÓN INDUSTRIAL LOS NACIENTES S.A.

APREFLOFAS, JORGE LOBO SEGURA, EL ESTADO, SINAC Y OTRO N° 021-2023 TRIBUNAL CONTENCIOSO ADMINISTRATIVO Y CIVIL DE HACIENDA. CONSIDERANDO

I. ACTUACIONES PROCESALES

Se tienen como tales:

  • a)En fecha 23 de diciembre del 2016, la sociedad Reforestación Industrial Los Nacientes S.A. presenta tercería excluyente de domino respecto de las fincas de la Provincia de Alajuela número 394051-000, 184259-000, 303718-000, 177560-000 y 175767-000, en su momento propiedad de Industrias Infinito S.A. (imágenes 2 a 5 del legajo de tercería).
  • b)Mediante auto de las quince horas dos minutos del 18 de setiembre del 2020,se ordenó tramitar la presente gestión en legajo aparte y mediante auto de las quince horas treinta y un minutos del 25 de setiembre del 2020, se concedió audiencia a las partes. (imágenes 42 a 44 y 46 del legajo de tercería).
  • c)La representación del Estado hizo referencia a la gestión. (imágenes 51 y 52 del legajo de tercería).
  • d)Que la representación del señor Jorge Lobo hizo referencia a la gestión planteada. (imagen 160 del legajo de tercería).
  • e)Que la representación de la Asociación se refirió a la gestión de tercería. (imágenes 161 a 164 del legajo de tercería).
  • d)La coadyuvante Asociación Norte por la Vida, hizo referencia a la tercería planteada. (imágenes 165 y 167 del legajo de tercería).
  • e)La representación del SINAC se manifestó sobre la tercería planteada. (imagen 175 del legajo de tercería).

II. HECHOS PROBADOS

De importancia para la resolución de la tercería de interés, se tienen por probados los siguientes hechos:

  • 1)Que con la interposición de la demanda ordinaria en fecha 11 de noviembre del 2008, no se pidió anotación de la demanda ordinaria al margen de las fincas afectadas por el proyecto minero Crucitas. (imágenes 163 a 187 y 202 a 226 del expediente principal, escaneado).
  • 2)Con la interposición de la demanda de ejecución de sentencia, planteada el 12 de abril del 2012, la parte actora solicitó que se decretara embargo sobre las fincas del Partido de Alajuela números 184259-000, 175767-000, 394051-000, 177577-002, 175783-002, 184445-002, 184445-008, 262865-004, 303718-000, 173125-002, 173127-002, 175399-002, 175419-001, 175769-000, 240277-002 y 293866-003, así como varios bienes inmuebles, propiedad de Industrias Infinito S.A. En quince horas y dieciocho minutos del 17 de abril del 2012, únicamente se citó a las parte a audiencia oral para conocer de la solicitud de ejecución de sentencia. (imágenes 110 a 127, 130 y 131 del legajo de ejecución de sentencia).
  • 3)En audiencia de ejecución de sentencia celebrada el 30 de abril del 2012, la Asociación actora mantuvo amplió su petición de medida cautelar de embargo, no obstante, no se hizo pronunciamiento sobre el tema, dado que únicamente se dispuso lo referido a la prueba por evacuar. (imágenes 295 a 306 del legajo de ejecución).
  • 4)Que mediante escrito presentado en fecha 06 de noviembre del 2012, la Asociación actora pidió anotación de demanda y reiteró su solicitud de embargo en contra de los bienes inmuebles y muebles de Industrias Infinito S.A.(imágenes 701 y 702 del legajo de ejecución).
  • 5)Que por medio de escrito presentado el 09 de diciembre del 2014, la Asociación accionante, solicitó nuevamente embargo en contra de los bienes de Industrias Infinito S.A. (imágenes 831 a 833 del legajo de ejecución).
  • 6)En fecha 04 de agosto del 2015, la representación del señor Jorge Lobo, solicitó la anotación y embargo de los bienes de Industrias Infinito S.A. (imagen 1030 del legajo de ejecución).
  • 7)Que mediante auto de las catorce horas y cincuenta y un minutos del 06 de agosto del 2015, se previno a la representación dicha que especificara los bienes sobre los cuales solicitaba embargo y que aportara las certificaciones correspondientes. (imagen 1031 del legajo de ejecución).
  • 8)Que mediante escritura pública N° 45 de las dieciséis horas del 10 de agosto del 2015, emitida por el Notario Público Juan Carlos Morera Fernández, las representaciones de Industrias Infinito S.A. y Reforestación Industrial Los Nacientes S.A., pactaron la compra-venta libre de gravámenes hipotecarios y anotaciones judiciales de las Fincas de la Provincia de Alajuela números 184250-000, 394051-000, 175767-000, 303718-000 y 175769-000, por la suma de $445.000,00, que fue pagada y recibida a conformidad. El testimonio correspondiente fue presentado ante el Registro Nacional a las 11:41 horas del 11 de agosto del 2015. (imágenes 8 a 10 del legajo de tercería y 1049 a 1053 del legajo de ejecución).
  • 9)Que en fecha 12 de agosto del 2015, la Asociación actora presentó la información y la documentación requerida por el Despacho. (imágenes 1033 y 1034 del legajo de ejecución).
  • 10)En fecha 12 de agosto del 2015, la Asociación coadyuvante, solicitó como medida cautelar que se ordenara al Registro Nacional detener el proceso de inscripción de las compra ventas efectuadas respecto de los bienes inmueble de Industrias Infinito. (imagen 1035 del legajo de ejecución).
  • 11)Mediante auto de las siete horas y cincuenta y ocho minutos del 13 de agosto del 2015, se dispuso la anotación de las fincas de la Provincia de Alajuela números 394051-00, 184259-000, 303718-000, 175769-000 y 175776-000, quedando a disposición de la parte interesada los mandamientos para su diligenciamiento. Adicionalmente, se denegó por prematuro el embargo pedido, concediendo audiencia de la medida a la contraparte. (imágenes 1057 y 1058 del legajo de ejecución).
  • 12)Que el mandamiento correspondiente, emitido a las ocho horas y veinticinco minutos del 13 de agosto del 2015, fue presentado ante el Registro Nacional a las 12:04 horas del 13 de agosto del 2015. (imagen 20 del legajo de tercería, 1065 y 1066 del legajo de ejecución).
  • 13)Que en fecha 14 de agosto del 2015, la Asociación actora indicó al Despacho que siendo que la sociedad Industrias Infinito S.A. había procedido a traspasar los bienes sobre los que se pidió el embargo y anotación, solicita que se ordenara al Registro Nacional detener el proceso de inscripción de la compraventa citada y la inmovilización de las fincas. (imágenes 1067 a 1069 del legajo de ejecución).
  • 14)Dicha solicitud fue reiterada por la representación del señor Jorge Lobo en fecha 14 de agosto del 2015. (imagen 1071 del legajo de ejecución).
  • 15)Mediante auto de las diez horas y cuarenta minutos del 17 de agosto del 2015, y atendiendo a la forma y fundamentación con la que fueron planteadas las solicitudes de medida cautelar de detener la inscripción de las compraventas efectuadas por la empresa ejecutada y de inmovilización, se concedió audiencia por 24 horas a las partes de previo a resolver y se ordenó la integración de Reforestación Los Nacientes S.A., por ser la nueva dueña de las fincas de interés. (imágenes 1073 y 1074 del legajo de ejecución).
  • 16)Que la gestión cautelar de detener el proceso de inscripción de las fincas planteada en fecha 18 de agosto del 2015 por la Asociación coadyuvante activa, fue atendida en auto de las catorce horas y cinco minutos del 18 de agosto del 2015. (imágenes 1081 y 1084 del legajo de ejecución).
  • 17)En lo que es de interés, mediante auto de las siete horas y dos minutos del 28 de agosto del 2015, se anuló la decisión de integrar a Reforestación Los Nacientes S.A. (imágenes 124 a 126 del legajo de ejecución).
  • 18)Mediante Auto N° 1031-15 de las ocho horas del 25 de agosto del 2015, se denegaron las peticiones cautelares de detención de proceso de inscripción y de inmovilización de fincas. (imágenes 1135 a 1140 del legajo de ejecución).
  • 19)En Voto N° 494-2015-II de las quince horas cincuenta y nueve minutos del 8 de octubre del 2015, la Sección Segunda del Tribunal de Apelaciones confirmó lo resuelto en Auto N° 1031-15. (imagen 1263 del expediente judicial).
  • 20)Que las fincas de la Provincia de Alajuela números 394051-00, 184259-000, 303718-000, 175769-000 y 175776-000, actualmente, se encuentran inscritas ante el Registro Nacional a nombre de Reforestación Industrial Los Nacientes S.A., mismas sobre las cuales existe anotación de demanda dictada en este proceso, el día 13 de agosto del 2015. (imágenes 24 a 30 del legajo de tercería y consulta en base de datos del Registro Nacional).

III. SOBRE LA FIGURA DE LA TERCERÍA DE DOMINIO

Tal y como la define la normativa costarricense, corresponde a un mecanismo procesal donde un tercero (persona no parte del proceso) alega tener el dominio y la titularidad de los bienes embargados. Ello se desprende así del antiguo artículo 490 del CPC y del actual, numeral 172 del CPC vigente, que por su orden establecen: "Artículo 490.- Clases.- Las tercerías son de dominio, de mejor derecho y de distribución. Son de dominio cuando el tercero alegare tenerlo sobre los bienes embargados, y de mejor derecho cuando pretendiere tener preferencia para ser pagado con el producto de ellos, por estar afectados a su crédito, en virtud de un derecho de garantía o de retención. Son de distribución, en los demás casos en que el tercero no alegare propiedad en los bienes objeto del embargo, ni preferencia para ser pagado con el precio de ellos. La tercería que presenten los demás acreedores privilegiados será admisible sólo como de distribución, sin que esto modifique el derecho que pudieren alegar, en el caso de que declarare al deudor en estado de concurso." y "Artículo 172.- Clases de tercerías.

Las tercerías pueden ser de dominio, de mejor derecho y de distribución. Son de dominio cuando el tercero alegue tenerlo sobre los bienes embargados; de mejor derecho, cuando se pretenda tener preferencia para el pago con el producto de ellos, y de distribución, cuando el tercero pretendiera participar del producto del embargo, de forma proporcional o a prorrata, alegando tener un crédito basado en un título de fecha cierta anterior a la práctica del embargo o de la anotación en el caso de bienes registrados." Ahora bien, íntimamente relacionado con el tema de la tercería de dominio, debe partirse de lo establecido por los numerales 455 y 456 del Código Civil, que en su texto, establecen: "ARTÍCULO 455- Los títulos sujetos a inscripción que no estén inscritos no perjudican a tercero, sino desde la fecha de su presentación al Registro. Se concederá como tercero aquél que no ha sido parte en el acto o contrato a que se refiere la inscripción.

No tendrá la calidad de tercero el anotante por crédito personal, respecto de derechos reales nacidos en escritura pública con anterioridad a la anotación del decreto de embargo o de secuestro. Sin embargo, si la escritura pública fuera presentada al Registro después de tres meses de su otorgamiento y existiere ya una anotación de embargo, o de secuestro, éstas prevalecerán sobre aquélla, a menos que la persona que derive su derecho de la escritura logre demostrar en juicio ordinario contra el anotante que su derecho es cierto y no simulado, juicio que deberá plantear dentro de los tres meses siguientes a la fecha de presentación de la escritura y respecto del cual regirán las disposiciones del artículo 978. Al inscribirse las escrituras por derechos reales presentadas dentro de los tres meses siguientes a su otorgamiento, se prescindirá de las anotaciones o inscripciones de embargo de que se ha hecho mérito sin necesidad de gestión u ocurso, o de resolución que así lo declare, y el Registrador pondrá al margen de los asientos de las referidas anotaciones o inscripciones, razón de haber quedado sin ningún valor ni efecto, en cuanto a los bienes o derechos respectivos, en virtud de lo dispuesto en este artículo." y "ARTÍCULO 456.- La inscripción no convalida los actos o contratos inscritos que sean nulos o anulables conforme a la ley.

Sin embargo, los actos o contratos que se ejecuten u otorguen por persona que en el Registro aparezca con derecho para ello, una vez inscritos, no se invalidarán en cuanto a tercero, aunque después se anule o resuelva el derecho del otorgante en virtud de título no inscrito, o de causas implícitas, o de causas que aunque explícitas no constan en el Registro." Dichos artículos disponen las reglas básicas del derecho registral, sean los principios de publicidad y de prioridad registral, que se traducen en la práctica a que los actos jurídicos que requieran de su inscripción ante el Registro Público, no surten efectos a terceros sino desde el momento de su presentación ante dicho órgano y a que, en caso de existir varios negocios jurídicos en conflicto, tiene prioridad el que haya sido presentado primero (temporalmente hablando) ante el Registro dicho, salvo las excepciones legales dichas en los anteriores numerales. Sobre este tema, nuestros tribunales de justicia en diversas materias y la Sala Primera de la Corte Suprema de Justicia, han indicado:

"VI.- La tesis del casacionista se centra en la aplicación del principio "prior in tempore potior in iure" (primero en tiempo, primero en derecho), utilizado en derechos reales para determinar la eficacia de los actos traslativos de éstos, en relación con terceros. Al respecto, conviene transcribir los criterios jurisprudenciales seguido por esta Sala, recogidos en la sentencia Nº 84, de las 14:30 horas del 22 de mayo de 1992, la cual dice: "V.- ... Nuestro ordenamiento jurídico establece una dicotomía entre derechos reales y personales o de crédito, los artículos 455, 456 y 457 del Código Civil son fiel reflejo de esa distinción, pues establecen las reglas para resolver los casos de colisión entre derechos reales y personales. El artículo 455 regula, preponderantemente, las situaciones de conflicto entre un derecho real y uno personal. Cuando se trata de la confrontación de dos derechos reales rige la regla "primero en tiempo, primero en derecho", que al tratarse de derechos reales registrables la regla debe entenderse en cuanto al primero que se presenta al Registro.

Así el primer párrafo de ese numeral establece como los títulos sujetos a inscripción, no producen efectos respecto de terceros sino a partir de su presentación al Registro. (...) Lo anterior significa que la inscripción de un título que implique la mutación de una relación jurídico-real, le impide su entrada al Registro a cualquier otro de igual índole pero incompatible, aun cuando sea de fecha anterior. Debe advertirse que los efectos de la inscripción del título se retrotraen a la fecha de su presentación. Los títulos opuestos nacen cuando son otorgados por el mismo titular registral, y su incompatibilidad surge de la imposibilidad de reconocerle a dos sujetos diferentes facultades o poderes idénticos sobre un mismo bien inmueble. La doctrina española ha denominado a lo anterior como "cierre registral" por cuanto imposibilita el acceso al Registro de nuevos asientos contradictorios o de derechos anteriores inconciliables con el presentado para su inscripción.

VI.- Acerca de la colisión entre derechos reales y personales, esta Sala en su reciente sentencia número 60 de las 15 horas del 24 de abril de 1991 expresó lo siguiente: "III.- El Registro Público de la Propiedad tiene como fin fundamental la inscripción, seguridad y publicidad de los derechos reales. En este sentido todo lo relativo al nacimiento, vicisitudes y extinción de éstos además de ser trascendente para su titular, adquiere gran relevancia en cuanto a los terceros, quienes sólo por la publicidad registral tienen acceso al conocimiento de la situación exacta de esos derechos, tanto en cuanto puedan confluir con otros derechos reales como respecto de la incidencia de los derechos personales sobre ellos. Los problemas surgidos entre diferentes derechos reales, o de derechos personales sobre éstos encuentran su regulación en el Código Civil en los numerales 455, 456 y 457, señalando la jurisprudencia lineamientos muy claros respecto de estas normas, sobre todo luego de la reforma al artículo 455 operada en virtud de la Ley Nº 2928 del 5 de diciembre de 1961 (Sentencia de Casación Nº 95 de las 15 horas 45 minutos del 7 de agosto de 1968).

Esto es así porque la jurisprudencia antes de la reforma señalada (entre la sentencia de las 15 horas y 30 minutos del 30 de abril de 1904 hasta la de las 10 horas y 30 minutos del 26 de agosto de 1947) le dio el carácter de tercero no solo al nuevo adquirente del derecho real sino también al acreedor personal o quirografario, señalándose luego de la reforma criterios más claros según los cuales el anotante de un embargo por crédito personal no debe tenerse como tercero, además de que el traspaso de un derecho real no presentado al Registro antes de la anotación de un embargo por crédito personal contra el traspasante mantiene su validez sin perjuicio para el adquirente, si éste dentro de los tres meses siguientes al otorgamiento de la escritura del traspaso la presenta al Registro, y, finalmente, si la escritura de un traspaso de un derecho real, en que se haya anotado un embargo por crédito personal, se presenta pasados tres meses desde su otorgamiento, sólo prevalecerá contra dicha anotación, si en juicio ordinario el adquirente del derecho real demuestra que el traspaso fue cierto y no simulado, juicio que deberá presentarse dentro de los tres meses siguientes a la fecha de la presentación de la escritura (Sentencia de Casación Nº 95 de las 15 horas 45 minutos del 7 de agosto de 1968).

Por su parte en la confluencia de derechos reales y derechos personales naturalmente ha de imperar el principio de primero en tiempo primero en derecho, de donde aún cuando una escritura pública hubiere sido otorgada mucho antes de una posterior, presentada al Registro, tendrá prioridad aquélla presentada primero, ésto se desprende de la misma norma inalterada del primer párrafo del artículo 455 del Código Civil, sobre el cual no hubo reforma legislativa, y es la regla admitida en forma reiterada por la jurisprudencia. No obstante lo anterior, el ordenamiento jurídico no pretende darle mayor validez al Registro respecto de cualquier acto nulo o anulable presentado con anterioridad para su inscripción en el Registro, y mucho menos convalidarlo, de donde la parte tiene abierto el camino para que se declare uno u otro de los vicios señalados, sólo que cuando los actos o contratos fueren ejecutados por persona que en el Registro aparezca con derecho para ello, una vez inscritos, no se invalidarán respecto de tercero, aunque después se anule o resuelva el derecho del otorgante en virtud de título no inscrito o de causas implícitas o de causas que aunque explícitas no consten en el Registro (Artículo 456 del Código Civil).

Y se indica que el ordenamiento jurídico no pretende darle mayor validez al Registro respecto de cualquier acto pues si bien impera la regla de que las acciones de rescisión o resolución no se aplicarán al tercero que haya inscrito su derecho, esta regla tiene dos excepciones: la primera tiene un origen consensual, pues si las partes lo han estipulado y consta en el Registro la acción de rescisión o resolución perjudica al tercero, y, la otra, cuando las partes han impulsado la creación de actos o contratos en fraude de acreedores, en este caso opera la rescisión o resolución cuando la segunda enajenación ha sido hecha por título lucrativo, o cuando el tercero haya tenido conocimiento del fraude (Artículo 457 del mismo Código)". (El resaltado no es del original, Voto N° 80-1994, de las catorce horas cuarenta y cinco minutos del siete de setiembre de mil novecientos noventa y cuatro.)

"IV.- Precisa aclarar que el artículo 455, en su párrafo cuarto, según el cual la anotación de embargo o de secuestro prevalecerá sobre la adquisición de un derecho real: “…a menos que la persona que derive su derecho de la escritura logre demostrar en juicio ordinario contra el anotante que su derecho es cierto y no simulado, juicio que deberá plantear dentro de los tres meses siguientes a la fecha de presentación de la escritura…”, contempla un plazo de caducidad. Esta norma da solución al choque que se presenta entre un derecho real y un derecho de crédito personal o quirografario. La tónica imperante en el precepto legal es dar preferencia a la adquisición del primero sobre un eventual embargo o remate del bien. Si el derecho real nació en escritura pública con anterioridad a que un acreedor quirografario anotara el embargo en el Registro Público, prevalecerá aquél aunque todavía no se haya presentado el título para su inscripción, lo que excepciona la regla del párrafo primero que se acuña en el principio “primero en tiempo primero en derecho” (prior tempore potior iure).

Con todo, si el adquirente real presenta el testimonio público dentro de los tres meses del otorgamiento de la escritura y existen anotaciones de embargo o de secuestro, se prescindirá de ellas, reafirmándose la prelación del derecho real sobre el personal.... A todo ello, debe agregarse, la Sala Constitucional de la Corte Suprema de Justicia ha considerado que el punto se gobierna a la luz de las reglas de la caducidad, como lo expuso en el voto no. 2809 de las 15 horas 06 minutos del 11 de junio de 1996, que el Ad- quem cita en su apoyo." (El resaltado no es del original, Sala Primera, Resolución 362-F-2007, de las nueve horas veinte minutos del dieciocho de mayo del dos mil siete).

“III.- El Código Procesal Civil, dentro de los procesos especiales, regula propiamente lo referente a las denominadas tercerías, el cual es un tipo de procedimiento incidental que se presenta en hipótesis concretas y definidas, lo cual implica que en esta vía se discuten aspectos predeterminados y prefijados por el legislador mediante procedimientos cortos. Son tres las figuras procesales que comprenden esta otra forma de intervención de los terceros en el proceso: la tercería de dominio, la tercería de mejor derecho y la tercería de distribución. El término "tercero" alude precisamente a que una persona que no forma parte en la relación procesal, se vea afectada en su patrimonio, por lo que debe presentar una tercería con el fin de que el reclamo sobre el bien o sobre algún dinero se le restituya, o inclusive pueda participar en algunas sumas de dinero. Precisamente para que el curso normal del proceso no se vea entorpecido con intervenciones improcedentes y cuya resolución en ese sentido hubiera significado una pérdida de tiempo y de dinero, el Código Procesal Civil dispone en qué supuestos son admisibles las tercerías.

Sin embargo, el Código Procesal Civil no da una definición exacta de éste, pero las ubica en la sección de los procesos especiales y se pueden encontrar a partir del artículo 490 del mismo. Por su parte, la doctrina procesalista moderna lo define como “la acción que compete a quien no es parte de un proceso, para defender sus derechos frente a quienes están dirimiendo los suyos y pueden oponerse a ambas partes o solo a una de ellas” DE SANTO (Víctor). Diccionario de Derecho Procesal, Buenos Aires, Edit. Universidad, 2000, voz: "tercería", pág. 407. Dentro de los tipos especiales de tercería, tenemos la que nos ocupa en el presente caso: la tercería de dominio; la cual es admisible cuando los bienes embargados al deudor se pretende que son propiedad de un tercero, llamado, por su actuación, tercerista. Por lo general, la tercería de dominio se presenta en procesos ejecutivos o de ejecución, sin embargo, se ha admitido la tercería de dominio en procesos de conocimiento pleno, como lo es el ordinario, y en casos en que lo que se ataca es la anotación de demanda como medida cautelar típica.

La finalidad de esta figura es procurarle a un tercero ajeno a la litis el poder reclamar el levantamiento de un embargo o de una anotación de demanda sobre un bien que no pertenece a las partes, que no es objeto de la litis de la cual el tercero no es demandado, en tanto este embargo o anotación le provoque un perjuicio. Este perjuicio puede aquejar al tercero, tanto en una ejecución sobre pago de sumas de dinero como en un proceso ordinario donde se reclame la titularidad de un bien, por el hecho de que aprehendan por vía de embargo o anotación de demanda bienes que no son propiedad del demandado o el actor, sino de dicho tercero. Ello es posible por causa de apariencia, que hace figurar o suponer tales bienes como propios del sujeto pasivo de la ejecución, contra la realidad que el tercero se ve entonces en la necesidad de probar, a saber, que es el actual propietario del bien que reclama y que adquirió antes de que el embargo o anotación recayera sobre éste.

La tercería de dominio es en realidad una incidencia, mediante la cual un tercero, que afirma ser titular de un bien o de bienes embargados, pretende el alzamiento del embargo o anotación que indebidamente se trabó o recayó sobre ellos. El objeto procesal (thema decidendum) de la demanda de tercería de dominio es, revertir la situación registral, y el objeto material es la exclusión del embargo o anotación de los bienes del tercerista, la declaración de libertad de los mismos y su reintegración a él. Por ello, bajo esta tesitura, los sujetos procesales que participan en una tercería son: a) El tercerista; que en la tercería de dominio es la persona que ve afectados sus bienes ya sea en una ejecución forzosa o en un proceso ordinario por una responsabilidad ajena, constituyéndose en un interviniente voluntario principal en la ejecución. El tercerista ha de ostentar una personalidad distinta de las del ejecutante y ejecutado, y de tal condición carecen quienes hayan tenido este carácter en la litis donde la tercería se promueve y los que estén unidos con los litigantes por la relación jurídica que constituya el objeto de la ejecutoria.

Dos son los requisitos exigidos: primero, que tenga el carácter de tercero, ajeno por tanto al proceso, y segundo, que presente el título en que se funde (Legitimación Ad Causam Activa). La legitimación del tercerista de dominio es un requisito de suma importancia (segundo requisito), puesto que él actúa interfiriéndose en el proceso ajeno para lograr la revocación de los actos procesales de embargo o anotación de demanda llevados a cabo por el órgano jurisdiccional, y que, por tener tal carácter, únicamente en casos excepcionales son revocables. El tercerista de dominio ha de demostrar su legitimación mediante la presentación de un título, que, sin perjuicio de ulteriores pruebas, acredite la propiedad que alega de los bienes, requisito que lleva consigo la prueba de la identidad de dichos bienes, esto es, que los embargados son precisamente los que afirma ser de su propiedad, que sin ese requisito no se le dará curso (inciso 1 del artículo 491 ibídem), para evitar incidencias dilatorias en la ejecución que sean manifiestamente infundadas.

Claro es, sin perjuicio de que una vez cumplido este requisito para dar curso a la demanda, pueda la parte actora esgrimir los medios de prueba adecuados para acreditar su derecho, cuya carga le incumbe. b) Como sujetos en la posición de parte pasiva aparecen el ejecutante y el ejecutado, en litisconsorcio pasivo. Ello se justifica por una razón distinta en cada caso; el ejecutante o actor del proceso principal, quien ha de ser llamado al proceso porque tiene interés en oponerse, dado que si se estima la demanda de tercería, se va a sustraer de la ejecución el bien a que se refiera y que el acreedor pretendía realizar para el cobro de su crédito, con lo que se verá en la necesidad de buscar otros bienes para afectarlos a la ejecución. El ejecutado o demandado del proceso principal, también tiene cierto interés en el incidente de tercería y por ello se le concede legitimación pasiva; porque la estimación de la pretensión del tercerista –que supone el reconocimiento de su titularidad sobre el bien embargado- implica, al mismo tiempo, la negación de la titularidad del ejecutado y, en tal caso, el embargo o la anotación de demanda recaerá sobre otros bienes que se encuentren en su patrimonio.

Por conexidad, la competencia de la tercería le corresponde al Juez del proceso principal (Principio Kompetenz-kompetenz); El procedimiento de la tercería se sustancia en pieza separada... Esto implica que la tercería, como proceso especial, tiene delimitado el objeto de discusión (thema decidendum), es decir, el conocimiento activo y pasivo, ya que el tercerista sólo puede discutir su titularidad sobre el bien embargado o anotado en la litis de la cual no es parte y los incidentados sólo pueden discutir la no titularidad del tercerista o si el tercerista adquirió el bien luego de que la anotación o el embargo hayan recaído con anterioridad al traspaso real (artículo 455 y 456 del Código Civil). Aspectos sobre la invalidez del título por el que adquirió el tercerista están reservados para el conocimiento de un proceso declarativo ordinario, ya que las pretensiones de nulidad de actos jurídicos no tienen tramitación especial (sumarios, abreviados o procesos especiales) en nuestra legislación procesal.-” (El resaltado no es del original, Voto Nº 0488-F-07 de las diez horas quince minutos del diecinueve de junio del dos mil siete, TRIBUNAL AGRARIO DEL SEGUNDO CIRCUITO JUDICIAL DE SAN JOSÉ).

Partiendo del anterior marco legal y jurisprudencial, se realiza el análisis del caso concreto.

IV. SOBRE EL FONDO

Analizado el particular de forma detallada, así como el expediente principal (actualmente escaneado) y el legajo de ejecución de sentencia, y los argumentos de las partes involucradas, es criterio de esta Juzgadora que la gestión de tercería de dominio planteada (desde el año 2016) por la sociedad Reforestación Industrial Los Nacientes S.A. es procedente, por los siguientes motivos. Como se indicó con anterioridad, el conflicto entre derechos reales y personales debe ser resuelto de acuerdo con lo que dispone el artículo 455 del Código Civil (y procesalmente, por el Código Procesal Civil, supletorio para este caso en virtud del artículo 220 del Código Procesal Contencioso Administrativo), del cual se extrae la regla de primero en tiempo primero en derecho (sea el principio de prioridad registral), situación reiterada por la jurisprudencia antes transcrita. Ahora bien, del estudio del expediente judicial se extrae que con la presentación de la demanda ordinaria y durante todo trámite del proceso de conocimiento y la fase de casación, no se pidió, por parte de los actores, la anotación de la demanda al margen de las fincas, que para ese momento, eran propiedad de Industrial Infinito S.A. y que, eventualmente, eran de interés para los efectos de la reparación del daño ambiental pedida.

Las gestiones de anotación de demanda y de embargo de dichos bienes se dieron hasta la presentación de la demanda de ejecución de sentencia, en el mes de abril del 2012 (imagen 120 del legajo de ejecución), posteriormente, en fechas 5 de noviembre del 2012 (imagen 702 del legajo citado) y 9 de diciembre del 2014 (imagen 831 del legajo citado). Por razones que desconoce esta Juzgadora, no consta dentro de los legajos estudiados que dichas gestiones hayan sido atendidas. Para el mes de agosto del año 2015, y ante la noticia de la situación financiera de la casa matriz canadiense de Industrias Infinito S.A., los actores y uno de los coadyuvantes del proceso, pidieron el embargo y la anotación de los bienes muebles e inmuebles de dicha sociedad, ante lo cual se efectuó una prevención sobre la especificación de los bienes sobre los que se pedía el embargo y la presentación de sus certificaciones.

Al respecto, debe recordarse que las medidas cautelares típicas o atípicas no escapan al cumplimiento de las formalidades y requerimientos procesales ni a la aplicación de las normas establecidas en el CPCA y otros cuerpos ordenatorios, es decir, no se trata de gestiones que se otorgan de forma automática, sino que requieren de un trámite específico y del estudio de la procedencia o no de las pretensiones cautelares. Atendida dicha prevención, mediante auto de las siete horas y cincuenta y ocho minutos del 13 de agosto del 2015, se ordenó la anotación de las fincas del Partido de Alajuela N° 394051-000, 184259-000, 303718-000, 175769-000 y 175767-000, rechazando la gestión de embargo, por considerarse prematuro. Se confeccionó el mandamiento respectivo, que fue retirado por los interesados (imagen 1066 del legajo de ejecución) y presentado al Registro Nacional ese mismo día (cerca del medio día), momento para el cual, las fincas citadas ya soportaban una compraventa entre Industrias Infinito S.A. y la sociedad tercerista.

Como se expuso en los hechos probados de este auto, mediante escritura pública N° 45 de las dieciséis horas del 10 de agosto del 2015, emitida por el Notario Público Juan Carlos Morera Fernández, las representaciones de Industrias Infinito S.A. y Reforestación Industrial Los Nacientes S.A., pactaron la compra-venta libre de gravámenes hipotecarios y anotaciones judiciales de las Fincas de la Provincia de Alajuela números 184250-000, 394051-000, 175767-000, 303718-000 y 175769-000, por la suma de $445.000,00, que fue pagada y recibida a conformidad. El testimonio correspondiente fue presentado ante el Registro Nacional a las 11:41 horas del 11 de agosto del 2015. (imágenes 8 a 10 del legajo de tercería y 1049 a 1053 del legajo de ejecución). De forma que es claro para esta Juzgadora, con independencia de si existe o no una situación dudosa sobre el fin último de ese negocio jurídico y si fue o no simulado, lo que en todo caso no es objeto de este proceso de ejecución de sentencia ni es dirimible en esta jurisdicción, que la compraventa de las propiedades fue presentada a las 11:41 horas del día 11 de agosto del 2015 y que la anotación ordenada por este Tribunal, en contra de las mismas, se dio a las 12:04 horas del 13 de agosto del 2015, (imagen 20 del legajo de tercería, 1065 y 1066 del legajo de ejecución), de forma que al tratarse de un conflicto entre un derecho real (compraventa) y uno personal (anotación), debe aplicarse la regla dispuesta en el artículo 455 del CC y las normas procesales (existentes al momento de presentación de la gestión en 2016, que casi en su totalidad coinciden con las actuales) correspondientes a la tercería de dominio, dando prevalencia al negocio jurídico inscrito ante el Registro Nacional por medio del cual la sociedad interesante adquirió las fincas de interés, sobre la anotación de la demanda de ejecución de sentencia que se tramite ante este Tribunal, debido a que la primera ingresó antes que la segunda al Registro Nacional, adquiriendo con ello, prioridad.

Al respecto es necesario acotar, que de la prueba allegada al expediente judicial, se desprende que formalmente, las fincas no contaban con anotaciones o gravámenes relativos a este proceso de ejecución de sentencia, lo cual fue consignado en la escritura pública mencionada y que de esa forma fueron inscritos los traspasos ante el Registro Nacional. Adicionalmente, tengan presente las partes involucradas, que mediante Auto N° 1031-15 de las ocho horas del 25 de agosto del 2015, se denegaron las peticiones cautelares de detención de proceso de inscripción y de inmovilización de las fincas, (imágenes 1135 a 1140 del legajo de ejecución), decisión que fue confirmada por el Voto N° 494-2015-II de las quince horas cincuenta y nueve minutos del 8 de octubre del 2015 de la Sección Segunda del Tribunal de Apelaciones. (imagen 1263 del expediente judicial). Se reitera que, con independencia de la discusión que pueda darse posteriormente sobre el motivo de las compraventas indicadas entre las partes en la sede que estimen procedente, analizados los argumentos y las pruebas aportadas por todas las partes involucradas en esta tercería, la conclusión a la que llega esta Juzgadora es que procede declarar la exclusión de los bienes adquiridos por Reforestación Industrial Los Nacientes S.A., ello en aplicación de los principios de publicidad y prioridad registral, dado que al momento de la enajenación de los bienes los mismos no soportaban gravámenes o anotaciones ordenadas en este proceso de ejecución, debido a que el testimonio correspondiente ingresó antes que el mandamiento de anotación de demanda, y por ser precisamente, uno de los efectos de la tercería de dominio, legalmente establecida y autorizada en nuestro ordenamiento jurídico.

Es decir, como se dijo, la figura de la tercería permite la exclusión de bienes sujetos a un proceso contra un tercero que no es parte en el mismo, supuesto que se verifica en el particular. Acerca de los argumentos de las partes, debe indicarse lo siguiente. En cuanto a lo expuesto por el Estado, es necesario acotar que el tema de la ubicación concreta de la tala rasa en las propiedades que en su momento comprendían el proyecto minero anulado, es uno no definido y además fundamental que debe ser establecido en la sentencia de ejecución a dictar, atendiendo a lo indicado por la Sala Primera de la Corte Suprema de Justicia en resolución N° 1567-F-S1-2017. En cuanto a que no se demuestra el perjuicio de las anotaciones, es claro que dicha circunstancia no es un requisito establecido procesalmente para el análisis de fondo de la tercería planteada, pues lo que se discute es si el bien afectado por la anotación puede o no ser excluido de proceso, según los parámetros del artículo 455 del CC.

No se trata de una situación cautelar, por ejemplo, donde se requiere demostrar el daño o perjuicio causado. Sobre lo alegado por la representación del señor Jorge Lobo, debe aclararse que lo discutido en esta tercería no se trata de un tema de integración de litis y que no pretende reabrir etapas procesales ya precluidas. De la lectura del legajo de ejecución de sentencia, claramente se desprende que las partes del proceso de ejecución ya se encuentran definidas, y que la participación de la sociedad tercerista (que en su momento fue ordenada y posteriormente anulada) fue denegada por el área de ejecución y confirmada por el Tribunal de Apelaciones de lo Contencioso Administrativo y Civil de Hacienda, discusión que no puede reabrir de oficio esta autoridad, dado que el Tribunal de alzada ya definió el asunto, de forma que se trata de un tema precluido. Es decir, ésa persona jurídica no es parte del proceso de ejecución de sentencia, condición, que de forma evidente, la legitima para presentar la tercería que se conoce en este auto.

Situación diferente se hubiera producido de haberse mantenido la decisión de su participación dentro del proceso de ejecución de sentencia. Por otro lado, tome en cuenta la representación dicha que el mecanismo procesal de tercería de dominio existe en nuestro ordenamiento y que es una obligación de esta autoridad jurisdiccional hacer el pronunciamiento sobre lo peticionado. En cuanto a los argumentos expuestos por la representación de APREFLOFAS, se reitera lo indicado anteriormente sobre el asunto de la integración de litis, además tómese en cuenta, que la tercería de dominio no es una modalidad o forma de integración, se trata de figuras procesales diversas con normativa de fondo y forma diferentes. Se omite pronunciamiento sobre lo referido sobre la sentencia de ejecución que debe ser nuevamente dictada, por no ser de interés en esta tercería. Respecto de lo indicado por la representación de la Asociación coadyuvante, se reitera lo ya dicho sobre la integración de litis.

Sobre la interpretación que realiza acerca el objeto de la reparación del daño ambiental, se omite pronunciamiento por innecesario, al ser un aspecto referido al fondo de la ejecución de sentencia, y no de esta tercería. Finalmente, en cuanto a los alegatos de la representación del SINAC, se reitera lo indicado sobre la integración de litis y que en este caso, no existe un requisito legal o procesal, para la procedencia de la gestión que se conoce, en cuanto a la demostración de un daño o perjuicio, pues ya se apuntó el objeto y supuesto de la tercería de dominio. En consecuencia, alcanzada la firmeza de esta decisión, se ordena el levantamiento de las anotaciones de demanda efectuadas sobre las fincas de la Provincia de Alajuela números números 184250-000, 394051-000, 175767-000, 303718-000 y 175769-000, todas propiedad de la tercerista. Se falla sin especial condena en costas.

POR TANTO

Se declara CON LUGAR la tercería de dominio planteada por REFORESTACIÓN INDUSTRIAL LOS NACIENTES S.A. En consecuencia, alcanzada la firmeza de esta decisión, se ordena el levantamiento de las anotaciones de demanda efectuadas sobre las fincas de la Provincia de Alajuela números números 184250-000, 394051-000, 175767-000, 303718-000 y 175769-000, todas propiedad de la tercerista.
