In the ordinary proceeding (proceso ordinario) brought by GRUPO POTEMSKY S.A. and ROGER EDWARD JAMIESON against SUNDANCE INV. LIMITADA, ADRIANA OLIVERA BARTON, and CHARLES NOTON, the Tribunal Agrario sustained the defense of an arbitration agreement (excepción de acuerdo arbitral) raised by the special litigation counsel (apoderados especiales judiciales) for the co-defendant company. Disagreeing with the ruling, the plaintiffs appealed, and the matter was therefore referred to this Chamber for review.
CONSIDERING
I.The plaintiffs filed an ordinary proceeding seeking a judgment declaring: “A. (...) that, on the properties at issue in this litigation, Grupo Potemsky, S.A., through its shareholder and representative Roger Jamieson and the other persons under his supervision, has developed an agricultural-environmental enterprise on the ‘La Juliana’ property. B. That it be declared that agricultural possession (posesión agraria) of the real property has been held by the companies Nilaya de Costa Rica, S.A. and Grupo Potemsky, S.A., through their majority shareholder and representative Roger Jamieson, and that such possession has consisted of carrying out agricultural activities involving forestry development, forest conservation and regeneration, in addition to general work involving the care, oversight, and maintenance of the property. C. That the preliminary protective measures (medidas cautelares anticipadas) granted by this Court be maintained (…) D. That the resolution adopted at the Extraordinary General Shareholders’ Meeting of Grupo Potemsky, S.A., held on 3 de febrero del 2008, at which consent to enter into the contract and ratification of the other conditions of sale were approved, be declared valid.
At that meeting, it was also resolved that Grupo Potemsky, S.A.’s legal capacity to act (capacidad de actuar) would be subject to the joint participation of the respective representatives, thereby limiting the representatives’ powers. E. That it be declared that the contents of the resolutions adopted at the Extraordinary General Shareholders’ Meeting of Grupo Potemsky, S.A., held on 3 de febrero del 2008, were duly known to all the defendants, who legally submitted themselves to their terms. F. That the procedural bad faith (deslealtad procesal) of Sundance Inv, Limitada be declared, because it attached [sic] the properties comprising the estate and failed to file the corresponding complaint. G. That the liability of Adriana Oliveira and Charles Noton be declared because they acted unlawfully in contravention of the final resolutions of the Extraordinary General Shareholders’ Meeting of Grupo Potemsky, S.A. of 3 de febrero del 2008, to the clear and manifest detriment of the interests of the company they represented.
H. That the deed executed on 4 de agosto del dos mil nueve before notary public Nancy Harbottle Morales, whereby Grupo Potemsky, S.A. transferred the properties registered in the Guanacaste Registry District under real-property folio numbers 19618-000, 19632-000, 19630-000 to Sundance Inv, Limitada, be declared absolutely null and void (nulidad absoluta), because the representatives of Grupo Potemsky, S.A. lacked legal capacity to act (…) L. That Sundance Inv, Limitada be declared a bad-faith purchaser (adquirente de mala fe). (…) N. That Grupo Potemsky, S.A. be declared the lawful owner of properties 19618-000, 19632-000, 19630-000, all in the Guanacaste Registry District, and that the parties and property consequently be restored to their original state, namely, that the properties be returned to their lawful owner, Grupo Potemsky, S.A. O. That the defendants be ordered to pay damages (daños y perjuicios).” (Volume II, folios 505-507).
II.The defendant SUNDANCE INV, LTDA raised the preliminary defense (excepción previa) of an arbitration agreement, stating that the challenged deed of 04 de agosto de 2009 was executed as a consequence of the option to sell (opción de venta) signed on 04 de abril de 2008, which contains an arbitration clause (compromiso arbitral). In decision no. 1190-C-15, issued at 16 hours 11 minutes on 17 de noviembre de 2015, the Tribunal Agrario found that, in the contract entitled “Purchase Agreement,” signed on 4 de abril de 2008, the parties had voluntarily agreed to submit their disputes to arbitration; it therefore sustained the preliminary defense of an arbitration agreement and ordered the proceeding closed, without any special award of costs. The special litigation counsel for the plaintiffs, disagreeing with the ruling, requests that it be referred to this Chamber for review.
III.According to the plaintiffs’ allegations in the complaint, on 4 de abril de 2008, GRUPO POTEMSKY S.A. and NILAYA DE COSTA RICA S.A. signed with SUNDANCE INV, LIMITADA an option to purchase the entirety of the “La Juliana” property; the purchase price for the entire property was $3.313.405,35 (fifth fact, Volume II, folio 439). That option was signed by GRUPO POTEMSKY, S.A., represented by Adriana Oliveira Barton, and NILAYA DE COSTA RICA S.A., represented by Roger Jamieson, as sellers, and by SUNDANCE INV, LIMITADA as purchaser; its subject matter comprised four properties in the Guanacaste Registry District, registration numbers 19618-000, 19632-000, 19630-000, 19626-000. In clause 10 of that “Purchase Agreement,” the parties provided: “ARBITRATION: The parties agree that any dispute, claim, or controversy arising from this agreement or from any transaction contemplated herein shall be resolved through legal arbitration in accordance with the bylaws of the Centro Internacional de Conciliación y Arbitraje de la Cámara de Comercio Americana –Costarricense (CICA).
The parties hereby agree to submit voluntarily and unconditionally to its rules and bylaws and declare that they are familiar with them. The laws of Costa Rica shall govern any dispute. The arbitration shall be conducted at the CICA offices in San José, República de Costa Rica. The arbitration shall be conducted in the English language. An arbitral tribunal composed of three arbitrators shall decide the matters subject to the arbitral proceeding (procedimiento arbitral). The arbitrators shall be selected in accordance with the CICA commercial arbitration rules. The arbitral award shall be in writing and shall be final, binding, and conclusive between the parties, and the parties shall comply with the arbitrators’ decision without delay. The costs related to the arbitral proceeding, including reasonable attorneys’ fees, shall be borne by the non-prevailing party unless the Arbitral Tribunal decides otherwise.” (Volume I, folio 166).
IV.Given that, in this proceeding, the plaintiffs essentially seek a declaration that the transfer of properties 19618-000, 19632-000, 19630-000 to the co-defendant company SUNDANCE INV, LIMITADA is null and void; that GRUPO POTEMSKY, S.A. is the lawful owner of those properties; and that the parties and property be restored to their original state, it is clear that the dispute concerns the “Purchase Agreement” for the “La Juliana” property, in which the parties agreed to submit to arbitration any dispute, claim, or controversy arising from the purchase agreement or from any transaction contemplated therein. Consequently, in accordance with the parties’ express intent, this proceeding must be heard through arbitration. It should be added that the special litigation counsel for the plaintiffs denies the validity of the arbitration agreement, arguing that the purchase option was terminated due to SUNDANCE INV LIMITADA’s breach. However, that argument does not undermine the validity of the arbitration agreement because, under the principle of separability of the arbitration clause (principio de autonomía de la cláusula arbitral), the clause remains effective independently of the purchase agreement; that is, the potential nullity of the principal agreement does not entail the invalidity of the arbitration provision (article 37 of Law no. 7727).
V.Consequently, the decision issued by the Tribunal Agrario, no. 1190-C-15, at 16 hours 11 minutes on 17 de noviembre de 2015, shall be affirmed.

En proceso ordinario de GRUPO POTEMSKY S.A. y ROGER EDWARD JAMIESON contra SUNDANCE INV. LIMITADA, ADRIANA OLIVERA BARTON y CHARLES NOTON, el Tribunal Agrario declaró con lugar la excepción de acuerdo arbitral opuesta por los apoderados especiales judiciales de la sociedad codemandada. Inconforme con lo resuelto, la parte actora apeló, por lo que se elevó el asunto en consulta ante esta Sala.
CONSIDERANDO
I.La parte actora presenta proceso ordinario para que en sentencia se declare: “ A. (...) que sobre las fincas objeto de este litigio, la empresa Grupo Potemsky, S.A. por medio de su accionista y representante Roger Jamieson y demás personas a su cargo, ha desarrollado una empresa agraria-ambiental en finca “la Juliana”. B. Que se declare que la posesión agraria del inmueble la han ostentado las compañías Nilaya de Costa Rica, S.A. y Grupo Potemsky, S.A. por medio de su accioniata mayoritario y representante Roger Jamieson; y la misma ha consistido en desarrollar actividades agrarias de desarrollo de silvicultura, conservación y regeneración de bosque además de labores generales de cuido, asistencia y mantenimiento de la propiedad. C. Que se mantengan las medidas cautelares anticipadas otorgadas por este Juzgado (…) D. Que se declare la validez del acuerdo de Asamblea General Extraordinaria de Accionistas de la empresa Grupo Potemsky, S.A. celebrada el 3 de febrero del 2008, donde se acordó el consentimiento para contratar y la ratificación de las demás condiciones de venta.
Asimismo en dicha asamblea se acordó que la capacidad de actuar del Grupo Potemsky, S.A. quedaba sujeto a la participación de los representantes tal y cuales de forma conjunta, limitándose de ésta manera los poderes de los representantes. E. Que se declare que el contenido de los acuerdos establecidos en la Asamblea General Extraordinaria de Accionistas de la empresa Grupo Potemsky, S.A., celebrada el día 3 de febrero del 2008 fueron debidamente conocidos por todos los demandados, sometiéndose legalmente a su contenido. F. Que se declare la deslealtad procesal de la empresa Sundance Inv, Limitada por haber embargar [sic] las propiedades de la finca y no presentar la demanda correspondiente. G. Que se declare la responsabilidad social de los señores Adriana Oliveira y Charles Noton, por haber actuado ilegítimamente en contra de los acuerdos firmes de la Asamblea General Extraordinaria de Accionistas del día 3 de febrero del 2008 de Grupo Potemsky, S.A. , y en evidente y notorio perjuicio de los intereses de su representada.
H. Que se declare la nulidad absoluta de la escritura otorgada el día 4 de agosto del dos mil nueve, ante la notaria público Nancy Harbottle Morales , mediante la cual Grupo Potemsky, S.A. traspasó las fincas del Partido de Guanacastecon matrícula de folio real número 19618-000, 19632-000, 19630-000, a favor de la empresa Sundance Inv, Limitada, en virtud de que los representantes de Grupo Potemsky, S.A., carecían de capacidad de actuar (…) L. Que se declare a la empresa Sundance Inv, Limitada como adquirente de mala fe. (…) N. Que se declare como legítimo propietario de las fincas 19618-000, 19632-000, 19630-000, todas del partido de Guanacaste, a Grupo Potemsky, S.A. y consecuentemente se restituyan las cosas a su estado original, sea que sean devueltas a su legítimo propietario, sea Grupo Potemsky, S.A. O. Que se condene a los demandados al pago de daños y perjucios.” (Tomo II, folios 505-507).
II.La demandada SUNDANCE INV, LTDA opususo la excepción previa de acuerdo arbitral, señaló, la escritura impugnada de 04 de agosto de 2009, se formalizó como consecuencia de la opción de venta suscrita el 04 de abril de 2008, la cual contiene un compromiso arbitral. El Tribunal Agrario, en resolución no. 1190-C-15 de las 16 horas 11 minutos del 17 de noviembre de 2015, estimó que las partes en el contrato denominado “Acuerdo de Compra”, suscrito el 4 de abril de 2008, acordaron voluntariamente someter sus diferencias al arbitraje, por lo que declaró con lugar la excepción previa de acuerdo arbitral y ordenó el archivo del proceso, pronunciamiento que hizo sin especial condenatoria en costas. El apoderado especial judicial de la parte actora inconforme con lo resuelto solicita se eleve en consulta ante esta Sala.
III.De acuerdo a lo indicado por la actora en la demanda, el 4 de abril de 2008, GRUPO POTEMSKY S.A. y NILAYA DE COSTA RICA S.A. firmaron una opción de compra de la totalidad de la finca “La Juliana” con la empresa SUNDANCE INV, LIMITADA, el precio de compra de la totalidad de la finca fue de $3.313.405,35 (hecho quinto, Tomo II, folio 439). Dicha opción fue suscrita por GRUPO POTEMSKY, S.A. representada por Adriana Oliveira Barton y NILAYA DE COSTA RICA S.A. representada por Roger Jamieson, como vendedores, y SUNDANCE INV, LIMITADA, como compradora, su objeto era cuatro propiedades del partido de Guanacaste, matrículas 19618-000, 19632-000, 19630-000, 19626-000. En la cláusula 10 de ese “Acuerdo de Compra”, las partes establecieron: “ ARBITRAJE: Las partes acuerdan que cualquier disputa, denuncia o controversia que surja de este acuerdo o de cualquier transacción aquí contemplado deberá resolverse mediante arbitraje legal de conformidad con los estatutos del Centro Internacional de Conciliación y Arbitraje de la Cámara de Comercio Americana –Costarricense (CICA).
Las partes aquí acuerdan someterse voluntaria e incondicionalmente a sus reglas y estatutos y manifiestan conocimiento de los mismos. Las leyes de Costa Rica regirán cualquier conflicto. El arbitraje se realizará en las oficinas de CICA en San José, República de Costa Rica. El arbitraje se realizará en el idioma inglés. Un tribunal de arbitraje conformado por tres árbitros decidirá los asuntos sujetos al procedimiento arbitral. Los árbitros serán seleccionados según las reglas del arbitraje comercial del CICA. La recompensa arbitral deberá ser por escrito y será definitiva, vinculante y determinante entre las partes y las partes deberán cumplir con la decisión de los árbitros sin demora. Los costos relacionados con el procedimiento arbitral, incluyendo honorarios de abogado razonables, serán asumidos por la parte no favorecida, a menos que el Tribunal Arbitral decida lo contrario.” (Tomo I, folio 166).
IV.Siendo que en este proceso, la actora pretende que en lo medular se declare la nulidad del traspaso de las propiedades 19618-000, 19632-000, 19630-000, a la sociedad codemandada SUNDANCE INV, LIMITADA y que se declare que GRUPO POTEMSKY, S.A. es el legítimo propietario de esas fincas y que se restituyan las cosas a su estado original. Es claro que se está ante diferencias relacionadas con el “Acuerdo de Compra” de la finca “La Juliana”, donde las partes acordaron someter cualquier disputa, denuncia o controversia que surgiera del acuerdo de compra o de cualquier transacción contemplado en él, a un arbitraje. Consecuentemente, atendiendo a la voluntad expresa de las partes, este proceso debe ser conocido en la vía arbitral. Conviene agregar que, el apoderado especial judicial de la parte actora niega la validez del acuerdo arbitral argumentando que la opción de compra fue resuelta por incumplimiento de SUNDANCE INV LIMITADA, sin embargo su alegato no es útil para desvirtuar la validez del acuerdo arbitral, ya que en virtud del principio de autonomía de la cláusula arbitral, ésta mantiene sus efectos con independencia del acuerdo de compra, es decir, la eventual nulidad del principal, no implica la invalidez de la estipulación arbitral (artículo 37 de la Ley no. 7727).
