In the ordinary proceeding (proceso de conocimiento) brought before the Tribunal Contencioso Administrativo by CONSORCIO MIRAMA SOCIEDAD ANÓNIMA, represented by its president and general attorney-in-fact without limitation as to amount (apoderado generalísimo sin límite de suma), Mr. Rafael Darío González Hill, against the JUNTA DE ADMINISTRACIÓN PORTUARIA Y DE DESARROLLO ECONÓMICO DE LA VERTIENTE ATLÁNTICA (JAPDEVA). Attorney Javier Carvajal Molina appears as special judicial attorney-in-fact (apoderado especial judicial) for the plaintiff, and Attorney Salvador Orozco Ramírez appears for the defendant. The plaintiff files an appeal in cassation (recurso de casación) against judgment no. 56-2019-IV of 10:50 a.m. on 08 de julio de 2019, issued by the Tribunal Contencioso Administrativo, Sección Cuarta, Segundo Circuito Judicial de San José.

WHEREAS

I - This matter arose from Public Tender (licitación Pública) N°2012LN-000001-01, conducted for the “Concession and operation of cafeteria-dining facilities at the Limón-Moín terminals,” which was awarded to the plaintiff and pursuant to which the contract was executed on 31 de julio de 2013, Addendum N°0001-2014 was executed on 28 de abril de 2014, and the plaintiff provided the contracted service beginning on 21 de octubre de 2013. It claimed that it had suffered financial losses because the Administration had encouraged workers not to patronize the cafeterias and not to exchange their meal entitlement for milk. It stated that the contract provided that one of the services to be offered at the cafeterias was the exchange for milk (the employee chooses whether to receive the meal or the milk), specifically at the Hernán Garrón and Gastan Kogan wharf cafeterias. It asserted that providing this service had contributed substantially to maintaining the company’s economic equilibrium (equilibrio económico); however, it alleged that the cost structure defined by the Administration did not reflect reality, thereby violating the right established in Article 18 of the Ley de Contratación Administrativa concerning maintenance of the economic equilibrium of this contract.

It explained that, on other occasions, it had requested price adjustments and insisted that the formula proposed for determining costs did not reflect reality, and that the company had been operating below the break-even point (punto de equilibrio), generating losses that had now become unsustainable. It stated that the conditions originally represented to it by the Proveeduría de JADEVA indicated food sales totaling 43 thousand meals per month. It indicated that, under this premise, operating costs would be distributed across a large number of units; however, when the contract was performed, or rather when the service was provided, sales levels never met expectations, while operating costs remained unchanged. It concluded that, for this reason, the cost structure had changed. It specified that, on 05 de mayo de 2017, it submitted official letter N°CM-70-17 to Attorney Rosita Lemones Smith, Head of Human Resources at JAPDEVA, in her capacity as contract administrator, requesting that she conduct a study of the cost structure and, if the proposal was not accepted, requesting termination of the contract effective 04 de junio de 2017, together with the return of the performance bond (garantía de cumplimiento).

It indicated that this request was never answered and therefore considered that the administrative approval by silence (silencio positivo) governed by Article 16 of the Ley de Contratación Administrativa applied to it. It requested that the judgment declare: “1. That our request for administrative approval by silence be granted; and 2. That, during the judgment-enforcement stage (etapa de ejecución de sentencia), an analysis be conducted of the monthly losses according to the cost structure and price determination that we submitted in official letter CM-70-17, which the Administration failed to address in a timely manner, thereby giving rise to Administrative Approval by Silence in our favor. 3. That a profit of 10% be guaranteed for providing the service, as established in the Tender Specifications (Cartel) and the respective contract, for the food services provided throughout the entire performance thereof, based on the cost structure and the determination of the price of each service (meal), as proposed in the official letter that the Administration failed to address in a timely manner. 4.

In direct relation to the relief sought, we reiterate the requests made in the official letter to which the Administration failed to respond in a timely manner, namely: a. Pursuant to the Ley de Contratación Administrativa and its Regulations, we request that a study of the cost structure be conducted and that the amounts to which my principal is legally entitled be recognized, namely, the determination of a 10% return on production costs, in order to prevent my company from continuing to sustain losses and the Administration, conversely, from obtaining unjust enrichment (enriquecimiento sin causa). b. Because operating at constant losses makes this contract unsustainable for us, we request that, if the matter is not resolved as proposed in the first item, the contract be terminated so that I may fulfill my obligations as an employer; I request that the security deposit, CITIBANK investment certificate N°2250920039948, be returned to us, with the corresponding electricity and water charges deducted, of course.” The defendant opposed the claim and raised the defenses (excepciones) of lack of legal entitlement (falta de derecho), lack of standing (falta de legitimación), and lack of a current interest (falta de interés actual), and also requested that the complaint be dismissed with an award of costs.

II.In decision No. 56-2019-IV of 10:50 a.m. on 08 de julio de 2019, the Tribunal Contencioso Administrativo sustained the defenses of lack of a current interest and lack of legal entitlement and rejected the defense of lack of standing. Consequently, it dismissed the complaint in its entirety and ordered the plaintiff to pay costs. Dissatisfied with the ruling, the plaintiff filed this appeal in cassation.

Cassation on procedural grounds

III.As its sole claim of error on this ground for cassation, it alleges that the Tribunal seriously erred by failing to find as an “unproven fact that official letter N°CM-70-17 had or had not been answered,” explaining that this was the most important disputed issue because it was the subject matter of the litigation (objeto de la litis). It contends that, if the Tribunal did not find that a reasoned response had been given, as required by Article 16 of the administrative-procurement law, then “On what basis was the matter decided?”

IV.Regarding this objection, the Tribunal stated the following in proven fact No.5 of the challenged judgment: “5) By official letter N°DRH-251-2017 of 27 de mayo del 2017, Attorney Rosita Lemones Smith, Acting Head of Human Resources of JAPDEVA, responded to official letter CM- 70-17 from the plaintiff Consortium in the following terms: ‘(...) a) Exchange for milk / [...] It is important to bear in mind the following provision established in the last paragraph of Article 64 (currently 72) of the Collective Bargaining Agreement (Convención Colectiva): “The worker may receive milk in lieu of restaurant service, but in such cases JAPDEVA... The worker undertakes to collect the milk daily” (...). / Furthermore, Article 11-c) of the Reglamento General del Servicio de Restaurante provides that “The units or cartons of milk shall be delivered upon presentation of the voucher” (...). / According to official letter STJ-0347-2017 from the Sindicato de Trabajadores de JAPDEVA and complaints submitted by employees, your principal has failed to comply with the agreed terms concerning the daily exchange for milk by replacing this product with “tickets,” despite having accepted the conditions in its bid by stating in item 7): “We hereby expressly declare that, if awarded the contract, we shall faithfully comply with the provisions of the Reglamento de Soda Comedor de JAPDEVA, which we have read” (...). / The procedure for payment of the services, as defined in the tender specifications and accepted by your principal, provides for payment upon presentation of daily reports stating the number of services used by employees.

Proceeding otherwise would require the Administration to pay for services not received, in violation of Article 20 of the Ley de Contratación Administrativa, which states: “Contractors are required to comply fully with what they offered in their proposal

and in any formally documented representation that they additionally submitted during the procedure or during execution of the contract,” without disregarding the provisions of Article 51 of the Ley contra la corrupción y el enriquecimiento ilícito en la Función Pública and other related rules. / b) Price adjustment / By official letter DRH-585-2016 of 24 de octubre del 2016, official letters PG-077-2016 of 16 de setiembre and AL-585-2016 of 14 de octubre, both from 2016, concerning this issue were forwarded to you. Furthermore, the cost structure was defined in the tender specifications and accepted by your principal in its bid and in the contract. / c) Estimated consumption / The administrative record (expediente administrativo) for Public Tender No. 2012LN-000001-01, which is in the custody of the Departamento Proveeduría, contains the Initial Decision (Decisión Inicial), in which monthly consumption was estimated at 8.500 meals.

Accordingly, it must be added that the exchange for milk is governed by Decision R-DCA-253-2013 of the Contraloría General de la República. The fifth clause of the contract established that the contractual term would be three years and could be extended automatically for one additional year if neither party indicated otherwise within the six months preceding the end of the term; consequently, the contract’s final expiration date is the upcoming 21 de octubre del 2017. / Notwithstanding what is stated in this official letter, we are forwarding all documentation concerning these matters to our institution’s Departamento Legal, with a request that it analyze your official letter together with the information provided and issue its opinion on the matter. / Finally, I request compliance with each and every clause of the contract, as well as with all documents incorporated therein.’ (Emphasis added. Folios 1469 and 1471 of the administrative procurement record, Volume III).”

V.In this regard, based on the foregoing quotation, this Collegiate Body (Órgano Colegiado) finds that the court below (A quo) expressly included among the proven facts that the defendant had responded to Official Letter N°CM-70-17, contrary to the appellant’s assertion; therefore, this claim of error must be rejected.

Cassation on substantive grounds

VI.In the first claim alleging violation of substantive rules, it contends that the Tribunal treated as an unproven fact that the request contained in Official Letter N°CM-70-17 was accompanied by technical financial and accounting evidence capable of demonstrating the alleged economic imbalance. It argues that the Administration should have responded to the official letter as provided in Article 16 of the Ley de Contratación Administrativa and, if information was lacking, should have indicated so in a timely manner. It asserts that the evidence was improperly assessed because, it states, it did provide a price breakdown, as well as a clear explanation of why the cost structure did not allow economic equilibrium to be achieved. It comments that page 4 of the aforementioned official letter shows the monthly consumption of the line items, begins an explanation of how the costs were estimated, and contains a table showing a breakdown of administrative expenses, another showing personnel expenses, another showing the cost of food supplies, and another table showing the market prices of those food supplies.

It argues that the provision does not state that the information must be submitted in authenticated form or through a public or private accountant; it insists that, had this been necessary, the Administration should have requested it in a timely manner rather than disregarding the request submitted.

VII.With regard to the challenged finding, the Tribunal ruled: “III. Unproven facts: The following is deemed unproven and relevant to the decision in this matter: sole) That the request contained in Official Letter CM-70-17 from the plaintiff Consortium was accompanied by technical financial and accounting evidence capable of demonstrating the alleged economic imbalance and supporting the modification of the cost structure established in the contract and the bidding terms and conditions (cartel) (Complete absence of evidence in the procurement record and in the court record, considered together with the witness testimony of Gilberto Wilson Wilson and Sandra Mathews Mayar, known as Sandra Mathews Mayers).” In its analysis of the case, it stated: “Furthermore, request CM-70-17 is incomplete because it does not meet the legal requirements prescribed by Article 18 of the Ley de Contratación Administración Pública for requests for price adjustments (reajustes de precios), which literally

provides: ‘(...) To apply the adjustment, the contractor must submit, as part of its bid, a detailed and complete budget containing all components of its price, including a breakdown of unit prices. The submission of invoices for monthly work progress shall be mandatory. (...)’ Similarly, Article 31 of the Reglamento a la Ley de Contratación Administrativo imposes upon the contractor the duty to substantiate requests for price adjustments, providing: ‘(...) The parties shall be required to substantiate their requests and submit the evidence supporting their assertions, taking into account the specific regulations governing the matter. (...)’ (Emphasis added). It should be noted that request CM-70-17 was not accompanied by any technical and financial evidence, despite including annexes that lack evidentiary support, as emphasized by the defendant’s representative, and the plaintiff Consortium has not refuted that argument in these judicial proceedings with the evidentiary sufficiency that is lacking.

Pursuant to the bidding terms and conditions and the Contract, the established cost structure consists of the following percentages: labor 50%, supplies 25%, administrative expenses 15%, and profit 10%, for a total of 100%. In request CM-70-17, the plaintiff Consortium asks that the line items be modified as follows: labor 32,23%, supplies 52,94%, administrative expenses 4,83%, and profit 10%, without submitting any evidence supporting the information in the annexes provided, which consist of charts or tables of supplies, wages, and administrative expenses without specifying the source from which the information was obtained.”

VIII.Requirements for price adjustment (reajuste de precios). With regard to the information that must accompany price-adjustment requests, the regulations set forth extensive details. First, Article 18 of the Ley de Contratación Administrativa provides: “Except where different parameters are expressly stipulated in the terms of the respective tender specifications (cartel), in contracts for works, services, and supplies with persons or companies in the construction industry, the Administration shall adjust prices upward or downward when direct or indirect costs strictly related to the work, service, or supply vary, through the application of mathematical equations based on official price and cost indices prepared by the Ministry of Economy, Industry and Commerce. Adjustments shall be calculated on monthly estimates, based on the bid prices and the indices corresponding to the month in which the bids were opened.

To apply the adjustment, the contractor must submit, as part of its bid, a detailed and complete budget containing all the elements comprising its price, including a breakdown of unit prices. The submission of invoices for monthly progress on the work shall be mandatory. In all other procurements, when costs strictly related to the subject matter of the contract vary, the necessary price-review mechanisms may be established to maintain the economic equilibrium of the contract. To comply with the preceding paragraphs, the Regulations to this Law shall establish the technical criteria to be followed to ensure an objective determination of price adjustments or reviews. Likewise, the tender specifications must establish the method for reviewing prices and determining adjustments, as well as refer to the regulations governing the applicable mechanism.” Similarly, Article 31 of the Reglamento a la Ley de Contratación Administrativa states that “The parties shall be entitled to a price adjustment or review, provided that the variation in the respective costs is substantiated in accordance with the existing rules.

The right to a price adjustment or review shall apply from the submission of the bid and may be requested once contractual performance has begun. The parties shall be required to substantiate their request and submit the evidence supporting their assertions, taking into account the specific regulations governing the matter. Claims on this basis shall be time-barred after five years from the date on which collection proceedings may be brought in connection with the claimed variation in costs. The filing of the request shall interrupt this limitation period.” (Emphasis added). This Chamber has addressed this issue repeatedly. In Decision N° 01577 – 2013 of November 18, 2013, it emphasized: “The initiative to seek an adjustment will, logically, come from the interested party, namely, the party affected by the variation in costs. Clearly, in most cases it will be pursued by the contractor, who knows the details of its costs; less often it will be pursued by the Administration, which, having learned for some reason of a variation in expenses, proceeds with the adjustment, as expressly provided for on the basis of objective parameters in the case of procurements related to the contracting industry.

In short, and as is also logical, each party to the contract has the right to safeguard its own finances. It also follows from this—in contrast to what the appellant argues in this matter—that the adjustment is not made ex officio; as regards the contractor, it is a waivable right, such that, because the contractor is the party interested in protecting its assets, it must request the adjustment from the Administration and reliably establish the prerequisite: the variation in costs. The same principle underlies mandate 31 of the RLCA: ‘The parties shall be required to substantiate their request and submit the evidence supporting their assertions, taking into account the specific regulations governing the matter’; that is, whoever seeks a price review or adjustment must prove the grounds supporting it.” Along the same lines, in judgment No. 01540 - 2013 of November 14, 2013, it explained: “(…) the purpose of the adjustment is to maintain financial equilibrium (equilibrio financiero), and it constitutes a contractor’s right recognized in the legal system and in constitutional case law since judgment 998-98.

In general terms, an adjustment is said to be warranted upon the occurrence of unforeseeable circumstances or circumstances that, although foreseeable, affect the equilibrium of the contract. Properly understood, this principle means, in the contractor’s case, that if its cost structure is affected by external factors, the profitability originally agreed upon should remain unchanged. If the price remains a fixed variable in the equation, an increase in costs necessarily entails a reduction in profitability. In that situation, the purpose of adjusting the price is for the increase in expenses—again, resulting from external factors and, it should be added, necessary to fulfill the subject matter of the contract—to be compensated by the Administration through modification of the consideration it provides in exchange for receiving the goods or services. Hence, the Reglamento a la Ley de Contratación Administrativa establishes that the parties are required to ‘substantiate their request and submit the evidence supporting their assertions’ (art. 31).

This has led to the forensic practice of verifying cost increases using reliable indices, as well as the need to determine the cost structure on which the price was based, including the profit received. It bears clarifying that this verification must be performed on the basis of the bid submitted by the contractor. In other words, what matters is the percentage structure of the various items in the awarded bid. Nevertheless, it cannot be extrapolated from this that the process is a means of modifying profitability. In this regard, it should be noted that if, when submitting the bid, the bidder makes an error in setting the price that affects its profit, that error cannot be corrected through an adjustment, without prejudice to the possibility that, depending on the circumstances, the price may be deemed ruinous (precio ruinoso). Otherwise, the profitability component could be reduced solely to gain an advantage over the other bidders and then, after being awarded the contract, the successful bidder could adjust its income.

This undoubtedly constitutes an abuse of rights prohibited by the legal system.” (Emphasis added). In view of the foregoing, this adjudicative body agrees with the A quo, since a party’s mere assertion is insufficient to substantiate an adjustment to the cost structure on the terms sought by the plaintiff, particularly in the context described by the witness Gilberto Enrique Wilson Wilson (see, in this regard, the recording of the Oral and Public Trial beginning at 01:25:40, which is included in the electronic case file), who stated that, at the outset of the procurement procedure, the Administration considered the bid to have a ruinous price; the plaintiff appealed that decision to the Contraloría General de la República and obtained a favorable ruling from it, and the contract was therefore ultimately awarded to the plaintiff. Thus, in every request for an adjustment, as stated in the regulations and case law cited above, the interested party must reliably demonstrate the impact of the various external factors on the costs it considers to have been affected.

In the case before us, request letter N°CM-70-17 contains only tables prepared on the basis of the appellant’s own assertions, without identifying references or invoices supporting the information set forth in the document that would allow the Administration to analyze any possibility of varying what was agreed upon in the contract award. Accordingly, this ground of appeal must be rejected.

IX.As its second ground of appeal, it alleges the incorrect application of the provisions governing positive administrative silence (silencio positivo) under the Ley de Contratación Administrativa together with those of the Ley General de Administración Pública. It contends that the judgment entirely disregards the principal and substantive claim, namely, recognition of positive administrative silence, and grants a subsidiary claim applicable if the prices were not adjusted as requested in the letter that was never answered. It emphasizes that this is a serious error because the judgment failed to rule on positive administrative silence in relation to addressing the loss of the break-even point (punto de equilibrio) suffered by my client and its operation at continual losses. It asserts that the principle of patrimonial integrity (intangibilidad patrimonial) was violated and that unjust enrichment (enriquecimiento sin causa) in favor of the Administration resulted.

It states that Article 16 of the Ley de Contratación Administrativa establishes that the Administration is required to respond to “…any request submitted to it by the contractor…” and adds that the only requirement established is that the request “…be necessary for the performance of the procurement contract.” It reiterates that the request clearly falls within the factual circumstances established by the cited article and that the Administration was required to respond to it, whether by rejecting it as incomplete, rejecting it outright, or granting it; however, the Administration never responded as required by the provision, with “…a reasoned response….” It concludes that it was more than sufficiently established that the Administration never provided a reasoned response.

X.With respect to the challenged claim, the Court ruled: “In this particular case, the application (gestión) filed under number CM-70-17 concerns a request for a cost-structure study and a guaranteed 10% profit margin; in the alternative, termination of the contract by mutual agreement is proposed, with the return of the security furnished. It is evident that application CM-70- 17 is not directed toward the effective performance of the procurement contract (contratación). On the contrary, in that same application, the plaintiff Consortium formally proposes terminating the contract by mutual agreement. (…) Another element that weakens the plaintiff’s position is JAPDEVA’s written responses to application CM-70-17, filed on May 5, 2017, through official letters N°DRH-251-2017 of May 27, 2017 and N°AL-306- 2017 of July 5, 2017, the latter issued by JAPDEVA’s Legal Department, which expressly rejected the request for a declaration of positive administrative silence (silencio positivo), without any clear and precise challenge having been raised against the position expressed by the Public Administration, thereby failing to satisfy the procedural burden (carga procesal) of stating the grounds for the action.

It must also be added that the request for a price adjustment (reajuste de precios), as such, cannot be considered to be directed toward performance of the contract either and, consequently, would be insufficient for the application of section 16 of the Ley de Contratación Administrativa, as invoked. Finally, considering the claims before us as formulated by the plaintiff—with some lack of rigor in procedural legal technique—the plaintiff appears to assume that a declaration of positive administrative silence would incidentally entail an order for specific performance (condena de hacer), that is, an order to undertake conduct required by the legal system, for example, as provided in article 122, subsection g) of the Código Procesal Contencioso Administrativo. Nevertheless, as we shall see, this would be an order to carry out a preparatory act (acto preparatorio)—the cost study—based on the Administration’s omission, which bears no resemblance whatsoever to the doctrine of positive administrative silence.

It should be noted that the claimant requested that the Administration undertake conduct that, as mentioned above, is the responsibility of the plaintiff itself, which from the outset rules out any possibility of success for the relief sought; while, on the other hand, what it seeks is for the Administration to conduct the cost study that would substantiate its request to restore the financial equilibrium (restablecimiento del equilibrio financiero). The latter, although it refers to an omission, presupposes that the action is instead directed toward ordering the Administration to undertake that conduct—that is, toward ordering it to do what it omitted to do—without the outcome of that study being capable of being anticipated at any level. It is an order to carry out an act preparatory to another—an eventual and future final act (acto final). What we mean is that, according to the claimant’s own assertions, an order for specific performance against the Administration is far from being based on a presumed act (acto presunto), as would be appropriate if the doctrine of positive administrative silence were to be applied—here, there would be no dispute as to whether or not that doctrine applied.

Rather, the claimant would be seeking an order requiring the Administration to carry out a preparatory act—the study—which would subsequently, and depending on its results, permit the adoption of a final act recognizing, or not recognizing, whether restoration based on a financial imbalance (desequilibrio financiero) is warranted. This leads to the conclusion that, in these cases, even considering the possibility of applying that doctrine would be untenable. Furthermore, the ultimate purpose of the application is not performance of the procurement contract, because it seeks, first, the preparation of a cost study and, second, proposes termination of the contract, which are wholly incongruous. None of the foregoing means that the Administration’s failure to respond caused delays in the performance of the contract, since, in this particular case, the bidding process (licitación) had been underway since 2013.

It is evident that the application does not meet the requirements of article 16 of the Ley de Contratación Administrativa for positive administrative silence to apply, and that what is sought through positive administrative silence is to circumvent or sidestep, through abuse of rights (abuso del derecho),

a duty incumbent upon the contractor—namely, to demonstrate that the alleged financial imbalance occurred and would justify a price adjustment.”

XI.Positive administrative silence (silencio positivo) in administrative contracting (contratación administrativa). From its analysis of the foregoing transcription, this Chamber observes that the Tribunal extensively addressed the claimant’s argument concerning positive administrative silence; therefore, the claimant’s argument regarding the failure to rule must be rejected. Now, even where an express provision exists on the matter, positive administrative silence must be analyzed comprehensively in order to understand it, since it originates precisely from the Ley General de la Administración Pública (LGAP). Article 330 of the Ley General de la Administración Pública provides: 1. The Administration’s silence shall be deemed positive when expressly so established or when it concerns authorizations or approvals that must be granted in the exercise of oversight and supervisory functions. 2. Silence shall also be deemed positive when it concerns applications for permits, licenses, and authorizations.

(Emphasis added). In this regard, it must therefore be understood that the general rule when the Administration remains silent is a negative response to the application, while a positive response operates by way of exception, as developed in the case law (jurisprudencia) of this Collegiate Body in voto N°925-F-S1-2017 of 3 de agosto de 2017: “(…) First, it must be clarified that positive administrative silence operates by way of exception. The rule is negative administrative silence (silencio negativo); that is, when the Administration fails to respond within the established time limits, the application must be deemed denied. This enables the affected party to bring such judicial actions as it deems appropriate due to the presumed denial. Only in certain circumstances specified by law may the Administration’s failure to respond be understood as a presumed act favorable to the affected party or declaring rights in its favor.” (Emphasis added).

Likewise, resolución Nº 00129 – 2018 of 15 de febrero del 2018 stated: “Positive administrative silence is exceptional in matters involving administrative inaction and occurs exclusively in those cases in which the legislature—not the Administration in the exercise of its regulatory authority—expressly and exhaustively recognizes it. This type of presumed act (positive) shall produce the effects of an express administrative act granting the application, favorable to the affected party, or declaring rights, as follows from the text of 331 of the LGAP, which provides that, once such silence has occurred, ‘the Administration may not issue an act denying the application or extinguish the act except in those cases and in the manner prescribed by law.’ For this reason, negative administrative silence is the rule and positive administrative silence is the exception; as such, it applies only in those cases permitted by a provision having the force of law.

In all other circumstances not provided for by law, silence, it bears repeating, shall always be deemed negative. For administrative inaction of this nature to arise, several conditions must be satisfied.” (Emphasis added). Consistent with the foregoing, the LGAP allows silence to be regarded as positive when a special law so provides, and it is therefore permissible to examine whether the factual circumstances fall within Article 16 of the Ley de Contratación Administrativa. Accordingly, the appellant is also incorrect in seeking to separate the two laws from the analysis performed by the A quo, since that analysis was necessary to resolve the matter. Having clarified the foregoing, with particular regard to positive administrative silence in administrative contracting, this Chamber stated the following in sentencia 001096-F-S1-2011 at 9 horas 45 minutos on 8 de setiembre de 2011, reiterated in the same terms by the Tribunal de Casación Contencioso Administrativo y Civil de Hacienda in resolución N.º 00161 – 2018 at 09 horas 30 minutos on 15 de noviembre de 2018: “…Article 16 of the LCA does, in fact, impose upon public entities the duty to process any application submitted by the contractor within 30 business days; once that period has elapsed without a reasoned response, it provides that positive administrative silence shall operate and the application shall be deemed granted, provided that it concerns authorizations or approvals that must be granted in the exercise of oversight or supervisory functions, applications for permits, licenses, and authorizations, or specific instances of inaction for which a statutory provision has afforded that possibility…”.

It has likewise held that the circumstances in which the doctrine of administrative silence (figura silencial) may be invoked to address an omission by the Public Administration arise when the recognition or protection of a subjective right (derecho subjetivo) or legitimate interest (interés legítimo) is sought; otherwise, application of the doctrine is improper. Thus, positive administrative silence produces favorable administrative conduct with full legal effect, provided that the required formal requirements and the conditions established by the legal system are satisfied. In this regard, it may be stated that, in order to generate an administrative act granting the application (acto administrativo estimatorio), the legal doctrine must satisfy the following conditions: i) the underlying application meets the requirements imposed by the legal system. ii) The statutory period established for its applicability elapses without the Administration having responded.

Case law has established that, with respect to authorizations and permits, there are exceptions to the application of this doctrine. The Sala Constitucional has held that positive administrative silence is inapplicable to environmental and urban-planning matters (sentencias 6836-93, 5506-94, 2000-1895 y 2003-6322). The foregoing was reiterated by the Sala Primera in fallos 0397-F-2001 y 000771-F-S1-2008 at 16 horas on 18 de noviembre de 2008.” Since then, some of the parameters governing applications to which positive administrative silence applies in administrative contracting have been delineated. It should be added, among the necessary characteristics, that the application must be self-contained; that is, it must not require additional, more complex actions by the Administration. Otherwise, the purpose of establishing the Administration’s intent when it fails to issue a decision would be meaningless, since more would be required than a response granting or denying the application.

In the case at hand, as the appealed judgment states: “The claimant requested that the Administration undertake conduct that, as previously noted, was incumbent upon the claimant itself, which from the outset rules out any possibility of success in the relief sought. Moreover, what it seeks is for the Administration to perform the cost study that would support its request to restore the financial equilibrium. Although the latter alleges an omission, it means that the action is instead aimed at ordering the Administration to undertake that conduct—that is, at ordering it to do what it omitted to do—without the outcome of that study being capable of anticipation at any level. The relief sought is an order requiring performance of an act preparatory to another—final—act that is contingent and future.” In summary, despite its responsibility to do so, the claimant requested that the respondent conduct a study of the cost structure.

If the requirements had been met, the Administration’s analysis would have involved not only whether the request was proper in relation to the contract, but also an assessment of the budgetary consequences and the availability of funds to address the proposed change. Furthermore, this characteristic is linked to the description in Article 16 of the LCA: a self-contained application submitted to the Administration to enable performance of the awarded service, where the Administration’s failure to respond has prevented such performance. In this case, however, the contract had been under performance since 2013. Accordingly, this Chamber agrees with the A quo that, due to the particular features of the application submitted, it is not subject to the positive administrative silence regulated by the LCA; consequently, this ground of appeal must be rejected.

XII.As its third ground of appeal, the claimant alleges a violation of Article 18 of the Ley de Contratación Administrativa concerning the maintenance of economic equilibrium (equilibrio económico). It asserts that the claimant operated at a constant loss and that its right to claim adjustments is not time-barred upon termination of the contract. It contends that Article 31 of the Reglamento a la Ley de Contratación Administrativa permits a price review (revisión del precio) to be requested for up to five years from the time when it could have been requested. It maintains that a present interest (interés actual) does exist because there was a loss of the break-even point while it performed the work at a loss, and it considers those price-review requests timely.

XIII.On this point, the Tribunal held: “Because JAPDEVA stated in its answer to the complaint that, as of 3 de julio de 2017, the claimant Consortium had unilaterally terminated the contract and is not currently providing the cafeteria-dining service at JAPDEVA, as shown in image 57 of the electronic case file, together with the testimony given at the oral trial by Leonicia Guthrie Bell and Sandra Mathews Mayar, it is understood that the requested relief subsequently ceased to present a current interest because it became materially impossible to carry out what was requested, namely: a cost study, a guarantee of 10% profits, and/or termination of the contract by mutual agreement with return of the performance bond (garantía). Even if some item of relief were granted, it would have no practical effect because none of the requested relief can be implemented, as the contractor no longer provides the cafeteria-dining service; consequently, any judgment issued would not be useful.

This technical difficulty arises from the claims for relief (pretensiones) contained in the complaint, which define the limits of this Tribunal’s ruling; the Tribunal may neither establish claims different from those asserted nor infer claims that were not expressly brought. Judges may rule only on legal disputes that remain live, and it is an admissibility requirement for the complaint that its holder demonstrate a present interest in it, because judicial protection (tutela jurisdiccional) is intended to address actual situations and is not directed toward abstract, speculative, or theoretical analyses. Along the same lines, the following excerpt from voto N°265-F-S1-2019 of the Sala Primera de la Corte Suprema de Justicia explains the doctrine of lack of present interest (falta de interés actual) (…) It should be emphasized that the claimant did not include in its complaint any express claim for recognition of the damages caused by the denial of application CM-70-17; it did not seek a declaration that the actions taken were null and void, nor did it challenge the contractual clause and the bidding specifications (cartel) containing the mathematical formula for price adjustments and the price structure, nor did it seek their annulment.

This precludes an ex officio analysis, as doing so would risk violating the Adversarial Principle (Principio de Contradictorio) and Due Process (Debido Proceso) of the litigating parties. For the foregoing reasons, the remaining relief requested is denied.”

XIV.In this regard, this Chamber agrees with the reasoning set forth in the judgment, given that the request for a study concerning the cost readjustment (reajuste de costos) submitted by the plaintiff (parte actora) was prospective in nature; that is, it expressly stated in official letter N°CM-70-17: “for the purpose of preventing the company from continuing to incur losses (…)”. Furthermore, the request lacked the supporting grounds required for applications of that nature, as indicated in the preceding sections. Less than two months after submitting it, on 3 de julio de 2017, the claimant (accionante) unilaterally terminated the contract and ceased providing the contracted service. Accordingly, the relief sought in its complaint would require the Administration to act contrary to the provisions of article 16 of the Ley General de la Administración Pública, since under no circumstances may acts be issued that are contrary to unequivocal rules of science or technical expertise, or to fundamental principles of justice, logic, or expediency. It would therefore serve no purpose to analyze the claims in the terms described, and the ground of appeal (agravio) is rejected based on the reasons stated by the court below (A quo).

XV.In view of the foregoing, the appeal shall be dismissed. Consequently, the appellant in cassation (casacionista) shall be ordered to pay the costs associated with this appeal (artículo 150.3).

THEREFORE

The appeal is dismissed. Consequently, the appellant in cassation is ordered to pay the costs associated with this appeal.

Documento PJEDITOR Res. 002880-F-S1-2020 SALA PRIMERA DE LA CORTE SUPREMA DE JUSTICIA. San José, a las diez horas cuarenta y cinco minutos del diez de diciembre de dos mil veinte.

En el proceso de conocimiento establecido ante el Tribunal Contencioso Administrativo, por CONSORCIO MIRAMA SOCIEDAD ANÓNIMA, representado por su presidente y apoderado generalísimo sin límite de suma el señor Rafael Darío González Hill contra la JUNTA DE ADMINISTRACIÓN PORTUARIA Y DE DESARROLLO ECONÓMICO DE LA VERTIENTE ATLÁNTICA (JAPDEVA). Interviene como apoderado especial judicial de la actora, licenciado Javier Carvajal Molina, y del demandado el licenciado Salvador Orozco Ramírez. La accionante formula recurso de casación contra la sentencia no. 56-2019-IV de las 10 horas 50 minutos del 08 de julio de 2019, dictada por el Tribunal Contencioso Administrativo, Sección Cuarta, Segundo Circuito Judicial de San José.

CONSIDERANDO

I - El presente asunto se origina con motivo de la licitación Pública N°2012LN-000001-01 promovida para la "Concesión y explotación de soda comedor en las terminales de Limón-Moín", en el que resultó adjudicada la actora y por el cual el contrato se suscribió el 31 de julio de 2013, el Addendum N°0001-2014 el 28 de abril de 2014 y brindó el servicio contratado desde el 21 de octubre de 2013. Reclamó, ha sufrido pérdidas económicas debido a que la Administración ha promovido entre los trabajadores que no asistan a las sodas y no hagan los cambios de leche. Describió, el contrato suscrito estableció como uno de los servicios que se debían brindar en las sodas era el intercambio de leche (funcionario elige si desea el plato o la leche), concretamente en las sodas de los muelles Hernán Garrón y Gastan Kogan. Aseveró, la prestación de este servicio ha venido contribuyendo de forma sustantiva al mantenimiento del equilibrio económico de la empresa, sin embargo, acusó, la estructura de costos definida por la Administración no responde a la realidad, lo que ha quebrantado el derecho establecido en el artículo 18 de la Ley de Contratación Administrativa, referido al mantenimiento del equilibrio económico de este contrato.

Detalló, en otras ocasiones han solicitado reajustes de precios e insistido en que la fórmula que se ha planteado para la definición de costos no se ajusta a la realidad, y es que la empresa ha venido operando por debajo del punto de equilibrio generando pérdidas que hoy en día ya son insostenibles. Expuso, las condiciones que les ofrecieron originalmente en la Proveeduría de JADEVA de las ventas de comida ascendía a la venta de 43 mil platos por mes. Indicó, bajo esta premisa los costos operativos se distribuyen en una gran cantidad de unidades, sin embargo, al momento de la ejecución o más bien prestación del servicio, los niveles de ventas nunca alcanzaron las expectativas, pero los costos operativos se mantuvieron invariables, concluyó, por tal razón hubo un cambio en la estructura de costos. Puntualizó, el 05 de mayo de 2017 presentó el oficio N°CM-70-17 dirigido a la Licenciada Rosita Lemones Smith, Jefe de Recursos Humanos de JAPDEVA, en su condición de administradora del contrato, para que hiciera un estudio de la estructura de costos y en caso de no acogerse la propuesta, solicitó la disolución del contrato a partir del 04 de junio de 2017 con la devolución de la garantía de cumplimiento.

Indicó, nunca le fue contestada dicha solicitud, por lo cual consideró, le aplicó el silencio positivo regulado en el artículo 16 de la Ley de Contratación Administrativa. Solicitó, en sentencia se declare: "1. Que se acoja nuestra solicitud de silencio positivo y 2. Se realice un análisis de las pérdidas mensuales según la estructura de costos y definición del precio que dimos en el oficio CM-70-17, que no fue atendido por la Administración de forma oportuna generando el Silencio Positivo a nuestro favor, en la etapa de ejecución de sentencia. 3. Que se asegura una ganancia del 10% por la prestación del servicio como se estableció en el Cartel y el respectivo contrato, por los servicios de alimentación brindados durante toda la ejecución de éste, con base a la estructura de costos y la definición del precio de cada servicio (plato), como planteamos en el oficio que no fue atendido oportunamente por la Administración. 4.

En relación directa con lo peticionado, reiteramos la petitoria que formulamos en el oficio que no respondió oportunamente la Administración, sean: a. Con base a la Ley de Contratación Administrativa y su Reglamento, solicitamos que se realice un estudio de la estructura de costos y se reconozcan los montos que en derecho le corresponden a mi representada, sea la definición de un 10% sobre costos de producción, con el propósito de impedir que mi empresa siga perdiendo y por el contrario se produzca un enriquecimiento sin causa a favor de la Administración. b. Que, al trabajar con pérdidas constantes, no es sostenible para nosotros este contrato, por lo cual solicitamos, de no resolverse como hemos planteado en el primer punto que se disuelva el contrato con el propósito de cumplir con mis obligaciones patronales, solicito nos reintegren el depósito de garantía, certificado de inversión de CITIBANK N°2250920039948, claro, haciendo el rebajo de los rubros correspondientes a la luz y el agua".

La parte demandada contestó de forma negativa y opuso las excepciones de falta de derecho, falta de legitimación y falta de interés actual, así como declarar sin lugar la demanda con condenatoria en costas.

II.En resolución No. 56-2019-IV de las 10 horas 50 minutos del 08 de julio de 2019, el Tribunal Contencioso Administrativo dispuso acoger las excepciones de falta de interés actual y falta de derecho, y rechazar la excepción de falta de legitimación. En consecuencia, declaró sin lugar la demanda en todos sus extremos y condenó en costas a la parte actora. Inconforme con lo resuelto, la actora interpuso el presente recurso de casación.

Casación por razones procesales

III.Como único agravio por este motivo casacional, alega, el Tribunal omitió de forma grave tener como “hechos no (sic) probado que se haya contestado o no el oficio N°CM-70-17”, explica, siendo el elemento controvertido más importante por ser el objeto de la litis. Considera, si no ha tenido como demostrado que hubo respuesta motivada como lo exige la norma de contratación administrativa en su numeral 16, pregunta, “¿Sobre qué se resuelva (sic)?”.

IV.Sobre este reproche, el Tribunal en el hecho probado No.5 de la sentencia recurrida expuso: “5) Que mediante oficio N°DRH-251-2017 del 27 de mayo del 2017, la licenciada Rosita Lemones Smith, Jefe a.i de Recursos Humanos de JAPDEVA dio respuesta al oficio CM- 70-17 del Consorcio actor en los siguientes términos: "(...) a) Intercambio de la leche / [...] Es importante tener presente lo que se establece en la Convención Colectiva en su Artículo 64 (actual 72) en su último párrafo lo siguiente: "Podrá el trabajador recibir leche en lugar del servicio de restaurante, pero en estos casos JAPDEVA... EI trabajador se obliga a retirar la leche diariamente" (...). / Por otro lado, en el Artículo 11-c) del Reglamento General del Servicio de Restaurante, se establece que "Las unidades o cajas de leche serán entregadas contra la presentación de la boleta" (...). / De acuerdo a oficio STJ-0347-2017 del Sindicato de Trabajadores de JAPDEVA y ante quejas presentadas por los funcionarios, su representada ha incumplido lo estipulado, con respecto al canje diario de leche, sustituyendo este producto por 'tiquetes', a pesar de haber aceptado en la oferta las condiciones al indicar en el punto 7): 'Por este medio hacemos manifestación expresa de que en caso de resultar adjudicatarios daremos fiel cumplimiento a lo que establece el Reglamento de Soda Comedor de JAPDEVA, el cual hemos leído' (...). / El procedimiento para el pago de los servicios, como fue definido en el cartel de licitación y aceptado por su representada, se hace efectivo contra la presentación de los reportes diarios con la cantidad de servicios consumidos por los funcionarios, proceder contrario implicaría para la administración la cancelación de servicios no recibidos, violentando lo que se establece en el artículo 20 de la Ley de Contratación Administrativa cuando se refiere a que: "Los contratistas están obligados a cumplir cabalmente, con lo ofrecido en su propuesta

y en cualquier manifestación formal documentada, que hayan aportado adicionalmente, en el curso del procedimiento o en la formalización del contrato", sin eludir lo señalado en el Artículo 51 de la Ley contra la corrupción y el enriquecimiento ilícito en la Función Pública y otras normas conexas. / b) Reajuste de precios / Mediante el oficio DRH-585-2016 del 24 de octubre del 2016 se le ha remitido los oficios PG-077-2016 del 16 de setiembre y el AL-585-2016 del 14 de octubre, ambos del 2016, refiriéndose a este tema. Por otro lado, la estructura de costos fue definida en cartel de licitación y aceptada por su representada en la oferta y en el contrato. / c) Estimación del consumo / Consta en el expediente administrativo de la Licitación Pública No. 2012LN-000001-01, que se encuentra bajo la custodia del Departamento Proveeduría, la Decisión Inicial y en la cual se estimó un consumo de mensual de 8.500 platos, debido a ello, es necesario agregar que el canje de leche corresponde a la Resolución R-DCA-253-2013 de la Contraloría General de la República.

Se definió en la cláusula quinta del contrato que el plazo del contrato será de tres años y podrá prorrogarse en forma automática por un año más si ambas partes no indican lo contrario dentro de los seis meses anteriores a la finalización del período, y en resultado de ello el plazo de vencimiento final del contrato es el próximo 21 de octubre del 2017. / No obstante de lo señalado en este oficio, estamos trasladando toda la documentación referente a estos temas al Departamento Legal de nuestra institución con la solicitud de analizar su oficio junto con -la información suministrada y emitir su criterio al respecto. / Finalmente le solicito el cumplimiento de todas y cada una de las cláusulas del contrato, así como de todos documentos que se incorporaron en él". (El subrayado es nuestro. Folios 1469 y 1471 expediente administrativo de la contratación, Tomo III).”.

V.Al respecto, de lo transcrito este Órgano Colegiado constata que el A quo sí indicó expresamente dentro de los hechos probados que la demandada dio respuesta al Oficio N°CM-70-17, contrario a lo señalado por el recurrente, de modo que este agravio debe ser rechazado.

Casación por razones sustantivas

VI.En el primer reclamo por violación a normas sustantivas, acusa, el Tribunal tiene como hecho indemostrado que la gestión contenida en el Oficio N°CM-70-17 estuviera acompañada de prueba técnica en materia financiero contable capaz de demostrar el desequilibrio económico acusado. Arguye, la Administración debió contestar el oficio como lo establece el artículo 16 de la Ley de Contratación Administrativa, y si hacía falta información de forma oportuna indicarlo. Considera, incorrecta valoración de la prueba porque manifiesta, sí aportó un desglose del precio y además una clara explicación del porqué la estructura de costos no permitía llegar a un equilibrio económico. Comenta, en la página 4 del citado oficio se muestra el consumo de los rubros por mes, se inicia una explicación de cómo estimaron los costos y un cuadro que muestra el desglose de los gastos administrativos, otro con los gastos del recurso humano, otro que muestra el costo de los insumos de alimentación y otro cuadro que muestra los precios de mercado de esos insumos de alimentos. Argumenta, la norma no señala que la información deba ser presentada autenticada o por medio de un contador público o privado, insiste, pero en caso de haber sido necesario, la Administración debió solicitarlo oportunamente y no desatender la gestión presentada.

VII.Con relación al cargo reprochado, el Tribunal resolvió: “III. Hechos no probados: De importancia para la decisión del presente asunto se tiene como indemostrado lo siguiente: único) Que la gestión contenida en el oficio CM-70-17 del Consorcio actor, estuviera acompañada de la prueba técnica en materia financiero contable capaz de demostrar el desequilibrio económico acusado y fundamentar la modificación en la estructura de costos dispuesta en el contrato y el cartel de la licitación (Total ausencia probatoria en el expediente de la licitación y en el judicial en asocio con las declaraciones testimoniales de Gilberto Wilson Wilson y Sandra Mathews Mayar conocida como Sandra Mathews Mayers).” En el análisis del caso, señaló: “Por otro lado, la gestión CM-70-17 está incompleta por cuanto no reúne los requisitos legales que ordena el artículo 18 de la Ley de Contratación Administración Pública, para la solicitud de reajustes de precios cuando literalmente

indica: "(...) Para aplicar el reajuste, el contratista deberá presentar, en su oferta, un presupuesto detallado y completo con todos los elementos que componen su precio, incluyendo un desglose de los precios unitarios. La presentación de facturas, por avance de obra cada mes, será obligatoria. (...)". En igual sentido, el artículo 31 del Reglamento a la Ley de Contratación Administrativo, impone al contratista el deber de fundamentar las solicitudes de reajustes de precios, cuando dispone: "(...) Las partes estarán obligadas a fundamentar su gestión y a aportar las pruebas en que sustenten su dicho, tomando en cuenta las regulaciones específicas de la materia. (...)" (Énfasis suplido). Cabe destacar que la gestión CM-70-17 no se acompañó de ninguna prueba técnica-financiera, pese a incluir anexos que carece de sustento probatorio y así lo enfatizó la representación de la demandada, sin que en esta sede judicial el Consorcio actor haya desvirtuado tal argumento con la suficiencia probatoria que se echa de menos.

Según lo regulado en el Cartel y el Contrato la estructura de costos establecida se compone de los siguientes porcentajes: mano de obra 50%, insumos 25%, gastos de administración 15% y utilidad un 10% para un total de 100%. En la gestión CM-70-17 el Consorcio actor solicita que se modifiquen los rubros de la siguiente forma: mano de obra 32,23%, insumos 52,94%, gastos de administración 4,83% y utilidad 10%, sin aportar ningún elemento probatorio que sustente la información de los anexos aportados, mismos que consisten en cuadros o tablas de los insumos, salarios y gastos administrativos sin detallar la fuente obtenida.”

VIII.Requisitos para el reajuste de precios. En relación con la información que debe acompañar las solicitudes de reajuste de precios, la normativa es amplia en detallarla. En primer lugar, el artículo 18 de la Ley de Contratación Administrativa establece: “Salvo cuando se estipulen, expresamente, parámetros distintos en los términos del cartel respectivo, en los contratos de obra, servicios y suministros, con personas o empresas de la industria de la construcción, la Administración reajustará los precios, aumentándolos o disminuyéndolos, cuando varíen los costos, directos o indirectos, estrictamente relacionados con la obra, el servicio o el suministro, mediante la aplicación de ecuaciones matemáticas basadas en los índices oficiales de precios y costos, elaborados por el Ministerio de Economía, Industria y Comercio. Los reajustes se calcularán sobre estimaciones mensuales, con base en los precios de la oferta y los índices correspondientes al mes de la apertura de las ofertas.

Para aplicar el reajuste, el contratista deberá presentar, en su oferta, un presupuesto detallado y completo con todos los elementos que componen su precio, incluyendo un desglose de los precios unitarios. La presentación de facturas, por avance de obra cada mes, será obligatoria. En las restantes contrataciones, cuando se produzcan variaciones en los costos estrictamente relacionados con el objeto del contrato, podrán establecerse los mecanismos necesarios de revisión de precios, para mantener el equilibrio económico del contrato. Para cumplir con lo estipulado en los párrafos anteriores, en el Reglamento de la presente Ley se establecerán los criterios técnicos por seguir para garantizar la determinación objetiva del reajuste o la revisión de los precios. Asimismo, en el cartel de licitación debe establecerse la forma de revisar precios y determinar reajustes, así como la referencia al reglamento, en cuanto al mecanismo de aplicación.” En igual sentido, el artículo 31 del Reglamento a la Ley de Contratación Administrativa hace referencia a que “Las partes tendrán derecho al reajuste o revisión del precio siempre que se acredite la variación de los respectivos costos, conforme las reglas existentes.

El derecho a reajuste o revisión de los precios rige desde la presentación de la oferta y podrá ser solicitado una vez que dé inicio la ejecución contractual. Las partes estarán obligadas a fundamentar su gestión y a aportar las pruebas en que sustenten su dicho, tomando en cuenta las regulaciones específicas de la materia. Las gestiones por este concepto prescriben en cinco años, a partir de que existe la posibilidad de interponer acciones cobratorias en relación con la variación de costos que se demande. Dicha prescripción se interrumpe con la presentación de la gestión.” (El subrayado es propio). Esta Cámara en reiteradas ocasiones se ha referido a este tema, mediante resolución N° 01577 – 2013 del 18 de noviembre de 2013, recalcó: “La iniciativa de reajuste, como es lógico, provendrá de la parte interesada, de quien afecte la variación en los costos. Evidentemente, en la mayoría de las ocasiones, será gestionado por el contratista, quien conoce el detalle de sus costos; las menos de las veces será la Administración, pero que, enterada por algún motivo de una variación en los gastos, proceda al reajuste, tal y como se prevé en forma expresa y con parámetros objetivos para el caso de contrataciones relacionadas con la industria de la contratación.

En suma, y como es lógico también, cada parte del contrato tiene el derecho de velar por la hacienda que le es propia. De esto se colige, además –y en contraposición a lo argumentado por la recurrente en este asunto- que el reajuste no procede oficiosamente; se trata, en lo que atañe al contratista, de un derecho disponible, de manera que siendo él el interesado en proteger su patrimonio, es quien ha de solicitarlo a la Administración, acreditando fehacientemente el presupuesto: la variación de los costos. Igual sentido subyace en el mandato 31 del RLCA: “Las partes estarán obligadas a fundamentar su gestión y a aportar las pruebas en que sustenten su dicho, tomando en cuenta las regulaciones específicas de la materia”; es decir, quien pretenda la revisión o reajuste del precio ha de demostrar el motivo que le da pie”. En el mismo orden de ideas, en el voto No. 01540 - 2013 del 14 de noviembre del 2013 explicó: “(…) el reajuste tiene por finalidad mantener el equilibrio financiero, constituyendo un derecho del contratista reconocido en el ordenamiento jurídico y en la jurisprudencia constitucional desde el voto 998-98.

En términos generales se afirma que este procede ante el acaecimiento de situaciones imprevisibles o bien, aquellas que, aunque previsibles, afecten el equilibrio del contrato. Ubicado este principio en su correcta dimensión, en el caso del contratista supone la posibilidad de que, en la eventualidad de que su estructura de costos se vea afectada por elementos externos, la rentabilidad pactada originalmente se mantenga inmodificada. Si el precio se mantiene como una variable fija de la ecuación, un aumento de los costos supone, necesariamente, una reducción de la rentabilidad. En este supuesto, el ajuste al precio tiene por finalidad que el incremento en los gastos –se insiste, por factores externos y se agrega, necesarios para cumplir con el objeto contractual- sea compensado por la Administración modificando su contraprestación por la recepción de los bienes o servicios. De ahí que el Reglamento a la Ley de Contratación Administrativa establezca que las partes están obligadas a “fundamentar su gestión y a aportar las pruebas en que sustenten su dicho” (art. 31).

Esto ha generado la práctica forense de verificar el incremento en los costos de conformidad con índices confiables, así como la necesidad de que se determine la estructura de costos sobre la cual se fijó el precio, incluyendo en esta la utilidad percibida. Valga aclarar que esta verificación se debe realizar a partir de la oferta presentada por el contratista. Dicho de otra manera, lo que interesa es la estructura porcentual de los distintos rubros de la oferta adjudicada. Ahora bien, de esto no se puede extrapolar que esta es una vía para modificar la rentabilidad. En este sentido, debe apuntarse que si al momento de realizar la oferta, el oferente incurre en un error al momento de fijar el precio, afectándose su utilidad, este no puede ser enmendado a través del reajuste, sin perjuicio de que, según las circunstancias, pueda ser considerado como un precio ruinoso. De lo contrario, podría darse el supuesto de reducir el rubro de la rentabilidad a efectos, únicamente, de obtener ventaja respecto de los otros oferentes y, una vez como adjudicatario, ajustar su ingreso.

Esto, sin duda, constituye un abuso del derecho proscrito por el ordenamiento jurídico.” (El subrayado es propio). En razón de lo anterior, coindice este Órgano decisor con el A quo, pues no basta con el dicho de la parte para poder fundamentar un ajuste en la estructura de los costos en los términos pretendidos por el actor, principalmente en el contexto indicado por el testigo Gilberto Enrique Wilson Wilson (véase al respecto la grabación del Juicio Oral y Público a partir del 01:25:40 el cual consta en el expediente virtual) en el que indicó que al inicio del procedimiento de contratación, la Administración consideró que la oferta tenía un precio ruinoso, la parte actora apeló esa decisión ante la Contraloría General de la República y obtuvo de ésta resolución favorable, por lo que finalmente resultó adjudicada. De modo que, en todo caso de solicitud de reajuste, tal como lo señala la normativa y la jurisprudencia citada, se hace necesario que la parte interesada demuestre de forma fehaciente el impacto que producen los diferentes factores externos en los costos que considera están siendo afectados, en el caso que nos ocupa, en el oficio de solicitud N°CM-70-17 se observa únicamente cuadros elaborados por el dicho de la recurrente, sin indicar referencias o facturas que sostengan lo plasmado en el documento, y que permitan a la Administración analizar alguna posibilidad de variar lo pactado desde el contrato de adjudicación. Así las cosas, debe rechazarse este reproche.

IX.Como segundo agravio, invoca incorrecta aplicación de las normas del silencio positivo regulado en la Ley de Contratación Administrativa con las de la Ley General de Administración Pública. Asegura, la sentencia obvia por completo la petición principal y sustantiva que es el reconocimiento del silencio positivo y acoge una subsidiaria que es el caso de no ajustar los precios como se pretendía en el oficio que nunca se contestó. Remarca, es un grave error porque al no entrar a resolver el silencio positivo en cuanto a atender la pérdida del punto de equilibrio por parte de mi representada y trabajar con constantes pérdidas. Atribuye, se quebrantó el principio de intangibilidad patrimonial y se generó un enriquecimiento sin causa a favor de la Administración. Describe, el artículo 16 de la Ley de Contratación Administrativa establece que Administración está obligada a contestar “...cualquier gestión que le formule el contratista…” y agrega, el único requisito que establece es que la gestión “…sea necesaria para ejecutar la contratación”.

Repite, es claro que se encuentra dentro del cuadro fáctico establecido por el artículo referido, y la Administración tenía la obligación de responder esta gestión, sea rechazándola por incompleta o rechazándola de plano o bien admitiéndola, pero de ninguna forma contestó como obliga la norma con “…una respuesta motivada…”, concluye, lo que quedó de sobra demostrado, que nunca hubo respuesta motivada por parte de la Administración.

X.Con relación al cargo reprochado, el Tribunal resolvió: “En el caso particular, la gestión presentada bajo el número CM-70-17, corresponde a una solicitud para que se realice un estudio de la estructura de costos y se garantice una utilidad del 10%, subsidiariamente se propone la terminación del contrato por mutuo acuerdo con la devolución de la garantía rendida. Resulta evidente que la gestión numerada CM-70- 17, no tiende a la efectiva ejecución de la contratación. Por el contrario, en la misma gestión el Consorcio actora hace la propuesta formal de dar por finalizado el contrato por mutuo acuerdo. (…) Otro elemento que debilita la tesis de la parte actora, son las respuestas escritas que JAPDEVA dio a la gestión CM-70-17 presentada el 5 de mayo de 2017 mediante los oficios N°DRH-251-2017 del 27 de mayo de 2017 y N°AL-306- 2017 del 5 de julio de 2017, éste último del Departamento Legal de JAPDEVA donde expresamente se rechazó la solicitud de declarar el silencio positivo, sin que existe un cuestionamiento claro y preciso contra el criterio externado por la Administración Pública, incumpliendo con la carga procesal de fundamentar la acción.

A lo anterior, debe agregarse que la solicitud de reajuste de precios como tal, tampoco puede considerarse que tienda a la ejecución del contrato y, por ende, sería insuficiente para aplicar el numeral 16 de la Ley de Contratación Administrativa invocado. Finalmente, ateniéndonos a las pretensiones que nos ocupan, tal cual fueron formuladas por la parte actora con alguna falta de rigor en técnica jurídica procesal, parece encontrarse suponiendo que declararse el silencio positivo procederá accesoriamente una condena de hacer, esto es, de desplegar alguna conducta impuesta por el ordenamiento jurídico verbigracia lo dispuesto en el artículo 122, inciso g) del Código Procesal Contencioso Administrativo, no obstante como veremos, se trataría de la condena a realizar un acto preparatorio -el estudio de costos- fundada en la omisión de la Administración, lo que ninguna identidad guarda con la figura del silencio positivo.

Véase que quien demanda solicitó a la administración el despliegue de una conducta que le corresponde a la misma parte actora conforme lo hemos mencionado atrás, lo que de entrada desecha cualquier posibilidad de éxito en lo pretendido, mientras que, por otro lado, lo que pretende es que tal estudio de costos que habría de fundar su solicitud de restablecimiento del equilibrio financiero lo realice la Administración. Lo último, si bien habla de una conducta omisiva, supone que la acción se dirige más bien que se ordene su despliegue, esto es, a que se ordene hacer lo que se omitió, sin que de ello se pueda adelantar en ningún nivel el resultado de dicho estudio. Se trata de la condena a la realización de un acto preparatorio de otro -acto final- eventual y futuro. Lo que queremos decir, es que la condena de hacer en contra de la Administración dista mucho de encontrarse fundamentada según el propio dicho de quien demanda en un acto presunto como sería lo propio de hacerse operar el instituto del silencio positivo -aquí no se discutiría si operó o no esa figura-.

Antes bien, se estaría pretendiendo que se condene a la Administración a realizar un acto preparatorio -el estudio- que permitiría posteriormente y dependiendo de sus resultados, adoptar un acto final que reconozca o no, la procedencia del restablecimiento o no de un desequilibrio financiero. Esto conduce a afirmar resultaría inviable en estos casos siquiera plantearse la posibilidad de hacer operar la figura. Así las cosas, además, la indicada gestión no tiene como fin último la ejecución de la contratación, ya que pretende en primer lugar, que se realice un estudio de costos y, en segundo lugar, propone la terminación del contrato, lo que no guarda congruencia alguna. Nada de lo anterior, supone que ante la desatención de respuesta de la Administración se generen retrasos en la ejecución del contrato, ya que en el caso particular la licitación se encontraba en marcha desde el 2013. Es evidente, que la gestión no cumple con las características en el artículo 16 de la Ley de Contratación Administrativa para que opere el silencio positivo y que por la vía del silencio positivo lo que se pretende es obviar o flanquear en abuso del derecho,

un deber que corresponde al contratista, de demostrar que se ha producido el desequilibrio financiero que alega, fundamentaría el reajuste de un precio.”

XI.El silencio positivo en contratación administrativa. Del análisis de lo transcrito, esta Sala observa que el Tribunal desarrolló ampliamente el alegato de la parte actora en relación con el silencio positivo, por lo que debe rechazarse el argumento de la actora sobre la omisión del pronunciamiento. Ahora bien, aun cuando exista norma expresa en la materia, el silencio positivo debe analizarse de forma integral para su comprensión, pues precisamente el origen de éste proviene de la Ley General de la Administración Pública (LGAP). El artículo 330 de la Ley General de la Administración Pública regula: 1. El silencio de la Administración se entenderá positivo cuando así se establezca expresamente o cuando se trate de autorizaciones o aprobaciones que deban acordarse en el ejercicio de funciones de fiscalización y tutela. 2. También se entenderá positivo el silencio cuando se trate de solicitudes de permisos, licencias y autorizaciones.

(El resaltado es propio). Al respecto, debe entenderse entonces que la regla general ante el silencio de la Administración es la respuesta negativa a la gestión, y la positiva opera por vía de excepción, tal como se ha desarrollado en la jurisprudencia de este Órgano Colegiado en el voto N°925-F-S1-2017 del 3 de agosto de 2017: "(…) En primer término, debe aclararse, el silencio positivo opera en vía de excepción. La regla la configura el silencio negativo, es decir, ante la falta de respuesta de la Administración dentro de los plazos establecidos, debe entenderse hubo un rechazo de la gestión. Con ello se abre la posibilidad para el administrado de entablar las acciones judiciales que considere pertinentes debido al rechazo presunto. Sólo en determinados supuestos indicados por Ley, la no respuesta de la Administración puede ser entendida como un acto presunto favorable o declaratorio de derechos a favor del administrado.” (El resaltado es propio).

Así también en la resolución Nº 00129 – 2018 del 15 de febrero del 2018: “El silencio positivo, es excepcional en materia de inactividad de la administración, se produce exclusivamente en aquellos casos en donde el legislador - no la administración en ejercicio de la potestad reglamentaria- de forma expresa y taxativa lo reconozca. Este tipo de acto presunto (positivo) generará los efectos de un acto administrativo expreso estimatorio, favorable o declarativo de derechos, lo cual se desprende del texto 331 de la LGAP, cuando dispones que acaecido este “no podrá la Administración dictar un acto denegatorio de la instancia, ni extinguir el acto sino en aquellos casos y en la forma prevista por la Ley”. Por esta razón el silencio negativo es la regla y el positivo es la excepción y como tal solo procede en aquellos casos permitidos por norma de rango legal. En todos los demás supuestos no previstos en la ley el silencio, se reitera, se entenderá siempre como negativo.

Para que surja, la inactividad administrativa de esta naturaleza debe concurrir varios condicionamientos.” (El resaltado es propio). En línea con lo indicado, la LGAP remite la posibilidad de considerar el silencio positivo cuando una ley especial que así lo establezca, y en ese tanto es posible revisar si el cuadro fáctico se ajusta al artículo 16 de la Ley de Contratación Administrativa, de modo que tampoco lleva razón la recurrente al buscar desligar ambas leyes del análisis realizado por el A quo, siendo más bien un estudio necesario para la resolución. Aclarado lo anterior, particularmente, sobre el silencio positivo en materia de contratación administrativa, ha indicado esta Cámara en la sentencia 001096-F-S1-2011 de las 9 horas 45 minutos del 8 de setiembre de 2011 y reiterada en igual sentido por el Tribunal de Casación Contencioso Administrativo y Civil de Hacienda en resolución N.º 00161 – 2018 de las 09 horas 30 minutos del 15 de noviembre de 2018, en lo siguiente: “… el artículo 16 de la LCA, en efecto, impone a los entes públicos el deber de tramitar cualquier gestión del contratista en el plazo de 30 días hábiles; transcurrido ese tiempo sin respuesta motivada, dispone, operará el silencio positivo y se tendrá por acogida la petición, siempre y cuando se trate de autorizaciones o aprobaciones que deban acordarse en el ejercicio de funciones de fiscalización o tutela, ante solicitudes de permisos, licencias y autorizaciones, o bien, ante inactividades específicas frente a las cuales una norma legal haya otorgado dicha posibilidad…”.

De igual modo ha dispuesto, los supuestos para acudirse a la figura silencial en aras de enfrentar una omisión por parte de la Administración Pública, se presentan cuando se pretende el reconocimiento o tutela de un derecho subjetivo o interés legítimo, porque si no, resulta improcedente la aplicación de la figura. Así las cosas, el silencio positivo produce una conducta administrativa favorable con plenos efectos jurídicos; siempre y cuando sean cumplidos los requisitos formales exigidos y los presupuestos establecidos en el ordenamiento jurídico. En este sentido, se puede afirmar que, para generar un acto administrativo estimatorio, la figura jurídica debe contener los siguientes presupuestos: i) la solicitud base reúna los requisitos exigidos por el ordenamiento jurídico. ii) Transcurra el plazo legal establecido para su procedencia, sin que la Administración haya respondido. A nivel jurisprudencial se ha establecido que, en autorizaciones y permisos, existen excepciones a la aplicación del instituto.

Ha sido la Sala Constitucional quien ha señalado que, en materia ambiental y urbanística, el silencio positivo resulta inaplicable (sentencias 6836-93, 5506-94, 2000-1895 y 2003-6322). Lo anterior ha sido replicado por la Sala Primera en los fallos 0397-F-2001 y 000771-F-S1-2008 de las 16 horas del 18 de noviembre de 2008.” Desde entonces se han dimensionado algunos de los parámetros que rigen para las gestiones a las cuales les aplica el silencio positivo en contratación administrativa. Cabe agregar, dentro de las características necesarias, que la solicitud se debe bastar por sí misma, es decir que no requiera actuaciones adicionales de mayor complejidad por parte de la Administración, pues en caso contrario, la finalidad de declarar la voluntad ante la omisión de pronunciamiento carecería de sentido, ya que se necesitaría más que una respuesta basada en afirmación o negación de la gestión.

En el caso de marras, tal como lo señala la sentencia recurrida: “quien demanda solicitó a la administración el despliegue de una conducta que le corresponde a la misma parte actora conforme lo hemos mencionado atrás, lo que de entrada desecha cualquier posibilidad de éxito en lo pretendido, mientras que, por otro lado, lo que pretende es que tal estudio de costos que habría de fundar su solicitud de restablecimiento del equilibrio financiero lo realice la Administración. Lo último, si bien habla de una conducta omisiva, supone que la acción se dirige más bien que se ordene su despliegue, esto es, a que se ordene hacer lo que se omitió, sin que de ello se pueda adelantar en ningún nivel el resultado de dicho estudio. Se trata de la condena a la realización de un acto preparatorio de otro -acto final- eventual y futuro.”. En resumen, el actor -a pesar de ser su responsabilidad-, solicitó un estudio de la estructura de costos a la demandada, que, en caso de haber cumplido los requisitos, su análisis implicaría para la Administración no sólo lo relativo a la procedencia en relación con el contrato sino también una valoración de las consecuencias presupuestarias y su disponibilidad para hacerle frente al cambio propuesto.

Aunado a ello, esta característica se encuentra ligada a la descripción del artículo 16 de la LCA, aquella que bastándose por sí misma, se ha planteado a la Administración para dar curso a la ejecución del servicio adjudicado y cuya inactividad de proporcionar respuesta lo ha impedido, sin embargo, en este caso la contratación se encontraba en ejecución desde el año 2013. Por lo cual, se coincide con el A quo, en el tanto por las particularidades de la gestión presentada, ésta no se encuentra sujeta al silencio positivo regulado en la LCA, en consecuencia, debe rechazarse este agravio.

XII.Como tercer agravio, considera violación al artículo 18 de la Ley de Contratación Administrativa, del mantenimiento del equilibrio económico. Asegura, la actora trabajó con pérdidas constantes y su derecho para el reclamo de los ajustes no prescribe con la terminación del contrato. Estima, el artículo 31 del Reglamento a la Ley de Contratación Administrativa, permite la revisión del precio puede solicitarse hasta los cinco años, a partir del momento en que pudieron solicitarse. Valora, sí existe un interés actual, porque sí existió una pérdida del punto de equilibrio en donde laboró con perdidas y aprecia, esas solicitudes de revisión del precio están a tiempo.

XIII.Sobre este punto, el Tribunal dispuso: “Al informar JAPDEVA en la contestación de la demanda que el Consorcio actor a partir del 3 de julio de 2017 dio por terminado el contrato de manera unilateral y que actualmente no se encuentra prestando el servicio de soda-comedor en JAPDEVA, según consta en la imagen 57 del expediente virtual, en asocio con las declaraciones testimoniales rendidas en juicio oral por las señoras Leonicia Guthrie Bell y Sandra Mathews Mayar, se entiende que sobreviene una falta de interés actual de lo solicitado debido a la imposibilidad material de ejecutar lo pedido sea: un estudio de costos, garantizar el 10% de ganancias y/o resolver por mutuo acuerdo el contrato con devolución de la garantía. Véase que aún en el caso de conceder algún extremo, no habría ningún efecto práctico, debido a que no se pude ejecutar nada de lo pedido, porque el contratista ya no brinda el servicio de soda-comedor, por ende, la sentencia que se dicte no sería útil.

Tal dificultad técnica, se produce debido a las pretensiones que contiene la demanda que constituyen el límite para el pronunciamiento de este Tribunal, no pudiendo establecer distintas a las planteadas ni deducir las que no fueron expresamente interpuestas. Los jueces solo pueden pronunciarse sobre problemas jurídicos que mantengan vigencia, siendo un requisito de admisibilidad de la demanda que su titular exhiba un interés actual en la misma, dado que la tutela jurisdiccional se dirige a atender situaciones reales y no se orienta a análisis abstractos, especulativos ni teóricos. En esta misma línea, en el siguiente extracto del voto N°265-F-S1-2019 de la Sala Primera de la Corte Suprema de Justicia se explica la figura de la falta de interés actual (…) Cabe destacar, que la parte actora no incluyó en su demanda ninguna pretensión expresa para el reconocimiento de los daños y perjuicios ocasionados por la declinación de la gestión CM-70-17, no se pidió declarar la nulidad de lo actuado ni se cuestionó la cláusula contractual y el cartel que contienen la fórmula matemática para los reajustes de precios y la estructura de precios, ni solicitó su nulidad, lo que impide realizar un análisis oficioso, so pena que quebrantar el Principio de Contradictorio y el Debido Proceso de las partes litigantes. Por las razones expuestas, se declara sin lugar los demás extremos peticionados.”

XIV.Al respecto, esta Sala coincide con lo desarrollado en la sentencia, dado que la solicitud de estudio para el reajuste de costos presentada por la parte actora fue planteada hacia futuro, es decir expresamente indicó en el oficio N°CM-70-17: “con el propósito de impedir que la empresa siga perdiendo (…)”. Aunado a que la solicitud no cumplía con la fundamentación requerida para gestiones de esa naturaleza, tal como se señaló en los apartados anteriores, en menos de dos meses de haberla presentado, el 3 de julio de 2017 la accionante dio por terminado el contrato de manera unilateral y dejó de prestar el servicio contratado, por lo cual lo pretendido en su demanda estaría condenando a la Administración a actuar en contra de lo dispuesto por el artículo 16 de la Ley General de la Administración Pública, pues en ningún caso podrán dictarse actos contrarios a reglas unívocas de la ciencia o de la técnica, o a principios elementales de justicia, lógica o conveniencia, careciendo de sentido entrar a analizar las pretensiones en los términos descritos, por lo cual se rechaza el agravio con fundamento en lo señalado por el A quo.

XV.En mérito de lo expuesto, se deberá declarar sin lugar el recurso interpuesto. En consecuencia, se condenará a la casacionista al pago de las costas correspondientes a este recurso (artículo 150.3).

POR TANTO

Se declara sin lugar el recurso interpuesto. En consecuencia, se condena a la casacionista al pago de las costas correspondientes a este recurso.
